HomeMy WebLinkAboutCALNO PROPOSED BY-LAWS FOR CALNO PREAMBLE We, the representatives of local governments in South Seminole County hereby join together in a voluntary organization to be known as CALNO, for the purpose of meeting at regular intervals to discuss and study community challenges of mutual interest and concern, and to develop policy and action recommendations for ratification and implementation by member local governments. We realize that our individual and common destinies rest with the interdependent actions of the local governments which comprise our region. This voluntary association which we have formed is a vehicle for closer cooperation and is not a new layer of government nor n nupnr.-govormmnnk• An n v(A.uninry orvnulzn- tion of local governments, the members seek, by mutual agree- ment, solutions to mutual problems for mutual benefit. PURPOSE CALNO shall be a voluntary organization of local governments to foster a cooperative effort in resolving problems, policies, and plans that are common and regional. The purpose of this organization is : A. To serve as a mutual forum to identify, discuss, study, and bring into focus regional challenges and opportunites. B. To foster, develop, and review policies, plans, and priorities for regional growth, development, and conservation. E. To facilitate agreements and cooperative action proposals among member governments for specific projects or other interrelated developmental needs and for the adoption of common policies and plans with respect to common regional challenges. F. To maintain liaison with members, governmental units, and groups or organizations and to serve as regional spokesman for local government. G. To render services to member governments by assist- ing in applying for and securing federal and state funds for assistance in, and solution of, specific local problems. H. To review and coordinate federal, state, and local programs of regional importance. II. MEMBERSHIP A. Eligibility. Voting membership shall be open to all units of general purpose local government. B. I'Incjp me+nllnrl ri'n,rnluunl nhsll be officially represented by its duly elected chief executive or by other official designated or selected by the local governments 's legisla- tive body. They shall also select an alternate representative. D. Admission and Withdrawal. An eligible government may become a member of the council, or withdraw from such membership, when its local governing body signifies by formal resolution ( or other legal device) a request for admission or withdrawal in writing to the council. E. Dues . Membership dues, service fees, or other charges to defray operating expenses shall be spread equally among the member governments. Dues requested from member governments will be approved annually by CALN©. -2- ' k . POWERS OF THE COUNCIL In addition to the powers of the council authorized by Chapter 163.02, Florida Statutes, the council shall have the power to : A. Adopt a council budget and membership fee schedules; B. Adopt and amend bylaws ; C. Initiate, advise, and aid in the establishment of cooperative arrangements, including inter- local agreements, among local governments in the region; D. Make recommendations to any local governments or to other appropriate agencies or entities; E. Propose amendments to intergovernmental agree- ments for ratification of members; F. Annually elect a Chairman, Vice-Chairman, and any other officers as required; G. Establish, fix compensation, and employ an Executive Director and other employees as the council deems necessary to achieve its purposes; provided that the Executive Director shall serve at the pleasure of the council and all other employees shall serve at the pleasure of the Executive Director. IV. COUNCIL ORGANIZATION A. Voting: Each member local government will have one vote on the council B. Quorum: A quorum of the council shall consist of a simple majority of the total voting membership. C. Meetings : The council shall meet at least four (4) times a year or upon the call of its Chair- . man or by petition of two member cities. D. Committees : The Chairman shall have the power to appoint such committees as deemed necessary to carry out the council's activities. V. AMENDMENTS • These Bylaws may be amended (repealed) or added to at regular or special meeting of the General Assembly, provided that a written notice shall have been sent to each member government, which notice shall state the amendments or changes which are proposed to be made in such Bylaws. Proposed amendments shall be considered to have passed if two-thirds of the participating governments vote in the affirmative. •
