Subject: Aquatic Engineering for Water Features 1. PROJECT DESCRIPTION: ADE's understanding of the project is that the Tuskawilla fountains are located at the entrance to the development in Winter Springs, Florida. These fountains are maintained by the city and are experiencing some issues. The fountains are currently losing water, under - performing visually, and the mechanical systems are starting to fail due to earlier flooding0events of the tanks. To better understand the required repairs for the features, the City of Winter Springs has contacted ADE to provide an on -site field observation and a renovations recommendation report. 2. SCOPE OF SERVICES: ADE's scope will be to provide the professional observation that will be documented via photos and a written report. This report will include the following elements that will help advise the City of Winter Springs on how to best advance the renovation of the features: • Current narrative on the features • Photo documentation of existing feature • Listing of observed issues with the feature • Identification of observed failing equipment • Narrative recommendation for overall repair of the feature based upon the observation • Recommendation on how to best repair observed issues within the feature • Initial opinion of costs based on observed renovation items. During this process ADE will need to sub - contract a firm to perform an acoustical or underwater leak test as well as subcontract potential manufacturers to understand the cost associated with updating existing equipment. Any expenses incurred by ADE during this process will be invoiced to the City of Winter Springs with a 10% mark -up for these services. All quotes for these services will be sent to City of Winter Springs for prior approval before ADE authorizes work being performed by these sub - consultants. Additional renovation / re- engineering professional services can be provided by ADE once the client makes a decision on which direction to move forward with. PROFESSIONAL FEES: Our fee for the base professional services as described above is a fixed -fee of Four Thousand Five Hundred Dollars plus reimbursable expenses: Professional Fees Initial Payment Observation and Report Final Recommendations Total Professional Fee 4. REIMBURSABLE EXPENSES $2,000.00 $2,000.00 $500.00 $4,500.00 The following items are considered expenses to be reimbursed to ADE by the client at a 1.10 times our cost: A. TERMS AND CONDITIONS A. AIDE HOURLY RATES If additional professional services not included within this proposal that are desired, hourly rates are available upon request. B. PROFESSIONAL FEE The total professional fee is based strictly upon the stated Scope of Professional Services. Additional services may be provided as additional professional fees upon execution of a written change -order or additional services authorization. "Client- directed" revisions or alterations to the drawings shall be billable and paid by Client at the normal hourly rate (available upon request) and upon execution of a written change- order. These fees are additional services and are to be added to the agreement fee amount. Revisions or alterations necessary due to ADE's omission(s) are at the expense of AIDE and shall not be billed to the Client. Refer to "Standard of Care" provisions below. Please note that all amounts are in US dollars. All air travel more than 5 hours in total length will be at least a business class ticket or equivalent for managers and higher. C. INVOICES AND PAYMENTS Invoices will be submitted upon completion of various tasks as a portion of ADE's scope of service (or monthly if the project requires more than one month). Payments for services and reimbursable expenses are due upon presentation of ADE's invoice. Invoice shall be considered PAST DUE if not paid within forty -five (45) days after the invoice date and AIDE may, without waiving any claim or right against Client, and without liability, whatsoever to Client, cease all work and / or terminate the performance of the service. AIDE will not continue its services until all outstanding amounts are paid in full, including interest and late fees, if any. Amounts unpaid 45 days after the invoice date shall bear interest at 1.5% (or the legal rate) of the unpaid balance In the event that a portion of an account balance or invoice remains unpaid 60 days after the invoice date then Client shall pay cost of collection, including reasonable attorney's fees. No retention is applicable for this agreement. D. CERTIFICATE OF MERIT The Client shall make no claim for professional negligence, either indirectly or by way of a cross complaint against AIDE unless the Client has first provided AIDE with a written certification executed by a professional engineer currently practicing in the State of Florida. This certification shall: a) contain the name and the license number of the certifier; b) specify the act or omissions that the professional engineer contends are not in conformance with the standard of care for a consultant performing professional services under similar circumstances; and c) state in detail the basis for the certifier's opinion that such acts or omissions do not conform to the standard of care. The certificate shall be provided to AIDE not less than thirty (30) calendar days prior to the presentation of a claim or the institution of an arbitration, mediation, or judicial proceeding. E. DISPUTE RESOLUTION As a condition precedent to the filing any suit or other legal proceedings, the Client and ADE shall endeavor to resolve claims, disputes or other matters in question by mediation. Either party to this contract may initiate mediation by serving a written request for mediation on the other party within 45 calendar days after the closing of the dispute or other matter has arisen. The parties shall, by mutual agreement, select a mediator within fifteen (15) days of the date of the request for mediation. If the parties cannot agree on the selection of a mediator then ADE shall select the mediator who, if selected solely by ADE, shall be a mediator certified by the Supreme Court of Florida. Each party to the mediation shall pay the mediator's fee in equal shares. In the event of a dispute, neither ADE nor client shall be entitled to the award of attorneys' fees. If the parties are unable to resolve a claim or dispute by mediation or if either party initiates any legal proceeding of any nature to enforce any right or obligation under this agreement, or arising out of any matter pertaining to this agreement or the Work to be performed on the project, such legal proceeding shall be submitted for trial without jury. The parties expressly waive all right to trial by jury regarding any such matter. Client agrees that ADE's Surety Company is an intended third party beneficiary of this waiver of jury trial provision and that any action brought against ADE's Surety Company or any Bond posted by ADE on this project is subject to this waiver of jury trial provision. F. ENTIRE AGREEMENT: This contract contains the sole and entire agreement between the parties and all previous negotiations, proposals, discussions, and /or agreements are merged into this contract and the parties acknowledge that any statements or representations or agreements that may have heretofore been made by either of them to the other are void and of no effect. G. ELECTRONIC MEDIA Assuming that all payments to ADE are current and up -to -date, ADE may provide the following electronic media: Description Type of Electronic Media Provided by ADE Site Plan AutoCAD .DWG or .PDF file format Pool Equipment Room Layout All other "ADE" Drawings AutoCAD .DWG or .PDF file format AutoCAD .DWF or .PDF file format All electronic files will be retained and archived by ADE for a 3 -year period from the date of drawings completion. H. ENGINEER OF RECORD The engineer of record for this project shall be William R. Braswell, P.E., Daniel T. Martin, P.E., or Michael J. Weinbaum, P.E. INDEMNIFICATIONS Client and ADE shall mutually indemnify and hold harmless the other party and their representatives, associates and employees from and against all claims and liability due to activities of the other party, its agents or employees which result from any wrongful or negligent act, error, or omission of the other party or any person employed by the other party. Client and ADE shall also hold harmless the other party and their representatives, associates, and employees from and against any and all expenses, including attorney's fees, which might be incurred in litigation or otherwise from claims or liabilities which might be imposed as the result of such activities by the other party, its agent, or employees. J. JOB SITE SAFETY ADE has not been retained or compensated to provide design and construction review services related to the Contractor's means, methods, sequences, techniques or procedures required for the Contractor to perform, supervise, and coordinating his Work in accordance with the contract documents and any health or safety precautions required by any regulatory agencies. K. MISCELLANEOUS. Any notice, demand or request permitted, required, or desired to be given in connection with this Agreement shall be in writing and shall be deemed effective if and when hand delivered to the persons identified herein or deposited in United States Mail Certified or Registered, return receipt requested, postage prepaid, addressed to the parties as set forth above. Client is advised that ADE will take photographs of the project during and subsequent to performance of the Work. L. OPINION OF PROBABLE CONSTRUCTION COSTS In providing opinions of probable construction cost, the Client understands that neither ADE nor the Client has control over the costs or the price of labor, equipment or materials, over the Contractor's method of determining bid prices, or over competitive bidding, and market or negotiating conditions. Accordingly, ADE cannot and does not warrant or represent that bids or negotiated prices will not vary from any estimate or opinion of probable construction costs or evaluation prepared or agreed to by ADE. M. OWNERSHIP AND USE OF ADE'S DRAWINGS, SPECIFICATIONS AND OTHER DOCUMENTS Documents prepared by ADE are instruments of ADE's service for use solely with respect to this project. ADE shall retain all common law, statutory and other reserved rights, including the copyright. They are not to be used by the Client, Contractor or any Subcontractor, Sub - subcontractor or material or equipment supplier for other projects or for additions to this project outside the scope of the Work without the specific written consent of ADE. ADE shall be authorized to illustrate digital images and conceptual renderings of the project within its marketing media including website N. RISK ALLOCATIONS AND LIMITATIONS OF LIABILITY In recognition of the relative risks, rewards and benefits of the project to both Client and ADE, the risks have been allocated such that Client agrees, to the fullest extent permitted by law, to limit the liability of ADE to Client and to construction contractors and subcontractors on the project for any claims, losses, costs, legal actions, damages of any nature whatsoever or claims expenses from any cause or causes, to not exceed $1 Million or the amount of the Client's fee payments toward this Aquatic';;;;;;;;; ...•.... Such claims and causes include, but are not limited to, ADE's negligence, professional errors or omissions, strict liability and breach of contract or warranty. O. SEVERABILITY AND SURVIVAL Any provision of this Agreement later held to be unenforceable for any reason shall be deemed void, and all remaining provisions shall continue in full force and effect. All obligations arising prior to the termination of this Agreement allocating responsibility or liability between Client and ADE shall survive the completion of the services hereunder and the termination of this Agreement. P. STANDARD OF CARE Services provided by ADE under this Agreement will be performed in a manner consistent with that degree of care and skill ordinarily exercised by members of the same profession currently practicing under similar circumstances. In preparing its Drawings, ADE is expressly authorized by the Client to rely upon the accuracy of the documents supplied to ADE by the Client, Owner, or the Owner's consultants in preparing the ADE documents. Upon notice to ADE, and by a mutual agreement between the parties, ADE will correct, without additional compensation, those services not meeting such a standard. Above -grade pools consisting of concrete construction will leak water. ADE strongly recommends that the pool basins be welded stainless steel with a completely tiled interior to ensure that the design properly addresses the no- leaking requirement. The Client shall hold - harmless and relieve ADE of all liability if budgets or Client - provided design- direction mandates that concrete basins are incorporated rather the appropriate stainless steel basin(s). Q. TERMINATION OF SERVICES This agreement may be terminated, without cause, upon not less than ten (10) days written notice by either party. Either party may terminate this agreement upon not less than seven (7) days written notice should the other party fail substantially to perform in accordance with the terms of this agreement through no fault of the party initiating the termination. In the event of termination not the fault of ADE, the Client shall pay ADE for services rendered to the date of termination, reimbursable expenses, and termination expenses. R. UNKNOWN CONDITIONS Client shall supply data prepared by or services required of others, such as subsurface explorations, laboratory tests, and inspections of samples, materials, and equipment, and appropriate professional interpretations of the foregoing. If unknown conditions cause a change increase in the Professional Services required from ADE, then additional services and fees shall accrue and be payable to ADE from the Client. If Client fails to provide this information, then Client specifically agrees to hold harmless ADE for errors or omissions arising from the lack of adequate conditions or job information. S. APPLICABLE LAW AND VENUE Venue and jurisdiction for litigation arising under this contract shall lie solely within the appropriate court in Orange County, Florida. ADE reserves the right to recall the proposal after 90 days from the issue date or revise the ADE proposal at the completion of the 90 day period. Williams Park Poo Tampa, Florida, USA After being closed for over four years, the city councilman made it a priority to renovate and reopen the public City of Tampa Williams Pool. The existing aquatics were completely replaced and the pool now features a zero entry and play features. The Williams Pool now serves as a cornerstone for families in the community. Recently, the State of Florida selected AIDE to re- engineer the mechanical systems and specify new finishes to help restore this historic pool. Being selected by the State allowed AIDE to recommend statewide standards for upgrading existing pool features that will assist on all future re- designs. Orlando is known as "The City Beautiful" and often experiences stunning afternoon thunderstorms. This fountain was designed to showcase the beauty of the city while also capturing the majesty of the natural storm phenomena. AIDE designed a fountain that conducts its own internal thunderstorm each day. The design utilizes special nozzles and lightning in conjunction with unique copper bands to affect the impression of a storm. AIDE designed multiple water features for this hotel including a fountain within the terminal and a stainless steel above grade pool. The large outdoor entry fountain welcomes visitors staying at the Hyatt, while the interior fountain located in Concourse B provides a first impression for most passengers arriving in the city. The hotel's above -grade pool features a perimeter overflow that provides a relaxing environment for hotel guests looking to get away from the bustle of one of the country's busiest airports. Styled after a Roman Colosseum, this attraction includes a large, two -story waterfall with a baptismal pool at the base of the water feature. As the world -wide symbol for the Universal brand, this is the most recognized AIDE water feature. AIDE designed the fountain at the base of the globe to conceal the globe's support structure, creating the illusion that the globe is hovering in mid -air. The water features were designed by AIDE to highlight traditional Arabic culture mixed with a modern 21st century shopping environment. These features employ the same design techniques used on the Welcome Pavilion Fountain and provide continuity among the three features designed by AIDE at Yas Island. Highlighted by the large entry feature that spans 300 meters in length, these features will help welcome visitors to the Yas Island Shopping Center. For the palace entry, AIDE designed a long, linear perimeter overflow basin lined with Arabian horse sculptures. These sculptures include custom nozzles at the hooves that use water to simulate the effect of horses running. Each of the sculptures represent a winning racehorse and the feature will continue to grow as more of the Sheihk's horses win races. Relevant Experience and Responsibilities Josh Martin has been involved on the following projects: Smale Riverfront Park Walnut Street Fountains and Stairs - Located in the heart of Downtown Cincinnati, the Smale Riverfront Park spans 45 acres overlooking the Ohio River. Serving as a connection point between the Great American Ballpark and Paul Brown Stadium, the Smale Riverfront Park is a fantastic gathering place for the city residents and its visitors. AIDE was selected to design and engineer all of the aquatic features within the park. The Walnut Street Fountains and Stairs serve as the grand entryway into the park. The Walnut Street Fountains flank the steps with two large cascading water features and more than 40 LED lights. Anchoring the steps are three elevated glass balconies along Mehring Way that serve as observation stands for visitors. Each one of the balconies features an LED -lit water curtain below them that provides a one -of -a -kind illuminated effect. For this project's water feature, AIDE provided hydraulic, structural, filtration, and chemical system design and engineering services, as well as lighting programming design and sequencing. Yas Mall - The Yas Island Mall's second phase will include six total water features. For this phase of the mall, AIDE designed four interior water features including a water feature that will use special sequenced nozzles to display the time every ten minutes.
