Whereas Contractor is in the business of providing landscape installation services, and Whereas Purchaser desires to retain the landscape installation services of Contractor. In consideration of the promises and mutual covenants herein, the parties agree to the following: SCOPE OF WORK • Contractor shall perform the services, provide materials,transportation,and furnish all equipment to comply with the duties and specifications of this Landscape Installation Agreement as set forth in the following pages. • Contractor shall provide qualified personnel who have been trained and instructed to execute tasks under this contract both safely and efficiently. • Contractor shall designate a responsible supervisor or Project Manager who will continually monitor the quality of workmanship that has been performed. Any meetings must be scheduled via the Project Manager. • The schedule of work hours for the accomplishment of Landscape Installation Agreement services as detailed within this contract shall be as required to provide a high level of quality. Work around buildings and residential units shall not begin before 8:00am. • All change orders must be submitted in written form via fax to our corporate office at (407) 366-4547. Purchaser must allow no less than seven (7)business days to complete any change orders. • No verbal change orders will be accepted or voided for the duration of this Landscape Installation Agreement. • In the event an emergency Purchaser should contact the Project Manager at(407) • Contractor will not accept responsibility for items damaged due to digging that have not been properly marked. Contractor will take all precautions to prevent damage. 1 .r, y conserve water TERMS AND PAYMENT • This Landscape Installation Agreement shall be for the duration of the Project Name-City of Winter Springs-TLBD Medians 21 to 23. • As payment for services rendered hereunder, Purchaser shall pay S 18,808,50.Contractor shall furnish the Purchaser with invoices detailing services that have been provided within the terms of the agreement. • Each invoice shall be submitted to Purchaser or authorized management agent within five(5) business days of completion of invoiced work and payment is due, in full, no later than the(30)thirty days from the invoice date. • All change orders that have been agreed upon via a written change order contract shall be billed at additional cost. All change orders must be signed by Purchaser and Contractor prior to any work being performed. • Contractor has the option to pass on all landscape material cost increases in excess of %. • Both parties agree that this is the total agreement between them,and no verbal or implied agreement or request will have any validity unless same has been written into this agreement. • No changes or alterations to this agreement shall be made unless both parties have agreed to the same, in written form and signed and properly executed. • Both parties agree that either party may terminate this agreement with a(30)thirty day written cancellation notice,sent by certified mail,to the Contractor corporate office,as long as contractor has been given the opportunity to fix the problem within (30)thirty days. Cancellation notice shall be accompanied by payment in full of all charges owed to Contractor up to the cancellation date. • Venue for any litigation or other legal proceedings in relation to this contract shall be in the State of Florida,County of Seminole. The prevailing party in any such proceeding shall be entitled to the recovery of all attorneys'costs along with any punitive damages caused by Purchaser involved in such an action or proceeding. • At no time shall Contractor receive or undertake services not described in this contract from any person(s)other than the appointed Agent or Purchaser. INSURANCE AND REGULATORY COMPLIANCE Contractor shall maintain insurance naming the Purchaser additional insured at it's own expense with a minimum of the following limits: • BODILY INJURY LIABILITY: $ 100,000.00 PER PERSON -$ 300,000.00 PER ACCIDENT • PROPERTY DAMAGE LIABILITY: $ 50,000.00 AGGREGATE • GENERAL LIABILITY: $ 1,000,000.00 • AUTOMOTIVE LIABILITY: $ 1,000,000.00 • Contractor shall maintain all licenses and certificates as required by law. INDEPENDENT CONTRACTOR • Contractor is deemed an independent contractor and nothing shall authorize Contractor to act as an agent for the Purchaser or to conduct business in the name of the Purchaser unless authorized in writing by the Purchaser. ASSIGNMENT • This contract is personal,and all rights hereunder are not assignable or the obligations imposed delegated without the written consent of both parties.
