REQUEST:
The Community Development Department, Urban Beautification Services Division, is
requesting approval for the City to enter an agreement in the amount of $50,000 with the
U.S. 17-92 Community Redevelopment Agency for reimbursement of design and
engineering costs related to the proposed SR 434 Streetscape Project.
SYNOPSIS:
As part of a $1.2 million funding request for two City of Winter Springs Projects within the
U.S. 17-92 Redevelopment Corridor, on February 25, 2014, the U.S. 17-92 Community
Redevelopment Agency (CRA) Board voted to approve partial funding in the amount of
$50,000 for design and engineering services to further the proposed SR 434 Streetscape
Project. The total funding request for this project, including design/engineering costs, was
proposed at$485,000.
Approval of the attached agreement will allow city staff to work with VHB (vendor
approved - C.C. Item 300 on 5/12/14)to develop 'shovel ready' plans for the SR 434
Streetscape Project, as detailed in Attachment 'A' to this agenda item, Exhibit 'A' (Scope of
Services). Additionally, staff is working with the U.S. 17-92 CRA Manager to receive
funding approval from the CRA for the construction phase of this project and for the design,
engineering and construction phases of the Florida Avenue/U.S. 17-92 Medians Streetscape
Project. The revised estimated cost for both projects totals about $1.8 million.
CONSIDERATIONS:
City of Winter Springs Resolution 2013-19 provides authorization to submit an application
for funding to the U.S. 17-92 CRA for two separate streetscape projects. As part of this

agenda item, approval is needed to accept a funding agreement for one of the two projects
in the amount of$50,000 to provide for design/engineering costs.
APPROVALS PROCESS
Over the past year, staff has been working closely with the U.S. 17-92 CRA Manager and
the other member cities to navigate through the county's application and review process in
order to obtain approval for the City's entire funding request. However, several changes to
the original project scope have been necessary to meet requirements of Seminole County
and to further enhance U.S. 17-92, including participation in the development of a unified
landscape plan for the entire corridor. These changes have increase the total funding
request for the Winter Springs projects by approximately $600k.
A workshop with the U.S. 17-92 CRA Board to review the Winter Springs projects and
others is scheduled for June 24, 2014 at Seminole County, when staff anticipates receiving
more information on when the remaining funding can be approved.
CRA TIF FUNDING FROM CITIES
As of February 2014, the following contributions to the U.S. 17-92 CRA by member cities
was reported by the U.S. 17-92 CRA Manager:
• Sanford $6,594,630.46
• Seminole $13,796,141.11
• Winter Springs $984,016.27
• Casselberry $84,289.36
• Lake Mary $554,035.56
WINTER SPRINGS PROJECTS
To date, the City of Winter Springs has sponsored one project funded from the U.S. 17-92
CRA Redevelopment Trust Fund, the Shepard Road Streetscape Project, in the amount of
$530,623.58. The Shepard Road project has been very successful improving appearances of
the community while also promoting economic development by attracting Meritage Homes
with their premium housing product named 'Seven Oaks'. It is estimated that homes in
Seven Oaks, once on the tax roll, will generate about $80,000 in ad valorem annual tax
revenues for the City of Winter Springs and about $165,000 for Seminole County.
FISCAL IMPACT:
Approval of the attached agreement in the amount of $50,000 with the U.S. 17-92
Community Redevelopment Agency for reimbursement of design and
engineering costs related to the SR 434 Streetscape Project will have a revenue neutral
effect on the City's budget at this time. However, approval of future funding for
construction of the SR 434 Streetscape Project will have an undetermined positive impact
on revenues as property values in the surrounding area benefit from the project.
COMMUNICATION EFFORTS:
This Agenda Item has been electronically forwarded to the Mayor and City Commission,
City Manager, City Attorney/Staff, and is available on the City's Website, LaserFiche, and

the City's Server. Additionally, portions of this Agenda Item are typed verbatim on the
respective Meeting Agenda which has also been electronically forwarded to the individuals
noted above, and which is also available on the City's Website, LaserFiche, and the City's
Server; has been sent to applicable City Staff, Media/Press Representatives who have
requested Agendas/Agenda Item information, Homeowner's Associations/Representatives
on file with the City, and all individuals who have requested such information. This
information has also been posted outside City Hall, posted inside City Hall with additional
copies available for the General Public, and posted at five (5) different locations around the
City. Furthermore, this information is also available to any individual requestors. City Staff
is always willing to discuss this Agenda Item or any Agenda Item with any interested
individuals.
RECOMMENDATION:
It is recommended that the Commission approve a funding agreement with the U.S. 17-92
Community Redevelopment Agency for $50,000 to reimburse the city for design and
engineering costs related to the SR 434 Streetscape Project. It is also recommended that the
City Commission authorize the City Manager and Attorney to draft, and the Mayor to
execute, any and all necessary documents to carry out the approval(s) granted pursuant
to this agenda item.

THIS AGREEMENT is made and executed this day of , 2014, by
and between the US 17-92 COMMUNITY REDEVELOPMENT AGENCY, whose address is
1101 East Ist Street, Sanford, Florida, 32771 (hereinafter referred to as the "CRA"), and CITY
OF WINTER SPRINGS, whose mailing address is 1126 East State Road 434, Winter Springs,
Florida 32708 (hereinafter referred to as the "CITY"), for the purpose of facilitating CITY's and
CRA's State Road 434 Gateway/Streetscape Project.
WITNESSETH:
WHEREAS, CRA and CITY mutually desire to enter into a cooperative venture to
design a streetscape beautification project along State Road 434 and Florida Avenue in Winter
Springs; and
WHEREAS, CITY will coordinate the design for the State Road 434/Florida Avenue
streetscape beautification project with the CRA; and
WHEREAS, CRA and CITY have each agreed to mutual obligations to make the design
of the State Road 434/Florida Avenue streetscape beautification project a reality, and each agrees
that the covenants of this Agreement represent the most practical, economic, and beneficial
means to accomplish the parties objectives; and
WHEREAS, both parties hereby represent, each to the other, that they are Iegally
empowered to enter into this Agreement and have done all steps necessary and incidental to the
execution of this Agreement; and

WHEREAS, this Agreement is authorized under the provisions of Chapter 163, Florida
Statutes (2013), which authorizes the exercise by Agreement of two (2) or more public agencies
of any power common to them,
NOW THEREFORE, in consideration of the mutual covenants, terms, and conditions
contained herein and for other good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, the parties hereby agree as follows:
Section 1. Recitals. The recitals set forth above are true and correct and form a material
part of this Agreement upon which the parties have relied and are hereby incorporated herein by
reference.
Section 2. Purpose. The purpose of this Agreement is to set forth the terms and
conditions associated with parties'joint responsibilities for completion of the design/engineering
phase of the State Road 434/Florida Avenue streetscape beautification Project ("the Project").
Section 3. Term. The initial term of this Agreement begins upon execution of this
Agreement by the parties and remains in effect for a period of one (1) year or until terminated by
either party after first giving thirty(30) days written notice.
Section 4. CITY's Responsibilities. CITY is responsible for:
(a) Managing and hiring all consultants, engineers and design professionals involved
in the Project.
(b) Ensuring specification of Florida Friendly plant materials within the design.
(c) Paying any and all design/engineering cost overruns beyond FIFTY THOUSAND
AND NO/100 DOLLARS ($50,000.00).
(d) Coordinating the design for the State Road 434/Florida Avenue streetscape with
the CRA.

Section 5. CRA's Responsibilities.
(a) CRA shall reimburse CITY for the design/engineering work as outlined in Exhibit
A. Payment will not exceed FIFTY THOUSAND AND NO/100 DOLLARS ($50,000.00).
(b) Final reimbursement will be released when the Project is deemed completed by
CRA. CITY shall submit all receipts or lien releases, if required, for all work completed when
seeking final reimbursement.
Section 6. Notices.
(a) Whenever either party desires to give notice unto the other, it must be given by
written notice, sent by certified United States mail, return receipt requested, addressed to the
party for whom it is intended at the place last specified. The place for giving of notice will
remain such until it is changed by written notice in compliance with the provisions of this
Section. For the present, the parties designate the following as the respective places for giving of
notice, to wit:

(b) The parties may effect changes or substitution to the names and addresses of the
contact persons, addressee or both by written notice to the other party, which notice may also be
sent via facsimile transmission or electronic transmission, provided that a record of such
communications is maintained by both parties.
Section 7. Termination. Anything else in this Agreement to the contrary
notwithstanding, this Agreement may be terminated by either party upon giving thirty (30) days
written notice to the other party.
Section 8. Insurance Requirements. Each party shall maintain adequate insurance
coverage to protect its own interests and obligations under this Agreement.
Section 9. Indemnification.
(a) Each party to this Agreement is responsible for all personal injury and property
damage attributable to the negligent acts or omissions arising out of this Agreement of that party
and the officers, employees, and agents thereof
(b) The parties further agree that nothing contained herein may be construed or
interpreted as denying to any party any remedy or defense available to such parties under the
laws of the State of Florida, nor as a waiver of sovereign immunity of CRA and CITY beyond
the waiver provided for in Section 768.28, Florida Statutes (2013), as this statute may be
amended from time to time.
(c) The waiver of a provision herein by either party will not constitute the further
waiver of said provision or the waiver of any other provision.
Section 10. Independent Contractors. It is agreed that nothing herein contained is
intended or should be construed as in any manner creating or establishing a relationship of
copartners between the parties, or as constituting CITY, including its officers, employees, and

agents, the agent, representative, or employee of CRA for any purpose, or in any manner,
whatsoever. The parties are to be and shall remain independent contractors with respect to all
services performed under this Agreement.
Section 11. Disclaimer of Third Party Beneficiaries. This Agreement is solely for the
benefit of the formal parties hereto and no right or cause of action will accrue under or by reason
hereof to or for the benefit of any third party not a formal party hereto.
Section 12. Equal Opportunity Employment. The parties agree that they shall not
discriminate against any employee or applicant for employment under this Agreement because of
race, color, religion, sex, age, national origin, or disability and shall take steps to ensure that
applicants are employed, and employees are treated during employment, without regard to race,
color, religion, sex, age, national origin, or disability. This provision includes, but is not limited
to, the following: employment, upgrading, demotion, or transfer; recruitment advertising; Iayoff
or termination; rates of pay or other forms of compensation; and selection for training, including
apprenticeship.
Section 13. Governing Law. This Agreement is governed by and construed in
accordance with the laws of the State of Florida and the parties consent to venue in the Circuit
Court in and for Seminole County, Florida as to state actions and the United States District Court
for the Middle District of Florida as to federal actions.
Section 14. Force Majeure. In the event any party hereunder fails to satisfy in a timely
manner any requirements imposed by this Agreement due to a hurricane, flood, tornado, or other
act of God or force majeure, then this party will not be in default of this Agreement, provided
that the party recommences performance when the event has ceased its effect.

Section 15. Modifications, Amendments or Alterations. No modification,
amendment, or alteration in the terms or conditions contained herein will be effective unless
contained in a written document executed with the same formality and of equal dignity herewith.
Section 16. Severability. If any part of this Agreement is found invalid or
unenforceable by any court, such invalidity or unenforceability will not affect the other parts of
this Agreement if the rights and obligations of the parties contained herein are not materially
prejudiced and if the intentions of the parties can continue to be affected. To that end, this
Agreement is declared severable.
Section 17. Binding Effect. This Agreement is binding upon and inures to the benefit of
the parties hereto and the successors in interest, transferees, and designees of the parties.
Section 18. Public Records. Each party shall allow public access to all documents,
papers, letters, or other materials which have been made or received in conjunction with this
Agreement in accordance with Chapter 119, Florida Statutes (2013), as this statute may be
amended from time to time.
Section 19. Records and Audits. The parties agree to maintain all books, documents,
papers, accounting records, and other evidences pertaining to work performed under this
Agreement in such a manner as will readily conform to the terms of this Agreement and to make
such materials available at all reasonable times during the Agreement period and for five (5)
years from the date of final payment under the contract for audit or inspection.
Section 20. Conflicts of Interest.
(a) The parties agree that they shall not engage in any action that would create a
conflict of interest in the performance of their obligations pursuant to this Agreement or which

would violate or cause others to violate the provisions of Part III, Chapter 112, Florida Statutes
(2013), as this statute may be amended from time to time, relating to ethics in government.
(b) The parties hereby certify that no officer, agent or employee has any material
interest (as defined in Section 112.312(15), Florida Statutes (2013), as this statute may be
amended from time to time, as over 5 percent), either directly or indirectly, in the business of the
party to be conducted hereunder; that no such person may have any such interest at any time
during the term of this Agreement; and that no person may use any monies derived under this
Agreement for Iobbying the legislature in contravention of Section 216.347, Florida Statutes
(2013), as this statute may be amended from time to time. The occurrence of an event of ethics
violation as envisioned herein will be grounds for unilateral termination of this Agreement by the
non-offending party.
Section 21. Compliance with Laws and Regulations. In performing under this
Agreement, the parties shall abide by all statutes, ordinances, rules, and regulations pertaining to
or regulating the acts contemplated to be performed herein, including those now in effect and
hereafter adopted. Any material violation of these statutes, ordinances, rules, or regulations will
constitute a material breach of this Agreement and entitle the non-violating party to terminate
this Agreement immediately upon delivery of written notice of termination to the violating party.
Section 22. Dispute Resolution. CRA and CITY agree to follow and comply with any
dispute resolution agreement between the parties and the provisions of Chapter 164, Florida
Statutes (2013), as this statute may be amended from time to time, for any dispute arising from
or relating to this Agreement.
Section 23. Construction of Agreement. This Agreement may not be construed more
strictly against one party than against the other merely by virtue of the fact that it may have been

prepared by counsel for one of the parties, it being recognized that each of the parties have
contributed substantially and materially to the preparation hereof.
Section 24. Headings. All sections and descriptive headings in this Agreement are
inserted for convenience only and do not affect the construction or interpretation hereof.
Section 25. Entire Agreement. This Agreement states the entire understanding between
the parties and supersedes any written or oral representations, statements, negotiations, or
agreements to the contrary. This Agreement binds the parties, their assigns, and successors in
interest.
Section 26. Exhibits. Exhibits to this Agreement, if any, are deemed to be incorporated
into this Agreement as if fully set forth verbatim into the body of this Agreement.
,Section 27. Counterparts. This Agreement may be executed in any number of
counterparts each of which, when executed and delivered, shall be an original, but all
counterparts shall together constitute one and the same instrument.

Exhibit `A' — Scope of Services
City of Winter Springs, SR 434 Streetscape Project
DESCRIPTION OF WORK
The City of Winter Springs will develop construction plans for improvements to SR 434 as follows:
• SR 434—US 17-92 to Talmo Street
Improvements along SR 434 include decorative sidewalk replacement, decorative lighting, landscape
elements, streetscape elements (vertical entry features and decorative crosswalks), ADA compliant curb
ramps, irrigation, wayfinding, signing,markings, and public involvement.
The following tasks have been identified in order to complete final construction plans for this project. It is
anticipated that the project will include four(4) submissions as follows:
• Concept Plans
• 60%Plans
• 100%Plans
• Final Plans
A public meeting will be held upon approval of the concept plans by the City.
TASK I - PROJECT ADMINISTRATION
1.1 Design Review Meetings/Schedule
A concurrent design/review format will be used as a means of reducing design work stoppage during
formal design reviews. This concurrent design/review format will consist of, at a minimum, monthly
design progress review meetings between the project design team, other governmental authorities and
the City of Winter Springs. Comments received during the design/review meetings shall be immediately
incorporated during the design process. This process will keep the project moving and avoid loss of
design time awaiting receipt of formal review comments.
A schedule outlining the critical path will be provided to the CRA Manager by the City within twenty
(20) days of project start.
TASK 2 - DATA COLLECTION
2.1 Review of Available Data and Plans
Previously accumulated data and records will be researched and reviewed. It is anticipated that the
following material will be obtained:
• Available Construction Records;
• Existing Utility Location Plans;
• Existing GIS Data(utility, storm, contours, etc).

2.2 Design Survey
The City will engage consultant(s)to conduct a topographic survey, right-of-way mapping, and to locate
existing utilities for the limits of work as outlined in the Description of Work. The following will be
provided:
• Locate improvements and utilities, as marked by utility owners or their representatives within
the right-of-way and 15' beyond
• Obtain spot elevations on natural ground within the right-of-way and 15' beyond suitable for
interpolation of one foot contours to be shown on the final drawing.
• Measure inverts and pipe sizes for all storm and structures.
• Establish the right of way lines for US 17-92, Duke Energy Easement and SR 434.
• Perform underground utility designation and subsurface utility verification select locations
(test holes).
2.3 On-Site Review
City's consultant will conduct an on-site field review of the project area to determine and observe
roadway widths, vertical alignment, roadside clearance, note roadway appurtenances, pavement
condition, intersection operations, etc. and use this information to assist in the development of the
design.
City's consultant will also review the design survey against existing field conditions. As part of the on-
site review, City's consultant will work to identify trees along the corridor that should not be impacted
where possible.
TASK 3 - TRAFFIC ENGINEERING
City's consultant will perform the traffic engineering services.
3.2 Traffic Signal Modifications—SR 434
The traffic signal pedestrian features will be designed to be in compliance with FDOT District 5 ADA
guidelines and the new curb ramp configurations for the northeast and southeast quadrants. The plans
will reflect the location of pedestrian push button detectors, signal heads, and signage.
TASK 4 - ROADWAY DESIGN
4.1 Analysis
City's consultant will outline the design elements for the project using City, FDOT, and AASHTO
design criteria as a basis for the design.
City's consultant shall design the project using the applicable design standards (identified above) that
are most appropriate. The design elements shall include the horizontal and vertical alignments, lane
widths, shoulder widths, cross slopes, borders, sight distance, side slopes and ditches, lane transitions,
superelevation, features of intersections, and access points.

City's consultant will identify property impacts along the corridor resulting from the roadway
improvements such as minor grading impacts and encroachments. There is no intent to acquire property,
however, City's consultant will work to minimize such impacts and assist in obtaining right-of-entry
agreements, if required. These elements and decisions will be made during the concept phase of the
project.
4.2 Construction Plans
City's consultant will complete one set of construction plans and specifications for the streetscape
project. The plans will be prepared in accordance with the City and FDOT Greenbook standards,
policies, and procedures. City's consultant shall prepare the applicable final plan sheets, notes, and
details to include the following:

TASK 5 - ROADWAY LIGHTING
5.1 Communication with Duke Energy
The roadway lighting will be designed and installed by Duke Energy. City's consultant will work with
Duke Energy to incorporate the design and required plans into the documents. This will include
finalizing the locations of the fixtures with respect to the context of the streetscape design.
TASK 6 - LANDSCAPE AND HARDSCAPE DESIGN AESTHETICS
6.1 Preliminary Landscape/Streetscape Design Phase
The City's Consultant will complete the preliminary landscape design for SR 434 Streetscape. The
following will be completed within the preliminary design phase:
6.1.1 Field Visit and Kick-Off Meeting
City's consultant will begin by visiting the site and attending a project kick-off meeting to discuss
desired landscape program, budget, and maintenance and operation issues in order to determine a
clear direction for the project goals and objectives. During this meeting, City's consultant will
review and photo document the existing site conditions and surrounding context which will establish
a framework for the development and design of the proposed landscape and hardscape
improvements.
6.1.2 Preliminary Concept Design Options
The landscape design will include the development of site-specific plan analyses, alternatives, and
overall landscape concepts for street tree plantings and detail development of any vertical entry
features for the project area. Vertical entry features for the project will have alternative locations
based on available right-of-way and coordination with FDOT.
Based on the initial site investigation, City's consultant will prepare two (2) preliminary
landscape/streetscape and vertical entry feature concept design options for the SR 434 project. The
preliminary design options will indicate the initial layout of proposed plantings and structures with
consideration given to existing vegetation and surrounding edge conditions.
6.1.3 Final Concept Plan
Based on the City's feedback, City's consultant will refine the selected design options and prepare a
final landscape/streetscape concept plan. The final plan will be integrated with the street and walk
cross sections, stormwater, and existing utilities. As part of the final concept plan City's consultant
will provide a recommended plant palette and comparable images as appropriate. City's consultant
will update the estimate of probable costs for landscape elements.

6.2 Final Landscape Architectural Construction Plans
Based on the approval of the Final Roadway Improvement Plans and City authorization, City's
consultant will prepare landscape construction plans that incorporate the City's comments.
6.2.1 Landscape Planting Plans
City's consultant will prepare final planting plans for construction that will show the location of
proposed trees, shrubs and ground cover and will include a plant list indicating the botanical and

City's consultant will prepare the required technical specifications for the final planting plans, to
include applicable plant schedule, planting details and staking criteria, soil testing requirements,
minimum soil amendment criteria, and appropriate warranty periods. Technical specifications and
notes will be included on the drawings and not separate specifications booklet.
6.2.2 Landscape Irrigation Plans
City's consultant will prepare landscape irrigation construction plans for limited planting areas to
conserve water and accommodate the future growth patterns of the selected plant materials,
meeting the applicable technical standards of the City. The plans will indicate the irrigation system
point of connection (as provided by the project engineer); location of control panel; locations and
sizes of pipes, valves, heads, and sleeves in sufficient detail to define the requirements for
construction. City's consultant will prepare the required technical specifications for the irrigation
construction plans, to include applicable installation details and warranty periods. Technical
specifications and notes will be included on plans and not separate specifications booklet.
6.2.3 Vertical Entry Feature Construction Plans
City's consultant will prepare the necessary vertical entry feature constructions plans and details for
the following:
• Grading and Layout Plans for structures and associated landscape.
• Construction Details for structures, specialty paving areas, pedestrian sidewalk treatments, bus
shelter and associated hardscape furnishings illustrating dimensions, materials, finishes, and
structural reinforcing.
TASK 7 - PUBLIC INVOLVEMENT
City's consultant will prepare the exhibits, flyers, and mailings for the public meeting to be held. The
City will be responsible for mailing any required information to the public.
7.1 Public Meeting
City's consultant will prepare for and attend one (1) public informational meeting for both projects.
The forum will consist of a short presentation outlining the project limits, discuss existing
conditions/deficiencies, identify project goals, solicit input, and present the proposed improvements.
Exhibits will be prepared by City's consultant which will include an existing conditions map and
proposed improvements.

7.2 Presentation to Commissioners
City's consultant shall prepare for and support City staff in presenting the projects to the City
Commission and/or the Community Redevelopment Agency (CRA) to inform them of the proposed
improvement,project status, and estimated construction costs.
7.3 Public Agency Communication
In addition to the above, contact will be made with the following agencies/offices to obtain their input
relative to this project regarding existing concerns,proposed development, and/or land use changes:
• Local Officials
• School District
• Chief of Fire Department
• Chief of Police Department
• CRA
TASK 8 - BID PACKAGE AND COST ESTIMATE
8.1 Bid Package
City's consultant will prepare the required technical specifications associated with the improvements.
The improvements will be designed in accordance with City of Winter Springs and FDOT design
standards. City's consultant will assemble the required technical specifications and bid form to be
incorporated into the bid package. The City will be responsible for the general conditions and
assembling the bid package for advertising. The following will be included in the bid package:
• Identify pay items and work categories for specifications
• Download and review FDOT specifications for appropriate work efforts
• Bid documents will include links to the FDOT and City website for appropriate specifications.
• Technical special provisions, of required,will be included in the bid document.
8.2 Estimate of Probable Construction Costs
Based on the final construction plans, City's consultant will develop quantities and prepare an
Engineer's Estimate of the probable construction costs for the project. Unit costs will be based on
current FDOT average unit bid prices.
