HomeMy WebLinkAboutTodd Persons Communications Consultants, LLC - Fifth Addendum FIFTH ADDENDUM TO PUBLIC RELATIONS AND MEDIA CONSULTING AGREEMENT THIS FIFTH ADDENDUM TO PUBLIC RELATIONS AND MEDIA CONSULTING AGREEMENT ("Addendum"), is approved this P-1'4 day of ,//st c , 2014 between the CITY OF WINTER SPRINGS ("City"), a Florida municipal corporation, whose address is 1126 East S.R. 434, Winter Springs, FL 32708, and TODD PERSONS COMMUNICATIONS CONSULTANTS, LLC ("Consultant"), a Florida limited liability company whose address is 1030 North Orange Avenue, Orlando, FL 32801. WHEREAS, the City and Consultant entered into that Public Relations and Media Consulting Agreement dated August 9, 2011 ("Agreement") for the provision of public relations and marketing services; and WHEREAS, Section III of the Agreement authorizes the City and Consultant to mutually agree in writing to extend the term of the Agreement for additional six-month terms; and NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein,the parties mutually agree as follows: Section 1. Recitals. The foregoing recitals are true and correct and are hereby incorporated herein by this reference and deemed a material part of this Addendum. Section 2. Extension of Term. The City and Consultant hereby agree to extend the term of the Agreement for an additional six (6) months commencing on February 9, 2014 and terminating on August 8, 2014. Section 3. Other Terms and Conditions. Any term or condition of the Agreement not expressly modified by this Addendum shall remain in full force and effect.
