REQUEST:
The Utility Department requesting authorization to enter into a contract agreement with
COMANCO Environmental Corporation of Plant City, Florida for the Repair of the
East Water Reclamation Facility (EWRF) Reject Pond Liner at a cost of $97,915.00 plus a
10% contingency.
SYNOPSIS:
The reject pond liner at the EWRF is in need of repair and COMANCO Environmental
Corporation submitted the lowest cost proposal to perform the work at a cost of
$97,915.00. Work is scheduled to commence in January 2014.
CONSIDERATIONS:
This work is needed to repair tears in the pond liner and stabilize berm erosion at the East
Water Reclamation Facility reject pond. The reject pond holds treated wastewater that has
not met rigid final effluent standards and needs to be retreated.
CPH engineers, Inc. solicited proposals from six firms qualified to perform this type of
work and three submitted proposals. The cost breakdown of the proposals is included in the
attached recommendation letter from CPH.
COMANCO Environmental Corporation submitted the lowest cost proposal to perform the
work at a cost of $97,915.00. Terry Zaudtke, P.E. of CPH Engineers, Inc. has reviewed the
proposals and provided a recommendation letter for COMANCO which is attached. A 10%
contingency is recommended to address any additional unforeseen issues that are
discovered when the pond is drained.

COMANCO is anticipated to start work in January 2014 with a 90 day completion period.
FISCAL IMPACT:
The project cost is $97,915.00 plus a 10% contingency for a total authorization of
$107,706.50. The budgeted funding sources are the Utility Enterprise Fund (line code 3600-
62100).
COMMUNICATION EFFORTS:
This Agenda Item has been electronically forwarded to the Mayor and City Commission,
City Manager, City Attorney/Staff, and is available on the City’s Website, LaserFiche, and
the City’s Server. Additionally, portions of this Agenda Item are typed verbatim on the
respective Meeting Agenda which has also been electronically forwarded to the individuals
noted above, and which is also available on the City’s Website, LaserFiche, and the City’s
Server; has been sent to applicable City Staff, Media/Press Representatives who have
requested Agendas/Agenda Item information, Homeowner’s Associations/Representatives
on file with the City, and all individuals who have requested such information. This
information has also been posted outside City Hall, posted inside City Hall with additional
copies available for the General Public, and posted at five (5) different locations around the
City. Furthermore, this information is also available to any individual requestors. City Staff
is always willing to discuss this Agenda Item or any Agenda Item with any interested
individuals.
RECOMMENDATION:
Staff recommends that the City Commission authorize entering into a contract agreement
with COMANCO Environmental Corporation of Plant City, Florida for the Repair of the
East Water Reclamation Facility (EWRF) Reject Pond Liner at a cost of $97,915.00 plus a
10% contingency payable from the Utility Enterprise Fund (line code 3600-62100) and
authorize the City Manager and City Attorney to prepare and execute any and all applicable
documents.

THISAGREEMENTMADETHISDAYOF,2013 betweenthe CITY
OFWINTERSPRINGS,aFloridamunicipalcorporation(hereinreferredtoasOWNER)andCOMANCO
EnvironmentalCorporationauthorizedanddulylicensedtodobusinessintheStateofFlorida(hereinreferred
toasCONTRACTOR),asfollows:
1.DESCRIPTIONOFWORK CONTRACTORshallperformthework,inaccordancewiththeContract
DocumentsfortheconstructionoftheEASTWRFPondLinerRepair.
2.CONTRACTDOCUMENTS TheContractDocumentsconsistofthisAgreement;allTechnical,General
andSupplementaryConditions;SitePlansheetC1byCPHEngineers,Inc.dated6/14/2013,all
AddendaissuedpriortoandallChangeOrdersissuedafterexecutionofthisAgreement.Theseform
theContractandareincorporatedintothisContractbythisreference.
3.ORDEROFPRECEDENCE Incaseofanyinconsistencyinanyofthedocumentsbearingonthe
AgreementbetweentheOWNERandtheCONTRACTOR,theinconsistencyshallberesolvedbygiving
precedenceinthefollowingorder:
a.Contractor'sBid(Proposal),Agreement,andAddenda
b.ChangeOrders
c.SpecialConditions
d.GeneralConditions
AnyinconsistencyintheworkdescriptionshallbeclarifiedbytheOWNERandperformedbythe
CONTRACTOR.
4.AGREEMENTINTERPRETATION Atitsdiscretion,duringthecourseofthework,shouldanyerrors,
ambiguities,ordiscrepanciesbefoundintheAgreementorspecifications,theOWNERatitssole
discretionwillinterprettheintentoftheAgreementandworkdescriptionsandtheCONTRACTOR
herebyagreestoabidebythehb9wƭinterpretationandagreestocarryouttheworkin
accordancewiththedecisionoftheOWNER.Whenthematerial,article,orequipmentisdesignated
byabrandnameandmorethanonebrandnameislisted,itwillbeunderstoodthattheworkisbased
ononebrandnameonly.TheCONTRACTORwillberesponsibleforallcoordinationnecessaryto
accommodatethematerial,article,orequipmentbeingprovidedwithoutadditionalcosttothe
OWNER.Asubstitutematerial,article,orequipmentisallowedifitisreasonablyequivalenttothe
brandnamespecified.TheOWNERhasfulldiscretiontodecidewhetherasubstituteisreasonably
equivalent.CONTRACTORmustnotifytheOWNERpriortouseofthesubstituteforaspecifiedbrand
nameandallowtheOWNERtomakeadeterminationbeforeCONTRACTORusesthesubstitute.

5.CONTRACTTIME TheCONTRACTORshallbeginworkwithin 10 daysaftertheissuanceofawritten
NoticetoProceedandshallsubstantiallycompletetheworkwithin 90 calendardaysfromthedateof
theNoticetoProceed.
6.LIQUIDATEDDAMAGES OWNERandCONTRACTORrecognizethattimeisoftheessenceofthis
AgreementandthatOWNERwillsufferfinanciallossiftheWorkisnotsubstantiallycompletewithin
thetimespecifiedinParagraph5above,plusanyextensionsthereofallowedinaccordancewiththe
GeneralConditions.Theyalsorecognizethedelays,expense,anddifficultiesinvolvedinprovingina
legalorarbitrationprecedingtheactuallosssufferedbyOWNERiftheWorkisnotsubstantially
completeontime.Accordingly,insteadofrequiringanysuchproof,OWNERandCONTRACTORagree
thatasliquidateddamagesfordelay(butnotasapenalty)CONTRACTORshallpayOWNER$500.00
foreachdaythatexpiresafterthetimespecifiedinParagraph5forsubstantialcompletionuntilthe
workisfinallycomplete,andthatOWNERhaspaidtoCONTRACTORtheconsiderationofTen($10.00)
Dollarsasconsiderationforthisprovision.
7.CONTRACTPRICE,UNITPRICECONTRACT TheOWNERwillpaytheCONTRACTORincurrentfunds
fortheperformanceofthework,subjecttoadditionsanddeductionsbyChangeOrder,theTotal
ContractPriceof$97,915.00(NinetySevenThousandNineHundredFifteenDollarsandZeroCents.
PaymentswillbemadetotheCONTRACTORforactualquantitiesinstalledonthebasisofthe
ScheduleofUnitPricesincludedasapartoftheBid,whichshallbeasfullyapartoftheContractasif
attachedorrepeatedherein.
8.TERMINATION;DEFAULTBYCONTRACTORANDhb9w{REMEDIES TheOWNERreservestheright
torevokeandterminatethisAgreementandrescindallrightsandprivilegesassociatedwiththis
Agreement,withoutpenalty,inthefollowingcircumstances,eachofwhichshallrepresentadefault
andbreachofthisAgreement:
a.CONTRACTORdefaultsintheperformanceofanymaterialcovenantorconditionofthis
Agreementanddoesnotcuresuchotherdefaultwithinseven(7)calendardaysafterwritten
noticefromtheOWNERspecifyingthedefaultcomplainedof,unless,however,thenatureofthe
defaultissuchthatitcannot,intheexerciseofreasonablediligence,beremediedwithinseven(7)
calendardays,inwhichcasetheCONTRACTORshallhavesuchtimeasisreasonablynecessaryto
remedythedefault,providedtheCONTRACTORpromptlytakesanddiligentlypursuessuch
actionsasarenecessarytherefore;or
b.CONTRACTORisadjudicatedbankruptormakesanyassignmentforthebenefitofcreditors
orCONTRACTORbecomesinsolvent,orisunableorunwillingtopayitsdebts;or
c.CONTRACTORhasactednegligently,asdefinedbygeneralandapplicablelaw,inperforming
theWorkhereunder;or
d.CONTRACTORhascommittedanyactoffraudupontheOWNER;or
e.CONTRACTORhasmadeamaterialmisrepresentationoffacttotheOWNERwhile
performingitsobligationsunderthisAgreement;or

f.CONTRACTORisexperiencingalabordispute,whichthreatenstohaveasubstantial,adverse
impactuponperformanceofthisAgreementwithoutprejudicetoanyotherright,orremedy
OWNERmayhaveunderthisAgreement.
Notwithstandingtheaforementioned,intheeventofadefaultbyCONTRACTOR,theOWNERshall
havetherighttoexerciseanyotherremedytheOWNERmayhavebyoperationoflaw,without
limitation,andwithoutanyfurtherdemandornotice.Intheeventofsuchtermination,OWNERshall
beliableonlyforthepaymentofallunpaidcharges,determinedinaccordancewiththeprovisionsof
thisAgreement,forWorkproperlyperformedpriortotheeffectivedateoftermination.
9.FORCEMAJEURE Anydelayorfailureofeitherpartyintheperformanceofitsrequiredobligations
hereundershallbeexcusedifandtotheextentcausedbyactsofGod;fire;flood;windstorm;
explosion;riot;war;sabotage;strikes(exceptinvolvingCONTRACTOR'slaborforce);extraordinary
breakdownofordamagetoOWNER'saffiliates'generatingplants,theirequipment,orfacilities;court
injunctionororder;federaland/orstatelaworregulation;orderbyanyregulatoryagency;orcauseor
causesbeyondthereasonablecontrolofthepartyaffected;providedthatpromptnoticeofsuch
delayisgivenbysuchpartytotheotherandeachofthepartieshereuntoshallbediligentin
attemptingtoremovesuchcauseorcauses.IfanycircumstanceofForceMajeureremainsineffect
forsixtydays,eitherpartymayterminatethisAgreement.
10.SEVERABILITY IntheeventanyportionorpartthereofofthisAgreementisdeemedinvalid,against
publicpolicy,void,orotherwiseunenforceablebyacourtoflaw,theparties,atthesolediscretion
andoptionoftheOWNER,shallnegotiateanequitableadjustmentintheaffectedprovisionofthis
Agreement.ThevalidityandenforceabilityoftheremainingpartsofthisAgreementshallotherwise
befullyenforceable
11.PROGRESSPAYMENTS OWNERshallmakeprogresspaymentsonaccountofthecontractpriceto
CONTRACTOR,onthebasisofapplicationforpaymentssubmittedtotheOWNERorhb9wƭProject
Manager,byCONTRACTORastheworkprogresses,andinaccordancewiththeContractDocuments.
Progresspaymentsmaybewithheldif:
a.Workisfounddefectiveandnotremedied;
b.Contractordoesnotmakepromptandproperpaymentstosubcontractors;
c.Contractordoesnotmakepromptandproperpaymentsforlabor,materials,orequipment
furnishedhim;
d.AnotherContractorisdamagedbyanactforwhichContractorisresponsible;
e.Claimsorliensarefiledonthejob;or
f.IntheopinionoftheCityofWinterSprings,Contractor'sworkisnotprogressingsatisfactorily.
12.FINALPAYMENT OWNERshallwithholdupto10%oftheContractPriceuntil50%completion.After
50%completion,OWNERshallreduceto5%theamountofretainagewithheldfromeachsubsequent
progresspaymentmadetotheContractor.Forpurposesofthissection,theterm"50percent

completion"shallbethepointatwhichtheOWNERhasexpended50%ofthetotalcostofthe
constructionservicespurchasedasidentifiedintheAgreementtogetherwithallcostsassociatedwith
existingchangeordersandotheradditionsormodificationstotheAgreement.After50%completion,
theContractormaypresenttotheOWNERapaymentrequestforuptoonehalfoftheretainageheld
bytheOWNER.OWNERshallpromptlymakepaymenttotheContractor,unlessOWNERhasgrounds
forwithholdingthepaymentofretainage.
OWNERshallmakefinalpaymenttoCONTRACTORwithinthirty(30)daysaftertheworkisfullyand
properlycompleted,ifthecontracthasbeenfullyandtimelyperformed,butsubjecttothecondition
thatfinalpaymentshallnotbedueuntilCONTRACTORhasdeliveredtoOWNERacompletereleaseof
liensarisingoutthecontract,orreceiptreleasesoflienfullycoveringalllabor,materialsand
equipmentforwhichaliencouldbefiled,orinthealternativeabondsatisfactorytoOWNER
indemnifyinghimagainstsuchclaims.
BymakingpaymentsOWNERdoesnotwaiveclaimsincludingbutnotlimitedtothoserelatingto:
a.Faultyworkappearingaftersubstantialcompletionhasbeengranted;
b.WorkthatdoesnotcomplywiththeContractDocuments:
c.Outstandingclaimsofliens;or
d.FailureofContractortocomplywithanyspecialguaranteesrequiredbytheContract
Documents.
13.DESIGNATIONOFPROJECTMANAGERORARCHITECTORLANDSCAPEARCHITECT:DUTIESAND
AUTHORITY ThedutiesandauthorityoftheOWNERareasfollows:
a.GeneralAdministrationofContract.TheprimaryfunctionoftheOWNERistoprovidethe
generaladministrationofthecontract.Inperformanceoftheseduties,BrianFields,P.E.,orhis
authorizedrepresentativeisthehb9wƭProjectManagerduringtheentireperiodof
construction.TheOWNER(CITY)maychangetheProjectManagerduringthetermofthis
contract.
b.Inspections,Opinions,andProgressReports.TheOWNERshallbekeptfamiliarwiththe
progressandqualityoftheworkbyCONTRACTORandmaymakeperiodicvisitstotheworksite.
TheOWNERwillnotberesponsibleforthemeansofconstruction,orforthesequences,
methods,andproceduresusedtherein,orfortheCONTRACTOR'sfailuretoperformtheworkin
accordancewiththeContractDocuments.
c.AccesstoWorksiteforInspections.TheOWNERshallbegivenfreeaccesstotheworksiteat
alltimesduringworkpreparationandprogress.TheProjectManagerisnotobligatedtomake
exhaustiveorcontinuousonsiteinspectionstoperformhisdutiesofcheckingandreportingon
workprogress,andanysuchinspectionsshallnotwaiveOwner'sclaimregardingdefectivework
byContractor.

d.InterpretationofContractDocuments:DecisionsonDisputes.TheOWNERwillbetheinitial
interpreterofthecontractdocumentrequirements,andmakedecisionsonclaimsanddisputes
betweenCONTRACTORandOWNER.
e.RejectionandStoppageofWork.TheOWNERshallhaveauthoritytorejectworkwhichin
itsopiniondoesnotconformtotheContractDocuments,andinthisconnectionmaystopthe
workoraportionthereof,whennecessary.
f.PaymentCertificates.TheOWNERwilldeterminetheamountsowingtoCONTRACTORas
theworkprogresses,basedonCONTRACTOR'sapplicationsandOWNER'sinspectionsand
observations,andwillissuecertificatesforprogresspaymentsandfinalpaymentsinaccordance
withthetermsoftheContractDocuments.
14.PROGRESSMEETINGΑ hb9w{ProjectManagermayholdperiodicprogressmeetingsonamonthly
basis,ormorefrequentlyifrequiredbytheOWNER,duringthetermofworkenteredintounderthis
Agreement.CONTRACTOR'sProjectManagerandallotherappropriatepersonnelshallattendsuch
meetingsasdesignatedbythehb9w{ProjectManager.
15.RESPONSIBILITIESOFCONTRACTOR CONTRACTOR'sdutiesandrightsinconnectionwiththeproject
hereinareasfollows:
a.ResponsibilityforSupervisionandConstruction.CONTRACTORshallbesolelyresponsible
forallconstructionunderthiscontract,includingthetechniques,sequences,proceduresand
means,forthecoordinationofallwork.CONTRACTORshallsuperviseanddirectthework,and
giveitallattentionnecessaryforsuchpropersupervisionanddirection.
b.DisciplineandEmployment.CONTRACTORshallmaintainatalltimesstrictdisciplineamong
hisemployees,andheagreesnottoemployforworkontheprojectanypersonunfitorwithout
sufficientskilltoperformthejobforwhichhewasemployed.
c.FurnishingofLabor,Materials,etc.CONTRACTORshallprovideandpayforalllabor,
materialsandequipment,includingtools,constructionequipmentandmachinery,utilities,
includingwater,transportation,andallotherfacilitiesandworknecessaryfortheproper
completionofworkontheprojectinaccordancewiththeContractDocuments.
d.PaymentofTaxes:ProcurementofLicensesandPermits.CONTRACTORshallsecureall
licensesandpermitsnecessaryforpropercompletionofthework,payingthefeesthereof.
CONTRACTORwarrantsthatit(andsubcontractorsortradesmen,ifauthorizedintheContract
Documents)holdorwillsecurealltradeorprofessionallicensesrequiredbylawforCONTRACTOR
toundertakethecontractwork.
e.CONTRACTORwillprovidewrittenguaranteeforworkandmaterialsforone(1)calendaryear
afteracceptancebyOWNER.
16.ASSIGNMENT CONTRACTORshallnotassignorsubcontractthisAgreement,oranyrightsorany
moniesdueortobecomeduehereunderwithouttheprior,writtenconsentoftheOWNER.

a.IfuponreceivingwrittenapprovalfromOWNER,anypartofthisAgreementissubcontracted
byCONTRACTOR,CONTRACTORshallbefullyresponsibletoOWNERforallactsand/or
omissionsperformedbythesubcontractorasifnosubcontracthadbeenmade.
b.IfOWNERdeterminesthatanysubcontractorisnotperforminginaccordancewiththis
Agreement,OWNERshallsonotifyCONTRACTORwhoshalltakeimmediatestepstoremedy
thesituation.
c.IfCONTRACTOR,priortothecommencementofanyWorksubcontractsanypartofthis
Agreementbythesubcontractor,CONTRACTORshallrequirethesubcontractortoprovide
OWNERanditsaffiliateswithinsurancecoverageassetforthbytheOWNER.
17.THIRDPARTYRIGHTS NothinginthisAgreementshallbeconstruedtogiveanyrightsorbenefitsto
anyoneotherthanOWNERandCONTRACTOR.
18.PROHIBITIONAGAINSTCONTINGENTFEES CONTRACTORwarrantsthatithasnotemployedor
retainedanycompanyorperson,otherthanabonafideemployeeworkingsolelyforthe
CONTRACTOR,tosolicitorsecurethisAgreement,andthatithasnotpaidoragreedtopayany
person,company,corporation,individual,orfirm,otherthanabonafideemployeeworkingsolelyfor
theCONTRACTOR,anyfee,commission,percentage,gift,orotherconsiderationcontingentuponor
resultingfromtheawardormakingofthisAgreement.
19.NOJOINTVENTURE Nothinghereinshallbedeemedtocreateajointventureorprincipalagent
relationshipbetweenthepartiesandneitherpartyisauthorizedto,norshalleitherpartyacttoward
thirdpersonsorthepublicinanymannerwhichwouldindicateanysuchrelationshipwiththeother
party.
20.INDEMNIFICATIONΑ CONTRACTORshallindemnifyandholdharmlesstheCity,itsofficers,
employees,andcityattorneys(individuallyandintheirofficialcapacity,fromliability,losses,damages,
andcosts,including,butnotlimitedto,reasonableğƷƷƚƩƓĻǤƭfees,totheextentcausedbythe
negligence,recklessnessorintentionalwrongfulmisconductofCONTRACTORandpersonsemployed
orutilizedbyCONTRACTORintheperformanceofthisAgreement.
TheindemnificationprovidedaboveshallobligatetheCONTRACTORtodefendatitsownexpenseor
toprovideforsuchdefense,attheoptionoftheOWNER,asthecasemaybe,ofanyandallclaimsof
liabilityandallsuitsandactionsofeverynameanddescriptionthatmaybebroughtagainstthe
OWNERoritsofficers,employees,andcityattorneyswhichmaybecoveredbythisindemnification.
InalleventstheOWNERanditsofficers,employees,andcityattorneysshallbepermittedtochoose
legalcounselofitssolechoice,thefeesforwhichshallbereasonableandsubjecttoandincludedwith
thisindemnificationprovidedherein.
21.SAFETY CONTRACTORshallbesolelyandabsolutelyresponsibleandassumeallliabilityforthesafety
andsupervisionofitsprincipals,employees,contractors,andagentswhileperformingworkprovided
hereunder.
22.CORPORATEREPRESENTATIONSBYCONTRACTOR CONTRACTORherebyrepresentsandwarrants
totheOWNERthefollowing:

a.CONTRACTORisdulyregisteredandlicensedtodobusinessintheStateofFloridaandisin
goodstandingunderthelawsofFlorida,andisdulyqualifiedandauthorizedtocarryonthe
functionsandoperationssetforthinthisAgreement.
b.TheundersignedsignatoryforCONTRACTORhasthepower,authority,andthelegalrightto
enterintoandperformtheobligationssetforthinthisAgreementandallapplicableexhibits
thereto,andtheexecution,delivery,andperformancehereofbyCONTRACTORhasbeenduly
authorizedbytheboardofdirectorsand/orpresidentofCONTRACTOR.Insupportofsaid
representation,CONTRACTORagreestoprovideacopytotheOWNERofacorporate
certificateofgoodstandingprovidedbytheStateofFloridapriortotheexecutionofthis
Agreement.
c.CONTRACTORisdulylicensedunderalllocal,stateandfederallawstoprovidethework
statedinparagraph1.0herein.Insupportofsaidrepresentation,CONTRACTORagreesto
provideacopyofallsaidlicensestotheOWNERpriortotheexecutionofthisAgreement.
23.BOND CONTRACTORshallsupplyamaterials,performanceandpaymentbond(s)inaccordancewith
FloridalawandtothesatisfactionofOWNER,inanamountspecifiedintheContractDocuments.
24.INSURANCE DuringthetermofthisAgreement,CONTRACTORshallberesponsibleforprovidingthe
typesofinsuranceandlimitsofliabilityassetforthbelow.
a.TheCONTRACTORshallmaintaincomprehensivegeneralliabilityinsuranceintheminimum
amountof$2,000,000asthecombinedsinglelimitforeachoccurrencetoprotectthe
CONTRACTORfromclaimsofpropertydamageswhichmayarisefromanyWorkperformed
underthisAgreementwhethersuchWorkareperformedbytheCONTRACTORorbyanyone
directlyemployedbyorcontractingwiththeCONTRACTOR.
b.TheCONTRACTORshallmaintaincomprehensiveautomobileliabilityinsuranceinthe
minimumamountof$1,000,000combinedsinglelimitbodilyinjuryandminimum
$1,000,000propertydamageasthecombinedsinglelimitforeachoccurrencetoprotectthe
CONTRACTORfromclaimsfordamagesforbodilyinjury,includingwrongfuldeath,aswellas
fromclaimsfrompropertydamage,whichmayarisefromtheownership,use,or
maintenanceofownedandnonownedautomobiles,includingrentedautomobileswhether
suchoperationsbebytheCONTRACTORorbyanyonedirectlyorindirectlyemployedbythe
CONTRACTOR.
c.TheCONTRACTORshallmaintain,duringthelifeofthisAgreement,adequateƚƩƉĻƩƭ
CompensationInsuranceinatleastsuchamountsasarerequiredbylawand9ƒƦƌƚǤĻƩƭ
LiabilityInsuranceintheminimumamountof$2,000,000forallofitsemployeesperforming
WorkfortheOWNERpursuanttothisAgreement.
SpecialRequirements.Current,validinsurancepoliciesmeetingtherequirementshereinidentified
shallbemaintainedduringthetermofthisAgreement.AcopyofacurrentCertificateofInsurance
shallbeprovidedtotheOWNERbyCONTRACTORupontheEffectiveDateofthisContractwhich
satisfiedtheinsurancerequirementsofthisparagraph24.Renewalcertificatesshallbesenttothe
OWNER30dayspriortoanyexpirationdate.Thereshallalsobea30dayadvancewrittennotification
totheOWNERintheeventofcancellationormodificationofanystipulatedinsurancecoverage.

TheOWNERshallbeanadditionalnamedinsuredonallstipulatedinsurancepoliciesasitsinterest
mayappear,fromtimetotime.
IndependentAssociatesandConsultants.Allindependentcontractorsoragentsemployedby
CONTRACTORtoperformanyWorkhereundershallfullycomplywiththeinsuranceprovisions
containedinparagraph24.
25.MEDIATION/VENUE Thepartiesagreethatshouldanydisputearisebetweenthemregardingthe
termsorperformanceofthisAgreement,bothpartieswillparticipateinmediation.Thepartiesagree
toequallysharethecostofthemediator.Shouldthepartiesfailtoresolvetheirdifferencesthrough
mediation,thenanycauseofactionfiledhereundershallbefiledintheCircuitorCountyCourtfor
SeminoleCounty,Florida.
26.GOVERNINGLAW&VENUE ThisAgreementismadeandshallbeinterpreted,construed,governed,
andenforcedinaccordancewiththelawsoftheStateofFlorida.Venueforanystateactionor
litigationshallbeSeminoleCounty,Florida.VenueforanyfederalactionorlitigationshallbeOrlando,
Florida.
27.!hwb9{FEES ShouldeitherpartybringanactiontoenforceanyofthetermsofthisAgreement,
theprevailingpartyshallbeentitled,totheextentpermittedbylaw,torecoverfromthenon
prevailingpartythecostsandexpensesofsuchactionincluding,butnotlimitedto,reasonable
ğƷƷƚƩƓĻǤƭfees,whetheratsettlement,trialoronappeal.
28.NOTICES AnynoticeorapprovalunderthisContractshallbesent,postageprepaid,totheapplicable
partyattheaddressshownonthefirstpageofthisContract.
29.WORKISAPRIVATEUNDERTAKING WithregardtoanyandallWorkperformedhereunder,itis
specificallyunderstoodandagreedtobyandbetweenthepartiesheretothatthecontractual
relationshipbetweentheOWNERandCONTRACTORissuchthattheCONTRACTORisanindependent
contractorandnotanagentoftheOWNER.TheCONTRACTOR,itscontractors,partners,agents,and
theiremployeesareindependentcontractorsandnotemployeesoftheOWNER.Nothinginthis
Agreementshallbeinterpretedtoestablishanyrelationshipotherthanthatofanindependent
contractor,betweentheOWNER,ononehand,andtheCONTRACTOR,itscontractors,partners,
employees,oragents,duringoraftertheperformanceoftheWorkunderthisAgreement.
30.DOCUMENTSPublicRecords:Itisherebyspecificallyagreedthatanyrecord,document,
computerizedinformationandprogram,audioorvideotape,photograph,orotherwritingofthe
CONTRACTORanditsindependentcontractorsandassociatesrelated,directlyorindirectly,tothis
Agreement,maybedeemedtobeaPublicRecordwhetherinthepossessionorcontrolofthe
OWNERortheCONTRACTOR.Saidrecord,document,computerizedinformationandprogram,audio
orvideotape,photograph,orotherwritingoftheCONTRACTORissubjecttotheprovisionsof
Chapter119,FloridaStatutes,andmaynotbedestroyedwithoutthespecificwrittenapprovalofthe
OWNER'sCityManager.UponrequestbytheOWNER,theCONTRACTORshallpromptlysupplycopies
ofsaidpublicrecordstotheOWNER.Allbooks,cards,registers,receipts,documents,andother
papersinconnectionwiththisAgreementshallatanyandallreasonabletimesduringthenormal
workinghoursoftheCONTRACTORbeopenandfreelyexhibitedtotheOWNERforthepurposeof
examinationand/oraudit.

TheCONTRACTORacknowledgesthattheOWNERisaFloridamunicipalcorporationandsubjectto
theFloridaPublicRecordsLaw.CONTRACTORagreesthattotheextentanydocumentproducedby
CONTRACTORunderthisAgreementconstitutesaPublicRecord;CONTRACTORshallcomplywiththe
FloridaPublicRecordsLaw.
31.SOVEREIGNIMMUNITY NotwithstandinganyotherprovisionsetforthinthisAgreement,
nothingcontainedinthisAgreementshallbeconstruedasawaiverofthe/L{rightto
sovereignimmunityunderSection768.28,orotherlimitationsimposedonthe/L{potential
liabilityunderstateorfederallaw.Assuch,theCITYshallnotbeliable,underthisAgreementfor
punitivedamagesorinterestfortheperiodbeforejudgment.Further,theCITYshallnotbe
liableforanyclaimorjudgment,orportionthereof,toanyonepersonformorethanone
hundredthousanddollars($100,000.00),oranyclaimorjudgment,orportionthereof,which,
whentotaledwithallotherclaimsorjudgmentspaidbytheStateoritsagenciesand
subdivisionsarisingoutofthesameincidentoroccurrence,exceedsthesumoftwohundred
thousanddollars($200,000.00).
32.HEADINGS Paragraphheadingsarefortheconvenienceofthepartiesonlyandarenottobe
construedaspartofthisAgreement.
33.INTEGRATION;MODIFICATION Thedrafting,execution,anddeliveryofthisAgreementbythe
Partieshasbeeninducedbynorepresentations,statements,warranties,oragreementsotherthan
thoseexpressedherein.ThisAgreementembodiestheentireunderstandingoftheparties,andthere
arenofurtherorotheragreementsorunderstandings,writtenororal,ineffectbetweentheparties
relatingtothesubjectmatterhereofunlessexpresslyreferredtoherein.Modificationsofthis
Agreementshallonlybemadeinwritingsignedbybothparties.
34.WAIVERANDELECTIONOFREMEDIES Waiverbyeitherpartyofanyterms,orprovisionofthis
Agreementshallnotbeconsideredawaiverofthatterm,condition,orprovisioninthefuture.No
waiver,consent,ormodificationofanyoftheprovisionsofthisAgreementshallbebindingunlessin
writingandsignedbyadulyauthorizedrepresentativeofeachpartyhereto.ThisAgreementmaybe
executedinanynumberofcounterparts,eachofwhichwhensoexecutedanddeliveredshallbe
consideredanoriginalagreement;butsuchcounterpartsshalltogetherconstitutebutoneandthe
sameinstrument.
35.DRAFTING OWNERandCONTRACTOReachrepresentthattheyhavebothsharedequallyindrafting
thisAgreementandnopartyshallbefavoredordisfavoredregardingtheinterpretationofthis
Agreementintheeventofadisputebetweentheparties.
36.NOTICE AnynoticesrequiredtobegivenbythetermsofthisAgreementshallbedeliveredbyhand
