AGREEMENT
THIS INDEMNIFICATION AND HOLD HARMLESS AGREEMENT("Agreement")
is made and entered this 6 ■ day of • , 20 p k, by and between the
CITY OF WINTER SPRINGS, a Florida municipal corporation ("City"), and COURTESY
TOWING, INC., a Florida corporation ("Courtesy").
WITNESSETH:
WHEREAS, the City desires to use motor vehicles owned by Courtesy in furtherance of
certain law enforcement operations; and
WHEREAS, Courtesy agrees, under the terms and conditions contained herein, to allow
members of its Police Department to use Courtesy's motor vehicles for said operations.
NOW THEREFORE,in consideration of the mutual covenants contained herein,the receipt
and sufficiency of which is acknowledged by the parties by the execution of this Agreement, the
parties agree as follows:
1. Recitals. The foregoing recitals are true and correct and are hereby incorporated herein as
part of this Agreement by this reference.
2. Indemnification. In consideration of the use of Courtesy's motor vehicles,the City agrees,
to the extent permitted by law,to indemnify,defend,and hold harmless Courtesy from and against
the full amount of any claims, liabilities, actions, suits, proceedings, payments, assessments,
judgments, costs and expenses pertaining to any bodily injury or property damage directly arising
out of the City's use of Courtesy's motor vehicles for law enforcement operations. Such
indemnification shall not extend to injury or damage sustained directly or indirectly as a result of
preexisting mechanical or other defects in Courtesy's motor vehicles.
3. Motor Vehicle Information. The City will use the motor vehicle described below beginning
