The City Attorney and City Manager advise the City Commission that pursuant to section
4.08(c) of the Winter Springs City Charter, the City Commission is required to appoint a
qualified voter of the City to fill the vacancy in the District 3 City Commission seat created
by the resignation of former Deputy Mayor, Gary Bonner.
SYNOPSIS:
By letter dated June 7, 2012, former Deputy Mayor, Gary Bonner, advised the City that he
was resigning from the City Commission effective immediately. His resignation created a
vacancy in the seat for City Commission District 3. Section 4.08(c) of the Winter Springs
Charter provides that the City Commission must appoint a qualified voter of the city to fill
the vacancy at either of the next two regular meetings of the City Commission following the
creation of the vacancy. The term of the appointment is until the next regular election. On
June 11, 2012, the City Commission directed that the City publish a public notice advising
prospective candidates to submit a qualifying application to be considered by the City
Commission. Eight (8) individuals submitted qualifying applications for the City
Commission's consideration.
CONSIDERATIONS:
Former Deputy Mayor, Gary Bonner, submitted his resignation effective June 7, 2012.
2. The resignation creates a vacancy in the District 3 City Commission seat.
3. Section 4.08(c) of the Winter Springs Charter provides that:

Filling of vacancies. A vacancy in the mayor's position or a commission
member's seat shall be filled by a qualified person until the next regular
election by a majority vote of all remaining members of the city commission.
It shall be the duty of the remaining members to fill the vacancy at either of
the next two regular meetings of the commission following the creation of
the vacancy. At the next regular election, a qualified person shall be elected
for a term equaling that period of time necessary to complete the unexpired
terms of the previously vacated position or seat; unless the previous term was
to expire, in which case such person shall be elected for a four (4) year term.
4. Therefore, the City Commission must appoint, by majority vote, a qualified person to
serve as the new District 3 City Commissioner until the next regular election, which is
scheduled to be held on November 6, 2012.
5. Coincidently, the current term for the District 3 seat is scheduled to expire on
November 6, 2012. Thus, at the November 6, 2012, Winter Springs' voters will elect a
new District 3 City Commissioner to serve a new four (4) year term of office.
6. The City Charter sets forth the eligibility requirements to serve on the City
Commission:
(A) Only qualified voters of the city shall be eligible to hold the office of
mayor or commissioner. §4.01(b), Winter Springs City Charter. Section
8.02 of the City Charter provides that "[a]ll citizens qualified by the
constitution and laws of the State of Florida to vote in the city and who
satisfy the requirements for registration prescribed by law shall be
qualified voters of the city within the meaning of this Charter."
(B) Each candidate seeking the office of city commissioner or mayor or
any other elective office of the city shall have resided in the city one (1)
year prior to the time of qualifying. §4.01(b), Winter Springs City Charter.
(C) Each candidate seeking the office of city commissioner shall be a
resident of a designated commission district established by ordinance and
shall have resided in the designated commission district six (6) months
prior to the time of qualifying. §4.01(b), Winter Springs City Charter.
7. At the June 11, 2012 City Commission meeting, the City Commission directed that the
City publish a public notice advising interested candidates to file an application for serving
in the District 3 seat by 12:00 P.M., Monday, June 18, 2012. Candidate application
packages, including candidate bios, that were timely submitted to the Office of the City
Clerk are provided herein for each candidate in the Attachments section of this Agenda
Item.
8. Eight (8) applications were received by the City Clerk by the deadline. The applicant's
names and reported addresses are listed in alphabetical order as follows:

9. Rules and Procedures for City Commission meetings were adopted by the City
Commission and set forth in Resolution No. 2011 -35. Other than the City Charter provision
mentioned above, no City Commission rule specifically addresses the appointment of a
qualified person to fill a vacancy on the City Commission. However, section 2113 of the
Resolution provides:
Robert's Rules of Order. Robert's Rules of Order shall be the "underlying
foundation" for the conduct of Commission meetings and will be followed to
the extent practical and feasible and to the extent not modified by this
Resolution. (Robert's Rules of Order may be suspended by majority vote.)
10. Robert's Rules specifically addresses appointments to fill an office. See, e
www.rulesonline.com In general, if no other method of making nominations is designated
in the by -laws or rules of the City Commission, Robert's Rules lays out a two -step process:
1. Nomination Phase: Nominations of candidates by the City Commission; and
2. Election Phase: Election of a candidate to fill the office by the City
Commission.
11. Before proceeding to an election to fill the vacancy, it is customary to nominate one or
more qualified candidates to be considered for election. In this case, the Mayor
should "open nominations" and call upon the City Commissioners to nominate qualified
candidates to be considered during Step -2 (Election Phase.) Each Commissioner should be
afforded the opportunity to make a nomination, but each Commissioner is not required to do
so. Nominations do not require a motion or a second.

12. After a reasonable time has been given to nominate qualified candidates, it is customary
for the Mayor to call upon the City Commission to make a motion to close nominations and
proceed to Step -2 (Election Phase). Closing nominations requires a motion and 2/3 vote of
the City Commission and typically results in narrowing the number of candidates who will
be considered for appointment. A motion to close nominations is not debatable, but can be
amended as to the time. If for some reason it is desired to reopen nominations, it may be
done by motion and majority vote of the City Commission. A motion to reopen
nominations is also not debatable, but may be amended as to the time.
13. When nominations are completed, the City Commission proceeds to Step -2 (Election
Phase) to fill the vacancy on the City Commission. During the election phase, the City
Commission typically deliberates on the list of nominees chosen in Step -1 (Nomination
Phase) to determine whether one of the nominees has sufficient support to be selected by
majority vote of the City Commission. At the appropriate time, a motion in support of a
particular qualified candidate will be in order to determine whether or not that candidate has
the requisite three (3) vote majority support of the City Commission which is necessary to
be appointed to fill the vacancy. If the motion fails for lack of a second or majority support,
deliberations should continue, and additional similar motions should be made, until a
qualified candidate is appointed by majority vote of the City Commission.
14. With respect to voting, section 4.13 of the City Charter provides:
Voting. Voting, except on procedural matters, shall be by roll call and the ayes
and nays shall be recorded in the journal. Three (3) members of the
commission shall constitute a quorum but a smaller number may compel the
attendance of absent members in the manner and subject to the penalties
prescribed by the rules of the commission. No action of the commission shall
be valid or binding unless adopted by the affirmative vote of three (3) or more
members of the commission.
(emphasis added). Therefore, a minimum of three (3) votes of the City Commission is
required by roll call to appoint a qualified candidate to fill the vacancy.
15. Section 286.011, Florida Statutes further requires that a vote on electing a candidate to
fill the vacancy shall be recorded or counted for each Commissioner present. As such,
given the "roll call" City Charter voting requirement and the provisions of section 286.011,
secret ballots are prohibited. See also Op. Fla. Atty. Gen'1 76 -240; Bassett v. Baddock 262
So. 2d 425 (Fla. 1972) (initial written secret ballot to elect a school board chairperson and
vice - chairperson was a violation of the sunshine law). In addition, a Commissioner
cannot "abstain" from voting unless they have a valid voting conflict within the meaning
prescribed by law. Under Florida law, a voting conflict "almost always, if not always, refers
to financial interest of public official that is directly enhanced by the vote in question."
George v. City of Cocoa 78 F.3d 494 (11th Cir. 1996). In this particular situation, a voting
conflict should not be an issue.
16. Further, section 4.05 of the City Charter provides that, "[t]he mayor shall not vote
except in case of a tie vote of the commission."
17. Under Robert's Rules, an election by the City Commission takes effect immediately if
the candidate is present and does not decline appointment. However, if the elected

candidate is absent, the election does not take effect until the candidate is notified of his or
her election and has not declined appointment. Further, the qualified candidate elected must
also take the customary oath of office before assuming the office of city commissioner.
FISCAL IMPACT:
There is no direct fiscal impact related to the appointment to fill the vacancy on the City
Commission.
COMMUNICATION EFFORTS:
This Agenda Item has been electronically forwarded to the Mayor and City Commission,
City Manager, City Attorney /Staff, and is available on the City's Website, LaserFiche, and
the City's Server. Additionally, portions of this Agenda Item are typed verbatim on the
respective Meeting Agenda which has also been electronically forwarded to the individuals
noted above, and which is also available on the City's Website, LaserFiche, and the City's
Server; has been sent to applicable City Staff, Media/Press Representatives who have
requested Agendas /Agenda Item information, Homeowner's Associations/Representatives
on file with the City, and all individuals who have requested such information. This
information has also been posted outside City Hall, posted inside City Hall with additional
copies available for the General Public, and posted at five (5) different locations around the
City. Furthermore, this information is also available to any individual requestors. City Staff
is always willing to discuss this Agenda Item or any Agenda Item with any interested
individuals.
RECOMMENDATION:
The City Attorney and City Manager advise the City Commission that pursuant to section
4.08(c) of the Winter Springs City Charter, the City Commission is required to appoint a
qualified voter of the City to fill the vacancy in the District 3 City Commission seat created
by the resignation of former Deputy Mayor, Gary Bonner.

This action is necessitated by the recent relocation of my primary residence to outside of the Winter
Springs city limits. By City Charter, I am no longer qualified to represent the citizens of District Three or
the City at large. It has been an honor to serve the Citizens and work with the Staff, Mayor and my

I relocated to Winter Springs in July of 1992 from New England, with my husband
and our two children. Worked and raised my children after being widowed in
1995 and both children have since graduated from college.
I am a graduate of Northeastern University in Boston, MA with a B.S. degree in
Marketing (with honors) and an A.S. degree in Business Administration.
Professional
Since 1995, 1 have worked in various Seminole County Public schools, either
through the Grove Counseling Center or directly as an employee of SCPS.
Prior to relocating to Florida, my career included Property Management of office
buildings and HUD funded subsidized housing for the elderly and mixed income
units in four states. In this capacity, I oversaw budgets and projections for multi
million dollar operations in properties exceeding 2,760,000 square feet.
After transferring to Connecticut, I developed marketing research studies for
national products as an independent consultant.

Re: Interim Commission Seat 3
What I can bring to our City is a working relationship with all members on the
dais, and the City's Department heads, as well as members of the City's staff. In
addition, having attended almost all of the Commission meetings for more than
five years, I do have an awareness of the goals, as well as, many of the
challenges and objectives for Winter Springs.
1 am a team player, and don't ask others to do what I would not do myself.
Since I am currently at a "cross roads ", I do have the time to commit to our City
and fully appreciate that a Commissioner does not `just show up twice a month'.
am prepared not only to commit to an Interim position, but to run in the
upcoming election as well.
My commitment to our City up until this point has included a variety of volunteer
activities which are listed in my Bio. When I have given Public Input, often it has
been for issues that affect the entire City. For example: Commercial vehicle
parking, Compatibility Ordinance, ADLI's, Atlantic Housing and more. I am
definitely not a `one issue' citizen.
I would appreciate the opportunity to join our City Commission and bring my
knowledge and experience to contribute for the benefit of our City.

Enclosed please find my resume to be used in consideration for the vacated Seat
Three, to be filled by appointment during the June 25, 2012 Commission Meeting. While
my resume indicates my notion of community service and varied background in the
practice of law, there is more than what is on my resume which explains my desire to fill
this appointment.
I attended elementary school, middle school, and high school in Seminole County,
and it is my goal to do everything in my power to ensure that my children, ages 6 and 8,
have the very best youthful experience growing up in Winter Springs, where I have lived
for nearly ten years. My wife Sara, and I are both committed to my service to the citizens
of Winter Springs if you are kind enough to extend me the opportunity to do so.
My resume indicates my knowledge and abilities relative to the issues a
commissioner is faced with, as well as my vast dedication to community service which
represents my dedication to the betterment of the community.

1 would very much like to be considered for the vacancy of Mr. Bonner for Seat Three. I have
been a resident of Winter Springs for almost 30 years and have seen the town expand and feel I
have a lot to offer for the further enhancement of this beautiful area.
I'm a retired airline pilot and career military officer and feel my judgment in crucial issues would
be to the city's advantage.
While I have never held an elected office before, my public service does include 24 1 /2 years in
the United States Air Force as a fighter pilot in the Air National Guard attaining the rank of Lt.
Colonel. My civilian background was as a pilot/captain with Eastern Airlines, Saudi Arabian
Airlines, and the second Pan American World Airways. I have flown on every continent except
Antarctica. I ended my career two years ago as a corporate captain for NetJets, Inc. of
Columbus, OH, a Berkshire- Hathaway Company.
Other volunteer tasks I have performed are as a little league baseball coach in Connecticut and
as a youth soccer coach in both Connecticut and Winter Springs. I served as a Boy Scout
leader during our sons formative years. I have also been a member of the board and president
of the Home Owner's Association of our condominium in New Smyrna Beach.
I have been married to my wife, Helen, for forty -five years and we have three grown sons living
worldwide and have been blessed with four grandchildren.
I do take keen interest in government and have voted in every national, state and local election
since 1962.
I appreciate your consideration of my application for appointment of Seat Three.

Biography of S. Avery Smith
Avery's has been a licensed Florida Attorney since 1997. Her experience includes
dealing with federal, state and local governments on behalf of private clients. She has a
significant background in Federal Contract acquisitions (which helped a client secure over $100
million in new business for FY 2011). She has worked on global, alternative- energy projects
(each in excess of $350 million) utilizing the only patented, zero - emission technology available
to date, and which has been studied, approved and accepted by the Department of the Navy
(USN), the Environmental Protection Agency (EPA), and the National Renewable Energy
Laboratory (NREL), etc.. She has handled numerous matters pertaining to local and state
government law matters including permitting, planning, zoning and development. She has
extensive experience in all types of commercial and residential real estate transactions through
acquisition, financing, bonds, budgeting, development and disposition for projects such as
mixed -use retail, subdivision development, hotels, national restaurants chains, medical centers,
shopping centers and condominiums. She routinely has handled matters relating to settlement
negotiations, title insurance, easements, compliance, leases, title examination, code enforcement
and Homeowners Associations as well as issues pertaining to employment law. She is an
excellent researcher who easily navigates the applicable Statutes, Codes, and Case Law as
needed. She has represented clients before local, state and federal agencies on a wide range of
matters. Some of Avery's past clients have included business owners, municipalities,
corporations, HOAs, banks, credit unions, builders, developers and consumers. She also has

Mr. Stanley is one of the two principals of' VII Inc.
(www.vttmc.com), a strategic planning, systems engineering and
investment capital firm specializing in government and business
initiatives. VII's clients include major government agencies and
corporations in the United States and around the world. At VII, Mr.
Stanley serves as an Executive Vice President and a Director.
Mr. Stanley's leads VII's investment capital and financial consulting
business that includes: consulting for several of" the world's largest
investment capital and asset management firms, corporate strategic
and business planning, mergers and acquisitions initial public
offerings and reverse mergers, leveraged buy -outs, and development
of major real estate and industrial projects in the $100+ million
range. Domestic projects include a major land -fill project, a large
fractional ownership project and several major real estate efforts.
International projects include a major private placement in Europe,
and establishing a technology park and a private investment bank in
several oil -rich Arab countries.
Mr. Stanley is involved in VII's systems engineering efforts which

is moving fi•om the research and development stage into production.
This biometrics company, Sequiam Corporation

Mr. Stanley is the Chief Executive Officer and co -owner of Quasar

Inc., Mr. Stanley was, and remains, one of the three principals in the

growth stage businesses, or the creation and establishment of new
business operations. Quasar targets its activities in healthcare related
technologies with primary emphasis on the manufacture of medical

From 1994 to 2000, Mr. Stanley was the Chief Executive Officer
(CEO) and founder of Concord COrnmUnications, Inc. In association
with the leading telecommunications company at that time, Concord
developed a system to collect funds for state and federal government
agencies via the Internet and telephone networks using "800" and
"900" numbers. Twenty five percent (25 %) of all Florida's driver's
licenses were renewed through Concord's systems continuing today.
From 1985 to 1994, Mr. Stanley fcnmded, owned and operated a real
estate development company, called J.C. Stanley & Associates inc.,
employing up to 425 people. J.C. Stanley & Associates developed
properties form Key Largo, Florida to Seattle, Washington,
specializing in high rise eondorniniGrms, office buildings, shopping
centers and hotels, including the Hilton in Breckenridge, Colorado.
Today, he still maintains his licenses as a General Contractor and a
Mechanical Contractor which are very helpful for his real estate
development and financing initiatives at VII Inc.
From 1979 to 1985, Mr. Stanley acquired Stanley, Barber, Southard
& Brown Inc., an advertising; agency in New York City. Clients
included Citicorp, Hilton international, Holland American Lines, and
Chrysler Corporation.
From 1977 to 1979, Mr. Stanley was President and Chairman of'
Balmar Corporation, a public company manufacturing electrical
harnesses for aircraft and rotorcraft. He arranged the acquisition of
the company to Pratt & Whitney Corp.
In 1976 to 1977, Mr. Stanley was hired as a consultant for McKenzie
& Associates. Balmar was the primary client.
From 1970 . to 1976, Mr. Stanley owned Stanley, Brown &
Associates inc., a NASD (National Association of Securities

for AT &T until 1970. His Bachelor of Science degree at UVA was

Mr. Stanley married his high school sweetheart, Ms. Bonnie Malone.

Having reviewed the posting announcement for the District 3 Commissioner
position for the City of Winter Springs, I am confident that my experience
and qualifications are such that significant contributions are attainable for
the residents of Winter Springs. To list but a few of those qualifications;
• Forty three years in progressively responsible public safety
positions. The constant throughout these years was providing
service through leadership.
• Demonstrated and documentable evidence of creativity in co-
worker relationships and maximization of citizen/customer
service and satisfaction.
• Thirty five years of service to our Nation in the U.S. Navy and
Navy Reserve culminating in attaining the highest security
clearance classification and working with/in the Naval
Intelligence Program for twenty years.
To me, leadership is not position; it is the ability to offer service and take

appropriately interact with diverse societal issues that are so important

I am asking to be considered for the Appointment to the City of Winter Springs City Commission Seat
Three. I feel that I would make an excellent choice as I have both business and community service
experience. Here is a short bio:
Education: Northern Illinois University — BS degree in both Accountancy and Finance
Occupation: Certified Public Accountant Since 1979
Background: Lived in the Chicago area until moving to Orlando, Florida in 1982. My ex- husband and
brother in law were the original custom home builders for Tuscawilla. (B.G. Adkins Construction )
Residency: Lives at 1603 Cougar Ct., Winter Springs, FL for 28 years (except for the time the house
burnt down)
Board Appointment: City of Winter Springs Board of Trustees since 2008( ?) — Currently Vice
Chairman. During these terms on the board we have made suggestions regarding changing to different
Investment Managers and Actuarial. We have also evaluated and made significant suggestions for
changes to the Pension Plan.
Community Service: Board Member of Walk in their Shoes — Helps kids aging out of foster care
