NSl1ti�8, CRA and CITY are mutually desirous of enterinq into a
cooperative venture to c�nplete a stzeetscape beautification project
along Shepard Road in Winter Sprinqs; and
1f�Rl�iB, CRA and CITY have each aqreed to mutual obligations to
make the Shepard Road Streetscape Project ('Project') a reality and
each agrees that the covenants of this Agreement represent the most
pzactical, ecanomic, and beneficial means to accosnplish the parties
objectives; and
NB�RtJ18, both parties hereby represent, each to the other, that
they are leqally empowered to enter into this Aqreement and have done
all steps necessary and incidental to the execution of this Agreement;
and
M�RLB, this Agreement is authorized under the provisions of
Cha�ter 163, Florida Statutes, which authorizes the exercise by
Agreement of two (2) or more public agencies of any power co�►on to
them,

1lO�N T�ORS, in consideration of the mutual covenants, terms,
and con3itions contained herein and for other good and valuable
consideration, the receipt and sufficiency of which is hereby
acknowledged, the parties hereby agree as follows:
S�CTiCli 1. R�CZT1i.8. The recitals set forth above are true and
correct and form a material part of this Aqreement upon which the
parties have relied.
S�CTZCl1 2. POItPOSl. The purpose of this Agreement is to set
forth the terms and conditions associated with parties' joint
responsibilities for coa�pletion of the Shepard Road Streetscape
Project.
S�C"lICN 3. 1'iil�. The initial term of this Agreeznent beg�ns upon
execution of this Agreement by the parties and shall r�aain in effect
for a period of six (6) years or, until terminated by either party
after first giving thirty (30) days written notice.
S�C'PZ08 4. CITY' S 1t�SP0�IDIISTilB .
(a) CITY will be responsible for coordinating and hiring all
contractors involved in the Project and securing the necessary permits
from inception to completion of the Project.
(b) Completion of the Shepard Road Streetscape Project as
outlined in the Scope of Services, attached hereto as Exhibit "A'.
(c) Ensuring that the plantings shall be drought tolerant/low
maintenance plantings and that the soil has the orqanic composition to
sustain the plant life being proposed as determined by the CRA.
(d) Ensuzing that the lighting used in the Project, if anY,
meets all FDOT requirements and is energy efficient.

(e) PaymenL of any and all cost overrun beyond the FIVE HLTNDRED
THIRTY THOUSAND SZX HUNDRED TVVENTY-THREE AND �8/100 DOLLARS
(S�3G,623.�8) to be paid by the City of Winter Springs.
SZCTIOl� 5. CR�'S �tEBBOBSIBILITIE$.
(a) CR.A will reiunburse CITY for the work as outlined in Exhibit
"A". The reimbursement will be as follows: one-third (1/3) up front,
one-third (1/3) at mid-point, and one-thizd ll/3) at the conclusion of
the Project. Project will not exceed the figure of FIVE HUNDRED THZRTY
THOUSAND SZX HUIJDRED TWENTY-THREE AND 58/100 DOLLARS ($530,623.58f.
(b} The final one-third (1/3) of the rei.mburs�ent will be
released when the Project is deemed ca�leted by the CRA. CITY is
responsible to suYinit all receipts or lien releases for all work
completed when seeking final reunburs�ent.
(c) The CRA will reimburse CITY for maintenance and upkeep for
the landscapinq referenced in Exhibit "A' for a period of two (2) years
from the c�letion date not to exceed EIGHT THOUSAND AND NO/100 DOLLARS
IS8,000.00) annually. CITY shall request the maintenance funds in
writing at the start of each fiscal year.
g�C'rlpbi 6. O� p�OJi�.T. The parties agree that the
Project improv�nents and location shall be maintained for a minimum
period of five (Sf years from the date of c�pletion with maintenance
and upkeep to be the responsibility of CITY.
S�C.TIG� 7. li0'PICEB.
(a) Whenever eithez party desires to give notice unto the other,
it must be given by written notice, sent by certified United States
mail, return receipt requested, addressed to the garty for whom it is

intended at the place last specified. The place for giving of notice
sha:.l remain sucn until it shall have been changed by written notice in
compliance with the provisions of this Section. For the present, the
�arties designate the following as the respective places for giving of
notice, to wit:

(b) The parties may effect changes or suk+stitution to the names
and addresses of the contact persons by written notice to the other
party which notice can also be sent via facsimile transmission, provided
that a record of such cc�unications shall be maintained by both
parties.
S�ZON 8. T��SIG�. Anything else in this Agreement to the
contrary notwithstanding, this Agreement may be terminated by either
party upon giving thirty (30) days written notice to the other party.
SECTION 9• IB8�1l�iCE . Each party shall maintain
adequate insurance coverage to protect its own interests and
obligations under this Agreement.
S�C.'TSC� 10. �ID�iIlZGTIOtT.
(a> Each party to this Agreement is responsible for all personal
injury and property damage attributable to the negligent acts or

omissions arising out of this Agreement of that party and the officers,
employees, and agents thereof.
(b1 The parties further agree that nothing contained herein shall
be construed or interpreted as denying to any party any remedy or
de_'ense available to such parties under the laws of the State of
Florida, nor as a waiver of sovereign imnunity of CRA and CITY beyond
the waiver provided for in Section 768.28, Florida Statutes.
(c1 The waiver of a provision herein by either party shall not
constitute the further waiver of said provision or the waiver of any
other provision.
SlCTZGM il. �.Z'ORB. Zt is agreed that nothing
herein contained is intended or should be construed as in any manner
creating or establishinq a relationship of copartners between the
parties, or as constituting CITY, including its officers, employees, and
agents, the agent, representative, or �loyee of CRA for any purpose,
or in any manner, whatsoever . The parties are to be and shall re�ain
independent contractors with respect to all services perfox�ed under
thi s Agre�nent .
S�CR'IGl1 11. DIBCL�t 0� R32I�D p�'1't �lICTf This
Agreement is solely for the benefit of the foraial parties hereto and no
right or cause of action shall accrue under or by reason hereof to or
for the benefit of any thitd party not a formal party hereto.
S=CTIdi 23. �QQlL OPPOA�ITY D�LO'Y�mfT- The parties agree that
they will not discriminate against any employee or applicant for
employment for work under this Agreement because of race, color,
religion, sex, age, national ozigin, or disability and will take steps

to ensure that applicants aze employed, and �nployees are treated during
employment, without regard to race, color, religion, sex, age, natianai
origin or disability. This provision shall include, but not be limited
to, the following: employment, upgrading, demotion or transfer;
recruitinent advertising; layoff or termination; rates of pay or oLher
forms of compensation; and selection for training, including
apprenticeship.
B�CTZOli 1�. OO�VIItl�G L�1N. This Agreement shall be governed by
and construed in accordance with the laws of the State of Florida and
the parties consent to venue in the Circuit Court in and for Seminole
County, Florida as to state actions and the United States District Court
for the Middle District of Florida as to federal actions.
S�CTIG11 15. �?IGpB. In the event any provision of this
Agree�nent conflicts with, or appears to conflict with, the other terms
of this Agreanent including exhibits or attachments hereto, if any, this
Agre�ent shall be interpreted as a whole to resolve any inconsistency.
The parties agree to enqage in positive and constructive coana�nication
to ensure that the positive collaboration of the parties occurs.
SiCTIQi 16 . !'O�i 1�1ti • In the event any party hereunder
fails to satisfy in a ti.unely manner any requirements imposed by this
Agreement due to a hurricane, flood, tornado, or other act of God or
force majeure, then said party shall not be in default hereunder
provided, however, that performance shall recouIIaence upon such event
ceasing its effect.
S�CTION 17. l�IlIG'1'I�6. �I�QTS OR 7�L�DtaTIONB. No
modification, amendment, or alteration ir. the terms or conditions

contained herein shall be effective unless contained in a written
document executed with the same formality and of equal dignity herewith.
S=CTiG� 18. SiV�R�BILITY. If any part of this Agreement is f ound
invalid or unenforceable by any court, such invalidity or
unenforceability shall not affect the other parts of this Agreement if
the rights and obligations of the parties contained herein are not
materially prejudiced and if the intentions of the parties can continue
to be affected. To that end, this Agreement is declared severable.
S�C'lIC� 19. sD1�IIR �LT. This Agreement shall be binding upon
and inure to the benefit of the parties hereto and the successors in
interest, transferees, and designees of the parties.
SZC'Pldi Z0. A48LIC 1ti00�tD8. Each party shall allow public access
to all documents, papers, letters, or other materials which have been
made or received in conjunction wit� this Agreement in accordance with
Chapter 119, Florida Statutes.
8!L`rlaN 21. 1t�00�DB �MD �DD=T8. The parties agree to maintain
all books, dxuments, papers, accounting records, and other evidences
pertaining to work performed under this Agreement in such a manner as
will readily conform to the terms of this Agreement and to make such
materials available at all reasonable times during the Agreement period
and for five (5) years from the date of final payment under the contract
for audit or inspection.

(a) The parties agzee that they will not engage in any action
that would create a conflict of interest in the performance of their
obligations pursuant to this Agreement or which would violate or cause

others to violate the provisions of Part ZII, Chapter 112, Florida
Statutes, relating to ethics in government.
(b) The garties hereby certify that no officer, agent or
employee has any material interest (as defined in Section 112.312(1�1,
Florida Statutes, as over 5 percent), either directly or indirectly,
in the business of the party to be conducted hereunder; that no such
person shall have any such interest at any time during the term of
this Agreement; and that no person shall use any monies derived under
this Agreement for lobbying the legislature in contravention of
Section 216.34'7, Florida Statutes. The xcurrence of an event of
ethics violation as envisioned herein shall be grounds for unilateral
termination of this Agre�nent by the non-offending party.
S!ClIQi Z3. �LI�C3 MIiB I.�118 �AD RmQLiTI0M8. In performing
under this Aqreement, the parties shall abide by all statutes,
ordinances, rules, and regulations pertaininq to or regulating the acts
contemplated to be performed herein, includ.ing those now in effect and
hereafter adopted. Arty material violation of said statutes, ordinances,
rules, or regulations shall constitute a material breach of this
Agreement and entitle the non-violating party to te=minate this
Agreement i�diately upon delivery of written notice of te�cmination to
the violating party.
BSCTI�f 2�. DISPOTi R�802ATION. Disputes shall be resolved in
accordance with any dispute resolution aqreements pertaining to the
parties and the provisions of Chapter 164, Florida Statutes.
SZCTIOIi 25. CO�DCTI�i O� A�. This Agreement shall not
be construed more strictly aqainst one party than against the other

merely by virtue of the fact that it may have been prepared by counsel
for one o: the parties, it being recognized that each of the parties
have cor.tributed substantially and materially to the preparation hereof.
S=CTIai 26. �iD�B. All sections and descriptive headings in
this Agreement are inserted for convenience only and shall not affect
the construction or interpretation hereof.
S�CTIOl� Z7. ��. This Aqreeinent states the entire
understanding between the parties and supersedes any written or oral
representations, state�ents, neqotiations, or agreements to the
contrary. This Agreea►ent shall bind the parties, their assigns, and
successors in interest.
S�C.R=OIf 28. �S. :Schibits to this Agreement, if any, sha11
be de�ned to be incorporated into this Agreanent as if fully set forth
verbatim into the body of this Agreen►ent.

number of counterparts each of which, when executed and delivered, shall
be an original, but all counterparts shall toqether constitute one and
the same instrument.

1. PURPOSE
This is an attachmeM to tt�e Continuing Contract far Landscspe Architectural Services dated
Odober 21� 2009, beMreen the City of Winter Sarings� Florida (CITI� and the firrn of Befloma-
Herbert b Company� Inc- (CONSULTAN� and made a pa�t thereof. The purpo�e of this Task
Assignment is to specify the requ�red service�s af tl�e l.andscape Architect for the p�reparation of
the She�ard Road Streetscape Contrad Documerds. The project is IocaDed in Winter Sp�gs,
Florida.
11. GENERAL SCOPE OF TFIE WORK
The project cor�ists of pro�riding �►nal constn�ction drav�ings and speaficatio�s for the Shepard
Road Stroet�caps frcm east of US 17/92 to Wik)wood Drive in Winter SRmgs. Florida. The
basis of the coMract documents wiA be the previously approved Shepard Road Concep� Ptans,
prepared and completed under a separate agreerner�t.
11. GENERAL SCOPE OF THE WORK
The part o# the Project for which the CONSULTANT is b perfom� serv�ces is generaNy
des�xibed as fdlows:
A TASK 1 — �EOTEGHNICAL INVESTIGATIONS
A geotechnical engineering report wi� be provided. The report wr�l provide suger borings,
2 pavement oores and 2 LBR te�s and mudc probes for the baffle bcx in the wetland
area. The report w�l prwide seasonel high water for each auger boring.
B. T/�SK 2- DESIGN DEVE�OPMENT DOCUMENTS

The CONSULTANT shaN meet with d�e CITY staff up to two � during the
cflmp�t4on of the D� Develapmer�t Plans.
C. TASK 3— CONSTAUCTION DOCUWIENTS
1. Based upon the appr�oved design Development Doaimerrts, the CONSULTANT
� P� �P� Cons�nxxion Drawinge (100°16 drawings) and speafications
for the work as de�cxibed in 6.1 (above). The CONSULTANTS servic�s do not
ir�clude rnitlgation plans or the cast of arty permit apptica�on fees or jurisdc�ioha(
inspections.
The CONSULTANT wiB coordnate witt� atl affeded ut�lly providers within the
project limtts by fumIshing ptans at the 9096, 10096 and final review stages to the
utilides for their review, c�'irmabon of u�lity location and mark-up of proposed
�elacatbns. The development of tha roadway plar�s sha� incorporate and
constder the in�ut provided by each affected ut�i�es. The CONSULTMR � rrot
respons�ble for ut�ity relocation design.
2. Cost Estimate
Based t�on the final Co�trtxtion Documents, the CONSULTANT shaN prepare
and subm� an estlmate � probable cost for a!i improvements. T'he estlmate v� be
itemized by feature to fac�itate anaiysis.
3. Meetin� ar�d Presenffifi�ons
The CONSULTANT s�al! meet with CITY staff up tio t�w bimes durir�g this pt�ase af
the work.

The CONSULTANT w�l provide quantiiy takeoffs for the project and will prepare bid

0. TASK. 4 — PER�AITTFNO
This task antiapates that this project wi� be exempt fram a St. Jahns Rnrer Water
���e�t D�s�t (S1RV1iMD) Permit h�r�+� a pass�billty exists that a permit may
be required. The CONSULTANTS engineering a�Itant y�� pe�rm e drainage
analysis in an effort to obtain a letter of exemptio� for the project. The engine�ing
consultant will provide die r�ecessary coordinatbn with SJRV1lMD to discuss permitting
crite�ia, app�IcabCE'rty and revlewer fnitia! cor�oerr�s. Upo� substandsl completion af the
plans, the engineering cansultant wi�! prepare a Letter of Exemp�on for submission to
SJRWMD. The engh�eerEng coRSUaant witl res�d to or�e (1) Reques# for �onel
irtformatbn (RAI) to SJRWMD.
E. TASK 5- ENVIRONMENTAL RESEARCH
It was discovered that a Federa! Superfund Gean-�r s�te ts located at�acent to the
project area. As a result� the Erwironmental Protection Agancy Report prepared for that
sne sha11 be provided to the CUENT so that the CUENT ms�l daterm�e ff�e need for
any further evaluati�ns are requlred priar to the cornmerk;emsnt af the praject. A Level I
Contamiriation Scxeening Evaluation wi�l not be provided as a part of th�s Scope of
Services.
F. TASK 6- AS-BUtLT PLAN RE�EW
