Authorization
REQUEST: The Parks and Recreation Department requests the City Commission to
authorize the Mayor to execute the Sixth Addendum to the MV
Transportation agreement for Senior Center Transportation for one (1) year.
PURPOSE: The purpose of this item is to obtain City Commission approval to execute
the Senior Center Transportation Agreement Sixth Addendum for one (1)
year.
CONSIDERATIONS:
• The MV Transportation Agreement for Senior Center Transportation was originally
approved on March 24, 2003. The second addendum authorizes the parties to extend
the terms of their agreement for five (5) additional one -year terms.
• Parks and Recreation has tried to locate a company to provide this specialized service
to no avail. Only MV bid this service in 2003.
• The agreement includes a cost increase over last year of 3% to $84.01 per hour. The
maximum amount to be paid is $25,000.00 which is budgeted in FY 10/11.
• Should the Senior Center need transportation more than 2 days per week, the cost per
hour would be reduced to 3 days - $69.81; 4 days - $60.90; and 5 days - $57.11.
• Staff is pleased with the service provided by MV Transportation and believes the 3%
increase is reasonable.
• MV Transportation has provided a newer and larger bus, a 208 — 22 passenger bus.
• Parks and Recreation staff has reviewed the ridership and determined that all users
need this service because they have no other means of transportation.
• The Senior Transportation Program brought 1,496 Winter Springs seniors to and
from the Senior Center for 11 months this FY.

FISCAL INPACT:
Budgeted in 10/11, Account 7250 - 53186, $25,000.
Staff is researching grants to reduce fiscal impact.
COMMUNICATION EFFORTS:
Copies and/or Access to This agenda Item have been provided to the Mayor and City
Commission, City Attorney, Department Director; placed in press packets; placed in the
Lobby Binder; is available on Laserfiche, and The City Website. Parks and Recreation
Staff has informed Winter Springs Seniors regarding schedule & activities.
RECOMMENDATIONS:
The Parks and Recreation Department recommends approval of the Transportation
Disadvantaged Services Agreement Sixth Addendum for Senior Center Transportation.

TRANSPORTATION DISADVANTAGED SERVICES AGREEEMENT
SIXTH ADDENDUM
THIS SIXTH ADDENDUM, is made and entered by and between the CITY OF
WINTER SPRINGS, FLORIDA, a Florida municipal corporation, whose address is 1126 East
State Road 434, Winter Springs, Florida (hereinafter the "City "), and MV CONTRACT
TRANSPORTATION, INC., a Delaware corporation registered and doing business in the State
of Florida, whose principal address is 360 Campus Lane, Suite 201, Fairfield, California
(hereinafter the "Contractor ").
RECITALS:
WHEREAS, the parties previously entered a Transportation Disadvantaged Services
Agreement on March 25, 2003 ( "Agreement "); and
WHEREAS, the Agreement has been periodically modified to extend the term and to
adjust rates by that First Addendum, Second Addendum, Third Addendum, Fourth Addendum
and Fifth Addendum (collectively "Addendums ") entered into between the parties; and
WHEREAS, the Second Addendum authorized the parties to extend the term of the
Agreement for five (5) additional one -year terms; and
WHEREAS, the parties desire to exercise their fourth (4 option to renew and extend
the term of the Agreement, as amended by the Addendums, for an additional one (1) year term as
set forth herein; and
NOW, THEREFORE, in consideration of the mutual promises contained herein, the
sufficiency of which is hereby acknowledged, it is agreed by the parties as follows:
1.0 Recitals. The foregoing recitals are true and correct and are hereby incorporated herein
by reference as a material part of this Sixth Addendum.
2.0 Term. The term of the Agreement, as amended by the Addendums, is hereby extended
until midnight on September 30, 2011.
3.0 Compensation. For the performance and full completion of the Services specified in the
Agreement, City agrees to pay an hourly rate not to exceed $84.01 per hour with the total
amount of compensation to the Contractor not to exceed $25,000.00 during the term. The
actual hourly rate charged will be determined monthly based upon the following
transportation schedule:
2 days $84.01/hour
3 days $69.81/hour
4 days $60.90/hour
5 days $57.11/hour

4.0 All Other Terms and Conditions. All other terms and conditions of the Agreement, as
amended by the Addendums, shall remain in full effect and shall be enforceable as
provided therein.
5.0 Effective Date. The effective date of this Sixth Addendum shall be the last date signed
below.
IN WITNESS WHEREOF, and intending to be legally bound hereby, the parties cause
this Sixth Addendum to be executed and attested to by their respective authorized officials.
