REQUEST:
The Conununity Development Department- Planning Division requests that the City Commission
make a determination as to whether or not to approve an extension to the Binding Development
Agreement between the City of Winter Springs and Joseph M. Miranda & Zelia M. Miranda.
PURPOSE:
The purpose of this agenda item is to request the City Commission consider an extension to the
Development Agreement between the City and Joseph and Zelia Miranda. The Development
Agreement was executed on June 19,2002 and stipulated an expiration date of two (2) years
from the date the agreement was executed. The First Addendum to the Binding Development
Agreement was executed on October 3,2003 to amend exhibit <<B" of the agreement. The First
Addendum did not extend the expiration date of the agreement. The Development Agreement
expired on June 19, 2004.

CONSlDERA TIONS:
The original Development Agreement between the City of Winter Springs and Joseph and Zelia
M..iranda was executed on June 19, 2004. Contained within the "Expiration" section of this
agreement is the following statement:

"if construction of the automotive repair shop is not substantially completed during the
course of two (2) years from the date that this Development Agreement is executed, as
evidenced by Certificates of Occupancy, this Development Agreement shall expire. The
two (2) year period may be extended by the City Commission, if due to difficulties beyond
the Owner's control and despite a good faith effort by the Owner, construction is
delayed"
The First Addendum to the subject Development Agreement was dated October 3, 2003. This
addendum incorporated an amended Exhibit "B" (Architectural Elevations) into the Agreement.
This addendum did not amend the expiration date of the Agreement. Very specifically, the
Addendum states that "A II other provisions contained in the Agreement which are not amended
by this First Addendum shall remain unchanged and shall continue to he in full force and
effect. "
Mr. Miranda has stated that the bank providing his financing has undergone several mergers
during the course ofthis project and, as a result, his construction start has been delayed.
FINDINGS:
Mr. Miranda submitted for a building permit which was approved on September 12, 2003. Mr.
Miranda has been into the City on several occasions to discuss the situation with the bank, but has
not paid for nor picked up the building permit. The Development Agreement, as far as staff can
ascertain, was not discussed during these visits.
Staff has received a call from Mr. Miranda's banker who has indicated that the financing for Mr.
Miranda's project is now approved.
STAFF RECOMMENDATION:
Staff requests a decision from the City Commission as to whether the Development Agreement
between the City of Winter Springs and Joseph and Zelia Miranda should be extended.

BINDING DEVELOPMENT AGREEMENT
THIS BINDING DEVELOPMENT AGREEMENT is made and executed this / 1 ~
day of -y-~ 2002, by and between the CITY OF WINTER SPRINGS, a Florida
municipal corporation (herein referred to as the "City"), whose address is 1126 East State
Road 434, Winter Springs, Florida, 32708, and the owner of the subject property, JOSEPH
M, MIRANDA and ZELIA M. MIRANDA (herein referred to as the "Owner"), whose
address is 1417 Lambert Street, Deltona, Florida, 32725.
WITNESSETH:
WHEREAS, Owner owns certain property located in the City of Winter Springs,
Floride, Town Center District, and legally described in Exhibit "A," which is attached hereto
and incorporated herein by this reference (herein referred to as the "Subject Property");
and
WHEREAS, the City Commission at its regular meeting on October 22, 2001,
approved a special exception to allow an automotive repair facility at the Subject Property,
subjecl to the seven (7) conditions set forth in the City Commission agenda item for the
special exception and also subject to the approval of lhis development agreement between
the City and Owner; and

WHEREAS, the City Commission of the City of Winter Springs finds that this
Agreement is consistent with the City's Comprehensive Plan and land development
regulations and is a legislative act of the City Commission of the City of Winter Springs;
and
WHEREAS, the City Commission further finds that this Agreement promotes the
public health, safety, and welfare and is consistent with, and an exercise of, the City's
powers under the Municipal Home Rule Powers Act, as provided in s. 2(b), Article VIII of
the Florida Constitution and Chapter 166.021, Florida Statutes, and the City's police
powers.
NOW THEREFORE, in consideration of the mutual covenants and mutual benefits
herein contained, the parties agree as follows:
1. Recitals. The foregoing recitals are hereby incorporated herein by this
reference.
2. Authoritv. This Development Agreement is entered into pursuant to the
Florida Municipal Home Rule Powers Act, and the Code of Ordinances of the City of
Winter Springs.
3. Representations of Owner. Owner hereby represents and warrants to City
that Owner has the power and authority to bind the Subject Property and execute, deliver
and perform the terms and provisions of this Development Agreement, has an equitable
or legal interest in the title to the Subject Property, and has taken all necessary action to
authorize the execution, delivery and performance of this Development Agreement.

4. Approval of Special Exception. The City hereby reaffirms that a special
exception to allow an "automotive repair shop" has been approved by the City commission
on October 22, 2001, for the Subject Property, subject to the terms and conditions of this
Agreement. Owner acknowledges that if this Agreement is ever terminated, the special
exception shall be deemed null and void and the use of the Subject Property as an
automotive repair shop shall no longer be permitted, unless otherwise approved by the
City Commission. The automotive repair shop shall be strictly limited to only routine
service as more particularly described herein.
5. Town Center Acknowledgment. Owner hereby acknowledges that the
Subject Property is located in the Winter Springs Town Center and is subject to certain
unique regulations. These regulations are designed to ensure that all structures and uses
of property located within the Town Center are developed and maintained in a high-quality
condition that promotes the Town Center vision and character set forth in the City's
Comprehensive Plan and Code of Ordinances. Owner also acknowledges that any use
of the Subject Property that is inconsistent with this Agreement and the Town Center
regulations is detrimental to the public health, safety and welfare of the citizens of Winter
Springs. Therefore, Owner hereby agrees to abide by all provisions of the Town Center
Zoning Code and Comprehensive Plan provisions and all discretionary City approvals
granted under said Code and Plan, as may be lawfully amended from time to time.
6. Use Restrictions. Owner agrees to fully comply with the following use
restrictions on the Subject Property:

6.1 Hours of Operation/Noise. The hours of operation of the automotive
repair shop shall be limited to the hours of 7:00 a.m. to 7:00 p.m., Monday through
Saturday. Owner shall take all reasonable and necessary steps required by the
City to minimize noise impacts on surrounding properties. No activity on the
Subject Property shall produce any unreasonabiy loud, disturbing, and/or raucous
noise, audible from surrounding properties, at any time. Emergency towing is the
onty commercial activity allowed at the Subject Property between the hours of 7:00
p.m. to 7:00 a.m., Monday through Saturday and all day on Sunday.
6.2 SiQnal1e. Signage must conform to the Town Center requirements
and shall be limited to that depicted on Exhibit "8," which is attached hereto and
incorporated by this reference.
6.3 Vehicle StoraQe/ScreeninQ. Vehicles awaiting routine service or
repair must be stored in the rear of the site and not be visible from the public rights-
of-way. Garden walls, fences, or hedges may be used to screen vehicles from
public view. A 6-foot tall masonry wall shall be constructed and maintained along
the entire rear boundary of the Subject Property. The height of said wall shall be
measured from ground level and the masonry materials and design of the wall shall
be subject to City approval. The Subject Property shall not be used as a towing
storage area (no wrecked or stored vehicles will be allowed). There will be a
reasonable limit to the time a vehicie may be kept at the Subject Property. Tow
trucks or similar-type vehicles shall not be stored or parked overnight on the
Subject Property.

6.4 Use Restrictions. On-site work shall be limited to minor automobile
repairs and express lube. There shall be no retail sales of automobile parts or
accessories. Allowable minor automotive repairs uses include express lubrication;
other automotive fluid changes or additions; tune-ups; timing, carburetor, clutch and
other various adjustments; changing clutches, head gaskets, shock absorbers,
struts, starters, alternators, water pumps, radialors, hoses, belts, windshield wipers,
and similar other routine service items. Major engine or transmission work (e.g.,
overhauling or changing engines or transmissions), frame straightening, paint
and/or body work, and similar major service items shall be strictly prohibited.
6.5 Buildinq. The building located on the Subject Property shall be
constructed to be 2-story in appearance, or in fact, with all four (4) sides of the
building, as well as the wall(s), substantially consistent, architecturally, with the
facade substantially in conformance with Exhibit "B," which is hereby incorporated
herein by this reference. The building may house a maximum of five (5) "service
bays," three (3) of which will be used for minor automobile repair work and two (2)
of which will be used for express lubrication. Owner may construct one residential
unit on the second floor of the building, subject to all applicable building and
life/safety codes. The building shall be provided with an awning or awnings on the
front, consistent with the awning specifications set forth in the Town Center District
Code.
6.6 Landscapinq. In addition to the normal exterior building landscaping,
the final site plan shall include a landscape plan with landscaping and trees on the

interior of the Subject Property. Owner shall maintain the landscaping at all times
by retaining a competent and qualified professional landscape maintenance
company.
6.7 Pollution and Other Environmental Concerns. Owner shall fully
compiy with all applicable iocal, state, and federal environmental regulations and
laws governing noxious fumes and the disposal of waste materials. Fumes and
obnoxious odors generated by the automotive repair shop shall not affect the
surrounding properties and shall be minimized to the maximum extent possible.
Stormwater management, motor oil tanks, and other environmental considerations
shall be adequately addressed to the City's satisfaction during the site plan review
process.
6.8 Expiration. If construction of the automotive repair shop is not
substantially completed during the course of two (2) years from the date that this
Development Agreement is executed, as evidenced by Certificates of Occupancy,
this Development Agreement shall expire. The two (2) year period may be
extended by the City Commission, if due to difficulties beyond the Owner's control
and despite a good faith effort by the Owner, construction is delayed.
7. Successors and AssiQns. This Development Agreement shall automatically
be binding upon and shall inure to the benefit of the successors and assigns of each of the
Subject Property.

8. Applicable law. This Development Agreement shall be governed by and
construed in accordance with the laws of the State of Florida and the City of Winter
Springs.
9. Amendments. This Development Agreement shall not be modified or
amended except by written agreement executed by all parties hereto and approved by the
City Commission of the City of Winter Springs.
10. Entire AQreemenl. This Development Agreement supersedes any other
agreement, written or oral, and contains the entire agreement between the parties as to
the subject matter hereof.
11. Severability. If any provision of this Development Agreement shall be held
to be invalid or unenforceable to any extent by a court of competent jurisdiction, the same
shall not affect in any respect the validity or enforceability of the remainder of this
Development Agreement.
12. Effective Date. This Development Agreement shall become effective upon
approval by the City of Winter Springs City Commission and execution oflhis Development
Agreement by all parties.
13. Recordation. Upon approval by the City of Winter Springs City Commission
and execution of this Development Agreement by all parties, this Development Agreement
and any amendments hereto shall be recorded by the City in the public records of
Seminole County, Florida, and shall run with the land.
14. Relationship of the Parties. The relationship of the parties to this
Development Agreement is contractual and arm's length. Owner is not an agent of the City

for any purpose. Nothing herein shall be deemed to create a partnership, or joint venture,
or principal-agent relationship among the parties, and no party Is authorized to, nor shall
any party act toward third persons or the public In any manner which would indicate any
such relationship with any other party.
15. SovereiQn Immunity. Nothing contained in this Development Agreement
shall be construed as a waiver of the City's right to sovereign immunity under Section
768.28, Florida Statutes, or any other limitation on the City's potential liability under state
or federal law.
16. City's Police Power. Owner acknowledges and agrees that the City hereby
reserves all police powers granted to the City by law. In no way shall this Development
Agreement be construed as the City bargaining away or surrendering its police powers.
17. Interpretation. The parties to this Development Agreement acknowledge
and agree that all parties have participated equally in the drafting of this Development
Agreement, and no party shall be favored or disfavored regarding interpretation of this
Development Agreement in the event of a dispute between the perties.
18. Pennits. The failure of this Development Agreement to address any
particular City, county, state and federal permit, condition, term or restriction shall not
relieve Owner or the City of the necessity of complying with the law governing said
permitting requirements, conditions, term or restriction.
19. Third Party RiQhts. This Development Agreement is not a third party
beneficiary contract, and shall not in any way whatsoever create any rights on behalf of
any third party.

20. Specific Perfonmance. Strict compliance shall be required with each and
every provision of this Development Agreement. The parties agree that failure to perform
the obligations established in this Development Agreement shall result in irreparable
damage, and that specific performance of these obligations may be obtained by suit in
equity.
21. Attorneys' Fees. In connection with any arbitration or litigation arising out
of this Development Agreement, the prevailing party shall be entitled to recover
reasonable attorney's fees and costs through all appeals to the extent permitted by law.
22. Future RezoningslDeyelopment Penmits. Nothing in this Development
Agreement shall limit the City's authority to grant or deny any future rezoning or
development permit applications or requests, or the right of Owner to apply for or oppose
any future rezoning or development permit application subsequent to the Effective Date
of this Development Agreement. In addition, nothing herein shall be construed as granting
or creating a vested property right or interest in the Subject Property.
23. Force Maieure. The parties agree that in the event that the failure by either
party to accomplish any action required hereunder within a specified time period ("Time
Period") constitutes a default under the terms of this Agreement and, if any such failure is
due to any unforeseeable or unpredictable event or condition beyond the control of such
party, including, but not limited to, acts of God, acts of government authority (other than
the City's own acts), acts of public enemy or war, riots, civil disturbances, power failure,
shortages of labor or materials, injunction or other court proceedings beyond the control
of such party, or severe adverse weather conditions ("Uncontrollable Event"), then
notwithstanding any provision of this Agreement to the contrary, that failure shall not

constitute a default under this Agreement and any Time Period proscribed hereunder shall
be extended by the amount of time that such party was unable to perform solely due to the
Uncontrollable Event.
24. City's Rillht to Terminate A<lreement. Failure by Owner to perform each
and every one of its obligations hereunder shall constitute a default, entitling the City to
pursue whatever remedies are available to it under Florida law or equity including, without
limitation, an action for specific performance and/or injunctive relief or alternatively, the
termination of this Agreement. Prior to the City filing any action or terminating this
Agreement as a result of a default under this Agreement, the City shall first provide the
Owner with written notice of said default. Upon receipt of said notice, the Owner shall be
provided a thirty (30) day opportunity in which to cure the default to the reasonable
satisfaction of the City prior to filing said action or terminating this Agreement. If thirty (30)
days is not a reasonable period in which to cure the default, the cure period shall be
extended to a reasonable cure period mutually acceptable to the City and the Owner, but
in no case shall that cure period exceed one-hundred twenty (120) days. Upon termination
of the Agreement, the Owner shall immediately lose all rights and privileges granted
hereunder.

BINDING DEVELOPMENT AGREEMENT
ThisF'irst Addendum is made and entered into this ~J. day of Od. b" \'" , 2003, by and
between the l,ll1dersigned parties, as follows:
WITNESSETH:
WHEREAS, the City of Winter Springs and Joseph M. Miranda and Zelia M. Miranda
previously entered into that certain Binding Development Agreementl dated June 19, 2002 and
recorded July 1, 2002, to allow a special exception for an automotive repair facility ("Agrccment");
and
\VHEREAS, at their August 11,2003 meeting, the City Commission voted to amend Exhibit
''B'' to the Agreement.
IN CONSIDERATION of the mutual covenants and provisions hereof: and other good and
valuable considerations, the receipt and sufficiency all of which is hereby acknowledged, the parties
desire to be legally bound and agree as follows:
1.0. The amended Exhibit "B" to the Agreement is attached hereto and fullyincorporated
herein by this reference.
2.0. All other provisions contained in the Agreement which are not amended bytlris First
Addendum shall remain unchanged and shall. continue to be in full force and effect
3.0 This First Addendumshall be recorded in the Public Records of Seminole County and
shall be a binding obligation on the Property fully depicted and legally described in the Agreement
and shall run with the land.

The Winter Springs City Commission will consider a request for a special
exception by JDC Calhoun, Inc. on October 22, 2001, to allow a Large Footprint
Building and seven (7) associated special exceptions (variations) from the Town
Center District Code. The 15.07-acre site is located at the northwest corner of the

FINDINGS:
1. The development agreement is authorized pursuant to the Municipal Home Rule Powers
Act, as provided in s 2(b), Article vm of the Florida Constitution and Chapter 166, Section
166.021, Florida Statutes.

2. The development agreement is consistent with the City's Comprehensive Plan and Code
of Ordinances. .
3. The development agreement provides for ressonable use of the subject property, while
addressing issues and concerns pertinen\ to the present and future use of the site.
4. The apecial exception was approved on October 22,2001, and was valid for 6 months.
CONSIDERATIONS:
The Special Exception for an automotive repair shop in the Town Center was approved on
October 22, 2001, contingent upon a development agreement being executed between the
applicant and the City. During the time that has elapsed since approval, the applicant moved the
residential tenants from the site, hired an engineer and an architect, obtained financing, and hired
another contractor. A Special Exception is valid for six months
RECOMMENDATION:

THIS BINDING DEVELOPMENT AGREEMENT is made and executed this

WHEREAS, Owner owns certain property located in the City of Winter Springs.
Florida. Town Center District. and legally described in Exhibit "A,' which is attached hereto
and incorporated herein by this reference (herein referred to as the "Subject Property");

WHEREAS, the City Commission of the City of Winter Springs finds that this
Agreement is consistent with the City's Comprehensive Plan "nd I"nd development
regulations and is a legisl"tive act of the City Commission of the City of Winter Springs;

public health, safety, and welfare and is consistent with, and an exercise of, the City's

4. Approval of Special ExceP1ion. The City hereby reaffirms that a special
exception to allow an "automotive repair shop' has been approved by tha City commission
on October 22, 2001. for the Subject Property. subject to the terms and conditions of this
Agreement. Owner acknowledges that if this Agreement is ever tennlnated,the special
exception shall be deemed null and void and the use of the Subject Property as an
automotive repair Shop shall no longer be permitted, unless otherwise approved by the
City Commission. The automotive repair shop Shall be strictly limited to only routine
service as more particularly described herein.
5. Town Center Acknowledgment. Owner hereby aCknowledges that the
Subject Property is located in the Winter Springs Town Center and is subjeclto certain
uniqua regulations. These regulations are designed to ensure that all structures and uses
of property located within the Town Center are developed and maintained in a high-quality
condi~on that promotes the Town Center vision and character set forth in the City's
Comprehensive Plan and Code of Qrdinances. Owner also acknowledges thet any use
of the Subjea Property that is inconsistent with this Agreement and the Town Center
regulations is datrimentalto the public health, safety and welfare of the citizens of Winter
Springs. Therefore, Owner hereby agrees to abide by all provisions of Ihe Town Center
Zoning Code and Comprehensive Plan provisions end all discretionary City approvals
granted under said Code and Plan, as may be lawfully amended from time to tlma.
6. Use Restrictions. Owner agrees to fully comply with the following use

6.1 Hours of Operation/Noise. The hours of operation of the automotive
,
repair shop shell be' limited to the hours of 7:00 a.m. to 700 p.m., Monday through
Saturday. Owner shall take all reasonable and necessary steps required by the
City to minimize noise impacts olllSurrounding properties. No activity On the
'.
Subject Property shall produce any unreasonably loud, disturbing, and/or raucous
noise, audible from surrounding properties, at any time. Emergency towing Is the
only commercial activity allowed at the Subject Property between the hours of 7:00
p.m. to 7:00 a.m., Monday through Saturday and all dey On Sunday.
6.2 SiQnaQe. Signage must conform to the Town Center requirements
and shall be limited to that depicted on exhibit "8: which is attached hereto and
incorporated by this reference.
6.3 Vehicle Stora(le/ScreenilJQ. Vehicles awaiting routine service or
repair must be stored In the rear of the site and not be visible from the public rights-
of-way. Garden walls, fenC9s, or hedges may be used to screen vehicles from
public view. A 6-foot lall masonry wall shall be constructed end maintained along
the entire rear boundary of the Subject Property. The height of said wall shall be
measured from grOUnd level and the masonry materials and design of the wall shall
be subject to City approval. The Subject Property shall not be used as a towing
storage area (no wrecked or stored vehicles will be allowed). There will be a
reasonable limit to the time a vehicle may be kept at the Subject Property. Tow
trucks or similar-type vehicles shall not be stored on the Subject Properly.

6.4 Use Restrictions. On-site work shall be limited to minor automobile
repalfs and express lube. There shall be no retail sales of automobile parts or
.
accessories. Allowable minor automotive repairs USes include express lubrication;
other automotive fluid changes or additions; tune-ups; timing. carburetor. clutch ana
other various adjustments; changing clutches, head gaskets, shock absorbers,
struts, starters, altemators. waterpumps, radiators, hoses, belts. windshield wipers,
and similar other routine service items: Major engine or transmiSSion work (e.g.,
overhauling or changing engines Or transmissions). frame straightening, paint
and/or body work, and similar major service items shall be strictly prohibited.
6.5 lluildinQ. The building located on the Subject Property shall be
constructed to be 2-slory in appearance. or in fact, with all four (4) sides of the
building, as well as the wall(s), substantially consistent, architecturally, with the
facade substantially in conformance with Exhibit "8," which is hereby incorporated
herein by this reference. The building may house a maximum of five (5) "service
bays," three (3) of which will be used for minor automobile repair work and two (2)
of which will be used for express lubrication. Owner may construct one residential
unit on the second floor of the building, subject to all applicable building and
life/safety codes. The building shall be provided with an awning or awnings on the
front, consistent with the awning speCifications set forth in the Town Center District
Code.
6.6 Land!;CBllinQ In addition to the normal exterior building landscaping,
the final site plan shall include a landscape plan with landscaping and trees on the

interior of the Subject Property. Owner shall mainlain the landscaping at all limes

by retaining a competent and qualified professional landscape maintenance
company.
6.7 Pollution and Other !ifwironmental Concerns. Owner shall fully
comply with all applicable local, state, and federal environmental regulations end
laws goveming noxious fUmes and the disposal of waste materials. Fumes and
obnoxious odors generated by the automotive repair shop shall not affect the

surrounding properties and shall be minimized to the maximum extent possible.
Stormwater management, motor oil tanks, and other environmental considerations
shall be adequately addressed to the City's satisfaction during the site plan review
process.
6.8 Expiration. If construction of the automotive repair shop is not
subslantlally completed during the course of two (2) years from the date that this
o.v.topmenl Agreement is executed, as evidenced by Certificates of Occupancy,
this Development Agreement shall expire. The two (2) year period may be

8. Applicable Law. This Development Agreement shall be governed by and
construed In acCordance with the laws of the State of Florida and the City of Winter
Springs.
9. Amendments. This Devel~pment Agreement shall not be modified or
amended except by written agreement e~ecuted by ell parties hereto and approved by the
City Commission of the City of Winter Springs.
10. fntlre Agre~ment. This Development Agreement supersedes any other
agreement, written or oral, and contains the entire agreement between the parties as fa
the SUbject matter hereof.
11. Severability. II any provision of this Development Agreement shall be held
to be Invalid or unenforoeable to any extent by a court of competent jurisdiction, the same
shall not affect in any respect the validity or enforceability of the remainder of this
Development Agreement.

far any purpose. Nothing h..rein shall be deemed to create a partnership, or joint venture,
or pnncipal-agent relationship among the parties, and no party is authorized to, nor shall
any party act toward third persons or the public in any manner which would indicate any
such relationship with any other party.

15. Sovereilln Immunity. Nothing contained in this Development Agreement

shall be construed as a waiver of the City's right to sovereign immunity under Section
768.26, Florida Statutes, or any ather Iimitatiao an the City's potential liability under state
or lederallaw.
16. City'" Police Power. Owner acknOWledges and agrees that the City hereby
reserves all police powers granted to the City by law. In no way shall this Development
Agreement be construed as the City bargaining away or surrendering its police powers.
17. Interpretation. The parties to this Development Agreement acknowledge
and agree that all parties have participated equally in the drafting of this Development
Agreement, and no party shall be fevored or disfavored regarding interpretation of this
Development Agreement in the event of a dispute between the parties.
16. Pennits. The failure 01 this Development Agreement to address any
particular City, county, state and lederal permit, condition, term or restriction shall not
relieve Owner or the City of the necessity of complying with the law governing said
permitting requirements, conditions, term or restriction.
19. Third Party Rights. This Development Agreement is not a third party
beneficiary contract, and shall not in any way whatsoever create ahy rights on behalf of
any third party.

20. Specific Performance. Strict compliance shall bC reqUIred with each and
every provision of this D"velopment Agreement The parties agree that failure to perform
the obligations established' in this Deveiopment Agreement shall result in irreparable
damage, and that specific performance of )he.e obligations may be obtained by suit in
equity.
21. Attorneys' Fees. In connection with any arbitration or litigation arising out
of this Development Agreement, the prevailing party shall be entitled to recover
reasonable attorney's fees and costs through all appeals'to the extent pennilled by law.
22. Future RezoniRllGlVevelopment Pennilll. Nothing in this Development
Agreement shall limit the City's authority to grant or deny any future rezoning or
development permit applications or requests, or the right of Owner to apply for or oppose
any future rezoning or development permit application subsequent to the Effective Date
of this Development Agreement. In addition, nothing herein shall be COnstrued as granting
or creating a vested property right or interest in the Subject Property.
23. Force Majeure. The parties agree that in the event that the failure by either
paity to accomplish any action required hereunder within a specified lime period ('lime
Period') constitutes a default under the tenns of this Agreement and, if any such failure Is
due to any unforeseeable or unpredictable event or condition beyond the control of such
party, including, but nollimited to, acts of God, acts of government authority (other than
the City's own acts), acts of public enemy or war, riots, civil disturbances, power failure,
shortages of labor or materials, injunction or other court proceedings beyond the control
of such party, or severe adverse weather conditions ('Uncontrollable Evenr), then
notwithstanding eny provision of this Agreement 10 the contrary, that failure shall not

constitute a default under this Agreement and any Time Period proscribed hereunder shall
be extended by the amount of time that such party was unable to perform solely due to the
Uncontrollable Event.
24. Cltv'e Right to Terminate Allrvement. Failure by Owner to perform eaen
and every one Of its obligations hereun\ler shall constitute a default, entitling the City to
pursue whatever remedies are available to it under Florida law or equity including, without
limitation, an action for specific performanCfl6ndlor injunctive relief or allemativtlly, the
termination of this Agreement. Prior to the City filing any action or terminating this
Agreement as a result of a default under this Agreement, the City shall first provide the
Owner with written notiCfl of said default. Upon receipt 01 said notice, the Owner shall be
provided a thirty (30) day opportunity in which to cure the default to the reasonable
satisfaction of the City prior to filing said action or terminating this Agreement. If thirty (30)
days is not a reasonable period In whicll to cure thtl default, the cure period shall be
extende<l to a reasonable cure period mutually acceptable to the City and the Owner, but
in no case shall that cure period exceed one-hundredtwenty (120) days. Upon termination
of the AQreellltlnt, the Owner shall imme<liately lose all rights and privileges granted
hereunder.

THIS BINDING DEVELOPMENT AGREEMENT is made and executed this / 1 ~

municipal corporation (herein referred to as the "City"), whose address is 1126 East State
Road 434, Winter Springs, Florida, 32708, and the owner olthe subject property, JOSEPH
M. MIRANDA and ZELIA M. MIRANDA (herein referred to as the "Owner"), whose
address is 1417 Lambert Street, Deltona, Florida, 32725.
WITNESSETH:
WHEREAS, Owner owns certain property located in the City of Winter Springs,
Florida, Town Center District, and legally described in Exhibit"A," which is attached hereto
and incorporated herein by this reference (herein referred to as the "Subject Property");
and
WHEREAS, the City Commission at its regular meeting on October 22, 2001,
approved a special exception to allow an automotive repair facility at the Subject Property,
subject to the seven (7) conditions set forth in the City Commission agenda item for the
special exception and also subject to the approval of this development agreement between
the City and Owner; and

WHEREAS, the City Commission of the City of Winter Springs finds that this
Agreement is consistent with the City's Comprehensive Plan and land development
regulations and is a legislative act of the City Commission of the City of Winter Springs;
and
WHEREAS, the City Commission further finds that this Agreement promotes the
public health, safety, and welfare and is consistent with, and an exercise of, the City's
powers under the Municipal Home Rule Powers Act, as provided in s. 2(b), Article VIII of
the Florida Constitution and Chapter 166.021, Florida Statutes, and the City's police
powers.
NOW THEREFORE, in consideration of the mutual covenants and mutual benefits
herein contained, the parties agree as follows:
1. Recitals. The foregoing recitals are hereby incorporated herein by this
reference.
2. Authoritv. This Development Agreement is entered into pursuant to the
Florida Municipal Home Rule Powers Act, and the Code of Ordinances of the City of
Winter Springs.
3. Representations of Owner. Owner hereby represents and warrants to City
that Owner has the power and authority to bind the Subject Property and execute, deliver
and perform the terms and provisions of this Development Agreement, has an equitable
or legal interest in the title to the Subject Property, and has taken all necessary action to
authorize the execution, delivery and performance of this Development Agreement

4. Approval of Special Exception. The City hereby reaffirms that a special
exception to allow an "automotive repair shop" has been approved by the City commission
on October 22, 2001, for the Subject Property, subject to the terms and conditions of this
Agreement. Owner acknowledges that if this Agreement is ever terminated, the special
exception shall be deemed null and void and the use of the Subject Property as an
automotive repair shop shall no longer be permitted, unless otherwise approved by the
City Commission. The automotive repair shop shall be strictly limited to only routine
service as more particularly described herein.
5. Town Center Acknowledqment. Owner hereby acknowledges that the
Subject Property is located in the Winter Springs Town Center and is subject to certain
unique regulations. These regulations are designed to ensure that all structures and uses
of property located within the Town Center are developed and maintained in a high-quality
condition that promotes the Town Center vision and character set forth in the City's
Comprehensive Plan and Code of Ordinances. Owner also acknowledges that any use
of the Subject Property that is inconsistent with this Agreement and the Town Center
regulations is detrimental to the public health, safety and welfare of the citizens of Winter
Springs. Therefore, Owner hereby agrees to abide by all provisions of the Town Center
Zoning Code and Comprehensive Plan provisions and all discretionary City approvals
granted under said Code and Plan, as may be lawfully amended from time to time.
6. Use Restrictions. Owner agrees to fully comply with the following use
restrictions on the Subject Property:

6.1 Hours of Operation/Noise. The hours of operation of the automotive
repair shop shall be limited to the hours of 7:00 a.m. to 7:00 p.m., Monday through
Saturday. Owner shall take all reasonable and necessary steps required by the
City to minimize noise impacts on surrounding properties. No activity on the
Subject Property shall produce any unreasonably loud, disturbing, and/or raucous
noise, audible from surrounding properties, at any time. Emergency towing is the
only commercial activity allowed at the Subject Property between the hours of 7:00
p.m. to 7:00 a.m., Monday through Saturday and all day on Sunday.
6.2 Sionaoe. Signage must conform to the Town Center requirements
and shali be limited to that depicted on Exhibit "6," which is attached hereto and
incorporated by this reference.
6.3 Vehicle Storaoe/Screenino. Vehicles awaiting routine service or
repair must be stored in the rear of the site and not be visible from the public rights-
of-way. Garden walls, fences, or hedges may be used to screen vehicles from
public view. A 6-foot tall masonry wall shall be constructed and maintained along
the entire rear boundary of the Subject Property. The height of said wall shall be
measured from ground level and the masonry materials and design of the wall shall
be subject to City approval. The Subject Property shall not be used as a towing
storage area (no wrecked or stored vehicles will be allowed). There will be a
reasonable limit to the time a vehicle may be kept at the Subject Property. Tow
trucks or similar-type vehicles shall not be stored or parked overnight on the
Subject Property.

6.4 Use Restrictions. On-site work shaii be limited to minor automobile
repairs and express lube. There shall be no retail sales of automobile parts or
accessories. Allowable minor automotive repairs uses include express lubrication;
other automotive fluid changes or additions; tune-ups; timing, carburetor, clutch and
other various adjustments; changing clutches, head gaskets, shock absorbers,
struts, starters, alternators, water pumps, radiators, hoses, belts, windshield wipers,
and similar other routine service items. Major engine or transmission work (e.g.,
overhauling or changing engines or transmissions), frame straightening, paint
and/or body work, and similar major service items shaii be strictly prohibited.
6.5 Buildino. The building located on the Subject Property shaii be
constructed to be 2-story in appearance, or in fact, with aii four (4) sides of the
building, as well as the waii(s), substantiaiiy consistent, architecturaiiy, with the
facade substantiaiiy in conformance with Exhibit "6," which is hereby incorporated
herein by this reference. The building may house a maximum of five (5) "service
bays," three (3) of which wiii be used for minor automobile repair work and two (2)
of which wiii be used for express lubrication. Owner may construct one residential
unit on the second floor of the building, subject to all applicable building and
life/safety codes. The building shaii be provided with an awning or awnings on the
front, consistent with the awning specifications set forth in the Town Center District
Code.
6.6 Landscapino. In addition to the normal exterior building landscaping,
the final site plan shall inciude a landscape plan with landscaping and trees on the

interior of the Subject Property. Owner shall maintain the landscaping at all times
by retaining a competent and qualified professional landscape maintenance
company.
6.7 Pollution and Other Environmental Concerns. Owner shall fully
comply with all applicable local, state, and federal environmental regulations and
laws governing noxious fumes and the disposal of waste materials. Fumes and
obnoxious odors generated by the automotive repair shop shall not affect the
surrounding properties and shall be minimized to the maximum extent possible.
Stormwater management, motor oil tanks, and other environmental considerations
shall be adequately addressed to the City's satisfaction during the site plan review
process.
6.8 Expiration. If construction of the automotive repair shop is not
substantially completed during the course of two (2) years from the date that this
Development Agreement is executed, as evidenced by Certificates of Occupancy,
this Development Agreement shall expire. The two (2) year period may be
extended by the City Commission, if due to difficulties beyond the Owner's control
and despite a good faith effort by the Owner, construction is delayed.
7. Successors and Assigns. This Development Agreement shall automatically
be binding upon and shall inure to the benefit of the successors and assigns of each of the
Subject Property.

8. Applicable Law. This Development Agreement shall be governed by and
construed in accordance with the laws of the State of Florida and the City of Winter
Springs.
9. Amendments. This Development Agreement shall not be modified or
amended except by written agreement executed by all parties hereto and approved by the
City Commission of the City of Winter Springs.
1 D. Entire Aoreement. This Development Agreement supersedes any other
agreement, written or oral, and contains the entire agreement between the parties as to
the subject matter hereof.
11. Severabilil'l. If any provision of this Development Agreement shall be held
to be invalid or unenforceable to any extent by a court of competent jurisdiction, the same
shall not affect in any respect the validity or enforceability of the remainder of this
Development Agreement.
12. Effective Date. This Development Agreement shall become effective upon
approval by the City of Winter Springs City Commission and execution oflhis Development
Agreement by all parties.
13. Recordation. Upon approval by the City of Winter Springs City Commission
and execution of this Development Agreement by all parties, this Development Agreement
and any amendments hereto shall be recorded by the City In the public records of
Seminole County, Florida, and shall run with the land.
14. Relationship of the Parties. The relationship of the parties to this
Development Agreement is contractual and arm's length. Owner is not an agent of the City

for any purpose. Nothing herein shall be deemed to create a partnership, or joint venture,
or principal-agent relationship among the parties, and no party is authorized to, nor shall
any party act toward third persons or the public in any manner which wouid indicate any
such relationship with any other party.
15. SovereiQn Immunitv. Nothing cont<lined in this Development Agreement
shall be construed as a waiver of the City's right to sovereign Immunity under Section
768.28, Florida Statutes, or any other limitation on the City's potential liability under state
or federal law.
16. City's Police Power. Owner acknowledges and agrees that the City hereby
reserves all police powers granted to the City by law. In no way shall this Development
Agreement be construed as the City bargaining away or surrendering its police powers.
17. Interpretation. The parties to this Development Agreement acknowledge
and agree that all parties have participated equally in the drafting of this Development
Agreement, and no party shall be favored or disfavored regarding interpretation of this
Development Agreement in the event of a dispute between the parties.
18. Permits. The failure of this Development Agreement to address any
particular City, county, state and federal permit, condition, term or restriction shall not
relieve Owner or the City of the necessity of complying with the law governing said
permitting requirements, conditions, term or restriction.
19. Third Party Rights. This Development Agreement is not a third party
beneficiary contract, and shall not in any way whatsoever create any rights on behalf of
any third party.

20. Specific Performance. Strict compliance shall be required with each and
every provision of this Development Agreement. The parties agree that failure to perform
the obligations established in this Development Agreement shall result in irreparable
damage, and that specific performance of these obligations may be obtained by suit in
equity.
21. Attorneys' Fees. In connection with any arbitration or litigation arising out
of this Development Agreement, the prevailing party shall be entitled to recover
reasonable attorney's fees and costs through all appeals to the extent permitted by law.
22. Future Rezoninas/Development Penmits. Nothing in this Development
Agreement shall limit the City's authority to grant or deny any future rezoning or
development permit applications or requests, or the right of Owner to apply for or oppose
any future rezoning or development permit application subsequent to the Effective Date
ofthis Development Agreement. In addition, nothing herein shall be construed as granting
or creating a vested property right or interest in the Subject Property.
23. Force Maieure. The parties agree that in the event that the failure by either
party to accomplish any action required hereunder within a specified time period ("Time
Period") constitutes a default under the terms of this Agreement and, if any such failure is
due to any unforeseeable or unpredictable event or condition beyond the control of such
party, including, but not limited to, acts of God, acts of government authority (other than
the City's own acts), acts of public enemy or war, riots, civil disturbances, power failure,
shortages of labor or materials, injunction or other court proceedings beyond the control
of such party, or severe adverse weather conditions ("Uncontrollable Event"), then
notwithstanding any provision of this Agreement to the contrary, that failure shall not

constitute a default under this Agreement and any Time Period proscribed hereunder shall
be extended by the amount of time that such party was unable to perform solely due to the
Unoontrollable Event
24. City's Riaht to Terminate Agreement Failure by Owner to perform each
and every one of its obligations hereunder shall constitute a default, entitling the City to
pursue whatever remedies are available to it under Florida law or equity including, without
limitation, an action for specific performance and/or injunctive relief or alternatively, the
termination of this Agreement Prior to the City filing any action or terminating this
Agreement as a result of a default under this Agreement, the City shall first provide the
Owner with written notice of said default Upon receipt of said notice, the Owner shall be
provided a thirty (30) day opportunity in which to cure the default to the reasonable
satisfaction of the City prior to filing said action or terminating this Agreement If thirty (30)
days is not a reasonable period in which to cure the default, the cure period shall be
extended to a reasonable cure period mutually acceptable to the City and the Owner, but
in no case shall that cure period exceed one-hundred twenty (120) days. Upon termination
of the Agreement, the Owner shall immediately lose all rights and privileges granted
hereunder.

RE: JZM, INC.. a Florida corooration d/bla MIRANDA'S TOWING ("Borrower"}
In consideration of SOUTHERN COMMUNITY BANK ("Bank") making a loan of FOUR HUNDRED SIXTY-
TWO THOUSAND AND 00/100 DOLLARS ($462,000.00) to Borrower (the "Loan"), as evidenced by a
Promissory Note dated January 7,2003 (the "Note"), Borrower agrees as follows:
1. Reoresentations and Warranties. To induce the Bank to make the Loan, Borrower makes
the following representations and warranties, which shall survive the execution and delivery of the Note.
(a) The financial information furnished to Bank in connection with its application for the
Loan and in the financial statements submitted to Bank Is complete and accurate and Borrower has no
undisclosed direct or contingent liabilities.
(b) Borrower Is duly organized, existing and in good standing under the laws of the
State of Florida, has power to carry on the business in which it is engaged, and the obtaining and
performance of the Loan have been duly authorized by alt necessary action of the General Partners thereof
under applicable law and do not and will not (i) violate any provision of law or any of its organizationai or other
organic documents, or (ii) result In a breach of, constitute a default under, require any consent under, or
result in the creation of any lien, charge or encumbrances upon any property of Borrower pursuant to any
instrument, order, or other agreement to which Borrower is a party or by which Borrower, any of its officers as
such, or any of its property is bound.
(c) There are no judgments, liens, encumbrances or other security interests
outstanding against Borrower or any of its property other than those disclosed to Bank in connection with its
request for the Loan.
(d) Borrower has not incurred any debts, liabilities or obligations and has not committed
itself to incur any debts, liabilities or obligations other than those disclosed to Bank in connection with its
request for the Loan or shown on the financial statements submitted to Bank.
2. Use of Loan Proceeds. The proceeds of the Loan will be used only for the purpose or
purposes of refinancing an existing land loan and to construct an automotive repair facility
3. Affirmative Covenants. Borrower will:
(a) Agree to maintain a depository relationship with the Bank during the term of this Loan.
(b) Reserve and keep in force all licenses, permits and franchises necessary for the
proper conduct of its business and duly pay and discharge all taxes, assessments and governmental charges
upon Borrower or against Borrower's property before the date on which penalties attached thereto, unless
and to the extent only that the same shall be contested in good faith and by appropriate proceedings.
(c) Furnish to Bank (i) within ninety days after the close of each fiscal year a detailed
report of audit of Borrower bearing an opinion acceptable to Bank prepared by independent certified public

accountants who are satisfactory to Bank; (Ii) within thirty days after the close of the first, second and third
quarters of each fiscal year of Borrower, a balance sheet and profit and loss statement on Borrower certified
by Borrower to be correct and accurate; and (Hi) such other information respecting the financial condition and
operations of Borrower as Bank may from time to time reasonably request. At or before the time of
furnishing the annual report of audit and each quarterly report, Borrower shall proYide to Bank a certificate to
the effect that Borrower has complied with the proYisions of this Agreement, or stating the respect in which it
has failed to do so.
(d) Maintain with financially SOund and reputable insurance companies insurance of the
kinds, covering the risks, and in the amounts usually carried by companies engaged in business similar to
that of Borrower. Borrower will also exhibit or deliver such poHcies of insurance to Bank upon request by
Bank and provide appropriate loss payable or mortgagee clauses in the insurance policies in favor of Bank,
as its interest may appear, when requested by Bank. Bank shall have the right to settle and compromise any
and all claims under any policy required to be maintained by Borrower hereunder and Borrower hereby
appoints Bank as its attorney-in-fact, with power to demand, receive and receipt for ali monies payable
thereunder, to execute in the name of Borrower or Bank or both any proof of loss, notice, draft or other
instruments in connection with such policies or any loss thereunder and generally to do and perform any and
ail acts as Borrower but for this appointment, might or couid perform.
(e) Upon request by Bank, execute and deliver to Bank finanCing statements in form
and substance satisfactory to Bank to perfect or continue any and aU security interests of Bank in any
collateral securing the loan.
(f) Maintain executive personnel and management reasonably satisfactory to Bank.
(g) Permit any representative or agent of Bank to examine and audit any or all of
Borrower's books and records when requested by Bank.
(h) Inform Bank immediately of any material adverse change in the financial condition
of Borrower. Borrower will also promptly inform Bank of any litigation or threatened litigation which might
substantially affect Borrower's financial condition.
(i) Maintain Borrower's property and equipment in a state of good repair.
4. Neaative Covenants. Borrower will not, without prior written consent of Bank:
(a) Incur any additional indebtedness for borrowed money, any additional contingent
liability, or assign, mortgage, pledge, encumber, grant any security interest in, or transfer any of Borrower's
assets, whether now owned or hereafter acquired, except in the ordinary course of Borrower's business. For
the purposes hereof, the sale or assignment of accounts receivable and the execution of leases or rental
agreements, shan constitute incurring indebtedness for borrowed money, and the execution of any guaranty
agreement or letter of credit agreement shall constitute the incurrence of a contingent liability.
(b) Guarantee, endorse or otherwise become surety for or upon the obligation of any
person, firm or corporation.
(c) lend money or credit to or make or penn it to be outstanding ioans or advances to
any person, firm or corporation.
(d) Enter Into any merger or consolidation, or sell, lease, transfer, or otherwise dispose
of all or any substantial part of its assets (except in the ordinary Course of business), whether now owned or
hereafter acquired; or change its name or any name in which it does business; or moye it.s principal piace of
business without giving written notice thereof to Bank alleast thirty (3D) days prior thereto.

(e) Make any distribution of cash or property to its shareholders or owners or permit the
withdrawal of any assets from Borrower's business.
5. Security For Loan. As security for the Loan and any other indebtedness of the Borrower,
Borrower hereby grants a security interest in and will deliver to Bank or will execute appropriate security
agreements in form satisfactory to Bank the following collateral:

Borrower represents and warrants that it wlll be the absolute owner of the above collateral and that the
collateral is owned free and clear of all liens, encumbrances and security interests of any kind.
6. Events of Default. The Bank shall have the option to declare the entire unpaid amount of
the Loan and accrued interest immediately due and payable, without presentment, demand or notice of any
kind. if any of the following eyents occurs before the Loan is fully repaid:

Any payment of principal or interest on the Loan is not made when due.
Any provision of this Agreement is breached or proves to be untrue or misleading in

(e) Any voluntary or involuntary bankruptcy, reorganization, insolvency, arrangement,
receivership or similar proceeding is commenced by or against Borrower under any federal or state law, or
Borrower makes any assignment for the benefit of creditors.
(f) Any substantial part of the inventory, equipment or other property of the Borrower,
real or personal, tangible or intangible, is damaged or destroyed and the damage or destruction is not
coyered by collectible insurance.
(g) Borrower defaults in the payment of any principal or interest on any obligation to
Bank or any other creditor.
(h) Borrower suffers or permits any lien, encumbrances or security interest to arise or
attach to any of the Borrower's property, or any judgment is entered against Borrower that is not satisfied or
appealed within thirty days.
It shall also constitute an event of default and Bank shall also have the option to declare the entire
unpaid amount of the Loan and accrued interest immediately due and payable, without presentment, demand
or notice of any kind, if Bank reasonably deems itself insecure or its prospects for payment of the Loan
impaired.
7. Remedies Upon Default. Upon the occurrence, or the discoyery by Bank of the occurrence
of any of the foregoing events, circumstances or conditions of default, Bank shall have, in addition to its
option to declare the entire unpaid amount of the Loan and accrued interest thereon immediately due and

payable, all of the rights and remedies of a secured party under applicable state law. Without in any way
limiting the generality of the foregoing, Bank shall also have the following specific rights and remedies:
(a) To take immediate possession of all equipment, inventory, fixtures and any or aU
other collateral securing this Loan, whether now owned or hereafter acquired, without notice, demand,
presentment or resort to legal process, and for those purposes, to enter any premises where any of the
collateral is located and remove the collateral therefrom or render it unusable.
(b) To require Borrower to assemble and make the collateral available to Bank at a
place to be designated by Bank which is also reasonably convenient to Borrower.
(c) To retain the collateral in satisfaction of any unpaid principal or interest on the Loan
or sell the collateral at public or private sale after giving at least five days' notice of the time and place of the
same and with or without having the collateral physically present at the place of the sale.
(d) To make any repairs to the collateral which Bank deems necessary or desirable for
the purposes of the sale.
(e) To exercise any and all rights of set-off 'Nhich Bank may have against any account,
fund or property of any kind, tangible or intangible, belonging to Borrower which shall be in Bank's possession
or under its control.
(f) To cure such defaults, with the result that all costs and expenses incurred or paid by
Bank in effecting such cure shall be additional charges on the Loan which bear interest at the interest rate of
the Loan and are payable upon demand.
The proceeds from any disposition of the collateral for the Loan shall be used to satisfy the following
items in order they are listed:
(a) The expenses of taking, removing, storing, repairing, holding and seUlng the
collateral, including any legal costs and attorneys' fees. If the Note is referred to an attorney for collection,
Borrower and aU others liable for the Loan jointly and severally agree to pay reasonable attomey's fees not to
exceed 15% of the amount of the outstanding balance of the Note at the time it is referred to the attorney.
(b) The expenses. of liquidating or satisfying any liens, security interests or
encumbrances on the collateral which may be prior to the security interest of Bank.
(c) Any unpaid fees, accrued interest and then the unpaid principal amount of the Loan.
(d) Any other indebtedness of Borrower to Bank.
If the proceeds realized from the disposition of the collateral shall fall to satisfy any of the foregoing
items, Borrower and all others liable for the Loan shall forthwith pay any deficiency to Bank upon demand.
8. Waiver. No failure or delay on the part of Bank in exercising any power or right hereunder,
and no failure of Bank to give Borrower notice of a default hereunder, shall operate as a waiver thereof, nor
shall any single or partial exercise of any such right or power preclude any other or further exercise thereof or
the exercise of any other right or power hereunder. No modification or waiver of any provision of this
Agreement or any instrument executed pursuant hereto or consent to any departure by Borrower from this
Agreement or such instrument shall in any event be effective unless the same shall be in writing, and such
waiver or consent shall be effective only in the specific instance and for the particular purpose for which
given.

9. ~. This Agreement shall be binding upon and shall Inure to the benefit of Borrower
and Bank and their respective successors and assigns. Bank may assign this Agreement in which or in part
with any assignment of loan, Borrower may not assign this Agreement or its obligations under the Loan
without Bank's written consent.
10 Construction Draws.
a) Any and all construction draws will be based upon a percentage of completion with
at least a ten percent (10%) retainage..
b) Draws from the construction loan account pursuant to approved advances (to be
considered by Bank on a building-by-building basis) wUl be made monthly per the engineer's or architect's
certification of the percentage of work completed on a standard AlA document and satisfactory inspection
and approval of certification by the Bank's architecVengineer and/or agent.
c) The project architect must review and approve construction progress payments,
based upon percentage of completion.
d) Borrower shalf submit to Bank requests for construction draws on a monthly basis.
Borrower's monthly requests shall include the following:
1) A cover letter indicating when and where the requisition is to be funded.
2) Invoices supporting requisitions for all soft costs.
3) Original AlA Document G702 and G703, appropriately signed and
notarized.
4) Stored Materials Inventory Form (see Exhibit "e" attached hereto and
incorporated herein by reference), applicable invoices, delivery tickets, etc.,
(~ applicable).
5) Lien waivers for previous months' advance from the general contractor,
subcontractors, and owner's affidavit (see Exhibit "0" attached hereto and
incorporated herein by reference).

e) Bank shall have at least ten (10) business days from receipt of such requests to

(f) The provisions of the Loan Commitment Letter from Bank dated November 20, 2003, and
accepted by Borrower are hereby incorporated into this Agreement.
(g) At all times during the term of this loan. Bank must be satisfied that the actual aggregate
cost does not exceed the total amount of the Loan plus the amounts of all equity investments in the Property
made by Borrower and scheduled to be made by Borrower for which funds are readily available. Bank
reserves the right to require, at Borrower's expense, a construction cost take-off by a consultant designated
by Bank to assist in making such determination. If required, Borrower shart deposit with Bank equity funds in
cash, or shall submit evidence to Bank of equity investments previously made, In amounts sufficient, in
Bank's opinion, to equal any difference and Bank may refuse to make any additional advances on the Loan
until such additional equity funds have been received, Bank may disburse such deposit before any other
Loan disbursements are made. Bank, on its behalf, shall designate a construction consultant to pel10rm
various services to Include a review of the plans and specifications and preparation of a "cost take-off"
construction analysis, site Inspections of construct/on work In conformity with the approved plans and
specifications and approval of these requests for Loan disbursements. The cost of these inspections shall be
paid by Borrower.
(h) Borrower hereby authorizes Bank to provide written notices to Contractor and lienors
providing notices to owner pursuant to Section 713.347(1)(a), Florida Statutes, and Section 713.347(2)(b),
Florida Statutes, to the extent such notices are'required by law. Borrower hereby releases Bank and waives
alt claims it may have against Bank for damages Borrower may incur as a result of Bank's failure to deliver
said notices. Borrower hereby agrees to prOVide all required notices to the Contractor and all lienors providing
notices to owner in compliance with SectIon 713.347(2)(a), Florida Statutes, in a timely fashion.
(;) Borrower covenants and agrees that, during the term of the Loan, the Property witt be in full
compliance with the Americans with Disabilities Act ("ADA") of July 26,1990, (42 U.S.C. Section 12191, et
seq) as amended from time to time, and the regulations promulgated pursuant thereto. Borrower shan be
solely responsible for aU ADA compliance costs, including without limitation, attomeys' fees and litigation
costs, which responsibility shaH survive the repayment of the Loan and foreclosure of the Property.
UJ Borrower and all individual guarantors shall submit annual and interim financial statements
when so requested by Bank. Such statements shell include, as appropriate, at a minimum: a balance sheet;

an income and expense statement; a statement showing contingent liabilities; detailed cash flow statements
for each project and/or entity in which Borrower or any guarantor's has an interest; and any supporting
schedules or documentation which Bank may require. Detailed cash flow statements shall include, as
applicable: the project name; location; percentage of Borrower's or any guarantor's ownership interest;
leasing status; net operating income; current Loan balance; debt service; source of any operating deficit;
amount of and beneficiary of any cash distributions; and the amount of cash invested in or received from that
enterprise. In addition, detailed cash flow projections for the next fiscal year (twelve month period) for each
project andlor entity shail be submitted. Each unaudited statement must contain a certification to Bank of the
statement's accuracy and completeness signed by an authorized officer or the individual, as applicable. The
annual statements should be submitted no later than April 30th of each year. All statements submitted to
Bank must contain a certification of accuracy and origInal signatures. Interim statements should be
submitted within thirty (30) days of Bank's request.
(k) After completion of the Improvements or upon occupancy of any part of the Improvements,
Borrower shail submit each calendar quarter to Bank commencing April 2003, signed operating statements
accurately setting forth the income and expenses of the Property for the prior month and for the
fiscal/calendar year-to-date. Such statements shall include, among other things as may be required by Bank,
rent schedules showing tenants' names, occupied tenant space, lease terms, rents (including free rent, rent
concessions, and tenant Inducements), vacant space, proposed rents, late payments of rent, and expenses.
(I) Should any matters occur which affect the title or ownership of the property, Borrower shall
provide an endorsement to Bank's title policy which reflects that (a) the real estate taxes for the Property
have been paid; (b) no new title matters have appeared of record to which Bank has not consented, and (c)
no liens, encumbrances, or lis pendens have been filed against the Property.
(m) Updated appraisals shall be prepared at Borrower's expense when requested by Bank.
Such appraisals shall be prepared in accordance with written instructions from Bank and prepared by a
professional appraiser selected by Bank. Borrower shall cooperate fully with the appraisal process, inCluding,
but not limited to, allowing reasonable entry upon and into the Property. The conditions under which the
appraisal is to be required are contained under (s) of this agreement.
(n) In addition to the environmental report required to be furnished to Bank as a condition
precedent to closing, Bank may, and at Borrower's expense, require an environmental assessment or
updated assessment conforming to Bank's Guidance Document should evidence or conditions indicate that
the property may be affected by handling, storage transportation or disposal of hazardous or toxic material.
The assessment shall be prepared by a reputable environmental consultant satisfactory 10 Bank and certify
whether the Property has been or is presently being used for the handling, storage, transportation or disposal
of hazardous or toxic materials. If such report indicates such past, or present use, handling, storage,
transportation or disposal of hazardous or toxic materials, such shall be deemed to constitute a default by
Borrower under the Loan documents.
(o) When required by Bank, Borrower shall obtain estoppel certificates from e.ach tenant of the
Property certifying the date the tenant accepted occupancy of its leased premises, the absence of any lease
defaults by landlord, the date the tenant commenced rental payments, the lease's material terms and such
other matters as may be requested by Bank. Additionally, the tenant estoppel shalt contain tenants'
agreement to Indemnify Bank from any losses it might incur as a result of the existence of hazardous waste
on the Property.
(p) There shall be no subordinate or other financing of the personal or real property securing the
Loan, and no sale or transfer of ownership of the property unless Bank, in its sole and absolute discretion,
has given its prior written approval. Said approval shall not be unreasonably withheld or delayed.
(q) Each lease of the Property entered into subsequent to Loan ciosing is subject to Bank's prior
written approval (except for local tenant leases written on the Bank-approved standard lease form or

borrower's pre-approved lease form which terms conform to Bank's minimum lease requirements). Certified
copies of each new Bank-approved lease shall be submitted to Bank within fifteen (15) days of its execution.
(r) A default hereunder or under any of the documents evidencing or securing the Loan shall
constitute an event of default under any other Indebtedness (now or hereafter existing) of Borrower to Bank.
Further, all collateral for the Loan shall also secure any other indebtedness (now or hereafter existing) of
Borrower to Bank, and any collateral pledged by Borrower to Bank to secure such other indebtedness shall
also secure this Loan. Any default under any document evidencing or securing such other indebtedness
shall constitute a default hereunder.
(s) At such time as the Improvements are occupied an "all-risk" permanent hazard insurance
policy must be submitted to Bank. The policy: shall be from a company satisfactory to Bank with an A-XII
Best's Rating or better; shall be in an amount satisfactory to Bank; shall include a Replacement Cost and
Agreed AmounUStipulated Value Endorsement; shall include a Sinkhole Endorsement, if appropriate; and
shall include provisions for a minimum thirty (30) day advance written notice to Bank of any intended policy
cancellation, Non-renewal or material modification; and shaU designate Bank as mortgagee and loss payee.
Borrower shall submit satisfactory evidence that all insurance premiums have been paid.
(t) A separate guarantee agreement shall be executed by Joseph Miranda, individually, and
Zelia Miranda, individually, who shall jointly and severally unconditionally guarantee the obligation of the
borrower under the Note and mortgage.
11. Construction. This Agreement shall be governed and construed in accordance with the laws
of the Slate of Florida, and any litigation arising out of or relating to this Agreement or the Loan shall be
commenced and conducted in the courts of that state or in the federal courts of that state.

1. No topographic survey was included in the plan set.
2. The pond maintenance berm needs to be 10' wide minimum per code. Adjacent parking can be
considered as the maintenance benn as long as it is unimpeded. The pond section A-A does
not match the plans. We wilt not support the vacation of the rear rigth of way.
3. Please provide a 10' utility easement along S.R. 434.
4. The Utility Dept. supports the concept of extending the gravity sewer along the southern RIW
and will work with the developer to effectuate it.

Regarding the comments to John Baker of the City of Winter Springs:
1. YOW" comments to the city regarding tbe 10' utility easement and the cross
access easement need to reflect the receipt of these easements with a note on
your comments that says: these easements will be recorded once approved by
tbccity. A ""py of the easements was faxed to your office on April 16, 2003.
I have five signcd and ..aled sets of each easement that I will attach to your
plans when [ receive the 'final sct-pJease let me know if additional copies are
required. .
Regarding your letter to US dated April 18. 2003:
1. W. dan'tagree with your request far an additional fee to obtain tho FDOT
permit Your bid includes parking and driveway design fees according to
FDOT standard.,.,is there a way to do this without ~etting a FDOT
permit? Wo hired you to gel obtain site ponnitting on this project; getting
the FOOT pennit is a necessary step in obtaining the site permit.
2. In line with the above. we: don"t agree with your request faT an additional
fee to design the force main. Your bid specifically includes Ssnitary and
Sewer- System Evaluation and Design (witb.lift station), Again, is there a
way to do this without incotporating a force main into the plans? Once the
utility locates.... complete, there should only bc minor adjustments to the
force main (which i. already designed and shown on the plans). It is
standard to inclu..ck: minor adjustments as part of the design of the syst~m
and is included in your proposal. ff we find that the force main needs
m~or adjustments due to the depth of the utilities, etc., we can further
discuss this issue.
J. f've discussed the placement of the 2.5" force main with city Utility
Director and he has no problem with the location of the force main in the
R1W.
4. Jay Brown is a licensed landscape architect eertified by the state;
therefore. I do Dot know why you are referring to bim as a "moonlighter".
He has been in the same business for well over a decade and was chosen
for this job because his fee was substmtially 1... than what you proposed
10 us for 1he same services.

Finally, we.... in receipt Of your most recent leUer to us dated April 30, 2003, requesting
$17,000.00 in additional fees for 413 hours of civil work for a 3,000 square foot building
built on a 1.37 acre site. John, your agreement with us is not a per-hour contract, The
contract clearly states your responsibilities on this project, and we, your clients, have paid
you for the majority of these services. No authorization was given verbally or otherwise
for the additional monies you are now requesting.
John, the discussions regarding over billing go back to 10 months ago when you billed
me for mOre than what was due on Phase I of your project. AfU::r that incident, I sat with
you. in peuon and spoke to you on the phone several times regarding the same. situation.

We even hired a third-party engineering consultant, at our expen.~e, to mediate the
ow.crtanding issues and. to confIrm that we were not being unreasonable. The engineer
made suggestions based on industry standards; however, nothing was resolved.
Therefore. I don't see any alternative other than to hire a professional mediator to resolve
this dispute. Please call Trish DeBell with the name and number of your attorney, and I
will have my attorney contact him to set this up.

BINDING DEVELOPMENT AGREEMENT

WHEREAS, tile City of Winter Springs and Joseph M. Miranda and Zelia M: Miranda
previously entered into that eertain Binding Development Agreement, dated June 19, 2002 and
recorded July 1,2002, to allow a special exception for an automotive repair facility ("Agreement");
and
WHEREAS, at their August 11,2003 meeting, the City Commission voted to amend Exhibit
"B" to the Agreement.
IN CONSIDERATION of the mutual covenants and provisions hereof, and other good and
valuable considerations, the receipt and sufficiency all of which is hereby acknowledged~ the parties
desire to be legally bound and agree as follows:
1.0., The amended Exhibit "B" to the Agreement is attached hereto and fully incorporated
herein by this reference.
2.0. All other provisions contained in the Agreement which are not amended by this First
Addendum shall remain Unchanged and shalIconlinue to bein full force and effect.
3.0 This First Addendum shall be recorded in the Public Records of Seminole County and

Please accept this letter as a follow up to our meeting on October 24, 2003, with
City Manager Ron McLemore.
We understand that we are to proceed with the changes to the elevation of the
building, and specifically: Pilasters on the South side between the windows, split
face base and water table on South, East and West Sides, add window on SE
corner, stucco East and West sides fully and add bands and "keys' over South
side windows,
Since these changes are post DRC's approval of the elevation, we want to-make
sure they don't cause a problem for Mr. Miranda In the future, In other words,
what has been recorded as the elevation approved by pRC will not match what is
actually being built, based on these changes,
Please respond to us in writing as to your acknowledgement of same.

Interpretation of the standards in this code shall be the
responsibility of the City's Development Review
Committee (DRe). The "In OUf Generation" Illustrative
Buildout Dmwing on p.lO in this Code and on p.6 in the
adopted masterplan shall serve as guidance to the
Development Review Committee with regard to the
City's intent for land development in the town center.
The images contained in this code are meant to
demonstrate the character intended for the Town Center,
but are for illustrative purposes only. The accompanying
text and numbers are mles that govern permitted
development.
B. Review Process
Applications are subject to review by the Development
Review Committee. The Committee shall have authority
within reason for approving all aspects of site planning
and exterior architecture, including aesthetic
appropriateness, environmental implications, traffic
impacts, and any other site-specific matters not
ielineated herein.
'ptional Preliminary Review: Applicants may, at their
option, submil designs in schellwllc or sketch form to
the Development Review Committee for preliminary
approval, subject to further review.

2. A current Tree Survey, no more than 1 year old.
3. A Site Plan, drawn to scale, which shall indicate:

b. Parking locations and number of spaces;
c. Paved surfaces, materials and location(s);
d. Site location diagram & legal description; and
e. Signage.
4. Building Elevations illustrating all sides of structures
facing public streets or spaces.

Subject: Occupancy standards for lhe S.R.434 Automobile Repair Shop
Charles,
Below are some recommendations for ways to deal with some of the typical problcm~
with automobile repair shop uses within mixed-use areas:
Noise: Activities producing noise audible from surrounding properties could be
prohibited during certain hours (i.e. from IOpm to 7am.)
Signage: I think the code already covers signage issues pretty comprehensively.
Temporary signs should be subject to the same standards as permanent signs.
Vehicle Storage: Vehicles dropped off for repair should only be stored to the rear (;If the
facility, They should not be stored where visible from public streets. Garden waUs.
fences.or hedges may be used to Screen vehicles from view.
Pollution and other envjronmental concerns: Existing rules governing noxious
fumes, disposal of waste materials etc., should oreaurse be followed. Fumes and smells
generated by the automobile repair shop should not be aHowed to impact sUITotmding
properties.
