TUSCA WILLA LIGHTING & BEAUTIFICATION
DISTRICT (TLBD) ADVISORY COMMITTEE
WINTER SPRINGS, FLORIDA
BY-LAWS

ARTICLE 1 NAME
(a) The name of this Committee is the Tuscawilla Lighting & Beautification District
Advisory Committee, hereinafter referred to as TLBD Advisory Committee.
DISTRICT
(b) The district this committee represents is that area of the Tuscawilla PUD within the
Winter Springs boundaries east of Tuscawilla Road and south of State Road 434 as
indicated in the map (Attachment "A").
ORDINANCE
(c) The TLBD Advisory Committee is established and governed by City Ordinance Number
98-704.
ARTICLE 2 PURPOSE
(a) The TLBD Advisory Committee is responsible for providing recommendations to the City
of Winter Springs City Commission relative to a program of capital improvements,
financing and budgeting for common areas within the PUD, including but not limited to
Entranceways, Medians, Signage, Lighting and other areas and in items as may be found
necessary and desirable.
(b) The TLBD Advisory Committee will be responsible for providing recommendations to the
City of Winter Springs City Commission relative to a program of expenditures, financing,
budgeting and monitoring performance in the areas of Operations, Maintenance and
Administration for the common areas receiving the benefit of capital expenditures and
funding.
(c) The TLBD Advisory Committee is to develop a lighting and beautification plan for the
District to maintain a level of aesthetic quality deserving of a premier community in the
Central Florida area.

(d) The TLBD Advisory Committee will work with appropriate City Staff and City contracted
entities, along with interested Property Owners in the District, and evaluate the various
possibilities in developing the recommendations to the City Commission.
ARTICLE 3 MEMBERSHIP
(a) The TLBD Advisory Committee will be made up of the five (5) members as specified and
with terms as specified in the City Ordinance 98-704, Article II, Section 2.20 D.
(b) Three unaccountable absences, in a twelve (12) month period, from regularly scheduled
meetings, may result in the TLBD Advisory Committee referring the matter to the City
Commission for appropriate action.
ARTICLE 4 BASIC POLICIES
(a) The TLBD Advisory Committee is empowered and directed to consider and study the
entire field of lighting, beautification, operation, maintenance and administration in the
budgeting and financing District.
(b) The TLBD Advisory Committee shall consider all matters submitted to it by the City
Commission or City Manager and shall offer suggestions and recommendations related to
lighting, beautification, operation, maintenance, administration, budgeting and financing
in the District.
(c) The TLBD Advisory Committee shall receive suggestions from Property Owners within
the District and evaluate these for incorporation within the overall TLBD plan.
(d) The City of Winter Springs shall indemnify any TLBD Advisory Committee member
acting in good faith.
( e) The TLBD Advisory Committee shall establish rules to govern the manner in which its
meetings and affairs are conducted.
ARTICLE 5 MEETINGS
(a) The TLBD Advisory Committee shall conduct such meetings as may be necessary to
properly perform its duties. The TLBD Advisory Committee shall meet on the 15t and 3rd
Tuesday of each month at 7 P.M. at City Hall, unless notified otherwise. Board Members
shall notify the recording secretary in advance if they are unable to attend.

(b) The chairperson, requmng at least twenty-four (24) hours notice, may call special
meetings of the TLBD Advisory Committee.
(c) A quorum shall consist of a majority of the members, (i.e. 3 out of 5).
(d) A majority of members present shall carry a motion, but in no case shall less than 2 like
votes prevail.
(e) For Election of the TLBD Advisory Committee Officers, all five members must be
present at the meeting.
ARTICLE 6 TERMS AND DUTIES OF MEMBERS
( a) Chairperson
1. Shall preside at all meetings.
2. Shall ascertain that the duties of all members are carried out as prescribed by
the By-Laws.
3. Shall maintain a direct liaison between the TLBD Advisory Committee and the
City Commission, City Manager and his Staff.
4. Present recommendations of the TLBD Advisory Committee to the City
Commission.
(b) Vice-Chairperson
I. Shall aid the Chairperson.
2. Shall perform as Chairperson Pro-Tern in the Chairperson's absence or
inability to perform. Shall oversee and coordinate the duties, functions, and
responsibilities of all committees at the Chairperson's request.
(c) Secretary
I. The Secretary shall be a member of the City Manager's Staff and designated
by the City Manager.
2. Shall be responsible for the recording the minutes of all meetings.
3. Shall have charge of all official records.
4. Shall prepare such special correspondence and reports as requested by the
Chairperson.
(d) Officers shall serve a one (1) year term beginning with their election at the August
meeting or until new officers are elected. (Refer to Article 5, (e).)
ARTICLE 7 PARLIAMENTARY AUTHORITY
(a) Roberts Rules of Order shall govern in all cases in which they are not in conflict with
these By-laws.
ARTICLE 8 AMENDMENTS
(a) By-laws may only be amended by all five members present, three (3) out of five (5).
(b) Notice of the proposed amendment shall be given in writing to all members' fourteen (14)
days prior to the meeting date.
