SPECIAL MEETING
CITY COMMISSION
CITY OF WINTER SPRINGS
JULY 18, 1988
The Special Meeting of the City Commission of the City of Winter Springs, Florida,
was called to order by Deputy Mayor Arthur Hoffmann at 7:00 p. m.
Roll Call:
Mayor Leanne M. Grove, absent
Deputy Mayor Arthur Hoffmann, present
City Manager Richard Rozansky, present
Commissioners:
Cindy Kaehler, present
Philip A. Kulbes, absent
William A. Jacobs, present
Martin Trencher, present
City Manager: Acquisition of Seminole Utility:
The City Manager stated that the purpose of the Special Meeting was to obtain approval
of the Commission to send a letter to Seminole Utility Company in reference to
acquisition of the Company. Manager Rozansky said he had met with Mr. Birdsong and
Mr. Thompson to discuss the acquisition. Mr. Birdsong indicated that they were
interested in selling the Utility Company provided the price was right, that capacity
could be reserved for their future development, and that the City would agree to
properly run the plant. The City Manager said that he indicated that he would like
to immediately commence negotiations, and would require some information as their
PSC filings, their Developer Agreements, existing contracts, rate orders, As Built
drawings and financial statements.
Manager Rozansky indicated that a fair market value and bonding capacity would dictate
what we could pay for the Utility Company. They were generally in agreement. Manager
Rozansky said he has talked with Cal Conklin, Conklin, Porter & Holmes, and has asked
him to give a proposal for the review of engineering, a timetable and some costs for
doing the engineering study.
The City Manager read the following letter that he had written to Mr. Birdsong:
Dear Mr. Birdsong, President, Gulfstream Orlando Inc., 900 N. Maitland Ave., Maitland,
FL 32751; Dear Mr. Birdsong: Pursuant to my prior inquiries of you, I am writing to
formally advise you that the City of Winter Springs is interested in acquiring the
Seminole Utilities Company. We would like to commence negotiations with you and we
would like to have access to your records and plant so as to make these negotiations
more meaningful.
If we cannot reach an agreement on a purchase price before November 1, 1988, we will
have no choice but to pursue condemnation of the Utility. I hope that you understand
that we would like to have a friendly acquisition.

Motion was made by Commissioner Jacobs that we send the letter to Mr. Birdsong,
dated July 18, 1988 as presented into the minutes. Seconded by Commissioner Trencher.
Discussion. Vote on the motion: Commissioner Kaehler, aye; Commissioner Hoffmann, aye;
Commissioner Jacobs, aye; Commissioner Trencher, aye; motion carried.
Meeting was adjourned 7:10 p. m.
