CONSERVATION EASEMENT PURSUANT TO FLORIDA
STATUTES n04.06
THIS INDENTURE, made this .5L. ri...aay of December, 1984.
WIT N E SSE T H:
WHEREAS, the undersigned, BIG CYPRESS ASSOCIATES,
LTD., (hereinafter referred to as the "Grantor") is the owner In fee of
certain real property (hereinafter more fully described and referred to
as the "Protected PropertyU): and
WHEREAS, the Protected Property, In Its present state, has
substantial and significant aesthetic and ecological vcolue because It has
not been subJect to extensive development or exploitation, and the
Grantor desires to provide IA perpetuity for open space preservation of
the values and natural beauty of the Protected Property for the public
benefit and In partleular for the benefit of the citizens and residents of
the City of Winter Springs, Florida; and
WHEREAS, the said values and natural beauty of the
Protected Property Is not, and Is not likely to be, adversely affected to
any substantial extent by the construction and continued maIntenance In
their present condition of sucb structures and facilities as presently
exist on and upon the Protected Property or by the constructIon and
mltintenanc& of additional struc:tllres related to a golf course as
hereinafter provided: and
WI-fEREAS, the said Protected Property Is the property
described on Exhibits A-1 and A-1, attached hereto and Incqrporated
herein by specific reference: and
WHEREAS, the ~Ity of Winter Springs (hereinafter referred to
as the "erantee.) Is a political subdivision of the State of Florida. and
as such, contributions or gIfts to It are treated as charitable
contributions for Federal Income tax purposes under Section 170( c)( 1 )
of the Internal Revenue Code of 1954 ("Coden), and are deductible by
the donors within the limitations of said Section 170 for Federal Income
tax purposes. and
WHEREAS, the parties recognize that Section 704.06 of Florida
Statutes recognizes and permits Conservation Easements; and
WHEREAS. ~he Grantee recognizes that the Protected Property
under any existing law and administrative practice would be developed
in due cour~ based upon its highest and best use, vlz.. residential

WHEREAS, the Grantee rec:c.gnlzes that the area In which the
Protected Property Is located Is densely populated and the Grantee
desires to maintain presently open space for' the benefit of Its residents
Bnd e1tl,ens; and
WHEREAS, the Grantor and the Grantee recognize the value
and the special character, as a natural, aesthetic resource, of the area
and region In which the Protected Proper-tv Is laceted, and each of them
having In common. the purpose and objective of protecting and
conserving the present state and Inherent natur-al values both tangible
and Intangible of the Protected Property by means of the conveyance of
the Grantor to the Grantee of 8 Conservation Easement and Restriction
on. over and upon the Protected Property, which Conservation
Easement and Restriction shall conferve and protect the animal, bird
and plant population and prevent the use or development of the
Protected Property for any purpose or In any manner which would In
any way conflict with the maintenance of the Protected Property In Its
natural, scenic and open condition, except as to such uses and
purposes reasonably attributable to the operation and maintenance
thereon of a golf course: and '
WHEREAS, the Grantee. on real property adjacent and
eontJguous to the Protoected Property, maintains and operates a sewage
treatment station and related facilities and maintains and operates
transmission IIr.es on easements over the Protected Property for storing
effluent In retaining ponds on the Protected Property, from which
effluent Is sprayed on the Protected Property, all for the pUrpo5e of
making the sewage treatment station and related facilities more valuable
and useful In connection with their function for purposes of providing
adequate sewage facilities for the residents of the City of Winter
Springs, Florida. and, because of such public benefits, the Grantee
wishes to .malntaln Its ability to utilize portions of the Protected
Property for such public purposes, 811 In a manner: consistent with
maintaining the character of th~ Protected Property and the
Conservation Easement granted heretn.
NOW. THEREFORE, the Grantor, for and In consideration of
the facts above-recited and of the covenants herein contained and as an
absolute and unconditional gift does hereby grant, convey and release
unto the Grantee, Its successors and assigns forever, a Conservation
Easement and Restriction In perpetuity over the Protected Property
consisting f>f the following:

(2) The right of the Grantee. which the Grantee~ covenants
It will exercise In a reasonable manner at reasonable times,. but always

and Inspect the Protected Property to determine If the Grantor. or Jts
successors 'and assigns, Is complying with the covenants and
prohibitions contained In this grant, and. by proceedings at law or In
equity, to enforce the covenant!: and prevent the occu....ence of any of

the prohibited activities hereinafter set forth, except that nothing
herein shall be construed to entitle the Grantee to Institute any such
enforcement proceedl/"lg 8g8ln$t, or to recover any sum from the
Grantor, Its successors and assigns, by reason of the occurrence of
any of the said prohibited activities If the same shall have occurred
without the knowledge or consent of the Grantor, Its successors and
assigns. Crantor Shall not be liable for any changes to the Protected
Property caused by fire, flood. storm or other causes beyond Grantor's
control.
AND. IN FURTHERANCE OF the foregoing affirmative rights,
here.by granted to the Grantee, the Grantor hereby makes the follov/lng
covenants, on behalf of Itself, Its successors and assigns, which
covenants shall run with and bind the protected Property In perpetuity:
COVENANTS AND PROHIBITED ACTIVITIES
(1) There shall be no construction or placing of .bulldlngs,
camping or other accommodations, fences, signs, billboards or other
advertising material on or above the ground on the Protected Property,
except such shelters. fences, signs, or the like normally and
customarily utilized In connection with the operation of a golf course.
(2) There shall be no filling, excavating. dredging, removal
of loam, peat, topsoil. sand, gravel or rock,' nor any material change In
the topography of the Protected Property In any manner except as may
be reasonably required to maintain and Improve, remodel and relocate
roads, golf cart paths. foot trails, tees, greens, fairways, sand traps
and other topographical features r.ormally assocIated with a golf course. .
There shall be no mining or drilling or removal of minerals In such
manner as to affect the surface;
(3) There shall be conducted no activity or use on the
Protected Property, other than tnat associated wIth a golf course, that
15 detrimental to drainage, flood control, water conservation, erosion
control, 5011 conservation, flsh, wildlife or habitat preservation; . .
(II) There shall be no operation of dune buggies or
motorcy~les, or other loud, destructive or offensive recreational
vehicles, exceptll1g golf carts, on the Protected Property except as
, they l)1ay be u.$ed for the purpose of Ingress or egress. Inspection,
maintenance or flre protection: and
(5) There shall be no dumping or placing of 5011 or other
. substance or material 85 landflll, or dumping or placing of trash,
waste, or unsightly or offensive materials on the Protected Property.
(6) The above covenants and prohibitions shall not affect the
use by the Grantee 01 the transmission easements on the Protected
Property previously granted to It or Its right to accept further

transmission easements for the purpose of continuing to use and utilize
the Protected Property for '.wrlng effluent In the retaining ponds
thereon and spraying effluent therefrom on the Protected Property and
the right to maintain alld Improve the areas In or on which It stores
and sprays effluent In furtherance of Its public purposes. The
transmission, storage and spraying of effluent shall be In accordance
with the existing contract therefor between the Grantor and the Crantee
and. upon such contract's expiration or termination. such terms and
conditions as the Crantor and the Crantee shall agree.
TO HAVE AND TO HOLD the said Conservation Easement and
Restriction unto the said \irantee. Its sucxessors and assigns forever.
subject to the eondltlon that the Crantee and Its suc<:essors and assigns
may not transfer said Conservation Easement and Restriction, with or
without consideration. unless: (1) the Crantee as a condition of the
transfer requires that the conservation purposes continue to be carried
out and (2) the transferee Is an .ellglble donee as that term 15 defined
In the Internal Revenue Code and regUlations Issued thereunder.
NEVERTHELESS AND NOTWITHSTANDINC. any of the
foregoing provisions to the contrary. except as expressly limited
herein. thtt Orantor reserves for Itself. Its successors and assigns. all
rights as owner of the Protectea Property, Including the right to use
the property for all purposes not Inconsistent with this grant.
provided. however. that the C rantor. and Its successors and assigns
shall not exercise any reserved right hereunder without first giving
reasonable written notice to the Crantee. Its succes!oors and assigns.
Provided, further, that nothing herein shall be r.onstrued to prohibit
completion of tf\e connection to Sheoah Boulevard of the existIng
. roadway running. In part. II10ng the southern boundary of Tract "D."
the Highlands Section Three. as recorded In Plat Book 17. pages 48 and
49. Public Records of Seminole County. Florida.
