INDEMNIFICATION AND HOLD
HARMLESS AGREEMENT
THIS INDEMNIFICATION AND HOLD HARMLESS AGREEMENT is made and
entered into as of this..fLday of FtbrkR-r v . 2002, by Howard and Libby Baity, a married
couple ("Baity"), whose address is 627 Sailfish Road, Winter Springs, Florida.
RECITALS
Whereas, the home built at 627 Sailfish Road, Winter Springs, Florida was built with a
finished floor elevation below the minimum elevation required by the City Code but does meet
with FEMA Code.
Whereas, pursuant to Section 8-34, Baity has applied to the City for a variance from the
minimum finished floor elevation, as provided in S. 9-24 1 (c) of the City Code; and
Whereas, Baity has demonstrated that compliance with the City's Code would be cost
prohibitive and would constitute an exceptional hardship upon the property owner; and
Whereas, the City Code provides for the issuance of variances in certain and defined
situations; and
Whereas, on February 11, 2002, the City Commission granted the variance (
approximately 3.72 inches below the required finished floor elevation of eighteen (18) inches
above the hundred year flood stage) and as a reasonable condition required Baity to sign this
Indemnification and Hold Harmless Agreement, to be recorded in the Public Records for
Seminole County, making certain representations and indemnifying the City from certain
liability as stated herein; and
Whereas, upon recordation of this Indemnification and Hold Harmless Agreement, in the
public records of Seminole County, Florida, said variance shall automatically become effective.

REPRESENTA TIONS
Howard and Libby Baity represent and warrant to the City as follows:
I. The recitals above are true and correct to the best of their knowledge and belief
2. Mr. and Mrs. Baity, along with John Laudani, applied for building permits on or
about Apri 1 6, 2000 for the construction of the home at 627 Sailfish Road, Winter
Springs, Florida.

3. Attached to the application for building permits w~la ~~a8r4~y s~ 0620
the proposed finished floor elevation 005.50 feet as specified by the City Code.
4. Mr. and Mrs. Baity and Mr. John Laudani, knew of the City Code regulation
setting the minimum finished floor elevation at 35.50 feet, as is evidenced by the
boundary survey they prepared and submitted with their application.
5. The home as built has a finished floor elevation of 35.17 feet, as is described on a
Certificate of Elevation submitted by the Baity's on or about November 16,2000,
this is below the minimum finished floor elevation of 35.50 feet as required by
the City ofWmter Springs.
INDEMNITIES
In specific consideration for the City's issuance of a vanance from its Code of
Ordinances Howard and Libby Baity, on behalf of themselves, their heirs, _ assignees, future
purchasers for value, mortgagees, and the like indemnify, defend and hold harmless the City, its
agents, attorneys, and employees from and against the full amount of any claims, liabilities,
actions, suits, proceedings, payments, assessments, judgments, losses, damages, costs and
expenses (including interest, penalties and reasonable attorneys' fees and disbursements)
("Losses") pertaining to any bodily injury and/or property damage which directly arises out of,
or results from their failure to comply with the City Code and build the home at 627 Sailfish
Road, Wmter Springs, Florida at a minimum floor elevation of35.50 feet.
IN WITNESS WHEREOF, Howard and Libby Baity have executed this Agreement this ~day
