CONTRACT FOR SERVICES
CENTRAL WINDS PARK EXPANSION PROPERTY
ESI PROJECT NO. EC01090
The following Contract for Services is an agreement between Envirorunental Services, lnc" (ESI)
and The City of Winter Springs Parks and Recreation (Client) with the terms specified herein.
Client agrees that the company/individual signing this agreement has the ability to compensate
ESI for the work described whether or not the proposed project materializes, ESI agrees to
perform the following tasks for the associated fee.
Project Name: Central Winds Park Expansion Project
Project Location: Seminole County, Florida
SCOPE OF SERVICES FEE
Task 1. Preliminary Wetland and Threatened and Endangered $1,000.00
Species Assessment
ESI will conduct a survey by walking meandering transects across
the 27.3-acre site to identify and characterize on-site community
boundaries. Scope of work will include a site review to assess the
presence/absence of wetlands and, if present, approximate extent
pursuant to current methodologies of the U.S, Army' Corps of
Engineers (CE), Florida Department of Envirorunental Protection
(DEP), and St. Johns River Water Management District
(SJRWMD). During the site review, communities will he
assessed for their.potential to support protected plant and wildlife
specIes. While traversing the site, evidence or potential for the
presence/absence of threatened or endangered species will be
evaluated. Protected species surveys will be completed in
conformance with guidelines established by the U.S. Fish and
Wildlife Service (FWS), Florida Fish and Wildlife Conservation
Commission (FFWCC), and Florida Department of Agriculture
and Consumer Services (FDACS). Communities and evidence
noted of protected species ,:vill be depicted on a blueline aerial
photograph of the site.

Task 2. Preliminary Assessment Report $650.00
ESI will complete a report with graphics detailing results of
surveys, identifying communities and the approximate extent of
wetlands, assessing each community's potential to be inhabited by
protected species, and outlining potential environmental issues
and permitting options,
Task 3. Additional Services T&M
Additional Services outside the scope of the tasks outlined above
may be verbally requested by the client or his representative, ESI
will request follow up written authorization and will complete the
work on a time and materials basis,
We will work on the basis described above using the outlined costs as the upset limit for each
task. Our fixed fee cost for Tasks 1 and 2 is $1,650.00,
TERMS:
. Environmental Services, Inc., will complete the work described above in a timely manner
unless delayed by client's request, lack of information, or intervening factors beyond our
control.
. Client assures ESI that it has permission to work on the subject property and will advise
ESiof proper procedures for accessing subject property,
. Environmental Services, Inc" will maintain a minimum $1,000,000 error and omissions
insurance and $1,000,000 liability insurance for the duration of the project.
. Outside services and expenses such as subcontractors and special purchases will be
invoiced with a handling fee of 15 percent.
. Client will provide ESl with any special billing formats or considerations with the signed
contract.
. Billing is done monthly, Payment is due immediately upon receipt of the invoice; after
30 days the client agrees to pay 1,5 percent late fee per month or portion thereof on
unpaid balances, Unpaid balances after 60 days from the date of the invoice may result
in work stoppage until overdue accounts are resolved,

. Failure to pay within 60 days from the date of invoice will be considered by ESI to be a
breach of contract and ESI may cease work and withhold all work product immediately
without penalty from the client.
. Any disputes regarding payment for services shall be resolved in a court in the county of
the ESI office responsible for the work. Client agrees to pay all legal fees and other
collectior: costs incurred by Environmental Services; Inc., to collect unpaid invoices,
. ESI rates change on January 1 of each year.
