AGREEMENT This agreement entered into this :J AII~ day of J. .I. , 198JL, by and between the CITY OF WINT~INGS, FLORrDA (here- inafter referred to as "OWner"), and HAMPTON, MONDAY AND ASSOCIATES, P.A., (hereinafter referred to as "Planner"), provides as follows: WHEREAS, the OWner is desirous of constructing a City of Winter Springs Municipal Complex, to include a police facility and a municipal building/city hall on a site to be determined; WHEREAS, the Planner submitted a proposal in accordance with the specifications contained in the request for proposals covering the selection of a qualified consultant for site selection, sizing and design of the new municipal complex as described in the request for proposals; and WHEREAS, the Owner selected Planner pursuant to the competi- tive selection process and specifications established for the advertised planning position; NOW THEREFORE, the OWner and Planner agree as follows: Article One The Planners basic services for Phase I of the project shall consist of four phases. At each stage of the four phases, the Planner shall consider and/or do facility sizing, needs require- ments, preparation of report and fiscal evaluations, and other data pertinent to the preliminary evaluation report. 1.1 Research Phase 1.1.1 The Planner will inventory and catalog all real property owned by the Owner. The Planner will also investigate current and future growth patterns of the City relative to popu- lation, traffic flow, water and sewer availability, drainage, location and suitability of sites for short and long range use. The Planner will also evaluate the general size and type of facility required for the OWners's current needs and estimated need through the year 2010. 1.1.2 The Planner will be compensated for the research phase at a rate of Fifty Dollars ($50.00) per hour to a maximum rate of Seven Thousand Dollars ($7,000.00). Bills for services rendered by Planner shall be submitted on a monthly basis to the Owner. e . 1.1.3 The Planner will consult with Owner and obtain Owners written permission before proceeding beyond the Research Phase. 1.2 Hypotetical Site Evaluation Phase 1.2.1 The Planner utilizing the information gathered in the Research Phase will construct a hypothetical plan outlining the ideal size and shape requirements of a not now existing site. This site study will be used to evaluate there existing site(s) selected by Owner for evaluation and the purchase of a site selected by Owner should no existing Owner owned site be deemed suitable for construction of the project. Items that will be listed on this plan will be, but are not limited to, retention areas, parking areas, building areas, soil bearing pressures, location, water and sewer connection, and expansiveness of all areas. 1.2.2 The Planner will be compensated for the Hypothetical Site Evaluation Phase at a rate of Fifty Dollars ($50.00) per hour to a maximum rate of One Thousand Dollars ($1,000.00). Bills for services rendered by Planner shall be submitted on a monthly basis to the CMner. 1.2.3 The Planner will consult with Owner and obtain Owner's written permission before proceeding beyond the Hypothetical Site Evaluation Process. 1.3 Individual Site Evaluation Phase 1.3.1 The Planner will, based on the information gathered in the research phase and the hypothetical phase, construct a site plann and report on any site selected by the Owner. Each site will be treated individually as to suitability for construc- tion of the Project. 1.3.2 The Planner will be compensated for each site study at a rate of Fifty Dollars per hour ($50.00) to a maximum rate of One Thousand Five Hundred Dollars ($1,500.00) per site. Bills for services rendered by Planner shall be submitted on a monthly basis to Owner. 1.3.3 The Planner will consult with Owner and obtain Owner's written permission before proceeding beyond the Individual Site Evaluation Phase. 1.4 Presentation Phase 1.4.1 The Planner will make an oral and written report to the City Commission or anyone else deemed necessary by the City Manager or City Commission. The report will cover all aspects of the Planner's findings and studies to the date of the presentation. - 2 - e - 1.4.2 The Planner will be compensated for the Presentation Phase at a rate of Fifty Dollars ($50.00) per hour for presen- tations made during normal business hours and Seventy-Five Dollars ($75.00) per hour for presentations made at times other than normal business hours. 1.4.3 Normal business hours are established as 9:00 a.m. to 5:00 p.m., Monday through Friday, exclusive of holidays. Article Two 2.1 Additional Services The following services shall only be provided if authorized in writing by the Owner. They shall be paid for by the OWner at a rate of Fifty Dollars ($50.00) per hour for services pro- vided by Architects and two and one-half times payroll expenses for non Architects, and/or one point one times the direct personal expense to the Planner for service provided to the Planner by others outside his employ. 2.1.1 Providing analyses of OWner's needs, and programming the requirements of the Building. 2.1.2 Providing financial feasibility or other special studies. 2.1.3 Providing surveys, environmental studies, preparing special surveys, studies and submissions required for approvals of governmental authorities or others having jurisidiction over the Project. 2.1.4 Providing relative to future facilities, systems and equipment which are not intended to be constructed during the Construction Phase. 2.1.5 Providing services to investigate existing conditions or facilities or to make measured drawings thereof, or to verify the accuracy of drawings or other information furnished by the Owner. 2.1.6 Preparing documents or attending meetings relative to negotiations for the purchase of land or buildings by the OWner. 2.1.7 Providing coordination of work performed by separate contractors or by the OWner's own forces. 2.1.8 Providing services in connection with the work of a construction manager or separate consultants retained by the Owner. - 3 - e e 2.1.9 Providing Detailed Estimates of Construction Cost, analyses of owning and operating costs, or detailed quantity surveys or inventories of material, equipment and labor. 2.1.10 Providing interior design and other similar services required for or in connection with the selection, procurement or installation of furniture, furnishings and related equipment. 2.1.11 Providing services for planning building spaces. 2.1.12 Making revisions in Drawings, Reports or other documents when such revisions are inconsistent with written approvals or instructions previously given, are required by the enactment or revision of codes, laws or regulations sub- sequent to the preparation of such documents or are due to other causes not solely within the control of the Planner. 2.1.13 Providing services after the Planner has received final payment for his work. 2.1.14 Making investigations, surveys, valuations, inven- tories or detailed appraisals of existing facilities, and services required in connection with construction performed by the OWner. 2.1.15 Providing consultation concerning replacement of any work damaged by fire or other furnishing services as may be required in connection with the replacement of such work. 2.1.16 Traveling to any location other than the City of Winter Springs, Florida. The Planner will be reimbursed all travel expenses by the Owner. The Planner will also be compen- sated Fifty Dollars ($50.00) per hour per man for time in route to, returning from and at the destination. 2.1.17 Preparing to serve or serving as an expert witness in connection with any public hearing, arbitration proceeding or legal proceeding. 2.1.18 Providing services of consultants for other than the normal services for the Project. 2.1.19 Providing any other services not otherwise included in this Agreement or not customarily furnished in accordance with generally accepted architectural practice. 2.1.20 Expenses for reproduction of drawings and reports. ... 4 - e e Article Four 4.1 The OWner's Responsibilities 4.1.1 The OWner shall provide full information and access to information on any and all lands owned by the city. 4.1.2 The Owner shall provide all information in the hands of its staff and employees relative to that required for the Planner to provide basic services. 4.1.3 The OWner will provide and pay for all surveys and soils tests deemed necessary by, and in agreement with, the Planner and OWner. Said tests must have the prior written authorization of the OWner. Article Five 5.1 Additional provisions, if any, agreed to by the Planner and OWner. 5.1.1 All work done other than normal business hours will cost Seventy-Five Dollars ($75.00) per hour. No work shall be done at other than normal business hours, unless, the prior written authorization of the OWner is obtained. Verbal authorization shall suffice for City Coomission Meetings. Article Six 6.1 The Planner warrants that all services and work performed hereunder shall be in accordance with the standards established in the planning, construction and architectural industries. Article Seven 7.1 The City reserves the right to terminate at will this Agreement and the services of the Planner at any phase of the proj ect by written notice.
