INDEPENDENT INSPECTIONS, LTD. 1777 Tamiami Trail, Suite 5006 Port Charlotte, Florida 33948 1-800-422-5220 (941) 629-8676 Fax 1-800-422-9680 CONTRACT FOR SERVICES WHEREAS, the City of Winter Springs requires high quality professional plan review services sensitive to community needs, and, WHEREAS, Independent Inspections, Ltd., a corporation (The Agency), proposes to provide plan review services that will meet the City's needs. NOW THEREFORE, the parties, agree as follows: 1. The Agency will provide for the City, certified plan reviewers who will be responsible for plan reviews. The Agency will also provide necessary services related to contacts with residents and City Officials, and all associated tasks necessary to meet the needs of the City. 2. All personnel assigned to the City of Winter Springs shall be certified as required by the State of Florida. 3. The Agency shall provide: A. Salary for plan reviewer B. Field communication equipment C. Vehicle or mileage/allowance D. Regular office availability for meeting the public as required E. Certificate of insurance showing all coverages 4. During the term of this agreement, and for a period of one year after termination of this agreement, the City shall not negotiate with or hire any individual who was or is employed with Independent Inspections, Ltd. during the term of this agreement. Plan Review Agreement Page 2 of 3 5. Except for cause, either the City or the Agency may terminate this agreement with a 30-day written notice to the other party of the intention to terminate. Either party may terminate this agreement for cause. Cause shall be defined as failure to adhere to the terms of this agreement. Any notice to the City shall be sent to the City authority directly in charge of plan review procedures. Any notice to the Agency shall be sent to Independent Inspections, Ltd., S30 W24670 Sunset Drive, Waukesha, WI 53189, attention Dean Field. 6. The Agency agrees to indemnify the City, its employees and agents from and against any and all claims, suits, demands or causes of action, arising out of any act or omission of the Agency, and causing injury to any person or persons or property, whomsoever and whatsoever. Correspondingly, the City agrees to act in concert with the Agency, to the extent of their statutory limits, as they relate to any act or omission of the City or its employees causing injury to any person or persons or property, whomsoever and whatsoever, to the extent allowed or permitted by applicable law. Each party hereto agrees to carry comprehensive general liability insurance and to provide each other with evidence of such coverage. 7. The Agency shall perform the above described services at the direction of the City. The following conditions shall dictate the Service Delivery. a. Adequate notice will be required to establish availability of personnel for service delivery. b. Service delivery is subject to availability of personnel that are certified in the areas requested. c. Available personnel from the Agency will be provided two (2) days per week. d. Weekly fees including all fringes for employee, including workman's compensation, vehicle and associated costs for two 8-hour workdays between Monday to Friday shall be $664.00 weekly. The days of availability shall be established by mutual agreement. 8. The Agency shall provide a statement for services rendered to the end of the nearest week on a monthly basis. The City shall compensate the Agency by the 20th of the month following the period services were rendered. 9. The Agency agrees to provide these services as mutually agreeable for a period of time with the cost to be firm through September 1, 1999. ; " . . .. Plan Review Agreement Page 3 of 3 10. The Agency acknowledges that it has selected the plan reviewers within its employ and agrees to indemnify the City for any and all damages resulting from action or nonaction on the part of the plan reviewer if such action is fraudulent, intentional, or outside the customary scope of the duties performed for the City.
