It is our pleasure to offer the following proposal and look forward to working with you.
I. General Description of project.
Upgrade the Oracle database to 9.2.0.6.0 (includes latest available patch files) on a
new Windows 2003 server then copy the current version of the Kiva application to
the new server for testing. Also provide assistance in determining backup and
recovery procedures and fine-tune the database. The activities are to include the
following:
Install Oracle 9.2.0.6.0 with all the latest maintenance on new server for testing
Install Oracle 9.2.0.6.0 on desktop client(s) and create new icon for end-user
testing access
Associated activities include:
1. Analyze database to check for options that need to be upgraded,
make the changes and document them
2. Create a backup or export copy of Kiva production database
3. Allocate system storage with attention to future requirements
Import the Kiva production database for testing access
Set up appropriate user access and security to database
Tune the database for optimal performance
Review database backup strategy and procedures; document recommended
changes.
Test the SQL script for downloading county land data.
Test server accessibility by end-user community
Notify Kiva community of system availability for end-user testing
Resolve all issues associated with the server upgrade and database migration
Develop a strategy for cut-over of the production and training configurations to
the new Kiva server based on the implementation of this test system.
The target objective for the Kiva environment is to have three application
configurations on which to operate. The first configuration is a test
system (the primary focus for this SOW) consisting of standalone
application and database servers. This will be identified as KivaTest and
will mirror the production system as closely as possible.

The second configuration (KivaProd) is for live production activities and
will also have standalone application and database servers. The actual
implementation of KivaProd will be set up outside the scope of this SOW.
The third and final configuration (KivaTrain) will be used for training
purposes and is also out of the scope of this SOW. With this configuration
the application server will be shared with KivaProd, however, a separate
database will be set up that mirrors the production database for users to
manipulate and experiment on while learning to use the various Kiva
Systems (i.e., Inspections, Permits, Land Information, and Request for
Services).
The strategy for cutover of KivaProd and KivaTrain will be developed and
documented as implementation of the KivaTest configuration progresses.
This document will become the strategic plan and is a deliverable for this
SOW. Examples of strategic plan content are the following:
1. Identify preliminary activities (work that can be done ahead of time
such as load Oracle 9i client software, set up icon for end-user access
to new production database, etc.)
2. Identify off-hour activities (i.e., final migration of production database
to preserve most current data, build new database for training
purposes, etc.)
II. Cost Estimate
All work done will be billed on an hourly basis at a rate of $130.00 per hour. A
minimum of 8 hours per day will be billed for on-site work. Off-site work will be
billed by the hour. Travel expenses will be billed at actual cost. Travel expenses
include airfare, car rental, hotel, and $46.00 per diem. Time for travel will not be
billed, however the per diem will be billed for all on-site and travel days.
The following is a cost estimate for this project:

III. Assumptions
Winter Springs will provide:
. Personnel assistance wherever necessary.
. Allow access to any necessary facilities and provide a workspace for
independence enterprises' representative.

· Will make an initial trip to Winter Springs, Florida to install Oracle 9.2 on the
test server and import a current copy of the Kiva production database.
. Test the installation.
· i.e. can provide an estimate for an additional trip to assist with the production
cutover at the request of the City.
IV. Payment Schedule
· All time will be billed on a time and materials basis.
· All invoices are due net 30 days from the date the invoice is received. Interest
will be charged for all invoices past due at an annual interest charge of 24%.
All payments are to be made in U.S. funds.
V. General Notes
1. The client is responsible for expenses incurred at the client's site. They
include, but are not limited to, air and ground transportation, lodging, and per
diem. All expenses will be reimbursed as submitted from actual receipts.
2. Programming will be scheduled within one month of receipt by independence
enterprises, the original signed Agreement.
3. All scripts and procedures not part ofthe original Accela upgrade routines are
and will remain the property independence enterprises, Inc.
4. This project is governed by any licensing agreements currently in affect
between Accela and the Winter Springs, Florida.
5. independence enterprises does not guarantee the performance or functionality
of any form or report that is delivered by Accela to the City of Winter Springs
as part of the licensing agreement between Accela and City of Winter Springs.
