Re: Scope of services and fee as bond counsel in connection with proposed
street improvement and municipal complex financing for the City of
Winter Springs, Florida
Dear Mr. Rozansky:
This letter constitutes our proposal to serve as bond counsel for the City of
Winter Springs in connection with its proposed issue of approximately $3,000,000 in
revenue bonds for street improvements and construction of a municipal complex. We
understand we will be working with Southeastern Municipal Bonds, Inc., your investment
bankers.
Described herein is our proposed scope of services which will include consulta-
tion at all times with you and/or members of the City staff and officials of the City, and
our proposed fees in connection therewith. Our services will include:
1. Preliminary advice as to legal authority for financing alternatives being
considered.
2. Preparation of all ordinances, resolutions, trust indentures, agreements,
and other basic douments which may be required.
3. Preparation of validation pleadings, if required by the City, and advice
and consultation with you with respect to conduct of the hearing, presentation of
evidence, legal issues involved, and research required with respect thereto.
4. Preparation of all necessary closing certificates.
5. Delivery of an opinion with respect to the validity of the bonds and
exemption of income thereon from federal income taxation.
6. Attendance at the closing and, as necessary, planning sessions, document
drafting and negotiating sessions, meetings of City officials, and the validation hearing.

7. Preparation of Official Statements for the bonds and notes, as necessary,
and services rendered in connection with each offering.
Our fee for the above services will be $1.50 per $1,000 of bonds issued with a - .
minimum fee of $5,000. Our fee will be a contingent fee payable from proceeds of the
bonds only if and when bonds are actually sold and delivered. We will also bill for
reimbursement for actual out-of-pocket expenses for travel, long distance telephone calls,
postage and freight, and copying charges. This quoted fee does not embrace any work in
connection with an appeal from the bond validation proceedings to the Florida Supreme
Court, or any services in connection with Obtaining a ruling from the Internal Revenue
Service with respect to income taxation, as neither is likely to be needed.
We appreciate the opportunity to serve you and look forward to working with
you and the City.

questions with regard to the foregoing. If the terms of this letter are acceptable to the
City please have a copy of this letter executed and returned for our files.

AGREEMENT FOR SERVICES
CLAUDE L. MULLIS, OF COUNSEL, LIVERMORE, KLINE & LOTT, P.A., agrees to
serve as Bond Counsel to the City of Winter Springs and as Bond Counsel
will perform the following services:
1. Prepare all bond documents relating to the financing in coopera-
tion with the City's attorney, staff and Investment Banker.
2. Prepare validation pleadings, including proposed final judgment,
and appear as attorneys of record with the City's attorney, if requested,
at the validation hearing.
3. Attend and participate in conferences among the City's staff and
financial advisers and/or underwriters as the financing develops.
4. Review all disclosure documents prepared or authorized by the City
insofar as such documents describe the bonds and summarize the underlying
documents. However, Claude L. Mullis, of Counsel, Livermore, Kline & Lott,
P.A., assumes no responsibility for the disclosure documents insofar as such
documents describe the financial circumstances of the offering or any other
statistical projections or data.
5. Review all underwriting proposals, prepare all closing documents
and attend and assist in the closing.
6. Render an opinion in written form at the time the bonds are
delivered, which opinion will cover (a) the legality of the bonds and the
proceedings by which they are issued and (b) the exemption from current federal
income taxation of the interest paid on the bonds.
The City of Winter Springs agrees that Claude L. Mullis, of Counsel,
Livermore, Kline & Lott, P.A., shall be compensated for the above services at
the time the bonds are delivered according to the following schedule:
$1.50 per $1,000 of bonds actually issued with a minimum
compensation of $5,000.00.
In the event bond anticipation notes are issued, the fee for such
notes will be ,~o per ~U oc of notes issued irrespective of the amount of
notes issued, plus one-half of the bond fee due for such issue payable upon
delivery of the notes.
It is understood and agreed between the parties that the City will
reimburse Bond Counsel for reasonable out-of-pocket expenses, whether or not
bonds are delivered.

At our recent League of Cities Convention I had the opportunity to discuss
financing, bond issues, and etc. for our proposed Capital Improvement projects
with Mr. Claude L. Mullis, Of Counsel, to Livermore Klein and Lott, P.A.. I
informed Mr. Mullis that we were about to embark upon some major issues, he
expressed interest in the projects so I invited him to provide us with some
information regarding his services.
He has a long standing association with the Florida League of Cities and
has served as League Council. It was in this capacity that I was first intro-
duced to Mr. Mullis. I have since found him responsive to our needs and feel
the City would have no problems working with him.

Qualifications and Professional Services provided by our firm in reference to bond issues.
If you would distribute copies to your Mayor, Commissioners and City
Attorney, it would be appreciated. After review, if there are any questions concerning
our fees as Bond Counsel in the forthcoming issue of improvement bonds by your City,
please let us know. We will perform all the necessary services as bond counsel for a lump
sum fee or so much per thousand as you may wish. However, we will need to know more
of the details and would be happy to meet with you or have you and others visit us here in
Jacksonville so that you may see our operations and discuss details.

We are pleased to present the following information concerning our firm.
General Information
Our municipal bond practice is local in scope in the sense that its work is
limited to service as bond counsel, tax counsel and underwriter's counsel for tax-exempt
financing primarily in the State of Florida, and is national in scope in the sense that our
opinion is nationally recognized by underwriters, brokers, dealers and institutional
investors in tax-exempt obligations. The firm is rated "a" by Martindale-Hubbell Law
Directory and is listed in the Bond Buyer's Directory of Municipal Bond Dealers of the
United States as municipal bond attorneys. The principals in the firm are members of the
National Association of Bond Lawyers and are regular lecturers and contributors to
national and regional seminars and workshops in this field.
Our firm is a professional association, in which Messrs. Livermore, Klein and
Lott and Ms. Wheeler are the sole stockholders. The firm was organized as a partnership
on July 1, 1981 and incorporated in its present form on October 1, 1981. All of the
attorneys in the firm are licensed to practice law in the State of Florida. Additionally,
Mr. Livermore is licensed to practice in the Commonwealth of Virginia and Mr. Klein is
licensed to practice in the State of New York.

Presently, the firm consists of six attorneys, including a 1983 law school
graduate, 2 paralegals, a word processing department, and an administrative staff. We
have a cooperative relationship with the firm of Mahoney, Hadlow ~ Adams, P.A., which
provides substantial depth and diversity in ancillary areas, such as real property and anti-
trust law, when needed. Additional supporting staff will be added as needed.
Summary of Qualifications
Our backgrounds are as follows:
Daniel U. Livermore, Jr. -practiced law in Florida since 1964, first
as a corporate and tax lawyer at Mahoney, Hadlow, Chambers do
Adams, Jacksonville, for five years, then as Assistant Counsel and
Acting General Counsel, City of Jacksonville, for six years, then
partner and shareholder at Freeman, Richardson, Watson, Kelly ac
Livermore, P. A., and its predecessor firms, practicing as bond
counsel for seven years. Partner and shareholder at Livermore
Klein ac Lott, P. A. since July, 1981. Noted lecturer and nationally
recognized authority in the field of tax exempt bonds.
Richard E. Klein -practiced law in New York since 1967, chiefly in
the general corporate and financial areas for ITT Rayonier Incor-
porated, then in Florida since 1977 with Freeman, Richardson,
Watson, Kelly ac Livermore, P.A., practicing principally in the
health care, industrial and 63-20 areas of tax exempt finance; also
has a degree in electrical engineering. Partner and shareholder at
Livermore Klein do Lott, P. A. since July, 1981.
Richard I. Lott -practiced law in Florida since 1975, first as law
clerk to Federal District Judge Winston E. Arnow, then as County
Attorney of Escambia County from 1976 to 1980, then partner and
shareholder at Freeman, Richardson, Watson, Kelly ac Livermore,
P. A., practicing as bond counsel. Partner and shareholder at
Livermore Klein do Lott, P. A. since July, 1981.
Patricia D. Wheeler -practiced law in Florida since 1977, first as
Assistant County Attorney of Escambia County from 1977-1980
and then as County Attorney of Escambia County from 1980-1982.

Claude L. Mullis, Of Counsel -practiced law in Florida since 1950,
initially in private practice from March 1950 to 1953; Assistant
City Attorney for the City of Jacksonville from 1953 - 1968;
Assistant General Counsel for the City of Jacksonville from 1968
to 1973; Town Attorney for the Town of Orange Park and in private
practice from 1974 to 1978; General Counsel for the Florida
League of Cities from 1978 to January, 1983; City Attorney for
Atlantic Beach since July 1, 1983; and Of Counsel to Livermore
Klein do Lott, P. A., and Mahoney, Hadlow ac Adams, P.A., since
January 1, 1983, specializing in all areas of municipal law,
including finance, anti-trust and civil rights litigation.
As a small firm, we are able to keep each other fully advised of the current
status and legal questions involved in our work. Generally, at least two of the partners in
the firm are familiar with each client's situation, so that current matters can be
undertaken efficiently even when one attorney is unavailable.

processors which can communicate over telephone lines, Rapicom and Xerox com munica-
ting copiers, and IBM and Cromemco computers with municipal debt and office manage-
ment software programs. We also have paralegal services among our personnel, to
facilitate prompt document preparation and reduce costs.
Continuing Education
Our firm encourages all attorneys to regularly attend continuing education programs
at both the state and national levels, so that changing concepts in the field of municipal
finance can be promptly applied to benefit our clients. Representatives of the firm
attend the national Bond Attorney's Workshop in Chicago annually, various seminars of the
National Association of Bond Lawyers, and meetings and seminars of the Local
Government Law Section of The Florida Bar, Florida Municipal Attorney's Association,
and Practicing Law Institute.
