REQUEST:
Community Development Department requesting Commission consider modifying an existing
development agreement and its associated final engineering/site plan for the SR 434 Retail development
(a.k.a. Villagio), located on a 9.15-acre tract along the south side ofSR 434, adjacent to and west of
Stone Gable.
PURPOSE:
The purpose of thIs Agenda Item is to request that the Commission modify the development agreement
and site plan, addressing issues and concerns pertinent to adding a drive-thru bank as one of the out-
buildings at the SR 434 Retail development.
APPLICABLE LAW:
Section 166.021, Florida Statutes.
(1) As provided in's. 2(b), Art. VIII of the State Constitution, municipalities shall have the government,
corporate, and proprietary powers to enable them to conduct municipal government, perform municipal
functions, and render municipal services, and may exercise any power for municipal purposes, except
when expressly prohibited by law.
(2) "Municipal purpose" means any activity or power which may be exercised by the state or its political
subdivisions.

FINDINGS:
The development agreement is authorized pursuant to the Municipal Home Rule Powers Act, as
provided in s 2(b), Article VIII of the Florida Constitution and Chapter 166, Section 166.021, Florida
Statutes.
The development agreement is consistent with the City's Comprehensive Plan and Code of Ordinances,
except where the development agreement specifically varies from the Code (e.g. landscape buffering and
number of parking spaces).
The development agreement provides for reasonable use of the subject property, while addressing issues
and concerns pertinent to the present and future use of the site.
CONSIDERATIONS:
.
The applicant proposes a drive-thru bank as one ofthe on-site out-buildings. Banks and other financial
institutions are permissible uses in the applicable C-1 zoning district. The site plan is proposed to be
modified to depict a drive-thru bank, affecting the number of parking spaces and the landscape areas
immediately surrounding the 2 individual out-buildings. The drive-thru lanes eliminate some parking
spaces, bringing the total number of spaces to 195, instead of 200. Although Section 9 - 277 (26)
requires only one space for each 100 square feet of floor space for patron use in the building (not the
entire building), the applicant appears to be acting in an abundance of caution, since no restaurant has
been identified for this site. The parking islands adjacent to the out-buildings have been reduced from
10 foot wide (Section 20-468: 9 foot interior dimension, 162 square foot minimum, and at least one
tree) to 8 feet and the foundation plantings around the out-buildings have been modified.
RECOMMENDATION:
Staff recommends that the City Commission approve the attached development agreement and final
engineering/site plan modifications.

THIS SECOND MODIFICA nON TO BINDING DEVELOPMENT
AGREEMENT ("Second Modification"), made and executed this _ day of July, 2004, by
and between the CITY OF WINTER SPRINGS, a Florida municipal corporation ("City")
whose address is 1126 East S.R. 434, Winter Springs, FL 32708, and McGABA, LLC., a Florida
limited liability company ("McGaba"), whose address is 4986 Courtland Loop, Winter Springs,
FL 32708.
WHEREAS, McGaba and the City entered into a Binding Development Agreement dated
April 10, 2003, and recorded in Official Records Book 4839, Page 1896, of Seminole County,
Florida (the "Agreement")'; and
WHEREAS, a First Modification to Binding Development Agreement, dated February
26, 2004, was recorded in Official Records Book 05230, Page 1123-1125, of Seminole County,
Florida ("First Modification"); and

WHEREAS, the parties desire to modify the Agreement to allow McGaba to replace
sidewalks on three sides of buildings C&D in lieu of landscaping as long as the net landscaping in
the project does not decrease; and
WHEREAS, the parties desire to modify the Agreement regarding the width of the curb
islands on the comers of buildings C&D to nine feet (9') wide instead often feet (10') wide; and
WHEREAS, the parties desire to modify the Agreement amending the total number of
parking spaces from 200 to 195; and
WHEREAS, the parties acknowledge and agree that all other terms and conditions of the
Agreement and First Modification not expressly modified by this Second Modification shall
remain in full force and effect.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the parties mutually agree as follows:
1.0 Recitals. The foregoing recitals are hereby incorporated herein by this reference
and deemed a material part of this Second Modification.
2.0 Landscaping/Sidewalks. McGaba may construct sidewalks on three sides of
buildings C&D in lieu of landscaping as long as the net landscaping for the project does not
decrease.
3.0 Curb Islands. McGaba may amend the width of the curb islands on the comers of
buildings C&D to nine feet (9') wide rather than ten feet (10') wide.
4.0 Parking. McGaba may amend the total number of parking spaces from 200 to 195.
5.0 Recordation. This Second Modification shall be recorded in the public records of
Seminole County, Florida, and shall run with the land.

6.0 Miscellaneous. All terms and conditions of the Agreement, First Modification, and
other development approvals by the City for the project, which are not expressly and specifically
modified by this Second Modification shall continue to remain in full force and effect.

The following responses have been generated to address your comments dated
06/22104.
Comment #1: Please address the provision of the fountain and pavers in front of
the main building. If modifications are proposed there, need to
address them on the plans.

detailed in the Architectural Plans. The outlines for these items have been
added to the Civil Plans 'for reference purposes. Please refer to the Site

----'Conl1nEmt #2: Plan depicts 15' long automobiles in drive' thru'(an unrealistic
dimension). Since a recent subdivision plan has both the ~taff and
commission alert to providing adequate length for vehicles, be
prepared to defend the stacking area dimensions with examples of
what works in at other locations.
Response: The vehicle lengths shown in the plans have been revised to reflect an
extended vehicle length of 18 feet, and seven feet of clearance has been
provided bfJtween each vehicle. Please refer to the Site Geometry Plan
(Sheet 4).
Comment #3: Ensure landscape islands meet SR 434 New Development Overlay
District dimensional requirements. Ensure increased sidewalk
area around the 2 out-buildings does not conflict with either the
storm-water or landscape requirements.
Rf~sponse: Per the request by the City to save trees along the East side of the project -
thus reducing available parking area, and based on an agreement between
the developer and the City, an amendment to the Developer's Agreement
will be submitted to allow for the reduced sizes of the landscape islands.
Comment #4: Ensure electrical box is adequately screened from public ROWs,
while still allowing adequate access by utility provider and not
compromising security.
RI~sponse: The electrical box originally shown in the plans has been removed, and the
power company will supply the buildings with overhead services instead.

Comment #5: Please consider connecting [with striping and grade] HC access
aisle across parking lot with nearby (to east) sidewalk that extends
from ROW to main buildings.
Response: Handicap access, via striping and ramps, has been added to connect both
out-buildings to the main access path that runs from the ROW to the main
building. Please refer to the Site Geometry Plan (Sheet 4).
Comment #6: Please state whether or not the drive-thru will be covered - if
covered, please adequately describe (e.g. materials, height,
clearance).

Currently, the eastern-most out-building is shown as Retail; however, if this
building should become a restaurant, a dumpster enclosure with a wash-
down facility that drains into a sanitary sewer shall be provided as required.
Clomment #9: As stated in the meeting in the west side conference room, please
provide amendment to the traffic study to demonstrate any
additional trips from drive-thru bank will not adversely affect
concurrency or turning movements.
RE~sponse: Jeff Sherman, with Petretti Group, will be submitting this amendment under
separate cover.
Comment #10: As stated before, the masonry buffer wall to extend across upland
portion of the south side of the site to the upland reach of the 25
foot wide upland buffer (not depicted as such on plans).
Response: The masonry buffer wall has been modified, and a note added stating that
the wall is to extend across the upiand portion of the south side of the site
to the upland reach of the 25 foot wide upland buffer. Please refer to the
Site Geometry Plan (S/leet 4).
Comment #11: Building setbacks on cover sheet are not correct and must be
amended to reflect Sec. 20-465 SR 434 New Development Overlay
District.
Response: The building setbacks shown on the Cover Sheet have been updated to
reflect the Sec. 20-465 requirements.

Comment #1: Note on Cover Sheet indicates that 200 parking spaces are required
and then says 199 are included. Please correct discrepancy.
,Response: The Cover Sheet incorrectly showed 199 spaces as being provided for the
project. The number should have been 195 - thus leaving the project five
spaces short. Per the request by the City to save trees"along the East side
of the project - thus reducing available parking area, and based on an
agreement between the developer and the City, an amendment to the
Developer's Agreement will be submitted to allow for the reduced number of
parking spaces.
Comment #2: 2500 SF Retail stand alone building shows sidewalks against the
building with a narrow strip of landscaping? Move sidewalks
(south and east side) against parking curb so that small landscape
strip is against building. This will enable people to park and walk
forward to the sidewalk without going through the bushes.

LANDSCAPE NOTES
Prior to planting, the irrigation system shall be fully operational and all
planting areas shall be thoroughly soaked.
Prior to beginning planting, the Landscape Contractor shall obtain a
letter from the Soils Engineer that imported fill/topsoil has been
inspected and is friable and an acceptable media for plant growth.
Prior to beginning work, the Landscape Contractor shall obtain a letter
from the Civil Engineer certifying that the grading has been completed
per plan and the drainage functions as designed.
Soil preparation shall be based on a minimum of four (4) chemical
soils tests. The tests shall be taken from the finish grade. The soil
test shall be a part of the base bid and include N.P.R. / EC /pH. /
Texture / Trace Elements and recommendations. The Contractor shall
include in the base bid: The recommended amendments listed and the
modifications according to the analysis.
The planting plans are diagrammatic. Minor adjustments in plant
locations and type may be made at the discretion of the Landscape
Architect.
Plant quantities and areas shown on legends are for the Contractor's
convenience in estimating only. The Contractor is responsible for
providing plant materials sufficient to cover all areas shown on the
plans.
Plant materials in quantities and sizes specified shall, after grading
operations, be spotted approximately as shown on the landscape
drawings and are to be approved by the Landscape Architect before
being removed from containers and excavating soil for planting.
Plant material shall conform to nurseryman's standards for size and
health. All plant material shall be delivered to the site with nursery
species identification tags. All plant material is subject to acceptance
by the Landscape Architect and may be rejected if substandard in
health, quality, or size.
The Landscape Contractor shall maintain a minimum 2% grade away
from walls and finished grades shall be smoothed to eliminate puddling
or standing water. Fine grade all planting areas prior to
commencement of planting operations. The Landscape Contractor is
to receive the site within :f: 1 0 feet of finish grade. The Landscape
Contractor shall coordinate with all trades and maintain drainage
during construction.

SECOND MODIFICATION TO BINDING DEVELOPMENT AGREEMENT
THIS SECOND MODIFICATION TO BINDING DEVELOPMENT
AGREEMENT ("Second Modification"), made and executed this I') t- day of July, 2004, by
and between the CITY OF WINTER SPRINGS, a Florida municipal corporation ("City")
whose address is 1126 East S.R. 434, Winter Springs, FL 32708, and McGABA, LLC., a Florida
limited liability company ("McGaba"), whose address is 4986 Courtland Loop, Winter Springs,
FL 32708.
WHEREAS, McGaba and the City entered into a Binding Development Agreement
dated April 10, 2003, and recorded in Official Records Book 4839, Page 1896, of Seminole
County, Florida (the "Agreement")'; and
WHEREAS, a First Modification to Binding Development Agreement, dated February
26,2004, was recorded in Official Records Book 05230, Page 1123-1125, of Seminole County,
Florida ("First Modification"); and

WHEREAS, the parties desire to modify the Agreement to allow McGaba to replace
sidewalks on three sides of buildings C&D in lieu of landscaping as long as the net landscaping
in the project does not decrease; and
WHEREAS, the parties desire to modify the Agreement regarding the width of the curb
islands on the comers of buildings C&D to nine feet (9') wide instead often feet (10') wide; and
WHEREAS, the parties desire to modify the Agreement amending the total number of
parking spaces from 200 to 195; and
WHEREAS, the parties acknowledge and agree that all other terms and conditions of the
Agreement and First Modification not expressly modified by this Second Modification shall
remain in full force and effect.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the parties mutually agree as follows:
1.0 Recitals. The foregoing recitals are hereby incorporated herein by this reference
and deemed a material part of this Second Modification.
2.0 Landscaping/Sidewalks. McGaba may construct sidewalks on three sides of
buildings C&D in lieu of landscaping as long as the net landscaping for the project does not
decrease.
3.0 Curb Islands. McGaba may amend the width of the curb islands on the comers of
buildings C&D to nine feet (9') wide rather than ten feet (10') wide.
4.0 Parking. McGaba may amend the total number of parking spaces from 200 to
195.
5.0 Recordation. This Second Modification shall be recorded in the public records of
Seminole County, Florida, and shall run with the land.

Miscellaneous. All terms and conditions of the .Agreement, First Modification,
and other development approvals by the City for the project, which are not expressly and
