Authorization REQUEST: The Parks and Recreation Department requests the City Commission to authorize the Mayor to execute the Fourth Addendum to the MY Transportation agreement for Senior Center Transportation for one (1) year. PURPOSE: The purpose of this item is to obtain City Commission approval to execute the Senior Center Transportation Agreement Fourth Addendum for one (1) year. CONSIDERA nONS: . The MY Transportation Agreement for Senior Center Transportation was originally approved on March 24,2003. The City Commission has approved 3 yearly addendums. . Parks and Recreation has tried to locate a company to provide this specialized service to no avail. Only MY bid this service in 2003. . The agreement includes a cost increase over last year of 5% to $79.18 per hour. The maximum amount to be paid is $37,400.00 which is budgeted in FY 08/09. . Should the Senior Center need transportation more than 2 days per week, the cost per hour would be reduced to 3 days - $65.81; 4 days - $59.13; and 5 days - $55.45. . Staff is pleased with the service provided by MY Transportation and agrees to the reasonable increase in the hourly fee (5%). . The Senior Transportation Program brought 1,444 seniors to and from the Senior Center for 11 months last FY. FUNDING: Budgeted in Account 7250-53186, $37,400. COMMISSION ACTION: ATTACHMENT #1 TRANSPORTATION DISADVANTAGED SERVICES AGREEMENT FOURTH ADDENDUM THIS FOURTH ADDENDUM, made and entered into the last date indicated below, by and between the CITY OF WINTER SPRINGS, FLORIDA, a Florida municipal corporation, whose address is 1126 East State Road 434, Winter Springs, Florida (hereinafter the "City"), and MV TRANSPORTATION, INC., a California corporation registered and doing business in the State of Florida, whose principal address is 360 Campus Lane, Suite 201, Fairfield, California (hereinafter the "Contractor"). RECITALS: WHEREAS, the parties previously entered into a Third Addendum to that Transportation Disadvantaged Services Agreement, which was executed by the City on November 6, 2007 and by Contractor on November 1,2007 ("Third Addendum"); and WHEREAS, the Second Addendum authorizes the parties to extend the term of their Agreement for five (5) additional one-year terms; and WHEREAS, the parties desire to exercise the renewal option and extend the term of the Agreement, as amended by the Addendum, Second Addendum, and Third Addendum for an additional one (I) year term as set forth herein; and WHEREAS, the parties desire to adjust Contractor's maximum compensation; and NOW, THEREFORE, in consideration of the mutual promises contained herein, the sufficiency of which is hereby acknowledged, it is agreed by the parties as follows: 1.0 Recitals. The foregoing recitals are true and correct and are hereby incorporated herein by reference as a material part of this Fourth Addendum. 2.0 Term. The term ofthe Transportation Disadvantaged Services Agreement, as amended by the Addendum, Second Addendum, and Third Addendum is hereby extended until midnight on September 30, 2009. 3.0 Compensation. For the performance and full completion of the Services specified in the Agreement, City agrees to pay an hourly rate not to exceed $79.18 per hour with the total amount of compensation to Contractor not to exceed $37,400.00 during the term. The actual hourly rate charged will be determined monthly based upon the following transportation schedule: Transportation Disadvantaged Services Agreement Fourth Addendum 1 Days Per Week Transportation Provided Cost Per Hour 2 Days $79.18/hour 3 Days $65.81/hour 4 Days $59.13/hour 5 Days $55.45/hour To determine the cost per hour for any given month, Contractor shall divide the number of days in which transportation was provided by 4.3 weeks per month, and shall round down or up to the nearest whole number. 4.0 All Other Terms and Conditions. All other terms and conditions of the Transportation Disadvantaged Services Agreement, Addendum, Second Addendum, and Third Addendum, not expressly modified herein, shall remain in full effect and shall be enforceable as provided therein. 5.0 Effective Date. The effective date of this Fourth Addendum shall be the last date signed below.
