ORDINANCE NO. 172
AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF
WINTER SPRINGS, FLORIDA, GRANTING TO SEMINOLE
CABLEVISION, INCORPORATED, A FLORIDA CORPORATION,
THE RIGHT TO ASSIGN ITS NON-EXCLUSIVE FRANCHISE
TO OPERATE WITHIN THE CITY OF WINTER SPRINGS TO
ITS PARENT CORPORATION, AMERICAN TELEVISION AND
COMMUNICATIONS CORPORATION, AND GRANTING AMERICAN
TELEVISION AND COMMUNICATIONS CORPORATION THE
RIGHT TO ASSIGN AND SELL ITS NON-EXCLUSIVE FRANCHISE
TO OPERATE WITHIN THE CITY OF WINTER SPRINGS TO
A WHOLLY OWNED SUBSIDIARY OF TIME, INCORPORATED,
TO BE KNOWN AS AMERICAN TELEVISION AND COMMUNICATIONS
CORPORATION; PROVIDING FOR THE CONDITIONS OF SUCH
ASSIGNMENTS AND TRANSFERS; PROVIDING FOR THE ACCEPTANCE
BY THE ASSIGNEES AND GRANTEES; IMPOSING DUTIES
ON THE ASSIGNEES AND GRANTEES AND PROVIDING FOR
THE MODIFICATION OF SECTION 6 OF ORDINANCE NO.
65 OF THE ORDINANCES OF THE CITY OF WINTER SPRINGS
SO AS TO ALLOW THIS ASSIGNMENT AND MERGER, PROVIDING
FOR AN EFFECTIVE DATE.
WHEREAS, Seminole Cablevision, Inc. was granted
a non-exclusive franchise to install, maintain and operate
a cable system within the City of Winter Springs, Florida,
in accordance with Ordinance No. 65, passed and adopted
on November 1, 1971, by the Village Council of the Village
of North Orlando, Florida; and
WHEREAS, Seminole Cablevision, Inc. was a subsidiary
of its parent corporation, American Television and Communications
Corporation, which wishes to merge into a wholly owned subsidiary
of Time, Inc., to be known as American Television and Communications
Corporation; and
WHEREAS, pursuant to Section 6 of Ordinance No.
65, the assignment of the franchise granted to Seminole
Cablevision, Inc. and any sale or transfer or other disposition
as set forth in Section 6 must be approved by the City of
Winter Springs, Florida;
NOW, THEREFORE, the City Council of the City of
Winter Springs, Florida, hereby ordains:
Section 1. That the City of Winter Springs, Florida,
hereby consents to the transfer and assignment of all rights
and interests to a non-exclusive franchise, described in
Ordinance No. 65, now owned by Seminole Cablevision, Inc.
to American Television and Communications Corporation.
Section 2. That the City of Winter Springs, Florida,
hereby consents to the transfer and assignment of any and
all interests, rights, title and obligations in a non-exclusive
franchise, described in Ordinance No. 65, from American
Television and Communications Corporation to a wholly owned
subsidiary, of Time, Incorporated, which shall be known
as American Television and Communications Corporation.
Section 3. That the City of Winter Springs, Florida,
does hereby consent to the transfer and assignment of all
Seminole Cablevision, Inc. and/or American Television and
Communications Corporation rights, title, interest and obligations,
under and pursuant to the authorities of Ordinance No. 65
to the survivor corporation of the merger of American Television
and Communications Corporation and a wholly owned subsidiary
of Time, Incorporated, which shall be known as the American
Television and Communications Corporation upon confirmation
of the merger.
Section 4. That this consent and approval granted
herein is conditioned upon authorized representatives of
Time, Incorporated, and its wholly owned subsidiaries to
be known as American Television and Communications Corporation,
signing this Ordinance, which signatures will operate as
an agreement and affirmance to be bound by all the terms
and conditions of Ordinance No. 65 of the City of Winter
Springs, Florida.
Section 5. That to the extent of Section 6 of
Ordinance No. 65 require prior approval and that the parties

have taken any actions prior to the passage of this Ordinance,
such actions of the parties are ratified upon obtaining
signatures on this Ordinance from the representatives of
the American Television and Communications Corporation,
and that those provisions of Section 6 requiring such prior
approval are waived and hereby modified for the sole purpose
of ratifying the aforedescribed mergers and transfers.
Such provisions are to remain in existence for any and all
future transactions.
Section 6. The terms and conditions of Ordinance
No. 65 are to remain in effect and as if they had been reprinted
in their entirety in this Ordinance and they shall control
the relationship of the City of Winter Springs with the
American Television and Communications Corporation. This
Ordinance is not in any way intended to modify or alter
Ordinance No. 65 except as specifically described in this
Ordinance.
Section 7. Wherever applicable, the City of Winter
Springs and the franchisee, American Television and Communications
Corporation, are to be substituted in Ordinance No. 65 so
as to conform such Ordinance to existing terms and conditions.
Additionally, the term "village" in such Ordinance is to
be considered to mean the City of Winter Springs.
Section 8. Effective Date. This Ordinance shall
take effect upon its final reading, passage and adoption.

Gentlemen:
By Resolution No. 213 (the "Resolution") dated
April 4, 1978, the City of Winter Springs, Florida con-
sented to the proposed merger of American Television
and Communications Corporation ("ATC") into a wholly
owned subsidiary of Time Incorporated which shall be
known as American Television and Communications Cor-
poration upon consummation of the merger (the "Time
Subsidiary"), subject to the conditions set forth in
the Resolution. ATC holds the cable television fran-
chise issued pursuant to Ordinance No. 65 of the City
Council of Winter Springs.
As contemplated by the Resolution, ATC delivers
herewith a copy of the Resolution duly executed by
ATC. Upon consummation of the merger, the Time Sub-
sidiary will duly execute and deliver to the City of
Winter Springs, a copy of the Resolution.
