CONSERVATION EASEMENT AGREEMENT
THIS CONSERVATION EASEMENT AGREEMENT ("Agreement") is made this
day of ~~~.~-, 2008, by REACT LAND, LLC, a Florida limited liability
company and WINTER SPRINGS GOLF, LLC, a Florida limited liability company ("Grantors"),
having a mailing address of 375 Forsgate Drive, Monroe Township, New Jersey 08831, in favor of
the CITY OF WINTER SPRINGS, a Florida municipal corporation, whose address is 1126 East
State Road 434, Winter Springs, Florida 32708 ("Grantee").
WITNESSETH:
WHEREAS, as a condition of that Third Amendment to Settlement Agreement by and
between Grantors and Grantee, dated November 28, 2007 ("Settlement Agreement"), Grantor has
agreed to grant and secure to the Grantee a perpetual statutory conservation easement, as defined in
Section 704.06, Florida Statutes, over certain real property located within the City of Winter Springs,
Florida; and
WHEREAS, said lands are generally known as portions of the Tuscawilla Country Club
("Club") located on Winter Springs Boulevard; and
WHEREAS, said lands consist of several portions of the Club property identified in the
Settlement Agreement and are more particularly and legally described herein on the attached
Exhibits; and
WHEREAS, the parties acknowledge and agree that the lands described herein have
substantial and significant aesthetic, ecological, recreational and conservation value because said
lands have not been subject to extensive development and exploitation and have been incorporated
into the surrounding community as a recreational and open space amenity for the public benefit
including the benefit of the residents of the City of Winter Springs; and
WHEREAS, the parties recognize that section 704.06, Florida Statutes, authorizes and
permits conservation easements to be granted to municipalities, like the City of Winter Springs; and

WHEREAS, the parties recognize the value and special character of the lands identified
herein, and each of them have in common the desire to protect the value of said lands for the
conservation and recreational purposes stated herein for the benefit of the residents of Winter
Springs; and
WHEREAS, Grantors desire to preserve the lands identified hereunder in perpetuity and for
the conservation and other limited public purposes stated hereunder by conveying a conservation
easement to the Grantee..
NOW, THEREFORE, in consideration of the above and the mutual covenants, terms,
conditions and restrictions contained herein and in the Settlement Agreement, and pursuant to the
provisions of Section 704.06, Florida Statutes, Grantors hereby voluntarily grant and convey to
Grantee a perpetual statutory conservation easement in perpetuity over the land legally described
below. Grantors fully warrant title to said land and the conservation easement granted hereunder,
and will warrant and defend the same against the lawful claims of all persons whomsoever:
1. Incorporation of Recitals. The foregoing recitals are hereby incorporated fully herein
as a material part of this Agreement by this reference.
2. Grant of Conservation Easement. Subject to the terms and conditions set forth in this
Agreement, Grantor hereby conveys to Grantee a perpetual conservation easement over, under, and
upon the following lands:
(A) The real property legally described on EXHIBIT "E;' which is attached hereto and
fully incorporated herein by this reference.
(B) The real property identified as "Wooded Area No. 1 Outside Parcel 8" and "Wooded
Area No. 2 Outside Parcel 8." on COMPOSITE EXHIBIT "F," which is attached hereto and fully
incorporated herein by this reference.
(Collectively referred to as "Conservation Property")
3. Purpose of Easement. This Conservation Easement is granted for the express and sole
purpose of assuring that the Conservation Property will be retained forever as set forth herein and
to prevent any use of the Conservation Property that will impair or interfere with the environmental,
recreational, and open space value of the Conservation Property.
4. Specific Use Limitations. The following use limitations shall apply to the Conservation
Property in perpetuity:
(A) The real property identified and legally described on COMPOSITE EXHIBIT "F," as
"Wooded Area No. 1 Inside Parcel 8," "Wooded Area No. 1 Outside Parcel 8," "Wooded Area No.

2 Inside Parcel 8," "Wooded Area No. 2 Outside Parcel 8," and "Wooded Area No. 3 Inside Parcel
8" shall be forever preserved and maintained in its natural state ("Wooded Property").
(B) The use of the real property identified and legally described on COMPOSITE EXHIBIT
"D" shall be allowed to be used for telecommunication purposes, subject to that certain
Development Order issued by the City Commission of Winter Springs, dated September 10, 2007.
In general, said Development Order authorizes the construction of one unipole telecommunication
tower and related ground equipment in the area identified on COMPOSITE EXHIBIT °`D" as
Tower Parcel and a related twenty foot (20') ingress, egress and utility easement also identified on
said Exhibit ("Tower Property").
(C) The use of the real property identified and legally described on EXHIBIT "E" shall be
strictly limited to recreation and open space related to the operation of a country club, golf course,
tennis club, club house/restaurant, golf and tennis teaching facility/school/academy (with no on-site
residences), stromwater drainage retention and detention, effluent disposal and related country club
uses ("Country Club Property"), except that any portion of the Country Club Property that is also
Wooded Property shall be forever preserved and maintained in its natural state and the Tower
Property may be used for telecommunication purposes authorize by the City.
5. Prohibited Uses. Except for the limited purpose of Grantor initiating or maintaining
a use authorized under Paragraph 4 (B) and (C) of this Agreement, and even then only to the extent
reasonably required to initiate or maintain said use, the Conservation Property shall be perpetually
preserved and maintained in its natural, scenic and open condition and the following activities are
strictly prohibited on, above or below the Conservation Property:
(a) Constructing or placing any buildings, roads, sidewalks, paths, signs, billboards or
other advertising, utilities or other structures on, above or below the ground.
(b) Dumping or placing soil or other substance or material as landfill or dumping or
placing of trash, waste or unsightly or offensive materials.
(c) Removing or destroying trees, shrubs, or other vegetation.
(d) Excavating, dredging or removing loam, peat, gravel, soil, rock or other material
substances in such a manner as to affect the surface.
(e) Surface use, except for purposes that permit the land or water area to remain
predominantly in its natural condition.
(f) Activities detrimental to drainage, flood control, water conservation, erosion control,
soil conservation, or fish and wildlife habitat preservation.

(g) Acts or uses detrimental to such retention of land or water areas.
(h) Acts or uses detrimental to the preservation of the structural integrity or physical
appearance of sites or properties of historical, architectural, archaeological, or
cultural significance.
(i) Any uses in violation of the City of Winter Springs Comprehensive Plan and Code
of Ordinances, as may be amended from time to time, or any Development Order
issued by the City.
6. Rights of Grantee. To accomplish the purposes stated herein, Grantors convey the
following rights to Grantee:
(a) To enter upon and inspect the Conservation Property in a reasonable manner and at
reasonable times to determine if Grantors or their successors and assigns and any
invitees thereof are complying with the covenants and prohibitions contained in this
Agreement.
(b) To proceed at law or in equity to enforce the provisions of this Agreement and the
covenants set forth herein, to prevent the occurrence of any of the prohibited
activities and uses set forth herein, and require the restoration of areas or features of
the Conservation Property that may be damaged by any activity inconsistent with this
Agreement.
7. Grantee's Enforcement Discretion. Grantee may enforce the terms of this
Agreement at its discretion, but if Grantors breach any term of this Agreement and Grantee does not
exercise its rights under this Agreement, Grantee's forbearance shall not be construed to be a waiver
by Grantee of such term, or of any subsequent breach of the same, or any other term of this
Agreement, or of any of the Grantee's rights under this Agreement. No delay or omission by Grantee
in the exercise of any right or remedy upon any breach by Grantors shall impair such right or remedy
or be construed as a waiver. Grantee shall not be obligated to enforce the provisions of this
Agreement. Grantors acknowledge that failure to comply with the terms and conditions of this
Agreement will result in irreparable harm to the Conservation Property and that the Grantee shall
be entitled to equitable relief to enforce said terms and conditions including, but not limited to,
injunctive relief. Should the Grantee have to take legal action to enforce said terms and conditions
against Grantors or its successors and assigns or any invitee, Grantee shall be entitled to
reimbursement of any and all reasonable attorneys' fees and costs incurred by Grantee in said
enforcement action.
8. Grantee's Liability. Grantors will assume all liability for any injury or damage to
the person or property of third parties which may occur on the Conservation Property arising from
Grantor's ownership of the Conservation Property. Neither Grantors, nor any person or entity

claiming by or through Grantors, shall hold Grantee liable for any damage or injury to person or
personal property which may occur on the Conservation Property. Nothing herein shall be construed
as a waiver of the Grantee's right to sovereign immunity under section 768.28, Florida Statutes or
any other provision of law. The liability limitations on Grantee and its officials and employees set
forth in section 768.28, Florida Statutes are hereby deemed fully incorporated herein by this
reference.
9. Acts Beyond Grantors' Control. Nothing contained in this Agreement shall be
construed to entitle Grantee to bring any action against Grantors for any injury to or change in the
Conservation Property resulting from natural causes beyond Grantors' control, including, without
limitation, fire, flood, storm and earth movement, or from any necessary action taken by Grantors
under emergency conditions to prevent, abate or mitigate significant injury to the Conservation
Property or to persons resulting from such causes.
10. Recordation. Grantee shall record this Agreement in a timely fashion in the Official
Records of Seminole County, Florida, and shall re-record it at any time Grantee may require to
preserve its rights. Grantee shall pay all recording costs and taxes necessary to record this
Agreement in the public records. Grantee will hold Grantors harmless from any recording costs or
taxes necessary to record this Agreement in the public records.
11. Successors. The covenants, terms, conditions and restrictions ofthis Agreement shall
be binding upon, and inure to the benefit of the parties hereto and their respective personal
representatives, heirs, successors and assigns and shall continue as a servitude running in perpetuity
with the Conservation Property.
12. Governing Law and Venue. The parties agree that this Agreement was
consummated in Seminole County, and the site of the Conservation Easement is in Seminole County,
Florida. This Agreement shall be governed by the laws of the State of Florida. Venue for all disputes
shall be properly placed in Seminole County, Florida.
13. Notice. All notices, demands, requests, consents, approvals or other communications
(collectively, "Notices") required or permitted to be given hereunder or which are given with respect
to this Agreement shall be effective only if in writing and delivered by personal service, or delivered
to an overnight courier service with guaranteed next day delivery or mailed by registered or certified
mail, return receipt requested, postage prepaid, addressed as follows:

or to such other address as such party shall have specified most recently by like Notice. The
aforesaid attorneys for the parties hereto are hereby respectively authorized to give any Notice
permitted under this Agreement. Any Notice given as provided herein shall be deemed received as
follows: if delivered by personal service, on the date so delivered; if delivered to an overnight courier
service, on the business day immediately following delivery to such service; and if mailed, on the
third business day after mailing.
14. Amendment. This Agreement may be amended, altered, released or revoked only
by written agreement between the parties hereto or their heirs, assigns, or successors-in-interest,
which shall be filed in the public records in Seminole County, Florida.
15. Reference to Exhibits. In order to provide consistency with the Settlement Agreement,
the labeling of the Exhibits set forth in this Agreement are the same as the Settlement Agreement.
Thus, COMPOSITE EXHIBIT "D,"EXHIBIT "E,"AND COMPOSITE EXHIBIT "F" are the same
in the Settlement Agreement. For purposes of this Agreement, there are no exhibits "A," "B," or

16. Assignment; Third Party Enforcement. In accordance with section 704.06(3), Florida
Statutes, the City may assign or convey, in whole or in part or in common, its rights under this
Agreement to any governmental body or agency, or charitable corporation or trust whose purpose
include protecting natural, scenic, or open space values of real property, assuring its availability for
agricultural, forest, recreational, or open space use, protecting natural resources, maintaining or
enhancing air or water quality, or preserving sites or properties of historical, architectural,
archaeological, or cultural significance. Further, the City shall have the right to appoint a third party
to enforce any of the terms of this Agreement in accordance with section 704.06(8), Florida Statutes.
TO HAVE AND TO HOLD unto Grantee forever. The covenants, terms, conditions,
restrictions and purpose imposed with this Agreement shall be binding upon Grantors, and shall
continue as a servitude running in perpetuity with the Conservation Property.
Grantors hereby covenant with said Grantee that Grantors are lawfully seized of said

Conservation Property in fee simple; that the Conservation Property are free and clear of all
encumbrances that are inconsistent with the terms of this Agreement; that Grantors have good right
and lawful authority to convey this Conservation Easement; and that it hereby fully warrants and
defends the title to the Conservation Easement granted under this Agreement and hereby conveyed
against the lawful claims of all persons whomsoever.

Textron Financial Corporation, a corporation which is organized and existing under the laws of
Delaware, hereinafter referred to as "Mortgagee", is the owner and holder of that certain
Mortgage, Security Agreement, and Fixture Filing (hereinafter refereed to as the "Mortgage")
which ~~~as recorded in Official Records Book 6846, Page 755 of the Public Records of Seminole
County, Florida, on October 18, 2007. Textron Financial Corporation hereby joins in and
consents to the perpetual conservation easement being recorded against the lands described in
Exhibit "A" attached hereto by the owner thereof, and agrees that its Mortgage shall be

Winter Springs, Florida, (Grantee) and React Land, LLC and Winter Springs Golf, LLC
(collectively Grantor), dated September 8, 2008 (Conservation Easement) on behalf of React
Land, LLC and Winter Springs Golf, LLC.
6. The Conservation Easement granted by Grantor to Grantee is intended to be in all respects
a binding covenant on the real property legally described in the Conservation Easement.
