FIRST ADDENDUM TO
AQUATIC WEED CONTROL AND POND MAINTENANCE SERVICES CONTRACT
THIS FIRST ADDENDUM TO AQUATIC WEED CONTROL AND
POND MAINTENANCE SERVICES CONTRACT (“First Addendum”) is made and entered into
this 19th day of December, 2025, by and between the CITY OF WINTER SPRINGS, a Florida
municipal corporation located at 1126 E. State Road 434, Winter Springs, Florida 32708 (“City”),
and SOLITUDE LAKE MANAGEMENT, LLC, a Foreign limited liability company authorized to
conduct business in Florida (“Contractor”), whose principal address is 5869 Enterprise Pkwy, Fort
Myers, Florida 33905 (collectively, the “Parties”).
WITNESSETH:
WHEREAS, City and Contractor previously entered into that certain Aquatic Weed Control and
Pond Maintenance Services Contract (“Agreement”) under the terms and conditions contained therein,
executed October 18, 2024; and
WHEREAS, the Agreement was set to terminate following the expiration of its initial one (1) year
term, unless renewed. The Agreement is subject to extension and renewal for three (3) additional one (1)
year terms; and
WHEREAS, the Parties desire and mutually agree to retroactively extend the term of the
Agreement for an additional one (1) year term pursuant to Section 3.0 of the Agreement; and
NOW, THEREFORE, for good and valuable consideration, the sufficiency of which is hereby
acknowledged, the Parties covenant and agree as follows:
1.0 Recitals. The foregoing recitals are hereby deemed to be true and correct and are
incorporated herein by this reference as a material part of this First Addendum.
2.0 Term of Agreement Extension. The term of the Agreement is hereby retroactively
extended for an additional one (1) year term, commencing December 1, 2025, and terminating at 11:59 p.m.
on November 30, 2026, unless either Party chooses to exercise its rights under Section 20.0, Termination
of the Agreement. The Parties shall have the option to extend the term of the Agreement for an additional
two (2) one (1) year periods by mutual written agreement of all Parties.
3.0 Other Terms and Conditions. Any other term or condition of the Agreement not expressly
modified by this First Addendum shall remain in full force and effect.
