THIS FIRST ADDENDUM TO INDEPENDENT CONTRACTOR AGREEMENT
("FIRST ADDENDUM") is made this jZy day of X70 ✓mod Q r , 2024, by and
between the CITY OF WINTER SPRINGS, a Florida municipal corporation whose address is
1126 East State Road 434, Winter Springs, Florida 32708 ("City"), and MELISSA ANNE
WEATHERS, LLC, a Florida Limited Liability Company whose principal address 1020 Cox
Court, Oviedo, Florida 32765 ("Contractor").
RECITALS:
WHEREAS, City has certain outdoor park facilities available for use by the public; and
WHEREAS, the City and Contractor previously entered into an Instructor Independent
Contractor Agreement ("Agreement") under which the Contractor agreed to provide yoga classes
("Services") for the benefit of the public using the City's outdoor park facilities; and
WHEREAS, Section 8.1 of the Agreement provides that said Agreement may be renewed
upon the mutual written consent of both parties for up to three (3) one (1) year periods; and
WHEREAS, the original term of the Agreement expired on October 31, 2024; and
WI�REAS, notwithstanding the expiration of the original term of the Agreement, the
City desires to continue to allow Contractor to offer such Services to the public under the terms
and conditions contained in this First Addendum; and
WHEREAS, the parties desire to extend the term of the Agreement for one (1) additional
one (1) year term, commencing retroactively on October 31, 2024.
IN CONSIDERATION of the mutual covenants and provisions acknowledged herein, and
other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the parties hereto agree as follows:
Section I. Recitals. The foregoing recitals are true and correct and are hereby
incorporated herein as a material part of this First Addendum.
Section 2. Extension of Term. Pursuant to Section 8.1 of the original Agreement, the City
and Contractor mutually agree to extend the term of the Agreement for one (1) additional one. (1)
year term, commencing retroactively on October 31, 2024, and terminating at 11:59 p.m. on
October 31, 2025. Upon the expiry of this renewal term, the parties shall have the option to extend
the term of this Agreement for two (2) additional one-year periods.

Section 3. Other Terms and Conditions. Any other term or condition of the Agreement
not expressly modified by this First Addendum shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto caused this First Addendum to be executed
on the dates indicated below.
