HomeMy WebLinkAboutCommerce and Industry Development Board By-Laws.pdfi0 BY-LAWS COMMERCE AND INDUSTRY DEVELOPMENT BOARD WINTER SPRINGS, FLORIDA ARTICLE I NAME The name of this Board is the Commerce and Industry Development Board, hereinafter referred to as the "Board". ARTICLE II PURPOSE It is the purpose of the Board to recommend plans and work toward attracting clear, non-polluting commercial businesses to the City of Winter Springs, Florida that are compatible with a high quality of life, culture and environment. ARTICLE III MEMBERSHIP (a) The Board shall be comprised of seven (7) members. Five members are to be appointed by the City Commission for the City of Winter Springs, Florida, with the incumbent Mayor and the City Manager serving as ex-officio Members of the Board. (b) Each Board Member shall serve a three year term and may be removed at any time by a majority vote of the City Commission. (c) The City Commission of Winter Springs, Florida, shall strive to appoint persons to the Board from the private business sector in Winter Springs, or business persons residing within the the City of Winter Springs, ARTICLE IV COMPENSATION Each Board Member except the Mayor and the City Manager shall be reimbursed from the City treasury to cover the expenditures naturally and necessarily incurred in the performance of their duties of office, and said reimbursement for expenses shall be established by resolution. ARTICLE V POLICY r The Board shall have no authority to contractually, legally, or otherwise bind the City of Winter Springs, Florida. The Board shall recommend to the City Commission all programs it deems necessary to effectuate its purposes. The City Commission shall review said recommendations, and vote to approve or disapprove, to approve with recommendations, and shall vote to fund or not to fund said recommendations. ARTICLE VI MEETINGS (a) The Board shall meet monthly at regular time specified by the Board. (b) Special meetings may be called by the Chairman, requiring sufficient notice to enable Board Members to attend. ARTICLE VII PARLIAMENTARY AUTHORITY Roberts Rules of Order Revised, shall govern in all cases in which they are not in conflict with these By -Laws. ARTICLE VIII AMENDMENTS By -Laws may be amended by a majority of the Board Members, and subject to the approval of the Commission.
