Assessment Services Agreement Fifth Addendum - 2023 12 14FIFTH ADDENDUM TO CITY OF WINTER SPRINGS ASSESSMENT SERVICES AGREEMENT This FIFTH Addendum to Assessment Services Agreement ("Fifth Addendum"), dated as of the It iKday of Dzcefflk 20 by and between NBS Government Finance Group ("NBS"), a foreign corporation authorized to conduct business in Florida ("Service Provider"), located at 32605 Temecula Parkway, Suite 100, Temecula, California 92592, and the City of Winter Springs ("City"), a Florida municipal corporation, located at1126 E. State Road 434, Winter Springs, Florida 32708. WITNESSETH: WHEREAS, the City and NBS previously entered into the Agreement for Assessment Program Management Services ("Agreement") on December 1, 2018, for the purpose of administering its Tuscawilla Improvemet Area District ("TLBD"), Tuscawilla Maintenance Assessment Area, Oak Forest Assessment Area (Maitenance), Tuscawilla (Phase 1II) Assessment Area (Capital) and Tuscawilla (Phase III) Assessment Area (Maintenance) non ad valorem assessment roll programs; and WHEREAS, the City and NBS set forth their mutual understanding of the tet•ms and conditions of the Agreement, the terms and conditions of which are incorporated herein by this reference; and WHEREAS, the Agreement was amended by the "First Addendum to Assessment Services Agreement" ("First Addendum"), pursuant to which the term of the agreement was extended for one (1) year, the term of which ended on November 30, 2020; and WHEREAS, the Agreement was amended by the "Second Addendum to Assessment Services Agreement" ("Second Addendum"), pursuant to which the term of the agreement was extended for one (1) year, the term of which ended on November 30, 2021; and WHEREAS, the Agreement was amended by the "Third Addendum to Assessment Services Agreement" ("Third Addendum"), pursuant to which the term of the agreement was extended for one (1) year, the term of which ended on November 30, 2022; and WHEREAS, the Agreement was amended by the "Fourth Addendum to Assessment Services Agreement" ("Fourth Addendum"), pursuant to which the term of the agreement was extended for one (1) year, the term of which ended on November 30, 2023; and WHEREAS, the parties desire and mutually agree to extend the term of the Agreement for an additional one (1) year term, and to increase the compensation to the Service Provider in accordance with Section 2.1 of the Agreement, and to implement modifications as otherwise provide for herein; and NOW THEREFORE, inconsideration of the mutual promises herein contained, and for good and valuable consideration, the sufficiency of which is herein acknowledged, the Parties hereto agree as follows: 1.0 Recitals. The foregoing recitals are hereby deemed to be true and correct, and are incorporated herein by this reference as a material part of this Fifth Addendum. Page 1 of 2 Fifth Addendum to Assessment Program Management Services Agreement City of Winter Springs and NBS Government Finance Group, Inc. 2.0 TERM OF AGREEMENT EXTENSION. The term of the Agreement is hereby extended for an additional one (1) year term commencing on December 1, 2023, and terminating on November 30, 20240 3.0 COMPENSATION FOR BASE MAINTENANCE SERVICES. The Compensation for Services is hereby increased in accordance with Section 2.1 of the Agreement. Section 6.1 of the Agreement is hereby deleted in its entirety and replaced with the following: 6.1 Compensation for Base Maintenance Services. For the Services provided pursuant to the Agreement identified in the Scope of Work as Base Maintenance Services, the City agrees to pay the Service Provider Sixteen Thousand, Three Hundred and Twenty Three dollars and Thirty Six cents ($16,323.36) per year. If this Agreement is extended, the total annual amount paid to the Service Provider shall not exceed the above mentioned number adjusted by the Consumer Price Index as set forth in paragraph 2.1 of the Agreement. 4.0 Other Terms and Conditions. Any other term or condition of the Agreement not expressly modified by this Fifth Addendum shall remain in full force and effect.
