BINDING DEVELOPMENT AGREEMENT
THIS BINDING DEVELOPMENT AGREEMENT ("Agreement"), made and
executed this 14th day of April, 2003 by and between the CITY OF WINTER
SPRINGS, a Florida municipal corporation ("City") whose address is 1126 East State
Road 434, Winter Springs, Florida 32708, and SEMINOLE PINES ASSOCIATES,
LTD., a Florida limited partnership ("Owner"), whose address is 3801 Bee Ridge Road,
Suite 12, Sarasota, Florida 34233.
WITNESSETH:
WHEREAS, Owner is constructing a second phase to an existing Manufactured
Housing Community denoted Tuskawilla Trails, Phase II, on real property located within
the City of Winter Springs Town Center; and
WHEREAS, the parties desire to memorialize their mutual understanding that the
real property will be developed as the Tuskawilla Trails, Phase II, project in accordance
with the Town Center Zoning District requirements adopted by the City, (the "Project");
and
WHEREAS, this Agreement was entered into in conjunction with the City
Commission of Winter Springs' approval of the Final Development Plan for Tuskawilla
Trails, Phase II, on April 14, 2003 ("Final Development Plan").
NOW THEREFORE, in consideration of the mutual promises and covenants
contained herein, the parties mutually agree as follows:
Section 1. Recitals. The foregoing recitals are hereby incorporated herein by
this reference.
Section 2. rkuthority. This Agreement is entered into pursuant to the Florida
Municipal Home Rule Powers Act.

Section 3. SuMect Pro er . The real property subject to, and bound by the
terms and conditions of this Agreement, is legally described on Exhibit "A"
("Property"), which is attached hereto and fully incorporated herein by this reference.
Section 4. Representations of Owner. Owner hereby represents and
warrants to City that Owner has the power and authority to execute, deliver and perform
the terms and provisions of this Agreement and has taken all necessary action to
authorize the execution, delivery and performance of this Agreement. This Agreement
will, when duly executed and delivered by Owner and recorded in the public records of
Seminole County, Florida, constitute a legal, valid and binding obligation enforceable
against Owner and the Property in accordance with the terms and conditions of this
Agreement. Owner represents it has voluntarily and willfully executed this Agreement
for purposes of binding the Property to the terms and conditions set forth in this
Agreement.
Section 5. Owner's Obligations and Commitments. In consideration of the
City entering into this Agreement with Owner, Owner voluntarily agrees as follows:
5.1 Parks and Recreation Concurrent-' Owner acknowledges that the City
currently has on -site parks and recreation concurrency requirements
pursuant to City Code. For purposes of satisfying the concurrency
requirement, the City agrees to calculate said requirement by combining
Phase I and Phase II of the Tuskawilla Trails development. Based on said
calculation, Owner shall be required to construct and maintain in
perpetuity a nature trail around the entire perimeter of the Wet Detention
Pond and an open playground area, as depicted and specified on the Final
Development Plan. The nature trail and playground area shall be
constructed and maintained in good condition in accordance with the Final
Development Plan. Said trail shall consist of a six (6') foot wide,
compacted subgrade, mulch surface deemed suitable for walking by the
City. In addition, Owner shall install and maintain in good condition a
nature trail, playground identification sign and a park bench as depicted
and specified in the Final Development Plan.
5.2 Landscape Buffer: Owner shall maintain in a uniform and good condition
a twenty-five foot (25') minimum landscape buffer -yard along the right-
of-way called Nature's Way. There shall be no tree removal or grubbing
with mechanical equipment in this buffer area with the exception of two
(2) 15-foot wide utility easements shown on the Final Development Plan.
5.3 Potable Water: Potable water service shall be provided by the City water
system by way of connection to the existing 12" water main on Tuskawilla
Road and extension of an 8" water main to the Property. Design and
construction of all lines, fire hydrants, and appurtenances shall conform to
City and Florida Department of Environmental Protection standards. Upon
certification of construction completion, the City will take over ownership

_ and operate the lines, stations and appurtenances up to the boundaries of
each individual lot line.
5.4 Sanitary Sewer: Sanitary sewer service shall be provided by the City
sanitary sewer system by way of connection to the existing wastewater
system serving the adjacent subdivision called Avery Park via
construction of a City -owned lift station and 4" sewer force main. Design
and construction of all lines, lift stations, and appurtenances shall conform
to City and Florida Department of Environmental Protection standards.
Upon certification of construction completion, the City will take over
ownership and operate the lines, lift stations, and appurtenances up to the
boundaries of each individual lot line.
5.5 Additional Construction Reimbursement: Construction of Tuskawilla
Trails, Phase II, includes water and sewer amenities that have been
oversized to accommodate areas in addition to the Property. The City has
agreed to share, in part, the actual cost of the surveying, design, permitting
and construction activities over and above that needed for the Property.
The City's share of the actual costs is generally set forth in the
memorandum to Kip Lockcuff, City Utility Director, from John Webb,
originally dated February 12, 2003, and revised March 11, 2003. A copy
of the memorandum is attached as Exhibit "B" and fully incorporated
herein by this reference. The City shall pay its share of the costs within
fourteen (14) days of the City accepting ownership of the water and sewer
utilities required under Paragraphs 5.3 and 5.4 of this Agreement.
5.6 Seminole Count Ri ht-of-wa Utilization: Owner shall be required to
obtain all Seminole County right-of-way utilization permits deemed
necessary to extend water and sewer to the Property. Copies of the
permits shall be provided to the City promptly upon Owner's receipt.
5.7 Sidewalks and Roadways: It is the intent and purpose of this Paragraph to
develop Tuskawilla Trails, Phase II, consistent with Phase I with respect
to sidewalks and roadways. Therefore, sidewalks shall not be required for
Phase II. In addition, the road right-of-way for Phase II shall be thirty (30)
feet in width, including ribbon curbs, as depicted in the Final
Development Plan.
5.8 Mohawk Trail Fence: The existing fence on the south end of Mohawk
Trail will be removed and replaced with a "knock -down" fence in
accordance with the standards established by the City's Fire Department.
5.9 Tree Ordinance:
(a) Tree Replacement Assessment. Since Owner originally filed its
Application for Preliminary and Final Development Plan Approval prior

to the adoption of Ordinance No. 2002-08 repealing Chapter 5, Winter
Springs Land Development Code, regarding tree protection and
preservation, Owner is vested to a limited extent to be regulated under
Chapter 5 of the Winter Springs Land Development Code as it existed
prior to the adoption of Ordinance 2002-08 (Chapter 5 prior to its repeal
shall be referred to as the "Tree Ordinance"). Particularly, Owner is only
vested with respect to tree removal and replacement rights and tree
replacement assessments and credits as more specifically granted and set
forth in the Final Development Plan and the Landscape Site Plan approved
by the City Commission on April 14, 2003, and this Agreement. Owner
acknowledges and agrees that no other vesting from Ordinance 2002-08
has been granted by the City. In the event that the approved Final
Development Plan should ever be deemed by the City to be abandoned
pursuant to the City of Winter Springs Land Development Code, the
limited vested right involving the Tree Ordinance granted hereunder shall
no longer be applicable and any development on the Property subsequent
to such abandonment of the Final Development Plan shall comply with
Ordinance 2002-08 as amended from time to time.
(b) Tree Protection Guidelines. Owner and its construction
contractors shall fully comply at all times with the Tree Protection
Guidelines set forth in Exhibit "C" attached hereto and made part hereof
by reference.
(c) Arbor Permit Fees. Based on 899 trees being removed from the
Property, Owner shall pay the City Nine Thousand One Hundred Eighty
and No/100 ($9,180.00) Dollars in arbor permit fees. Said fees shall be
fully paid at such time required by City policy.
(d) Tree Credits. Based on the tree credits earned by Owner for the
enhanced landscaping being provided pursuant to the Landscape Plan,
Owner is not required to pay any money to the City's tree bank.
5.10 Utility Easements: Within thirty (30) days of the effective date of this
Agreement, Owner shall grant to the City, in a form acceptable to the City
Attorney, the following utility easements:
(a) A blanket utility easement over, on and under all roadways
constructed and depicted on the Final Development Plan.
(b) Three (3) fifteen (15) foot utility easements over, on, and under the
areas depicted on the Final Development Plan.
(c) A lift station utility easement over, on, and under the area depicted
on the Final Development Plan.

Owner shall be responsible for providing legal descriptions acceptable to
the City for all easements required by this Agreement.
5.11 Final Development and Landscape Plan: Owner shall construct the
Project in accordance with the requirements of the Final Development
Plan and Landscape Plan approved by the City Commission on April 14,
2003, as may be amended upon Owner's request from time to time by the
City Commission. The requirements of the Final Development Plan and
Landscape Plan are fully incorporated herein, and deemed a material part
of this Agreement, by this reference.
Section 6. Successors and Assigns. This Agreement shall automatically be
binding upon and shall inure to the benefit of the successors and assigns of each of the
parties.
Section 7. Applicable Law. This Agreement shall be governed by and
constructed in accordance with the laws of the State of Florida.
Section 8. Amendments. This Agreement shall not be modified or amended
except by written agreement duly executed by both parties hereto and approved by the
City Commission.
Section 9. Entire A!reement. This Agreement supersedes any other
agreement, oral or written, and contains the entire agreement between the City and
Owner as to the subject matter thereof.
Section 10. Severabitity. If any provision of the Agreement shall be held to
be invalid or unenforceable to any extent by a court of competent jurisdiction, the same
shall not affect in any respect the validity or enforceability of the remainder of this
Agreement.
Section 11. Effective Date. This Agreement shall become effective upon
approval by the City of Winter Springs City Commission and execution of the Agreement
by both parties.
Section 12. Recordation. This Agreement shall be recorded in the public
records of Seminole County, Florida, and shall run with the land.
Section 13. Relationship of the Parties. The relationship of the parties to this
Agreement is contractual and Owner is an independent contractor and not an agent of the
City. Nothing herein shall be deemed to create a joint venture or principal -agent
relationship between the parties, and neither party is authorized to, nor shall either party
act toward third persons or the public in any manner which would indicate any such
relationship with the other.

Section 14. Sovereign Immunity. Nothing contained in this Agreement shall
be construed as a waiver of the City's right to sovereign immunity under Section 768.28,
Florida Statutes, or any other limitation on the City's potential liability under state and
federal law.
Section 15. City's Police Power. Owner agrees and acknowledges that the
City hereby reserves all police powers granted to the City by law. In no way shall this
Agreement be construed as the City bargaining away or surrendering its police powers.
Section 16. Interpretation. The parties hereby agree and acknowledge that
they have both participated equally in the drafting of this Agreement and no party shall
be favored or disfavored regarding the interpretation to this Agreement in the event of a
dispute between the parties.
Section 17. Permits. The failure of this Agreement to address any particular
City, county, state, and federal permit, condition, term, or restriction shall not relieve
Owner or the City of the necessity of complying with the law governing said permitting
requirements, conditions, terms, or restriction.
Section 18. Third Party Rights. This Agreement is not a third party
beneficiary contract and shall not in any way whatsoever create any rights on behalf of
any third party.
Section 19. Specific Performance. Strict compliance shall be required with
each and every provision of the Agreement. The parties agree that failure to perform the
obligations provided by this Agreement shall result in irreparable damage and that
specific performance of these obligations may by obtained by suit in equity.
Section 20. Attorney's Fees. In connection with any arbitration or litigation
arising out of this Agreement, the prevailing party shall be entitled to recover reasonable
attorney's fees and costs though all appeals to the extent permitted by law.
Section 21. Future Rezoning/Development Permits. Nothing herein shall
limit the City's authority to grant or deny any future rezoning or development permit
applications or requests subsequent to the effective date of this Agreement. In addition,
nothing herein shall be construed as granting or creating a vested property right or
interest in Owner or on the Property.

Associates has developed the following evaluation of Cost Sharing for the surveying, engineering,
and construction of the above referenced project. This comes as a result of our previous discussions
involving modifications to the construction plans to provide amenities to the benefit of the City
which would normally not have been included in the design.

The "Bid Estimate" details the lowest responsible bidders estimated line item cost
for construction. The "Bid Estimate and Schedule of Cost Sharing" documents the
difference between the estimated cost for construction of the project in accordance
with the current plans compared to the estimated cost for construction without the

additions requested by the City. Enclosed is "Table 1 " which further describes item
by item the quantity and cost differences documented in the "Bid Estimate and
Schedule of Cost Sharing".
ITEM II: Additional Engineering
JBW&A in accordance with owner's instruction modified the construction plans to
provide amenities to the benefit of the City which would normally not have been
included in the design. These generally included the design, - calculations,
engineering and plan preparation/modification for the following:
A. JBW&A prepared an "Evaluation of Wastewater Transmission System
Alignment" report dated March 7, 2002, which included estimated flows
from Tuskawilla Trails Phase II, the Commercial Property lying immediately
east of Tuskawilla Trails and Residential Property lying between Tuskawilla
Trails and Avery Park. The evaluation included sizing of pump station and
pumps to manage this flow, and three (3) alternate force main routes for City
evaluation. City staff reviewed the evaluation and made recommendation on
the preferred route. This route and pipe sizing was configured to
accommodate future connections for the areas noted above.

B. Evaluation and setting of manholes and inverts in the Commercial Property
immediately east of Tuskawilla Trails in order to set the proper depth of the
connection manhole (0) in Phase II.
C. Evaluation and sizing of Lift Station and pumps in order to manage the flows
from not only Phase II but also the total build -out of Commercial Property
east of Phase II and Residential Property south of Tuskawilla Trails.
Please note Sunshine Communities, Inc./Tuskawilla Tails would expect to receive to their (future)
credit a pro -rated share of the cost for the lift station construction when the Phase I sanitary sewer
is constructed (i.e. they are prepaying $31,545.00 or 43.14% of the total lift station cost for the
anticipated Phase I sanitary sewer flow, see Attachment "A").
Your prompt review and approval of the cost sharing estimate would be appreciated as the
Tuskawilla Trails Phase II Final Development Plans and Developer's Agreement will be finalized
in the near future.

Cost Sharing Evaluation for the Construction of

The following list provides further commentary to describe the modifications to the "Bid Estimate"
that is presented on the "Bid Estimate and Scheduling of Cost Sharing". The line item noted below
references the specific line item on the "Bid Estimate and Scheduling of Cost Sharing":
ITEM NO. DESCRIPTION OF MODIFICATION
4.01 through 4.04 The east 8" gravity sewer trunk line on Pawnee Trail was lowered in order to
provide gravity service for future connection to Commercial property east of
Tuskawilla Trails. The revised cost for these items deducts the deep pipe
construction and adds shallow pipe construction. In addition, once the
commercial connection is removed, then Manhole #9 can be relocated to
Station 10+60 Pawnee Trail. This results in a reduction in pipe length from
298 linear feet to 85 linear feet (see Attachment B).
4.07 and 4.10 The east 8" gravity sewer trunk main on Pawnee Trail was lowered in order
to provide gravity service for future connection for Commercial property east
of Tuskawilla Trails. The revised cost for these items deducts one deep
manhole and adds a shallow manhole construction.
5.01 and 5.03 Due to the connection to the future Commercial property, the wetwell was
required to be deeper. In addition the diameter of the wetwell, pumps
electrical controls, site work required to be enhanced to accommodate the
additional flows from the future connections. The revised cost is prorated
based on the anticipated flows to the lift station (see Attachment A).
5.02 The force main serving Phase II only, could have been 2-1 /2" to Avery Park.
In order to provide for future development, a 4" force main was integrated in
the design at the request of the City. The revised cost denotes the fee for
construction of a 2-1/2" force main to connection in Avery Park.
6.04 8" Gate Valve and Box added to new 8" water main on Natures Trail at
request of the City to serve future connection to Commercial property east of
Tuskawilla Trails.

11:
TREE PROTECTION GUIDELINES
1. Prior to construction or during site preparation, barricading suitable to the City's
arborist shall be erected and maintained around all trees to be preserved in order
to establish a tree protection area. All trees to be preserved shall be identified on -
site by harmless marking or banding.
2. Prior to construction, tree protection signs shall be posted and maintained at all
tree protection areas. The contractor shall make every effort to protect all existing
trees to be preserved during site preparation and construction. Placement of
material, machinery, utility lines, soil, hazardous liquids, or vehicles within the
tree protection area shall be strictly prohibited. Materials, wires, signs, or nails
shall not be attached to any tree unless such materials are needed to preserve the
tree.
3. Unless another suitable technique is approved by the City's arborist, the tree
protection barriers shall be constructed as follows: Uprights - 4" x 4" lumber on
eight -foot (8) minimum centers; horizontals - the equivalent of one (1) course of
2" x 4" lumber.
4. Tree protection barriers shall remain in place until construction is fully completed
and all paving, construction, and heavy equipment is off the Property.
5. All trees to be preserved shall have their natural soil level maintained. All efforts
shall be made through the grading and drainage plan to maintain the natural
drainage to and from such trees.
6. Any tree that may need to be moved for any reason during the construction
process shall be relocated only under the direction and written approval of the
City's arborist.
7. Properly install and maintain siltration and sediment control barriers around trees.
8. Root and canopy pruning shall be required by a qualified ISA arborist. Any
damaged roots shall be clean cut and covered by clean fill.
9. Owner shall abide by the reforestation standards set forth in Ordinance 2002-08,
as amended, for all trees damaged or destroyed during construction.
