REGULAR AGENDA ITEM 500 CITY COMMISSION AGENDA | JULY 10, 2023 REGULAR MEETING TITLE Digital Billboard Conversion Agreement SUMMARY Pursuant to Section 16-77 of the City Code, the Community Development Department is requesting that the City Commission consider approval of a Digital Billboard Conversion Agreement, between the City of Winter Springs and OutFront Media LLC, which will allow the conversion of an existing legally nonconforming static billboard into a digital billboard with electronic message display technology located on the RaceTrac gas station property generally located on the south side of the intersection of State Road 419 and Highway 17-92. RECOMMENDATION Staff requests that the City Commission review and approve the proposed agreement. 146 R EGULA R AGENDA ITEM 5 00 CITY COMMISSION MONDAY, June 26, 2023 | REGULAR MEETING TITLE RaceTrac Billboard Conversion Agreement SUMMARY The applicant, OutFront Media LLC, is requesting to convert their existing legally nonconforming static billboard to a digital billboard with electronic message center. Request: Pursuant to Section 16-77 of the City Code, the Community Development Department is requesting that the City Commission consider approval of a Digital Billboard Conversion Agreement, between the City of Winter Springs and OutFront Media LLC, which will allow the conversion of an existing legally nonconforming static billboard into a digital billboard with electronic message display technology located on the RaceTrac gas station property generally located on the south side of the intersection of State Road 419 and Highway 17-92. Applicable Law, Public Policy, and Events: Home Rule Powers City of Winter Springs Comprehensive Plan City of Winter Springs Code of Ordinances Ch. 16, Sec. 16-77. Outdoor display/billboards. Fiscal Impact: There is no fiscal impact associated with this item. However, the approval of the Digital Billboard Conversion Agreement will have a financial benefit to the City by affording free public advertisement opportunities on the proposed new digital billboard. Analysis: Staff reviewed the location of the existing legally nonconforming static billboard and has determined that it is compliant in regard to setbacks. The applicant submitted structural details of the existing structure as well as an analysis of the existing structure from a licensed engineer who determined that the existing structure would be able to support the added weight associated with digital billboard faces. Staff has reviewed the structural details and analysis and has determined that there are no concerns regarding the existing structure or its ability to support the digital sign faces. The proposed digital billboard’s location and design is in substantial conformity with the Annexation Agreement between the City of Winter Springs and RaceTrac Petroleum, Inc. effective March 11, 2013, specifically Subsection 4(b) regarding the Billboard. The applicant has confirmed that they do not own any other billboards in the City. Given the specific provisions of Sec. 16-77 related to conversion of existing static billboards into digital billboards, as well as the negotiated agreement associated with the proposed conversion, staff supports the request for approval of the digital 147 R E G U L A R A G E N D A I T E M 5 0 0 | M O N D A Y , J U N E 26, 2 0 2 3 | P A G E 2 OF 2 billboard conversion agreement. Upon approval of the agreement, the applicant will then need to submit an application for signage, technical details of the digital signage related to brightness, timing, etc., along with building plans to the Community Development Department for review. Nelson Mullins Broad and Cassel 390 North Orange Avenue, Suite 1400 Orlando, Florida 32801 VOLUNTARY BILLBOARD AGREEMENT THIS VOLUNTARY BILLBOARD AGREEMENT (“Agreement”) entered into this ____ day of _________, 2023, by and between the City of Winter Springs, a Florida municipal corporation, whose mailing address is 1126 East State Road 434, Winter Springs, Florida 32708, (the “City”), and Outfront Media, LLC, a Delaware limited liability company authorized to do business in the State of Florida, whose mailing address is 635 W. Michigan Street, Orlando, Florida 32805 (“Outfront”). Recitals WHEREAS, Outfront approached the City seeking to convert its existing billboard located at 3271 N US Highway 17-92 (Seminole County Property Appraiser Tax ID # 2220-30-300-0290- 0000), (the “Billboard Property”) to construct a new digital billboard; and WHEREAS, this Agreement is voluntarily entered by Outfront, at their request, and was not required by the City; and WHEREAS, it is the policy of the City to encourage owners of legally non-conforming signs to enter into relocation and reconstruction agreements that allow the City to accomplish the public goals of protecting, improving and ensuring highway safety, views, aesthetics and business/investment, without the expenditure of public funds while allowing the continued maintenance of private investment in signage as a medium of commercial and noncommercial communication; and WHEREAS, the City Code of Ordinance (the “Code”), section 16-77(k) and other applicable provisions of Chapter 16 of the Code upon the City Commission’s approval of, and pursuant to this agreement; and WHEREAS, The City Commission, in accordance with said section of the Code must find that the replacement digital billboard sign is less obtrusive, improves the aesthetic character of the City, provides other benefits to the City; and WHEREAS, pursuant to Section 70.20, Florida Statutes of the Bert J. Harris, Jr., Private Property Rights Protection Act, municipalities are encouraged to enter into relocation and reconstruction agreements with owners of lawfully erected off-premise signs; and 149 2 | P a g e 4845-7647-9217 v.4 / WHEREAS, Outfront owns an existing billboard (the “Existing Board”) located at the following address: 3271 N US Highway 17-92, Winter Springs, Florida 32750 (the “Billboard Property”); a two-sided sign with face dimensions of 14’x 48’ (672 square feet) consisting of 2 static sign faces on a monopole support construction with a total of height of 50’. A photograph and legal description of the Existing Board is attached hereto as Composite Exhibit “A”, and by reference made a part hereof; and WHEREAS, Outfront wishes to replace the Existing Board with a new, double-faced digital billboard serving N US Highway 17-92 (“Replacement Board”), with sign face dimensions of 14’ x 48’, consisting of a digital sign face serving northbound traffic and a digital sign face serving southbound traffic with an overall height not to exceed fifty (50) feet, on the Billboard Property, for which the specifications and location on the subject property and legal description are described in Exhibit “B” (“Replacement Board Specifications and Location”), attached hereto and made a part hereof by reference; and WHEREAS, the Owner of the real property upon which the existing billboard is located has joined in this Agreement and agrees to be bounded to the terms; and WHEREAS, any digital or electronic off-premise signs will be subject to the City’s regulations for such signs; and WHEREAS, pursuant to the Code of Ordinances, the City Commission and the City of Winter Springs (the “Commission”), its officers, and its attorneys, have been authorized to enter into Agreements consistent with the provisions of the Ordinance; and WHEREAS, the Commission determines this Agreement is consistent with the Code of Ordinances; and WHEREAS, the Commission hereby authorizes this Agreement be executed and that all officers, employees and attorneys of or for the Commission are authorized to prepare, sign, execute, serve, publish and file for and in the name of the City and the Commission all necessary papers, affidavits, pleadings, motions, permits, and documents in connection with the execution of the Agreement and are further authorized to perform all obligations including without limitation to execute all building permits and authorizations needed to construct the Replacement Board; and WHEREAS, the parties hereto desire to memorialize their agreement. W I T N E S S E T H NOW, THEREFORE, in consideration of the mutual covenants herein described, the sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Recitals. The above recitals are true and correct and are hereby incorporated into the substantive body of this Agreement. 150 3 | P a g e 4845-7647-9217 v.4 / 2. Installation of New Digital Billboard. The City hereby agrees that Outfront may construct the New Digital Billboard (Replacement Billboard), which includes two (2) advertising faces, each of which shall be permitted to include a digital display upon application, approval, and in accordance with the Code and Florida and Federal law. The New Digital Billboard may be constructed on the Property and must be constructed in accordance with this Agreement, the Code and Florida and Federal law. 3. Definitions. For the purposes of this Agreement, certain terms or words used herein shall be interpreted as follows a. “Existing Board” shall mean the billboard consisting of two (2) faces owned by Outfront at the Billboard Property as of the date of this Agreement. b. “Replacement Board” shall mean the new billboard to be reconstructed at the Billboard Property. 4. Replacement of Existing Board with Replacement Board. Upon the execution of this Agreement, and subject to the issuance of all required FDOT permits, and the submission of a complete, acceptable application described in Exhibit “C” to the City for a City permit, the City shall issue within 60 days a permit for the construction of the Replacement Board at the Billboard Property, subject to the legal description, location and specifications described in Exhibit “B” attached hereto and made a part hereof by reference. Construction of the Replacement Board shall occur strictly in compliance with the Replacement Board specifications, the permit issued by the City, the permit to be issued by FDOT, in any and all applicable laws, codes, rules and regulations. Outfront shall initiate construction of the Replacement Board within two hundred seventy (270) days of Outfront’s receipt of the 1) the City’s issuance of a permit, and 2) the issuance of the FDOT permit, if required, and shall complete construction of the Replacement Board within seven (7) days of the initiation of construction or such longer period of time as may be necessary as a result of a force majeure event. Outfront shall notify the City in writing within thirty (30) days of its receipt of the FDOT permit referenced above, if requried. For purposes hereof; a “force majeure event” shall include any reason or unforeseen circumstances beyond Outfront’s reasonable control, including acts of God or public authorities, war and war measures (whether or not a formal declaration of war is in effect), civil unrest, fire, epidemics, floods, earthquakes, hurricanes, or delays in transportation, delivery, or supply. The Replacement Board, shall comply with the terms of the Code and state law and shall be deemed a legal, and conforming use under the Code. Notwithstanding anything contained herein, in the event the Replacement Board is damaged by an act of God, repair of the Replacement Board in the same location, configuration and size and all the same specifications as were in place at the time of the damage shall be permitted by the City as a legal, conforming use. Outfront will obtain any and all permits necessary for the reconstruction of the Replacement Board and comply with any and all applicable building codes. 5. No Warranties. Other than the City’s issuance of a permit for construction of the Replacement Board, the City makes no warranties or representations that the Billboard Property 151 4 | P a g e 4845-7647-9217 v.4 / is appropriate or available for said use. Nor does the City make any representation or warranty as to the regulatory approvals of any other governmental entity with jurisdiction. 6. Certificate of Completion. A certificate of completion for use of the Replacement Board shall not be issued by the City until the City has confirmed that the Existing Board, as described herein, has been replaced by the Replacement Board consistent with the terms of this Agreement. Said confirmation by the City shall not be unreasonably withheld, conditioned, or delayed. 7. Digital Face Construction and Performance Standards. Outfront agrees that any Digital Face sign face and sign shall be constructed in accordance with the following construction requirements and performance standards: (A) Two signs faces having dimensions of 672 square feet each, with copy area of 14 feet by 48 feet per face per specifications of Exhibit “B”. (B) The sign shall not exceed an overall height of 50 feet from crown of adjacent road. (C) The sign shall have a steel monopole support. (D) The sign shall be constructed with at least a 5 foot front setback from N US Highway 17-92 to comply with City requirements for N US Highway 17-92. (E) The overall structure height of the sign shall not exceed 50 feet above the crown of N US Highway 17-92. (F) The sign may be internally or externally illuminated. (G) The sign may be constructed, at Outfront’s option, utilizing either static sign faces, digital/changeable message sign faces, or a combination thereof. (H) The sign shall meet all FDOT outdoor advertising sign separation requirements. (I) The minimum spacing between the sign and another billboard sign with faces visible from the same driving direction along the roadway shall comply with the requirements of Section 479.07(9)(a)(2), Florida Statutes. The distance shall be measured from the nearest point of the sign as projected to the centerline of the roadway upon which the sign is intended to be viewed to the nearest point of the other sign as measured to its closest point as projected to the centerline along the same roadway. (J) The digital/changeable message sign face shall not contain the following: (i) movement, or the appearance or optical illusion of movement, (ii) movement of any part of the sign structure, design, or pictorial segment of the sign, and (iii) the movement or the appearance of movement of any illumination or the flashing, scintillating or the varying of light intensity. (K) The sign shall not be illuminated in such a manner so as to cause glare or to impair the vision of motorists or otherwise distract motorists so as to interfere with motorists’ ability to 152 5 | P a g e 4845-7647-9217 v.4 / safely operate their vehicles. The sign shall not be of such intensity or brilliance that it interferes with the effectiveness of an official traffic sign, device or signal. Otherwise, the sign shall comply with the lighting requirements of the State of Florida, including Chapter 479, Florida Statutes, and Rule 14-10, Florida Administrative Code, certain of which provisions currently prohibit moving light. (L) Lighting levels from the digital/changeable message sign face will not exceed 0.3 foot candles over ambient levels, as measured using a foot candle meter at a pre-set distance of 250 feet from the base of the sign structure. (M) The digital/changeable message sign shall not scroll, contain copy that flashes, or feature motion pictures. (N) The “dwell time,” defined as the interval of change between each individual message, shall be eight (8) seconds in duration; provided, however, Outfront may program dwell times greater than eight (8) seconds in its sole discretion. The dwell time shall not include the time required to change a message. (O) The sign face must change instantaneously and imperceptibly. (P) The digital/changeable message sign shall have a default mechanism or setting that will cause the digital/changeable message sign face to turn off or freeze in one position at a brightness no brighter than normal operation if a malfunction or failure (meaning any unintended interruption in message sequencing) occurs. (Q) No embellishments or cutouts may be utilized on the sign. 8. Indemnification. Outfront agrees to release, indemnify, and hold the City harmless from and against any and all claims, causes of action, damages, and liability, including attorneys’ fees, experts’ fees and costs, at trial and on appeal, that may arise under this Agreement due to any negligent act or omission or intentional misconduct of Outfront. Nothing herein shall inure to the benefit of any third party to allow a claim otherwise barred by sovereign immunity or other operation of law. Outfront acknowledges that its execution of this Agreement is a voluntary act performed at its request and that the City has not offered any inducements and has not made an y representations, promises, or threats to cause Outfront to enter into this Agreement, except as expressly set forth herein. The City shall notify Outfront of any legal action filed against the City within ten (10) days after receiving notice of same. Outfront shall have the right to select counsel, but the City shall have the right to approve such counsel, which shall not be unreasonably withheld. If the City fails to timely notify Outfront within fourteen (14) days, fails to cooperate in the defense of the action, or fails to reasonably approve counsel selected by Outfront, then Outfront shall thereafter not be responsible for the City’s defense or payment of any legal fees or costs associated with such action. 9. No City Responsibility for the Replacement Board. Outfront acknowledges and agrees that Outfront shall be solely responsible for the design, construction, operation, and maintenance of the Replacement Board and that the City shall have no responsibility for such design, construction, 153 6 | P a g e 4845-7647-9217 v.4 / operation, or maintenance. Further, Outfront expressly assumes all responsibility for the content of any advertising or messages on the Replacement Board. Outfront acknowledges and agrees that the City has no control over and bears no responsibility for the content of any advertising or messages that may appear on the Replacement Board. 10. Default. A default by any party under this Agreement shall entitle the other party to all remedies available at law or in equity, which remedies shall include the right to injunctive r elief and specific performance. In the event of any litigation regarding this Agreement or any matter contemplated herein, each party in such litigation shall be responsible for its own attorneys’ fees and costs, whether incurred during negotiations, preparation, at trial, or upon appeal and shall not recover from the opposing party. 11. Consideration. The City and Outfront affirm that the only consideration for executing this Agreement is that stated herein and that no other promise or agreement of any kind, oral or written, has been made to or with them by any person or entity. 12. Effect of This Agreement on Prior Agreements and Method of Amendment. This Agreement supersedes all previous agreements or representations, either verbal or written, heretofore in effect between the parties, made with respect to the matters herein contained, and when duly executed constitutes the entire Agreement between the parties. No additions, alterations or variations of the terms of this Agreement shall be valid nor provisions of this Agreement be deemed waived be either party, unless such additions, alterations, variations or waivers are expressed in writing and duly signed. 13. Laws of Florida to Govern Venue. This Agreement shall be governed by the laws of the State of Florida, and the proper venue shall be Seminole County, Florida. 14. Warranty of Authority to Execute Agreement. Each of the parties hereto has received all necessary approvals to enter into this Agreement and to perform their respective obligations hereunder. The person executing this Agreement on behalf of each party has the authority to bind the party to the terms and provisions of this Agreement. 15. Document is the Result of Mutual Draftsmanship. The terms and conditions in this Agreement are the product of mutual draftsmanship by both parties, each being represented by counsel, and any ambiguities in this Agreement or any documentation prepared pursuant to it shall not be construed against any of the parties because of authorship. The parties acknowledge that all the terms of this Agreement were negotiated at arms’ length, and that each party, being represented by counsel, is acting to protect its, his, her, or their own interest. 16. Recording of Agreement. A copy of this Agreement may be recorded by either party, in the Public Records of Seminole County, Florida, upon taking effect. Outfront shall pay the cost of the recording. 17. Disclaimer of Third-Party Beneficiaries. This Agreement is for the sole benefit of the parties hereto and their successors, and no right of action shall accrue upon or by reason hereof, to or for the benefit of any third party. Nothing in this Agreement either express or implied is intended 154 7 | P a g e 4845-7647-9217 v.4 / or shall be construed to confer upon or give any person, corporation or governmental entity other than the parties hereto any right remedy or claim under or by reason of this Agreement or any conditions hereof; and all of the provisions, representations, covenants and conditions herein contained shall inure to the sole benefit of and shall be binding upon the parties hereto and their respective representatives, successors and assigns and no other person or entity shall have any rights of action hereunder. 18. Transfer. Outfront agrees not to transfer or otherwise convey any ownership interest in any sign face or sign structure listed in this Agreement unless the transferee executes an agreement to be bound by the terms and conditions of this Agreement, which agreement shall be substantially in the same form as Exhibit “D,” (“Form Transfer Agreement”) attached hereto and incorporated herein by reference. 19. Conflict with Laws. In the event of a conflict between provisions in this Agreement and the provisions in any federal or state law, the parties shall first attempt to read the provisions in reasonable harmony, and if no agreement can be reached, the provision of federal law, then state law, shall prevail over the provisions in this Agreement, in that order. 20. Severability. If any part of this Agreement is found invalid or unenforceable by any court, such invalidity or unenforceability shall not affect the other parts of this Agreement if the rights and obligations of the parties contained therein are not materially prejudiced, and if the intentions of the parties can continue to be effected. To that end, this Agreement is declared severable. 21. Waiver. No failure or delay on the part of either party in exercising any right, power or privilege hereunder will operate as a waiver thereto nor will any waiver on the part of either party of any right, power, or privilege hereunder operate as a waiver of any other right, power, or privilege hereunder, nor will any single or partial exercise of any right, power, or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, power, or privilege hereunder. 22. Exhibits. The exhibits attached hereto are hereby incorporated in and made a part of this Agreement as if set forth in full herein. 23. Public Records Law. Outfront acknowledges that certain information related to this Agreement is subject to any and all Public Records law, including Chapter 119, Florida Statutes, and Outfront will, upon notification by the City, reasonably cooperate with the City to provide access required by law. 24. State and Federal Law. Any digital or electronic off-premise sign constructed and maintained pursuant to this Agreement shall comply with all applicable state and federal regulations. If any state or federal regulations are enacted related to safety or operational standards that are more stringent than the requirements of the City Code and this Agreement, the digital or electronic off-premise sign, whether or not already constructed, shall comply with such state or federal regulations. 155 8 | P a g e 4845-7647-9217 v.4 / 25. Voluntary Agreement. Outfront has entered into this Agreement voluntarily due to Outfront’s desire to erect the Replacement Board, and not due to coercion by the City. 26. Notice. The new LED panel weight is approximately 9,500 lbs (each), which is an increase in weight of approximately 7,820 lbs over each existing static face. RMG conducted a structural evaluation in accordance with FBC 2020 to determine the adequacy of the existing sign structure with the additional LED panel weight. (hereinafter referred to collectively as "Developer" or "Owner") whose address is 3225 Cumberland Boulevard, Suite 100 , Atlanta, Georgia 30339, this 11th day of March, 2013 (the "Effective Date") and sha!J be fully enforceable in accordance with the terms hereof. WITNESS ETH: WHEREAS, the Owner is the owner or contract purchaser of certain real property located in unincorporated Seminole County, Florida, which real property is more particularly described in Exhibit "A" (attached hereto and incorporated herein by reference; said property hereinafter being referred to as the "Property"); and WHEREAS, the Property currently is assigned a mixed use Comprehensive Plan and zoning designation by Seminole County; and WHEREAS, the Owner is also the owner or contract purchaser of certain real property located in Winter Springs, Florida and adjacent to the Property, which real property is more particularly described in Exhibit "B" (attached hereto and incorporated herein by reference; said property hereinafter being referred to as the "Winter Springs Property"); and WHEREAS, the Property and Winter Springs Property are within the State Road 17-92 Community Redevelopment Area; and WHEREAS, the Winter Springs Property is the site of a closed gas station, and along with the Property, is in need of redevelopment for purposes of removing slum and blight in the area; and WHEREAS, the Owner desires to annex the Property into the City of Winter Springs and to aggregate it with the Winter Springs Property in order to redevelop the properties as one development site for a RaceTrac convenience store with motor fuel sales; and WHEREAS, the City has determined that the redevelopment of the Property and Winter Springs Property will provide a substantial economic benefit to the City and its citizens, and a 1 187 benefit to the State Road 17-92 Comm.unity Redevelopment Area, said development being referred to as the "Project"; and WHEREAS, the purpose of this Agreement is to set forth the understandings and agreements of the parties with respect to the foregoing, and other matters as agreed to and set forth herein; and WHEREAS, this Agreement is authorized by, permitted by, and consistent with the provisions of the City's home rule Charter; the City's Comprehensive Plan; Chapters 163 and 166, Florida Statutes; Article VIII, Section 2b, Constitution of the State of Florida; Chapter 171, Florida Statutes; and other applicable law, and serves and advances a vital public purpose of removing slum and blight and providing economic development; and NOW, THEREFORE, for and in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration each to the other has provided, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Recitals. (a) The recitals are adopted as the findings of the City Commission of the City of Winter Springs, Florida. (b) The above recitals are true and correct and are incorporated into this Agreement by reference, and are a material part of this Agreement upon which the parties have relied, including but not limited to the assertions that the Owner owns the Property and Winter Springs Property, and is empowered to enter into this Agreement and make binding commitments. 2. Annexation; Unity of Title. (a) This Agreement shall upon execution by the Owner, serve and constitute an irrevocable Annexation Petition by the Owner for the annexation of the Property into the corporate boundaries of the City of Winter Springs, provided and subject to the additional condition that the City shall thereafter annex the Property into the City, subject to the terms and conditions of this Agreement. Owner agrees that they will not contest or object to the annexation of the Property (provided such annexation is consistent with the terms hereof) and that the parties will fully cooperate with each other to achieve the annexation on the terms and conditions set forth herein. (b) Owner agrees that upon annexation of the Property and Owner obtaining the necessary building permits for the Project, the Property and the Winter Springs Property shall be unified in ownership and title for development purposes, and shall be considered one developable lot of record for development purposes under the City Code. Any division or subdivision of this unified developable lot of record shall be subject to the platting or lot split requirements of the City Code. 3. No Annexation Fees. It is understood and agreed that no fees, costs, or expenses will be charged to or become due from the Owner to the City or to any other governmental 2 188 authority, private individual or entity on account of or in connection with the City's review and processing of the Annexation Petition or the annexation of the Property into the corporate limits of the City of Winter Springs; provided however, that the Owner shall pay its own attorneys' fees and consulting fees, as may be determined to be necessary by the Owner. 4. Development Conditions -Future Land Use and Zoning Map. (a) In order to facilitate the development of the Property and Winter Springs Property, the City agrees, upon annexation of the Property, to advertise and proceed with public hearings to amend the Property's Comprehensive Plan Future Land Use Map designation to City "Commercial" and Official Zoning Map classification to City "C-2 General Commercial." The aforementioned comprehensive and zoning map amendments shall be subject to Florida law and City Code, and shall be subject to final approval by the City Commission of Winter Springs. No provision of this Agreement shall be construed as guaranteeing that the amendments will be approved by the City Commission. Each party will fully cooperate with each other to achieve the amendments on the terms and conditions set forth herein including, but not limited to, submitting and executing any applications customarily required by the City. (b) It is understood and agreed that Owner will pay the fees, costs, or expenses that are customarily charged by the City on account of or in connection with the City's review and processing of the comprehensive plan and zoning map amendments for the Property; provided however, that the City shall pay its own attorneys' fees and consulting fees and staff time, as may be determined to be necessary by the City. 5. Additional Development Conditions. It is understood and agreed by the parties that in order to facilitate the development of the Property and the Winter Springs Property as a RaceTrac convenience stote with motor fuel sales (the "Project"), and for the purposes of eliminating the slum and blight within the State Road 17-92 Community Redevelopment Area, the following development conditions shall apply: (a) Conceptual Project Rendering and Conceptual Site Plan. A conceptual rendering depicting the Project is attached hereto as Exhibit "C'' and is incorporated herein by this reference. The parties agree that this Project will be constructed in substantial conformance with said rendering. A conceptual site plan depicting the Project is attached hereto as Exhibit "D" and is incorporated herein by this reference. The parties agree that this Project will be constructed in substantial conformance with said site plan. Developer shall have the obligation to further submit and obtain the City's approval of final engineering plans. Developer shall also have the obligation to construct aesthetic enhancements to the Project as depicted in the conceptual renderings and site plan and as may be reasonably requested by the City in accordance with the City Code, particularly the City's aesthetic review ordinance. (b) Billboard. The parties acknowledge that the existing billboard on the Property is a legally nonconforming billboard under the Seminole County Code. As such, upon annexation of the Property, the existing billboard located on the Property shall continue as a legally nonconforming billboard subject to applicable provisions of the City Code. However, it is understood and agreed by the parties that in order to facilitate the development of the Property and the Winter Springs Property as a RaceTrac convenience store with gasoline sales, and for 3 189 purposes of eliminating the slum and blight within the State Road 17-92 Community Redevelopment Area, Owner shall have the right to relocate the billboard pole to the location within the landscape buffer as generally depicted on Exhibit ''D'1 and increase the height of said billboard by a maximum of ten (10) feet above the motor fuel canopy and a face area not to exceed fourteen (14) feet by forty-eight (48) feet, in order to accommodate the RaceTrac development project as generally depicted on Exhibit "E" attached hereto and incorporated herein by this reference. ( c) Monument Signs. The closed gas station on the Winter Springs Property was permitted to have two (2) monument signs each containing 100 square feet of copy area. The City agrees that the Project shall also be permitted to have two (2) monument signs with 100 square feet of copy area as shown (labeled "LED Price Logo Sign") and generally located in the area depicted on Exhibit "D." ( d) Building Siiroage Allowance. The principal building of the Project shall be permitted to have a signage allowance as generally depicted on Exhibit "F" attached hereto and incorporated herein by this reference. (e) Configuration of Parking Soaces and Drive Aisles. Unless otherwise provided in the final engineering plans approved by the City, regular parking spaces shall be no smaller than ten feet (10 ft) by eighteen feet (18 ft) and internal parking lot drive aisles shall be a minimum width of thirty-six feet (36 ft). (f) Pond. The parties aclmowledge and agree that the City Engineer shall be authorized to approve minor deviations to the storm water pond geometry (including slopes) in order to accommodate existing site constraints subject to the City's approval of final engineering plans. 6. Duty To Cooperate. The parties agree to cooperate at all times, in a timely manner, and in good faith regarding the implementation of this Agreement. This cooperation shall extend to the granting by the City and the acquisition by the Owner, of applicable necessary municipal permits, and the Owner shall diligently process and seek the receipt of, and shall use reasonable legal means, to obtain all necessary state, municipal, federal permits, development orders, licenses, easements and other approvals or rights in connection with the development of the Property and Winter Springs Property in accordance with this Agreement and applicable land use, zoning, land development, building and construction regulations. 7. Further Assurances. In addition to the acts recited in or set forth in this Agreement, the parties agree to perform or cause to be performed in a timely manner, any and all further acts as may be reasonably necessary to implement the provisions of this Agreement, including but not limited to the execution and/or recordation of further instruments; provided however that the City's obligation shall be subject to such limitations of law as may be applicable to municipalities. 8. Limitations of Remedies. The parties hereby agree not to pursue an award of monetary damages for a breach by or non-performance of the other party under this Agreement. The only remedies of the other party available against the non-performing party under this 4 190 Agreement shall be either to withhold further performance under the Agreement until the non- performing party cures the non-performance, or to seek a court order from the Circuit Court of the Eighteenth Judicial Circuit in and for Seminole County, Florida requiring the non-performing party to fulfill its obligations under the Agreement. However, nothing in this Agreement shall be construed to limit the right of either party to pursue any and all available remedies if any, under non-tort or constitutional law relating to a party's non-performance under the Agreement so long as damages are not sought. The City will not waive sovereign immunity and does not waive sovereign immunity to any extent by reason of this Agreement, and in the event Owner seeks any relief against the City, the City may rely on any available defense arising out of its sovereign immunity. In the event a court order is issued declaring non-perfonnance by either party, the non- performing party shall be required to reimburse the other party any actual and reasonable expenses incurred as a result of the breach (excluding attorney's fees and legal costs). 9. Disclaimer Of Third Partv Beneficiaries. This Agreement is solely for the benefit of the formal parties to this Agreement and no right or cause of action shall accrue by reason hereof to or for the benefit of any third party not a formal party hereto. Nothing in this Agreement, express or implied, is intended to be nor shall be a conferring upon or giving any person or entity any right, remedy or claim by reason of this Agreement or any provisions or conditions hereof, including any provisions or conditions hereof that may be implied or suggested in equity, and only the express parties to this Agreement and their respective designated representatives, successors and assigns shall have any rights under this Agreement. 10. Time Is Of The Essence. The parties agree that they shall diligently and expeditiously pursue their respective obligations. 11. Successors and Assigns. This Agreement and the terms and conditions hereof shall be binding upon and inure only to the benefit of the City and the Owner, and their respective successors in interest in writing, by duly recorded and lawful instrument. 12. Applicable Law. This Agreement and the provisions herein shall be construed, controlled and interpreted according to the laws of Florida. If there is a conflict between this Agreement and terms of the City Code, the terms of the Agreement shall control unless Florida law prohibits a waiver of the Code provision by agreement. 13. Binding Effect. Each party represents to the other it has undertaken all necessary actions to execute this Agreement and has the legal authority to enter this Agreement and to undertake all obligations imposed on it. 14. Recording. Upon Owner's execution of this Agreement, the City shall, at its sole cost and expense record a fully executed copy of this Agreement in the Public Records of Seminole County, Florida. 15. Venue. Any and all actions or proceedings arising out of or related to this Agreement or brought to enforce or interpret this Agreement, shall be brought exclusively and solely in the court of appropriate jurisdiction in Seminole County, Florida. 16. Construction Or Interpretation Of the Agreement. This Agreement is the result of bona fide arm's length negotiations between the parties and all parties have contributed 5 191 ) substantially and materially to the preparation of the Agreement and were represented by counsel. Accordingly, this Agreement shall not be construed or interpreted more strictly against one party as against the other party. 17. Development Permits. Nothing herein shall limit the City's authority to grant or properly deny any development permit applications or requests subsequent to the effective date of this Agreement. The failure of this Agreement to address any particular City, County, State and/or Federal permit, condition, term or restriction shall not relieve Owner or the City of the necessity of complying with the law governing said permitting requirement, condition, term or restriction. Without imposing any limitation on the City's police powers, the City reserves the right to withhold, suspend, or terminate any and all certificates of occupancy for any building or unit if Owner is in breach of any term or condition of this Agreement. 18. Attorneys ' Fees and Costs. In the event of a dispute regarding this Agreement, the parties shall bear their own attorneys' fees and legal costs and neither shall be responsible to pay the other's legal fees. 19. Caption/Exhibits. (a) The headings or captions of the sections and subsections contained in this Agreement are for convenience and reference only, and do not, in themselves, have any legal significance and shall not be afforded any. (b) The exhibits to this Agreement are hereby incorporated into this Agreement and are an integral part of this Agreement. In the event of any conflict between the Agreement and any exhibit, the terms of the Agreement shall govern and control except with respect to the legal description or description of the Property and Winter Springs Property, in which case the correct statement in an exhibit will control over the Agreement, but only if the description in the exhibit is determined to be accurate. 20. Parties Bound. Following the recordation of this Agreement, the benefits and burdens of this Agreement will become a covenant running with the title to the Property and Winter Springs Property and all parts and parcels thereof, and this Agreement shall be binding upon and will inure to the benefit of both the City and Owner, and the assigns and successors in interest to the Property and Winter Springs Property and all parts and parcels thereof. 21. Severability. If any provision of this Agreement is held to be unlawful by a court of competent jurisdiction, the unlawful portion shall be deemed separate and distinct, and the same shall not affect in any respect whatsoever the validity or enforceability of the remainder of the Agreement. However, if the portion found to be unlawful results in the loss of a material benefit by the owner as a result of the excising or removal of such unlawful provision, then the owner may terminate the Agreement. 22. Notices.
