HomeMy WebLinkAbout2021 03 22 Regular 500 - Resolution 2021-01 Rejoining CALNO + , REGULAR AGENDA ITEM 500 CITY COMMISSION AGENDA I MARCH 22, 2021 REGULAR MEETING TITLE Resolution 2021-01 Rejoining CALNO SUMMARY CALNO is a local government council made up of Seminole County local governments formed in the 1970s. Winter Springs had previously been a member of the organization but has not been involved since the passage of Resolution 2014-09 which served as the City's formal withdrawal. To rejoin CALNO the following actions would have to be taken: 1 . A Resolution passed by the Commission serving as written notice of intent/desire to join the group 2. A majority vote by current CALNO membership 3. Upon approval by CALNO, the Winter Springs City Commission would need to select an elected representative and an alternate The City Commission voted unanimously at the March 8, 2021 Regular Meeting to have a resolution drafted to rejoin CALNO. The next meeting of CALNO is scheduled for Wednesday, April 7, 2021 . If this Resolution is approved, the City Clerk will forward a copy to CALNO for their consideration and the current membership will vote on admitting Winter Springs. Annual dues are normally $25, however fees have been waived for 2021 . RECOMMENDATION 1 RESOLUTION NO. 2021-01 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF WINTER SPRINGS FLORIDA, SUBMITTING A REQUEST FOR MEMBERSHIP IN CALNO; DIRECTING THE CITY CLERK TO DISTRIBUTE THIS RESOLUTION TO THE OTHER MEMBERS OF CALNO ADVISING THEM OF THE CITY'S DESIRE AND REQUEST TO REJOIN CALNO; PROVIDING FOR SEVERABILITY, REPEAL OF PRIOR INCONSISTENT RESOLUTIONS,AND AN EFFECTIVE DATE. WHEREAS, the City previously was a member of CALNO which is a local government council established by Seminole County local governments pursuant to Section 163.02, Florida Statutes; and WHEREAS, Article I A. 2 of the CALNO By-Laws permits municipalities to submit a request to become a member of CALNO by providing written notice; and WHEREAS, Section 163.02 (2), Florida Statutes provides representation on the council shall be in a manner provided in the agreement establishing the council and CALNO's By-Laws requires membership to be approved by a majority of the member agencies; and WHEREAS, the City Commission of the City of Winter Springs deems that this Resolution is in the best interests of the public health, safety, and welfare of the citizens of Winter Springs. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF WINTER SPRINGS, SEMINOLE COUNTY, FLORIDA, AS FOLLOWS: Section 1. Incorporation of Recitals. The foregoing recitals are deemed true and correct and are hereby fully incorporated by this reference. Section 2. Request to Rejoin CALNO. The City Commission hereby desires and requests to rejoin CALNO in accordance with Section 163.02(2),Florida Statutes and the written By-Laws of CALNO. Section 3. City Clerk Directed to Notify CALNO Members. Forthwith, the City Clerk is hereby directed to provide a copy of this Resolution, in executed form, to all members of CALNO advising them of the City Commission desire to rejoin CALNO Section 4. Repeal of Prior Inconsistent Resolutions. All prior resolutions or parts of resolutions in conflict herewith are hereby repealed to the extent of the conflict. If any section, subsection, sentence,clause,phrase,word,or portion of this Resolution is for any reason held invalid or unconstitutional by any court of competent jurisdiction, such portion shall be deemed a separate, distinct and independent provision and such holding shall not affect the validity of the remaining portion hereto. Section 6. Effective Date. This Resolution shall become effective immediately upon adoption by the City Commission of the City of Winter Springs, Florida. GARGANESE, City Attorney City of Winter Springs Resolution 2021-01 Page 2 of 2 3 BYLAWS OF THE COUNCIL OF LOCAL GOVERNMENTS IN SEMINOLE COUNTY AS AMENDED ON MARCH 7, 2012 PREAMBLE We, the representatives of local governments in Seminole County, pursuant to Florida Statutes, Section 163.02, hereby join together in a voluntary organization to be known as the Council of Local Governments in Seminole County for the purpose of meeting at regular intervals to discuss and study community challenges of mutual interest and concern, and to recommend actions to meet those challenges. This organization has been formed as a vehicle for closer cooperation by which the members seek through mutual agreement, solutions to local mutual problems while combining our total resources for regional challenges beyond our individual capabilities. Our goal is to retain, strengthen and improve local home rule. ARTICLE I Membership A. Regular Membership 1. Eligibility. Voting membership shall be open to municipal corporations located in Seminole County and incorporated under the laws of the State of Florida, Seminole County, a political subdivision of the State of Florida, the School Board of Seminole County, Florida, and Seminole State College of Florida. 2. Conditions. A local government, to become and retain membership on the council, shall: a. Formally submit in writing a request for membership on the Council. b. Be approved by a majority of the member agencies. c. Comply with dues requirements as stated in the Bylaws. 3. Representation. Each member government shall be officially represented by a duly elected representative and an alternate, designated by the member government. 4. Withdrawal. A member government may withdraw its membership at any time by formally submitting in writing its intention to do so. 5. Dues. Membership dues to defray administrative operating expenses shall be assessed annually by the Council. The initial membership dues established by this amendment shall be Twenty-five and no/100 Dollars ($25.00) per annum. 4 B. Ex-Officio Membership 1. Eligibility. Non-voting membership shall be open to public organizations located in Seminole County, and incorporated under the laws of the State of Florida. 2. Conditions. An ex-officio member that desires to become and retain membership on the council shall: a. Be nominated by a member of the Council. b. Be approved by a majority of the member agencies c. Not be subject to dues requirements. 3. Representation. The member organization shall be officially represented by an appointed representative and an alternate, designated by that member organization. 4. Withdrawal. A member organization may withdraw its membership at any time by formally submitting in writing its intention to do so. ARTICLE II Powers Of The Council In addition to the powers of the Council authorized by Chapter 163.02, Florida Statues, the Council shall have the power to: 1. Adopt a Council budget and membership fee schedules; 2. Adopt and amend bylaws; 3. Initiate, advise and aid in the establishment of cooperative arrangements, including interlocal agreements, among local governments in the region; 4. Make recommendations to any local governments or to other appropriate agencies or entities; 5. Propose amendments to inter-governmental agreements for ratification of members. ARTICLE III Council Organization 1. Voting. Each local government member will have one (1) vote on the Council; the representative and/or alternate shall be an elected official. 2. Quorum. A quorum of the Council shall consist of a simple majority of the total voting membership. 5 3. Meetings. The Council shall meet upon the call of its Chairman or any two (2) officers of the Council. Unless otherwise notified, the Council will meet on the first Wednesday of each month at the same time and place specified. 4. Committees. The Chairman shall have the power to appoint such committees as deemed necessary to carry out the Council's activities. 5. Elections and Duties of Officers. (a) All officers, consisting of a Chairman, a Vice-Chairman and a Treasurer, shall be elected from the voting membership at the last annual meeting by the members in good standing and shall hold office for two (2) years, beginning January 1st of the following year. (b) (1) The Chairman shall preside at all meetings. (2) The Vice-Chairman shall perform the duties of Chairman during his or her absences. (3) The Secretary/Treasurer shall perform the duties of Chairman in the absences of the Chairman and Vice-Chairman and shall be responsible for the accurate accounting of all financial transactions and timely reporting of the financial condition to the membership. ARTICLE IV Policy On Legislative Matters It shall be the policy of the Council to act only on legislation pertaining to the welfare of all its members. ARTICLE V Amendments These bylaws may be amended or{repealed) at a regular meeting of the Council provided that a written notice shall have been sent to each member government ten (10) days in advance of meeting, which notice shall state in full the amendments or changes which are proposed to be made in such bylaws. INTERGOVERNMENTAL PROGRAMS RELATIONS Entire Chapter 163.02 Councils of local public officials.— (1) The governing bodies of any two or more counties,municipalities,special districts, or other governmental subdivisions of this state, or any of them,herein referred to as member local governments,may,by resolution,enter into an agreement with each other for the establishment of a council of local public officials.Any council established under the authority of this section shall be a corporation not for profit. (2) Representation on the council shall be in the manner provided in the agreement establishing the council.The representative from each member local government shall be the elected chief executive of said local government or,if such government does not have an elected chief executive,a member of its governing body chosen by such body to be its representative.Any member may withdraw from the council upon 60 days'notice subsequent to formal action by its governing body. (3) The local government council shall have the power to: (a) Study such area governmental problems as it deems appropriate,including but not limited to matters affecting health, safety,welfare,education,economic conditions, and area development; (b) Promote cooperative arrangements and coordinate action among its members; and (c) Make recommendations for review and action to the members and other public agencies that perform local functions and services within the area. (4) The council shall adopt bylaws designating the officers of the council and providing for the conduct of its business.The council may employ a staff,consult and retain experts,and purchase or lease or otherwise provide for such supplies,materials,equipment and facilities as it deems desirable and necessary. (5)(a) The governing bodies of the member governments may appropriate funds to meet the necessary expenses of the council.Services of personnel,use of equipment and office space, and other necessary services may be accepted from members as part of their financial support. (b) The council may accept funds, grants, gifts, and services from the state,from any other governmental unit, whether participating in the council or not,from the Government of the United States, and from private and civic sources. (c) The council shall make an annual public report of its activities to each of the member local governments,and shall have its accounts audited annually. History.—ss.1,2,3,4,5,ch.69-69.
