HomeMy WebLinkAbout2013 10 14 Consent 300 Asphalt Resurfacing Contract COMMISSION AGENDA     Informational Consent X ITEM300 Public Hearings Regular       October 14, 2013KSKL Regular MeetingCity ManagerDepartment         REQUEST: The Public Works Department requesting authorization to enter into a contract agreement with The Middlesex Corporation for Asphalt Resurfacing of Various City Streets in the amount of $328,751.80 plus a 5% contingency   SYNOPSIS: The FY 2013-14 Asphalt Street Resurfacing Program consists of milling and resurfacing City streets at various locations based on the updated 3-year Paving Master Plan.  Staff recommends awarding a construction contract for the resurfacing of all Year 1 streets to The Middlesex Corporation in the amount of $328,751.80 plus a 5% contingency.  Work is scheduled to be complete by early November. CONSIDERATIONS: The updated 3-year Paving Master Plan is attached as Exhibit A.  The updated Master Plan was developed based on Staff’s review of all paved City streets in July and August 2013.  The review consisted of a field evaluation of current pavement condition and a review of the available paving history data.  Streets for resurfacing were selected and ranked in the 3- year Master Plan based on the following factors:   Overall ride quality  Traffic volume  Pavement age  Signs of pavement deterioration and/or structural failure  Completion of multi-phase paving programs in specific neighborhoods or on specific  streets Consent 300 PAGE 1 OF 3 - October 14, 2013 Input from Residents  Funding availability     Based on the 3-year Master Plan, the Year 1 (FY 2013-14) paving program consists of the following streets:   Fruitwood Avenue and Osage Court  Mimosa Court  Tusca Oaks Subdivision  Stone Gable Subdivision  South Edgemon Avenue from Bahama Road to Jackson Circle  Sailfish Road from Hayes Road to Shore Road  Saranac Drive    The City is also planning to mill and resurface Moss Road from S.R. 434 to S.R. 419 in FY 2013-14.  Moss Road will be completed as a separate capital project with construction scheduled for the first quarter of 2014.  Moss Road includes additional roadway, drainage, pedestrian, and landscaping improvements that are under design at this time.      Bid #ITB-008-12-BF was advertised in September 2012 for the FY 2012-13 resurfacing program.  The FY 2012-13 contract was awarded to the low bidder, The Middlesex Corporation, at the October 22, 2012 City Commission meeting.  Middlesex completed last year's resurfacing work in December 2012, and they have successfully completed many asphalt resurfacing projects in the City over the past seven years.  Based on Middlesex's satisfactory performance and their willingness to hold the current contract unit prices for another year, Staff is recommending awarding this year's resurfacing contract to The Middlesex Corporation.  Staff reviewed recent asphalt bids for the City of Oviedo, Seminole County, and FDOT and concluded that the unit prices in Middlesex's contract are at or below the current market prices for asphalt milling and resurfacing.   Middlesex is scheduled to start work in late October with completion in early November.    FISCAL IMPACT: The project cost is $328,751.80 plus a 5% contingency for a total authorization of $345,189.39.  The budgeted funding sources are the Roadway Improvement Fund (One Cent Sales Tax) in the amount of $200,000 (line code 115-65000-30075) and the Transportation Improvement Fund (Local Option Gas Tax) for the remaining authorization of $145,189.39 (line code 104-65000-30075). COMMUNICATION EFFORTS: This Agenda Item has been electronically forwarded to the Mayor and City Commission, City Manager, City Attorney/Staff, and is available on the City’s Website, LaserFiche, and the City’s Server. Additionally, portions of this Agenda Item are typed verbatim on the respective Meeting Agenda which has also been electronically forwarded to the individuals noted above, and which is also available on the City’s Website, LaserFiche, and the City’s Server; has been sent to applicable City Staff, Media/Press Representatives who have requested Agendas/Agenda Item information, Homeowner’s Associations/Representatives on file with the City, and all individuals who have requested such information. This information has also been posted outside City Hall, posted inside City Hall with additional copies available for the General Public, and posted at five (5) different locations around the Consent 300 PAGE 2 OF 3 - October 14, 2013 City. Furthermore, this information is also available to any individual requestors. City Staff is always willing to discuss this Agenda Item or any Agenda Item with any interested individuals.   Staff will notify residents and businesses that may be impacted by the asphalt resurfacing, as needed, several days in advance of construction.  Asphalt resurfacing of City streets is performed without road closures and each segment can be milled and resurfaced in 1-2 days. RECOMMENDATION: Staff recommends that the City Commission approve The Middlesex Corporation for Asphalt Resurfacing of Various City Streets in the amount of $328,751.80 plus a 5% contingency, funded from the Roadway Improvement Fund and Transportation Improvement Fund, and authorize the City Manager and City Attorney to prepare and execute any and all applicable documents.  ATTACHMENTS:   1. Page2 AsphaltResurfacingofVariousCityStreets 5.CONTRACTTIME TheCONTRACTORshallbeginworkwithin 10 daysaftertheissuanceofawritten NoticetoProceedandshallsubstantiallycompletetheworkwithin 60 calendardaysfromthedateof theNoticetoProceed. 6.LIQUIDATEDDAMAGES OWNERandCONTRACTORrecognizethattimeisoftheessenceofthis AgreementandthatOWNERwillsufferfinanciallossiftheWorkisnotsubstantiallycompletewithin thetimespecifiedinParagraph5above,plusanyextensionsthereofallowedinaccordancewiththe GeneralConditions.Theyalsorecognizethedelays,expense,anddifficultiesinvolvedinprovingina legalorarbitrationprecedingtheactuallosssufferedbyOWNERiftheWorkisnotsubstantially completeontime.Accordingly,insteadofrequiringanysuchproof,OWNERandCONTRACTORagree thatasliquidateddamagesfordelay(butnotasapenalty)CONTRACTORshallpayOWNER$500.00 foreachdaythatexpiresafterthetimespecifiedinParagraph5forsubstantialcompletionuntilthe workisfinallycomplete,andthatOWNERhaspaidtoCONTRACTORtheconsiderationofTen($10.00) Dollarsasconsiderationforthisprovision. 7.CONTRACTPRICE,UNITPRICECONTRACT TheOWNERwillpaytheCONTRACTORincurrentfunds fortheperformanceofthework,subjecttoadditionsanddeductionsbyChangeOrder,theTotal ContractPriceof$328,751.80.PaymentswillbemadetotheCONTRACTORforactualquantities installedonthebasisoftheScheduleofUnitPricesincludedasapartoftheBid,whichshallbeasfully apartoftheContractasifattachedorrepeatedherein. 8.TERMINATION;DEFAULTBYCONTRACTORANDh‘b9w͸{REMEDIES TheOWNERreservestheright torevokeandterminatethisAgreementandrescindallrightsandprivilegesassociatedwiththis Agreement,withoutpenalty,inthefollowingcircumstances,eachofwhichshallrepresentadefault andbreachofthisAgreement: a.CONTRACTORdefaultsintheperformanceofanymaterialcovenantorconditionofthis Agreementanddoesnotcuresuchotherdefaultwithinseven(7)calendardaysafterwritten noticefromtheOWNERspecifyingthedefaultcomplainedof,unless,however,thenatureofthe defaultissuchthatitcannot,intheexerciseofreasonablediligence,beremediedwithinseven(7) calendardays,inwhichcasetheCONTRACTORshallhavesuchtimeasisreasonablynecessaryto remedythedefault,providedtheCONTRACTORpromptlytakesanddiligentlypursuessuch actionsasarenecessarytherefore;or b.CONTRACTORisadjudicatedbankruptormakesanyassignmentforthebenefitofcreditors orCONTRACTORbecomesinsolvent,orisunableorunwillingtopayitsdebts;or c.CONTRACTORhasactednegligently,asdefinedbygeneralandapplicablelaw,inperforming theWorkhereunder;or d.CONTRACTORhascommittedanyactoffraudupontheOWNER;or e.CONTRACTORhasmadeamaterialmisrepresentationoffacttotheOWNERwhile performingitsobligationsunderthisAgreement;or Page3 AsphaltResurfacingofVariousCityStreets f.CONTRACTORisexperiencingalabordispute,whichthreatenstohaveasubstantial,adverse impactuponperformanceofthisAgreementwithoutprejudicetoanyotherright,orremedy OWNERmayhaveunderthisAgreement. Notwithstandingtheaforementioned,intheeventofadefaultbyCONTRACTOR,theOWNERshall havetherighttoexerciseanyotherremedytheOWNERmayhavebyoperationoflaw,without limitation,andwithoutanyfurtherdemandornotice.Intheeventofsuchtermination,OWNERshall beliableonlyforthepaymentofallunpaidcharges,determinedinaccordancewiththeprovisionsof thisAgreement,forWorkproperlyperformedpriortotheeffectivedateoftermination. 9.FORCEMAJEURE Anydelayorfailureofeitherpartyintheperformanceofitsrequiredobligations hereundershallbeexcusedifandtotheextentcausedbyactsofGod;fire;flood;windstorm; explosion;riot;war;sabotage;strikes(exceptinvolvingCONTRACTOR'slaborforce);extraordinary breakdownofordamagetoOWNER'saffiliates'generatingplants,theirequipment,orfacilities;court injunctionororder;federaland/orstatelaworregulation;orderbyanyregulatoryagency;orcauseor causesbeyondthereasonablecontrolofthepartyaffected;providedthatpromptnoticeofsuch delayisgivenbysuchpartytotheotherandeachofthepartieshereuntoshallbediligentin attemptingtoremovesuchcauseorcauses.IfanycircumstanceofForceMajeureremainsineffect forsixtydays,eitherpartymayterminatethisAgreement. 10.SEVERABILITY IntheeventanyportionorpartthereofofthisAgreementisdeemedinvalid,against publicpolicy,void,orotherwiseunenforceablebyacourtoflaw,theparties,atthesolediscretion andoptionoftheOWNER,shallnegotiateanequitableadjustmentintheaffectedprovisionofthis Agreement.ThevalidityandenforceabilityoftheremainingpartsofthisAgreementshallotherwise befullyenforceable 11.PROGRESSPAYMENTS OWNERshallmakeprogresspaymentsonaccountofthecontractpriceto CONTRACTOR,onthebasisofapplicationforpaymentssubmittedtotheOWNERorh‘b9w͸ƭProject Manager,byCONTRACTORastheworkprogresses,andinaccordancewiththeContractDocuments. Progresspaymentsmaybewithheldif: a.Workisfounddefectiveandnotremedied; b.Contractordoesnotmakepromptandproperpaymentstosubcontractors; c.Contractordoesnotmakepromptandproperpaymentsforlabor,materials,orequipment furnishedhim; d.AnotherContractorisdamagedbyanactforwhichContractorisresponsible; e.Claimsorliensarefiledonthejob;or f.IntheopinionoftheCityofWinterSprings,Contractor'sworkisnotprogressingsatisfactorily. 12.FINALPAYMENT OWNERshallwithholdupto10%oftheContractPriceuntil50%completion.After 50%completion,OWNERshallreduceto5%theamountofretainagewithheldfromeachsubsequent progresspaymentmadetotheContractor.Forpurposesofthissection,theterm"50percent Page4 AsphaltResurfacingofVariousCityStreets completion"shallbethepointatwhichtheOWNERhasexpended50%ofthetotalcostofthe constructionservicespurchasedasidentifiedintheAgreementtogetherwithallcostsassociatedwith existingchangeordersandotheradditionsormodificationstotheAgreement.After50%completion, theContractormaypresenttotheOWNERapaymentrequestforuptoonehalfoftheretainageheld bytheOWNER.OWNERshallpromptlymakepaymenttotheContractor,unlessOWNERhasgrounds forwithholdingthepaymentofretainage. OWNERshallmakefinalpaymenttoCONTRACTORwithinthirty(30)daysaftertheworkisfullyand properlycompleted,ifthecontracthasbeenfullyandtimelyperformed,butsubjecttothecondition thatfinalpaymentshallnotbedueuntilCONTRACTORhasdeliveredtoOWNERacompletereleaseof liensarisingoutthecontract,orreceiptreleasesoflienfullycoveringalllabor,materialsand equipmentforwhichaliencouldbefiled,orinthealternativeabondsatisfactorytoOWNER indemnifyinghimagainstsuchclaims. BymakingpaymentsOWNERdoesnotwaiveclaimsincludingbutnotlimitedtothoserelatingto: a.Faultyworkappearingaftersubstantialcompletionhasbeengranted; b.WorkthatdoesnotcomplywiththeContractDocuments: c.Outstandingclaimsofliens;or d.FailureofContractortocomplywithanyspecialguaranteesrequiredbytheContract Documents. 13.DESIGNATIONOFPROJECTMANAGERORARCHITECTORLANDSCAPEARCHITECT:DUTIESAND AUTHORITY ThedutiesandauthorityoftheOWNERareasfollows: a.GeneralAdministrationofContract.TheprimaryfunctionoftheOWNERistoprovidethe generaladministrationofthecontract.Inperformanceoftheseduties,BrianFields,P.E.,orhis authorizedrepresentativeistheh‘b9w͸ƭProjectManagerduringtheentireperiodof construction.TheOWNER(CITY)maychangetheProjectManagerduringthetermofthis contract. b.Inspections,Opinions,andProgressReports.TheOWNERshallbekeptfamiliarwiththe progressandqualityoftheworkbyCONTRACTORandmaymakeperiodicvisitstotheworksite. TheOWNERwillnotberesponsibleforthemeansofconstruction,orforthesequences, methods,andproceduresusedtherein,orfortheCONTRACTOR'sfailuretoperformtheworkin accordancewiththeContractDocuments. c.AccesstoWorksiteforInspections.TheOWNERshallbegivenfreeaccesstotheworksiteat alltimesduringworkpreparationandprogress.TheProjectManagerisnotobligatedtomake exhaustiveorcontinuousonsiteinspectionstoperformhisdutiesofcheckingandreportingon workprogress,andanysuchinspectionsshallnotwaiveOwner'sclaimregardingdefectivework byContractor. Page5 AsphaltResurfacingofVariousCityStreets d.InterpretationofContractDocuments:DecisionsonDisputes.TheOWNERwillbetheinitial interpreterofthecontractdocumentrequirements,andmakedecisionsonclaimsanddisputes betweenCONTRACTORandOWNER. e.RejectionandStoppageofWork.TheOWNERshallhaveauthoritytorejectworkwhichin itsopiniondoesnotconformtotheContractDocuments,andinthisconnectionmaystopthe workoraportionthereof,whennecessary. f.PaymentCertificates.TheOWNERwilldeterminetheamountsowingtoCONTRACTORas theworkprogresses,basedonCONTRACTOR'sapplicationsandOWNER'sinspectionsand observations,andwillissuecertificatesforprogresspaymentsandfinalpaymentsinaccordance withthetermsoftheContractDocuments. 14.PROGRESSMEETINGΑ h‘b9w͸{ProjectManagermayholdperiodicprogressmeetingsonamonthly basis,ormorefrequentlyifrequiredbytheOWNER,duringthetermofworkenteredintounderthis Agreement.CONTRACTOR'sProjectManagerandallotherappropriatepersonnelshallattendsuch meetingsasdesignatedbytheh‘b9w͸{ProjectManager. 15.RESPONSIBILITIESOFCONTRACTOR CONTRACTOR'sdutiesandrightsinconnectionwiththeproject hereinareasfollows: a.ResponsibilityforSupervisionandConstruction.CONTRACTORshallbesolelyresponsible forallconstructionunderthiscontract,includingthetechniques,sequences,proceduresand means,forthecoordinationofallwork.CONTRACTORshallsuperviseanddirectthework,and giveitallattentionnecessaryforsuchpropersupervisionanddirection. b.DisciplineandEmployment.CONTRACTORshallmaintainatalltimesstrictdisciplineamong hisemployees,andheagreesnottoemployforworkontheprojectanypersonunfitorwithout sufficientskilltoperformthejobforwhichhewasemployed. c.FurnishingofLabor,Materials,etc.CONTRACTORshallprovideandpayforalllabor, materialsandequipment,includingtools,constructionequipmentandmachinery,utilities, includingwater,transportation,andallotherfacilitiesandworknecessaryfortheproper completionofworkontheprojectinaccordancewiththeContractDocuments. d.PaymentofTaxes:ProcurementofLicensesandPermits.CONTRACTORshallsecureall licensesandpermitsnecessaryforpropercompletionofthework,payingthefeesthereof. CONTRACTORwarrantsthatit(andsubcontractorsortradesmen,ifauthorizedintheContract Documents)holdorwillsecurealltradeorprofessionallicensesrequiredbylawforCONTRACTOR toundertakethecontractwork. e.CONTRACTORwillprovidewrittenguaranteeforworkandmaterialsforone(1)calendaryear afteracceptancebyOWNER. 16.ASSIGNMENT CONTRACTORshallnotassignorsubcontractthisAgreement,oranyrightsorany moniesdueortobecomeduehereunderwithouttheprior,writtenconsentoftheOWNER. Page6 AsphaltResurfacingofVariousCityStreets a.IfuponreceivingwrittenapprovalfromOWNER,anypartofthisAgreementissubcontracted byCONTRACTOR,CONTRACTORshallbefullyresponsibletoOWNERforallactsand/or omissionsperformedbythesubcontractorasifnosubcontracthadbeenmade. b.IfOWNERdeterminesthatanysubcontractorisnotperforminginaccordancewiththis Agreement,OWNERshallsonotifyCONTRACTORwhoshalltakeimmediatestepstoremedy thesituation. c.IfCONTRACTOR,priortothecommencementofanyWorksubcontractsanypartofthis Agreementbythesubcontractor,CONTRACTORshallrequirethesubcontractortoprovide OWNERanditsaffiliateswithinsurancecoverageassetforthbytheOWNER. 17.THIRDPARTYRIGHTS NothinginthisAgreementshallbeconstruedtogiveanyrightsorbenefitsto anyoneotherthanOWNERandCONTRACTOR. 18.PROHIBITIONAGAINSTCONTINGENTFEES CONTRACTORwarrantsthatithasnotemployedor retainedanycompanyorperson,otherthanabonafideemployeeworkingsolelyforthe CONTRACTOR,tosolicitorsecurethisAgreement,andthatithasnotpaidoragreedtopayany person,company,corporation,individual,orfirm,otherthanabonafideemployeeworkingsolelyfor theCONTRACTOR,anyfee,commission,percentage,gift,orotherconsiderationcontingentuponor resultingfromtheawardormakingofthisAgreement. 19.NOJOINTVENTURE Nothinghereinshallbedeemedtocreateajointventureorprincipalagent relationshipbetweenthepartiesandneitherpartyisauthorizedto,norshalleitherpartyacttoward thirdpersonsorthepublicinanymannerwhichwouldindicateanysuchrelationshipwiththeother party. 20.INDEMNIFICATIONΑ CONTRACTORshallindemnifyandholdharmlesstheCity,itsofficers, employees,andcityattorneys(individuallyandintheirofficialcapacity,fromliability,losses,damages, andcosts,including,butnotlimitedto,reasonableğƷƷƚƩƓĻǤ͸ƭfees,totheextentcausedbythe negligence,recklessnessorintentionalwrongfulmisconductofCONTRACTORandpersonsemployed orutilizedbyCONTRACTORintheperformanceofthisAgreement. TheindemnificationprovidedaboveshallobligatetheCONTRACTORtodefendatitsownexpenseor toprovideforsuchdefense,attheoptionoftheOWNER,asthecasemaybe,ofanyandallclaimsof liabilityandallsuitsandactionsofeverynameanddescriptionthatmaybebroughtagainstthe OWNERoritsofficers,employees,andcityattorneyswhichmaybecoveredbythisindemnification. InalleventstheOWNERanditsofficers,employees,andcityattorneysshallbepermittedtochoose legalcounselofitssolechoice,thefeesforwhichshallbereasonableandsubjecttoandincludedwith thisindemnificationprovidedherein. 21.SAFETY CONTRACTORshallbesolelyandabsolutelyresponsibleandassumeallliabilityforthesafety andsupervisionofitsprincipals,employees,contractors,andagentswhileperformingworkprovided hereunder. 22.CORPORATEREPRESENTATIONSBYCONTRACTOR CONTRACTORherebyrepresentsandwarrants totheOWNERthefollowing: Page7 AsphaltResurfacingofVariousCityStreets a.CONTRACTORisdulyregisteredandlicensedtodobusinessintheStateofFloridaandisin goodstandingunderthelawsofFlorida,andisdulyqualifiedandauthorizedtocarryonthe functionsandoperationssetforthinthisAgreement. b.TheundersignedsignatoryforCONTRACTORhasthepower,authority,andthelegalrightto enterintoandperformtheobligationssetforthinthisAgreementandallapplicableexhibits thereto,andtheexecution,delivery,andperformancehereofbyCONTRACTORhasbeenduly authorizedbytheboardofdirectorsand/orpresidentofCONTRACTOR.Insupportofsaid representation,CONTRACTORagreestoprovideacopytotheOWNERofacorporate certificateofgoodstandingprovidedbytheStateofFloridapriortotheexecutionofthis Agreement. c.CONTRACTORisdulylicensedunderalllocal,stateandfederallawstoprovidethework statedinparagraph1.0herein.Insupportofsaidrepresentation,CONTRACTORagreesto provideacopyofallsaidlicensestotheOWNERpriortotheexecutionofthisAgreement. 23.BOND CONTRACTORshallsupplyamaterials,performanceandpaymentbond(s)inaccordancewith FloridalawandtothesatisfactionofOWNER,inanamountspecifiedintheContractDocuments. 24.INSURANCE DuringthetermofthisAgreement,CONTRACTORshallberesponsibleforprovidingthe typesofinsuranceandlimitsofliabilityassetforthbelow. a.TheCONTRACTORshallmaintaincomprehensivegeneralliabilityinsuranceintheminimum amountof$2,000,000asthecombinedsinglelimitforeachoccurrencetoprotectthe CONTRACTORfromclaimsofpropertydamageswhichmayarisefromanyWorkperformed underthisAgreementwhethersuchWorkareperformedbytheCONTRACTORorbyanyone directlyemployedbyorcontractingwiththeCONTRACTOR. b.TheCONTRACTORshallmaintaincomprehensiveautomobileliabilityinsuranceinthe minimumamountof$1,000,000combinedsinglelimitbodilyinjuryandminimum $1,000,000propertydamageasthecombinedsinglelimitforeachoccurrencetoprotectthe CONTRACTORfromclaimsfordamagesforbodilyinjury,includingwrongfuldeath,aswellas fromclaimsfrompropertydamage,whichmayarisefromtheownership,use,or maintenanceofownedandnonownedautomobiles,includingrentedautomobileswhether suchoperationsbebytheCONTRACTORorbyanyonedirectlyorindirectlyemployedbythe CONTRACTOR. c.TheCONTRACTORshallmaintain,duringthelifeofthisAgreement,adequate‘ƚƩƉĻƩƭ͸ CompensationInsuranceinatleastsuchamountsasarerequiredbylawand9ƒƦƌƚǤĻƩ͸ƭ LiabilityInsuranceintheminimumamountof$2,000,000forallofitsemployeesperforming WorkfortheOWNERpursuanttothisAgreement.
