SYNOPSIS: The proposed right -turn deceleration lane on S.R. 434 eastbound at Tuscora Drive is a warranted safety improvement project. This agenda item is a Settlement Agreement for the acquisition of the third and final parcel necessary for construction of the project. The project is scheduled for construction in FY 2012 -13. CONSIDERATIONS: • At the April 12, 2012 City Commission meeting, the Commission approved the final design for the proposed right -turn deceleration lane on S.R. 434 eastbound at Tuscora Drive and authorized Staff to proceed with the necessary land acquisition. • In order to construct the project in accordance with the Florida Department of Transportation (FDOT) design criteria, small portions of three parcels are impacted and need to be acquired. • At the February 14, 2011 City Commission meeting, the Commission approved a unit price for acquisition of all three parcels. Staff has since completed the acquisition of two of the three parcels at the approved unit price of $20 per square foot. • The Reserve at Tuscawilla Community Association, Inc. (HOA) owns the third parcel Consent 200 PAGE 1 OF 3 - October 08, 2012 to be acquired, consisting of a 141 square foot area at the corner of S.R. 434 and Tuscora Drive. In addition, the HOA has a beneficial interest in a planting and screening easement located over the two parcels that have already been acquired. • City Staff and the City Attorney have negotiated an agreement with the HOA to acquire the 141 SF corner clip plus the Association's interest in the planting and screening easement. The Settlement Agreement (attached) includes the following terms: • HOA conveyance to the City of all property interests in the three parcels • City prepares all closing documents • City payment to HOA of $10,000 • City to replace any trees removed or damaged by the turn lane project • City agrees to not object to any HOA request to FDOT for access to the wall for necessary maintenance and repairs • The $10,000 payment to the HOA can be broken down as $2,820 for the HOA -owned corner clip (141 SF at the approved unit price of $20 /SF), plus $7,180 for the HOA's interest in the planting and screening easement on the other two parcels (a combined 622 SF at $11.54 /SF). • The Settlement Agreement has been approved and executed by the HOA's Board of Directors. FISCAL IMPACT: Payment of the $10,000 to the HOA plus closing costs will be funded by the Transportation Impact Fee Fund from the turn lane project budget (line code 140- 65000- 30145). COMMUNICATION EFFORTS: This Agenda Item has been electronically forwarded to the Mayor and City Commission, City Manager, City Attorney /Staff, and is available on the City's Website, LaserFiche, and the City's Server. Additionally, portions of this Agenda Item are typed verbatim on the respective Meeting Agenda which has also been electronically forwarded to the individuals noted above, and which is also available on the City's Website, LaserFiche, and the City's Server; has been sent to applicable City Staff, Media/Press Representatives who have requested Agendas /Agenda Item information, Homeowner's Associations /Representatives on file with the City, and all individuals who have requested such information. This information has also been posted outside City Hall, posted inside City Hall with additional copies available for the General Public, and posted at five (5) different locations around the City. Furthermore, this information is also available to any individual requestors. City Staff is always willing to discuss this Agenda Item or any Agenda Item with any interested individuals. RECOMMENDATION: Staff recommends the City Commission approve the Settlement Agreement with The Reserve at Tuscawilla Community Association, Inc. for acquisition of lands for a future right -turn deceleration lane on S.R. 434 eastbound at Tuscora Drive. Settlement Agreement (12 pages) Consent 200 PAGE 3 OF 3 - October 08, 2012 SETTLEMENT AGREEMENT This Settlement Agreement ("Agreement") is made by and between the City of Winter Springs, Florida, a Florida municipal corporation (hereinafter "City"), and The Reserve at Tuscawilla Community y Association, Inc., a Florida non- profit corporation, and its members (hereinafter "HOA"). WHEREAS, certain real property is necessary in order for the City to construct or cause to be constructed a right turn lane along SR 434 on to Tuscora Drive in Winter Springs, Florida; and WHEREAS, the Tuscora Drive right turn lane project serves a public purpose; and WHEREAS, Hod. has a fee or beneficial interest in real property that will be needed to construct the project for the benefit of the public, particularly fee simple interest in parcel 100 and a planting and screening easement and other interests in parcels 101 and 102. Said parcels are legally described in Exhibits A, B, and C, which are attached hereto and fully incorporated by reference herein; and WHEREAS, the parties wish to avoid the filing of an action in eminent domain and enter into this Agreement to settle all issues relating to the City's acquisition of parcels 100, 101 and 102. THEREFORE, in consideration of the mutual benefits to each party, the parties agree as follows: L A shall convey any and all of its property interests in parcels 100, 101, and 102 to the City pursuant to the terms and conditions set forth in this Agreement. 2. City shalt prepare and HOA shall execute all necessary and reasonable documents to convey all fee simple, easement, or other ownership interests HOA has in parcels 100, 101, and 102. The City shall prepare the closi fees of any nature. HOA shall not be entitled to any other fees, costs, sums, or damages in any way related to the Tuscora Drive turn lane project from the City. 4. City agrees to replace or cause to be replaced with like kind trees any trees along the community wall and planting and screening easement damaged by the turn lane project. 5. City agrees not to object to any request from HOA to FDOT for access to the community wall for maintenance and repair of the wall and landscaping, 6. This Agreement has been approved by the board of directors of the HOA pursuant to its governing documents. 7. This Agreement shall be subject to approval by the Winter Springs City Commission as a condition precedent of becoming effective. 8. This Agreement shall be governed by Florida law. Any litigation concerning this Agreement shall be instituted in the circuit court of Seminole County, Florida. 9. This Agreement shall be recorded in the public records of Seminole County, Florida, shall run with the land, and is binding on all successors in interest. 10. Each party hereby represents and warrants for itself and to the other that it has the power and authority to execute, deliver and perform the terms and provisions of this Agreement and each represents and warrants for itself that it has taken all necessary action to authorize the execution, delivery and performance of this Agreement. This Agreement will, when duly executed and delivered by the City and the HOA shall constitute - a legal, valid and binding obligation enforceable against the parties hereto in accordance with the terms and conditions of this Agreement.
