HomeMy WebLinkAbout2012 09 24 Consent 205 Transportation Disadvantaged Services Agreement-Eighth AddendumCOMMISSION AGENDA ITEM 205 Informational Consent X Public Hearings Regular September 24, 2012 KS CC Regular Meeting City Manager Department REQUEST: The Parks and Recreation Department requests the City Commission to authorize the Mayor to execute the Eighth Addendum to the Transportation Disadvantaged Services Agreement for Senior Center Transportation for a period not to exceed 90 days. SYNOPSIS: The City's current agreement with MV Transportation for Transportation Disadvantaged Services Agreement for Senior Center Transportation expires September 30, 2012. Representatives from MV Transportation have recently advised the City that they are seeking a rate increase of approximately 40 %. Due to the cost - prohibitive nature of this request, City staff intends to seek alternative providers for this service. MV Transportation has agreed to continue our current contract at the current rates on a month -to -month basis not to exceed 90 days. Staff is seeking Commission approval for this short -term extension to afford staff sufficient time to seek an alternative provider. CONSIDERATIONS: • The Transportation Disadvantaged Services Agreement for Senior Center Transportation with MV Transportation was originally approved on March 24, 2003, and has been consistently and successfully renewed since that time. • The City previously identified this specialized service to be needed for seniors without transportation. Staff has reviewed the ridership and determined that all current users need this service because they have no other means of transportation. • The Senior Transportation serves between 11 -20 Winter Springs residents on a weekly basis to and from the Senior Center. • MV Transportation informed us last month that the current contract would not be Consent 205 PAGE 1 OF 2 - September 24, 2012 renewed at the current price. They advised that the renewal cost would go up from $85 /hr to $119 /hr. • Staff is pleased with the service provided by MV Transportation, however a 40 %, or approx. $18,000, increase is cost - prohibitive in this economic /budget environment. • An alternative vendor, Transportation America, has shown an interest in providing this service as well and we are currently in RFP process. • The month to month agreement would be for a maximum of 90 days at the current hourly rate of $85.27 per hour. • Either party may terminate the agreement by providing ten (10) days prior written notice. . Service to our seniors remains intact while evaluating other options. FISCAL IMPACT: Budgeted in FY 13, Account 7250 - 53186. COMMUNICATION EFFORTS: This Agenda Item has been electronically forwarded to the Mayor and City Commission, City Manager, City Attorney /Staff, and is available on the City's Website, LaserFiche, and the City's Server. Additionally, portions of this Agenda Item are typed verbatim on the respective Meeting Agenda which has also been electronically forwarded to the individuals noted above, and which is also available on the City's Website, LaserFiche, and the City's Server; has been sent to applicable City Staff, Media/Press Representatives who have requested Agendas /Agenda Item information, Homeowner's Associations /Representatives on file with the City, and all individuals who have requested such information. This information has also been posted outside City Hall, posted inside City Hall with additional copies available for the General Public, and posted at five (5) different locations around the City. Furthermore, this information is also available to any individual requestors. City Staff is always willing to discuss this Agenda Item or any Agenda Item with any interested individuals. RECOMMENDATION: The Parks and Recreation Department recommends that the City Commission authorize the Mayor to execute the Eighth Addendum to the Transportation Disadvantaged Services Agreement for Senior Center Transportation, for a period not to exceed 90 days. ATTACHMENTS: Attachment A - Transportation Disadvantaged Services Agreement Eighth Addendum Consent 205 PAGE 2 OF 2 - September 24, 2012 TRANSPORTATION DISADVANTAGED SERVICES AGREEMENT EIGHTH ADDENDUM THIS EIGHTH ADDENDUM, is made and entered by and between the CITY OF WINTER SPRINGS, a Florida municipal corporation, whose address is 1126 East State Road 434, Winter Springs, Florida 32708 ( "City "), and MV CONTRACT TRANSPORTATION, INC., a non - Florida corporation authorized to conduct business in the state, whose principal address is 5910 N. Central Expressway, Suite 1145, Dallas, Texas, 75203 ( "Contractor "). RECITALS: WHEREAS, the parties previously entered into a Transportation Disadvantaged Services Agreement ( "Agreement ") on March 25, 2003; and WHEREAS, the Agreement has been periodically modified to extend the term and to adjust rates by that First Addendum, Second Addendum, Third Addendum, Fourth Addendum, Fifth Addendum, Sixth Addendum and Seventh Addendum (collectively "Addendums ") entered into between the parties; and WHEREAS, the parties desire to further extend the term of the Agreement under the current contract terms while the City engages in its competitive bidding process for the services provided pursuant to the Agreement; and NOW, THEREFORE, in consideration of the mutual promises contained herein, the sufficiency of which is hereby acknowledged, it is agreed by the parties as follows: 1.0 Recitals. The foregoing recitals are true and correct and are hereby incorporated herein by reference as a material part of this Eighth Addendum 2.0 Term. The term of this Agreement, as amended by the Addendums, is hereby extended until midnight on December 31, 2012. 3.0 Termination. Either party may terminate the Agreement by providing ten (10) days prior written notice to the non - terminating party. Any such termination shall be without penalty. The City shall compensate Contractor for any services rendered while the Agreement was still in effect pursuant to the terms of the Agreement. This section shall supersede any other conflicting provision of the Agreement. 4.0 All Other Terms and Conditions. All other terms and conditions of the Agreement, as amended by the Addendums, not expressly modified herein shall remain in full effect and shall be enforceable as provided therein. 5.0 Effective Date. The effective date of this Eighth Addendum shall be the last date signed below. IN WITNESS WHEREOF, and intending to be legally bound hereby, the parties cause this Seventh Addendum to be executed and attested to by their respective authorized officials.
