HomeMy WebLinkAbout2012 06 25 Consent 203 Rescind Addendum of Orlando Sentinel Agreement COMMISSION AGENDA     Informational Consent X ITEM203 Public Hearings Regular       June 25, 2012KSCC Regular MeetingCity ManagerDepartment         REQUEST: Parks and Recreation Department requests the City Commission rescind their previous approval of a one-year extension to the Orlando Sentinel Agreement for Community Events' Marketing and Sponsorship Procurement.   SYNOPSIS: Parks and Recreation Department recommends that the previous approval (by the Commission at the May 29, 2102 Regular Commission Meeting) of the one year extension to the current Orlando Sentinel agreement now be rescinded based upon the Sentinel's subsequent termination of that current agreement. CONSIDERATIONS: In October 2011, the City entered into an agreement with the Orlando Sentinel to  cover the four community events from October 1, 2011 through September 30, 2012 (current agreement). On May 29, 2012, the City Commission approved a staff-recommended, one year  extension (Consent 201) to the current agreement with the Orlando Sentinel which would cover the community events from October 1, 2012 through September 20, 2013. th On June 4, 2012, a representative of The Orlando Sentinel contacted the City  Manager’s office and issued a termination letter, in accordance with the terms of the current agreement, to terminate our current agreement for Community Events' Marketing and Sponsorship Procurement. Consent 203 PAGE 1 OF 2 - June 25, 2012 The Orlando Sentinel expressed concerns over a “no contact list” that staff created for  sponsors that we currently had relationships with and have been a part of our community events in the past. The Sentinel was not willing to honor this list and was seeking a 50-50 revenue share from these sponsors.  Staff felt that the no-contact list was reasonable, justifiable, and in the best interests of  the City.  The Orlando Sentinel did not concur and thus chose to exercise its contract termination rights under the current agreement. Staff feels we are well positioned to overcome the cancelation of the agreement and  that by continuing to work with past sponsors and partners for community events we will be able to secure a consistent source and suitable level of funding. Additionally staff is identifying new sponsors and developing strategies to include these sponsors in future events. FISCAL IMPACT: Relative to funding for our July, 2012 Celebration of Freedom Event, staff has already obtained $14,000 in revenue (without assistance from the Orlando Sentinel ) to cover $19,875 in projected expenses for this event. The projected expenses are inclusive of the cost of Fireworks and exclusive of the cost for public safety. Staff is working diligently to procure additional sources of revenue and reduce expenses for this event in order to make it "revenue neutral." COMMUNICATION EFFORTS: This Agenda Item has been electronically forwarded to the Mayor and City Commission, City Manager, City Attorney/Staff, and is available on the City’s Website, LaserFiche, and the City’s Server. Additionally, portions of this Agenda Item are typed verbatim on the respective Meeting Agenda which has also been electronically forwarded to the individuals noted above, and which is also available on the City’s Website, LaserFiche, and the City’s Server; has been sent to applicable City Staff, Media/Press Representatives who have requested Agendas/Agenda Item information, Homeowner’s Associations/Representatives on file with the City, and all individuals who have requested such information. This information has also been posted outside City Hall, posted inside City Hall with additional copies available for the General Public, and posted at five (5) different locations around the City. Furthermore, this information is also available to any individual requestors. City Staff is always willing to discuss this Agenda Item or any Agenda Item with any interested individuals.   RECOMMENDATION: Parks and Recreation Department recommends the City Commission rescind their previous approval of a one-year extension to the Orlando Sentinel Agreement for Community Events' Marketing and Sponsorship Procurement. ATTACHMENTS: Attachment A - Approved Addendum of Orlando Sentinel Agreement Consent 203 PAGE 2 OF 2 - June 25, 2012 ADDENDUM TO CITY OF WINTER SPRINGS, FLORIDA SPECIAL EVENT SPONSORHSHIP AGREEMENT THIS ADDENDUM TO SPECIAL EVENT SPONSORSHIP AGREEMENT Addendum2, by and CITY OF WINTER SPRINGS between the , a Florida Municipal Corporation , and ORLANDO SENTINEL COMMUNICATIONS COMPANY, a foreign corporationauthorized to conduct business in Florida, WITNESSETH: WHEREAS, theCity desires to promote and support its various special events conducted throughout the year; and WHEREAS, in furtherance of this goal, the City and Contractor entered into that Special the terms and conditions set forth in the Agreement; and WHEREAS , Section 3.0 of the Agreement provides for the extension of the term of the Agreement for one (1) year through mutual written consent of the parties; and WHEREAS , the parties hereto desires to memorialize their mutual consent to extend the term of the Agreement for one (1) year as set forth herein. NOW THEREFORE , in consideration of the provisions contained in this Agreement, and other good and valuable consideration to which the parties acknowledge has been received, the parties agree as follows: 1.0Incorporation of Recitals: The foregoing recitals are true and correct and by this reference are fully incorporated into this Addendum. 2.0Extension of Term. The City and Contractor hereby mutually agree to extend the term of the Agreement for one (1) year, commencing on October 1, 2012 and terminating on September 30, 2013. 3.0 Other Terms and Conditions. Any terms and conditions of the Agreement not expressly modified by this Addendum shall remain in full force and effect.
