SYNOPSIS: The Torcaso Park Site Improvement project consists ditch piping north of 3rd Street, wetland identification /permitting, wetland mitigation options, parking lot expansion along Moss Road, parking lot access and driveway construction from Edgemon Avenue, and stormwater collection system and pond improvements. CONSIDERATIONS: This agenda item is needed to begin the process of identify opportunities and constraints to constructing improvements at Torcaso Park. There are large areas of wetlands and pockets of wetlands of varying quality surrounding Torcaso Park. In order to determine the feasibility of various improvements being proposed to Torcaso Park it is imperative that the constraints associated with the wetlands be identified. The Torcaso Park Master Plan will be presented at the June 13th City Commission meeting. Although staff will not have answers to the wetlands questions at that time, it is important to start the long process of wetlands identification and delineation early so that realistic alternatives can be developed for Commission consideration if needed. The cost for this scope of work is $62,624 to be split between the Stormwater Fund and Parks Impact Fee Fund. If after the completion of the wetland determination and Consent 307 PAGE 1 OF 2 - May 09, 2016 delineation portion of the work, the proposed improvements prove infeasible, the design work will not proceed until a viable plan is in place. CPH was approved as an Engineering Continuing Services Consultant on December 8, 2014 in response to RFQ #001 /15BF. This proposal is Task Order #2 under that continuing Services Agreement. FISCAL IMPACT: The design and permitting cost is $62,624 funded 50% by Parks Impact Fees and 50% by the Stormwater Fund. COMMUNICATION EFFORTS: This Agenda Item has been electronically forwarded to the Mayor and City Commission, City Manager, City Attorney /Staff, and is available on the City's Website, LaserFiche, and the City's Server. Additionally, portions of this Agenda Item are typed verbatim on the respective Meeting Agenda which has also been electronically forwarded to the individuals noted above, and which is also available on the City's Website, LaserFiche, and the City's Server; has been sent to applicable City Staff, Media/Press Representatives who have requested Agendas /Agenda Item information, Homeowner's Associations/Representatives on file with the City, and all individuals who have requested such information. This information has also been posted outside City Hall, posted inside City Hall with additional copies available for the General Public, and posted at five (5) different locations around the City. Furthermore, this information is also available to any individual requestors. City Staff is always willing to discuss this Agenda Item or any Agenda Item with any interested individuals. RECOMMENDATION: Staff recommends the City Commission; authorize the execution of Task order #2 with CPH, Inc. in the amount of $62,624 for the design of Torcaso Park Improvements, approve supplemental appropriations of $32,000 from the Parks Impact Fee fund balance and $32,000 from the Stormwater fund balance, and authorize the City Manager and City Attorney to execute any and all applicable documents. ATTACHMENTS: CPH Task Order #2 for Torcaso Park Improvements (29 pages) Consent 307 PAGE 2 OF 2 - May 09, 2016 TASK ORDER 2 TO AGREEMENT DATED February 19, 2015 CONSULTING ENGINEERING SERVICES FOR TORCASO PARK EXPANSION BETWEEN THE CITY OF WINTER SPRINGS AND CPH, INC. This Task Order dated April 28, 2016 by and between the City of Winter Springs (hereinafter called the OWNER) and CPH, Inc. (hereinafter called the Engineer), is mutually agreed upon and declared an authorized Task Order based on Agreement for Engineering Services dated February 19, 2015. The appropriate provisions of the Agreement apply as fully as if repeated herin. w w w. c p h c o r p. c o m SECTION 1 GENERAL 1.1 The purpose of this Task Order is to provide for Engineering Services, more specifically itemized herein, in the preparation of Plans and Specifications and other Engineering Services for the Torcaso Park Expansion. SECTION 2 BASIC SERVICES OF THE ENGINEER 2.1 GENERAL 2.1.1 The ENGINEER agrees to perform professional services in connection with the project as hereinafter stated. 2.1.2 The ENGINEER will serve as the OWNER's professional engineering representative in those phases of the project to which this Task Order applies, and will give consultation and advice to the OWNER during the performance of his services. The ENGINEER will perform the services for the City Commission under the general supervision of the City Manager and Parks and Recreation Director and will submit interim plans to them for their review, input, decision, etc. as appropriate. SECTION 3 SCOPE OF SERVICES 3.1 GENERAL The OWNER hereby authorizes the ENGINEER to proceed with the preparation of plans and specifications for park improvements as listed below. 3.1.1 The project includes the following: a. Installing storm pipe in an existing ditch, matching size of existing pipe. b. Paving of a new drive lane and sidewalk from N Edgemon Avenue to the park. C. Construction of new parking lot from new paved drive lane. d. Expansion of existing parking lot adjacent to Moss Road. e. Extend new storm water collection system to existing pond f. Conduit for Walkway lighting. g. Design considerations for future pavilion within existing park. h. Wetland mitigation and permitting through regulatory agencies. At 60% plan submittal, the final scope of the project shall have been reviewed, defined and approved by the OWNER. Any modifications to stay within the IX "% . . , l r p . c o T11 {. budget shall be made at the 60% submittal. 3.2 ENGINEERING SERVICES 3.2.1 ENGINEER will retain the services of a Geotechnical Consultant to provide data on groundwater table, soil permeability, and existing soils conditions /type. As part of the geotechnical work, the consultant will also provide recommendations on proposed pavement sections for the parking area and future pavilion. A previous geotechnical study was performed for the park. However, the date of the geotech report is from 2001. We recommend new borings for the project to update the water table data and to be site specific to the locations of the new design. A copy of the scope for the services is included as an attachment. 3.2.2 The Engineer has a set of previous, as -built plans of the park. However, the plans only encompass a portion of the park. New survey work is required to properly design the proposed facilities. ENGINEER will retain the services of a Licensed Professional Surveyor to provide an updated survey of the project area including all above ground features, topographic elevations of existing parking area and a portion of the existing storm water pond. Perform the Survey as per Rule Chapter 5J -17 of the Florida Administrative Code in compliance with the minimum technical standards of surveying and mapping of the State of Florida. will also delineate the limits of wetlands on the tract of land bounded by Moss Road, SR 419, Edgemon and North 3rd Street. A diagram is shown in both the environmental and survey packages attached. This scope of services does not include: Tree locates, Boundary Survey, ALTA/ACSM Land Title Survey, Sketch and Description, Construction Layout, Location /Designation of Underground Utilities, Platting, Wetland Location /Delineation, Determination of Ordinary High Water Lines or Control Survey. A copy of the scope for the services is included as an attachment. 3.2.3 ENGINEER will retain the service of an Environmental Consultant to assist with the delineation and permitting of the existing wetlands and impacts to the wetlands within the project area through both the SJRWMD and the ACOE, as required for the project. The Consultant shall also assist in providing mitigation for the impacted wetlands. The Consultant will also delineate the limits of wetlands on the tract of land bounded by Moss Road, SR 419, Edgemon and North 3`d Street. A diagram is shown in both the environmental and survey packages attached. The Consultant will also provide GPS locates on existing trees 4 -inch in diameter and larger, coordinate the tree mitigation for removal of trees 4 -inch in diameter and larger for trees removed per the City of Winter Springs Code of Ordinances, as necessary. 3.2.4 CPH previously prepared plans and storm water calculations for the splash pad and associated park improvements to the park, dated December 2001. The original calculations shall be reviewed and incorporated in the design of the new plans. ,7� 3.2.5 ENGINEER shall prepare 60 %, 90% and 100% plans and specifications for review and comment by the City staff. All submissions shall be "electronic." See attached manpower schedule for submittal details (Attachment 1). 326 ENGINEER shall meet with the City staff at the 60% and 90% submittals to verify the project is meeting the intent and needs of the City. 3.2.7 ENGINEER shall perform field checks of completed flans and Specifications, as necessary, with the OWNER's representative. 3.2.8 ENGINEER shall prepare estimates of probable construction cost based upon final plans and Specifications. 3.2.9 ENGINEER will attend the pre -bid meeting with the City and prospective bidders and answer any questions from the pre -bid meeting. 3.2.10 At project close out, ENGINEER will prepare and provide the City final as -built plans in digital format. 3.3 PERMITS 3.3.1 Assist the OWNER in the preparation of a storm water permit modification as required by the St. Johns River Water Management District ( SJRWMD). Attend a pre - application meeting with the SJRMWD to discuss the project and determine the criteria for storm water collection, including the potential use of the existing storm water pond as the outfall for the proposed improvements. The submittal package and storm water design will be based on meetings with the SJRWMD and the District criteria. ENGINEER will prepare documentation and assist the OWNER in application for either a new permit for the proposed improvements or a modification to an existing SJRWMD permit, as required. ENGINEER will assist the OWNER in the preparation of the Army Corp of Engineers (ACOE) wetland permitting. The ENGINEER will provide the services of an Environmentalist to take the lead with permitting the wetland areas to be disturbed. 3.3.2 Respond to reasonable requests for additional information from the SJRWMD agency and ALOE. 3.3.3 FDEP permits for water and sewer are not anticipated and are not included in this Task Order. 3.3.4 OWNER will pay the SJRWMD and/or ACOE application fee. 3.3.5 OWNER is responsible for all other permit application fees. 3.4 CONSTRUCTION ADMINISTRATION SERVICES (Authorized separately by the OWNER) 3.4.1 ENGINEER will provide Construction Administration (post- design) services, when authorized by Owner, consisting of the preparation of as -built drawings, final inspection and certification, and attending the pre -bid meeting. 3.4.2 ENGINEER will perform a final site inspection to verify the site has been constructed per the plans and the SJRWMD storm water permit. ENGINEER shall also prepare record drawings based on submittal from the contractor and submit the final certifications and required plans to the SJRWMD for final acceptance. SECTION 4 SUPPLEMENTARY SERVICES OF THE ENGINEER 4.1 If authorized in writing by the OWNER prior to the rendering of such services, the ENGINEER will furnish or obtain under subcontracts, supplementary services which will be paid for by the OWNER, such as preparing Landscape or Hardscape plans. 4.1.1 Additional services due to significant changes in the scope of the project or its design including, but not limited to, changes in size, complexity, character of construction or due to time delays in initiating or completion of the work as described herein. 4.1.2 Additional services in connection with the project including services normally furnished by the OWNER as described in Section 5 herein and services not otherwise provided for in this Task Order. 4.1.3 Preparing to serve and serving as an expert witness for the OWNER in any protest, litigation, or other proceeding involving the project. 4.1.4 Additional engineering services required by revisions to regulations (after the date of this Task Order) as applicable to the Florida Department of Environmental Protection, the St. Johns River Water Management District, or other regulatory agency requirements. 4.1.5 Provide, through a subconsultant, additional surveying services if required or requested by the OWNER. 4.2.6 Provide, through a subconsultant, soils investigation services if required or requested by the OWNER. SECTION 5 THE OWNER'S RESPONSIBILITIES 5.1 The OWNER will: 5.1.1 Advise the ENGINEER of his requirements for the project and designate a person to act as the OWNER's representative with respect to the work to be \P vN v, , 1 7 h C J r o C o m performed under this Task Order, and such person shall have complete authority to transmit instructions, receive information, interpret and define the OWNER's policies and decisions pertinent to the work covered by this Task Order. 5.1.2 Guarantee access to and make all provision for the ENGINEER to enter upon public and private lands as required for the ENGINEER to perform his work under this Task Order. 5.1.8 Provide data requested that is reasonably available on the existing utility systems, population and projections, land use and planning information. 5.1.4 Provide personnel to locate facilities and mow, trim, or otherwise make them accessible for inspection. 5.1.5 Examine all studies, reports, sketches, and other documents presented by the ENGINEER and render decisions pertaining thereto within a reasonable time so as not to delay the work of the ENGINEER. 5.1.6 Obtain approval of all governmental authorities having jurisdiction over the project, and such approvals and consents from such other individuals or bodies as may be necessary for completion of the Project. 5.1.7 Furnish, or direct the ENGINEER in writing to provide at the OWNER's expense, additional soils investigations if advised in writing by the ENGINEER that they are necessary or advisable. 5.1.8 Furnish, or direct the ENGINEER in writing to provide at the OWNER's expense, necessary additional services as stipulated in Section 4 of this Task Order, or other services as required. 5.1.9 Provide such legal, accounting, and insurance counseling services as may be required for the project and such auditing services as the OWNER may require. 5.1.10 Give prompt written notice to the ENGINEER whenever the OWNER observes or otherwise becomes aware of any defect in the Project. w W IN . C o n1 SECTION 6 PAYMENT 6.1 PAYMENT Payments for services and expenses of the ENGINEER to be as set forth below: 6.1.1 The fee for the design scope of services described herein will be provided as a lump sum fee of Sixty -two thousand, six hundred twenty -four dollars ($62,624.00), which includes miscellaneous expenses as necessary. A Construction Administration fee, pending authorization from OWNER, is two thousand, one hundred sixty dollars ($2,160.00). The fees are broken down as follows: Engineering A. Design and Permitting $36,610.00 B. Expenses $ 750.00 Surveying $12,550.00 Geotechnical $ 3,629.00 Environmental Investigation $ 9,085.00 TOTAL LUMP SUM FEE: $62,624.00 Upon the start of construction, the OWNER may authorize Construction administration services of the following as described herein before: Construction Administration - Hourly TOTAL NOT TO EXCEED FEE: $2,160.00 6.1.2 The OWNER will make prompt monthly payments in response to ENGINEER's monthly statements without retention for all categories of services rendered under this Task Order and for reimbursable expenses incurred. 6.1.3 Charges for the services rendered by principals and employees as witnesses in any litigation, hearing or proceeding in accordance with Paragraph 4.1.4 will be computed at a rate of $650.00 per day or any portion thereof (but compensation for time spent in preparing to appear in any such litigation, hearing or proceeding will be computed in accordance with the funding levels as set forth in Paragraph 6.1.1 and 6.2.1 herein). 6.1.4 If this Task Order is terminated during prosecution of the services prior to completion of the services of Section 3, payments to be made in accordance with Paragraph 6. 1.1 and 6.2.1 on account of that and all prior work under this Task Order shall be due and payable, and shall constitute total payment for services rendered. In addition, upon termination, the ENGINEER shall be paid for any Additional Services authorized and rendered under Section 4. 6.1.5 The ENGINEER shall promptly begin work on the services authorized by this Task Order upon receipt of notice to proceed from the OWNER. w w w. c p h c o r p. c o m SECTION 7 GENERAL CONDITIONS 7.1 Since the ENGINEER has no control over the cost of labor, materials, or equipment, or over any construction contractor's method of determining prices, any opinions of probable construction cost which may be provided in the services of this Task Order are made on the basis of his experience and qualifications and represent his best judgment as a design professional familiar with the construction industry, but the ENGINEER cannot and does not guarantee that bids or the construction cost will not vary from opinions of probable cost prepared by him. 7.2 The OWNER and the ENGINEER each binds himself and his partners, successors, executors, administrators and assigns to the other party of this Task Order and to partners, successors, executors, administrators, and assigns of such other party in respect to all covenants of this Task Order. Nothing herein shall be construed as creating any personal liability on the part of any officer or agency of any public body which may be a party hereto, nor shall it be construed as giving any rights or benefits hereunder to anyone other than the OWNER and the ENGINEER. w w wj . c p h c o r p. c o n) SECTION 8 EXECUTION OF PROJECT 8.1 The ENGINEER agrees to prosecute the work in a timely manner until the Project is completed. RE: Torcaso Park, Winter Springs Proposal # I6-040-3 Dear Mr. Allen Tinklepaugh SURVEYING SERVICES As requested, we have reviewed the extent of surveying services required for this property; said property being described as follows: DESCRIPTION A portion of Parcel 26- 20-30 °5AR -0000-013B per the Seminole County Property Appraiser. See attached exhibit. SCOPE OF SERVICE TOPOGRAPHIC SURVEY Prepared in accordance with the Standards of Practice of, the Board of Professional Surveyors and Mappers as set forth in Chapter 5J-17 of the Florida Administrative Code Pursuant to Section 472.027, Florida Statutes. Elevations will be relative to an established city or county benchmark with a minimum of two (2) temporary benchmarks set on site for future reference and project control. The limits of survey will be as bounded by the red line on the attached exhibit and include the area 30 feet Northerly of the sidewalk running along the canal. The survey will include the described site and if possible a 10-foot overlap onto adjacent property. Additionally, the survey will extend to edge of water of the onsite pond. Within the limits described the survey will detail gravity sewer, lift stations and drainage systems; said detail will include top rim, or grate elevations, bottom of structure elevations, pipe sizes and pipe invert elevations if accessible. Spot elevations will be collected at a sufficient density to provide accurate one-foot interval contours. Cross section will be collected at a minimum of every 100 feet along the canal and portion of Moss Road. In addition visible above ground indications of utilities on and immediately adjacent to the site will be located. The wetland line as flagged by others will be located and shown on the survey- The approximate wetland line is shown on the exhibit as the pink line. TORCASO PARK ENVIRONMENTAL SERVICES April 27, 2016 The following Scope of Services is identified as Exhibit A in the attached Professional Services Agreement and is for services provided by Ecological Consulting Solutions, Inc. (ECS) for CPH Engineers, Inc (the Client). TASK I: WETLAND DELINEATION The project site will be inspected to determine if any areas will be claimed as jurisdictional wetlands by either the State or Government. Any onsite wetlands will be delineated in the field to aid in determining acreage of uplands versus wetlands and areas requiring permits for alterations. Two agencies may have jurisdiction on wetlands within the project site and include: * U.S. Army Corps of Engineers (ALOE) and • St. Johns River Water Management District (SJRWMD) The ACOE regulates wetlands under 33 CFR, Parts 320 -330. Identification of wetlands is conducted utilizing the Corps of Engineers Wetland. Delineation Manual (1987) which takes into account multiple parameters including vegetation indicator species, hydric soils, and hydrology. On January 9, 2001, the United States Supreme Court ruled that the ACOE does not have jurisdiction over isolated wetlands. If onsite wetlands are determined to be isolated, only the SJRWMD will have jurisdiction over these wetlands. A statewide wetland determination methodology, utilized by the Water Management Districts, was implemented in 1994 and provides for a unified method to delineate wetlands in the state of Florida. A. It is proposed that wherever possible one wetland line will be delineated by qualified biologists. This line would represent the ACOE and SJRWMD limits of jurisdiction. Lines will be field delineated by "flagging" with surveyors tape and each flag numbered in a sequential basis for survey. Included will be the current condition, overall quality and wetland type. The attached map indicates the previous wetland boundary. TASK II: AGENCY VERIFICATION The field - flagged wetland line will be verified by representatives of the various regulatory agencies for "sign -off'. Upon review /verification, the survey performed by the Project Surveyor would be provided to the regulatory agencies for validation. This task does not include survey fees. A. An ACOE representative will be contacted to conduct a field review of the flagged wetland line. The ACOE will likely perform a desk -top review based upon submitted project information. After review, a survey of the line will be provided to the ALOE and validated by "sign -off' in a formal jurisdictional determination (JD). These JD's are typically valid for a period of five years. No fee for review of the line is charged by the ACOE. B. The SJRWMD typically reviews the delineated wetland line based on. submittal of an ERP application. The SJRWMD requires a pre - application meeting or submittal of a permit application prior to conducting a jurisdictional determination of the flagged wetland line. TASK III: ST. JOHNS RIVER WATER MANAGEMENT DISTRICT ENVIRONMENTAL PERMITTING a. Review available pertinent environmental documentation on the property. b. Assist the project engineer with the preparation and submittal of the Environmental Resource Permit application. C. Attend all meetings as required for the duration of the permitting process including: One pre - application meeting with SJRWMD and One coordination meeting with SJRWMD in response to a Request for Additional Information (RAI). d. Analyze wetland impacts resulting from the proposed project and utilize the data for the SJRWMD permit application. C. Prepare the mitigation plan for the SJRWMD permit application, including all required graphics and text. This includes the preparation of the Unified Mitigation Assessment Methodology as required by the SJRWMD for any onsite / offsite mitigation areas. f. Respond to one Request for Additional Information from the SJRWMD. TASK IV: U.S. ARMY CORPS OF ENGINEERS PERMITTING a. Analyze proposed wetland impacts for an Individual permit application. The following tasks are included as part of the wetland/mitigation analysis: Analyze the project as it pertains to Section 404 of the Clean Water Act Determine if project meets Section 10 criteria of the Rivers and Harbors Act. Provide seasonal high water elevations within the on -site wetlands through the use of biological indicators (this does not include surveying); Provide SCS Soils, USGS Topography and FLUCFCS Habitat/ Land Use Classification exhibits (previously prepared for SJRWMD); Prepare the appropriate text and additional graphics associated with the Permit application; Prepare secondary and cumulative impact analysis; The preparation of all plan views and cross sections of the impact areas (i.e. dredge and fill exhibits); and b. Obtain notification of presence or absence of historical or cultural resources onsite from the Florida Division of Historical Resources (36 C.F.R., Part 800). C. Search the U.S. Fish and Wildlife Service files to assist with determining the presence or absence of federally endangered or threatened species on the site. d. Attend one coordination meeting with ACOE in response to a Request for Additional Information. g. Respond to one Request for Additional Information from the ACOE. TASK V: TREE SURVEY OF WETLAND IMPACT AREAS This task includes a tree survey of the wetland areas proposed for impacts according to the site plan. The City of Winter Springs Tree Protection and Preservation Ordinance (Chapter 5, Section 5 -4) requires all trees that have a diameter at breast height (DBH) of 4 inches or greater to be mapped. Any trees that are considered desirable (native tree species) and that are proposed for removal will require a tree removal permit. The City of Winter Springs has tree replacement standards that either requires tree replacement within the property boundaries or payment of monies into a Tree Bank. ECS will mark, using a hand -held GPS, all trees that are 4 inches or greater in DBH. ECS will identify each tree species, overall health, estimated height and classification as to a desirable or undesirable tree per the City of Winter Springs. ECS will use the tree information to determine the tree replacement requirements for the proposed wetland impacts. Project Information Based on information provided to us, the project site is located at the existing Torcaso Park located at 104 North Moss Road in the City of Winter Springs, Florida. It is our understanding that the project is planned to consist of adding a covered pavilion /gazebo, adding/reconfiguring the existing parking areas, filling in an existing ditch that extends from Edgemon Avenue towards the park, and possibly adding an additional access road. Stormwater management is expected to consist of modifying the existing stormwater pond. At the time of our proposal, a conceptual sketch and description of the planned improvements was provided to us. The above listed assumptions have been used for the purpose of preparing this proposal. Design parameters required for the foundation system, including allowable bearing pressures, foundation levels and expected settlements. 3. Soil subgrade preparation, including stripping, grubbing and compaction. Engineering criteria for placement and compaction of approved structural fill materials. 4. Suitability and availability of materials on -site that may be moved during site grading for use as structural fill in the building area, as pavement subgrade fill, and as general backfill. 5. General location and description of potentially deleterious materials encountered in the borings which may interfere with construction progress or structure /pavement performance, including existing fills or surficial organics. 5. Identification of groundwater levels (seasonal fluctuations). 7. Pavement construction suggestions, considering the encountered subgrade soils and the measured groundwater conditions. In order to meet the preceding objectives, we propose to provide the following services: 1. Review published soils and topographic information. This published information will be obtained from the appropriate Florida Quadrangle Map published by the United States Geological Survey (USGS), as well as the Seminole County Soil Survey, Florida, published by the United States Department of Agriculture (USDA) Soil Conservation Service (SCS). 2. Perform site reconnaissance and coordinate utility clearances with Sunshine One Call, local utility providers. 3. Execute a program of subsurface exploration consisting of borings, subsurface sampling and field testing. This proposal is based on performing a total of two (2) Standard Penetration Test (SPT) borings to a depth of approximately 25 feet within the footprint of the gazebo /pavilion structure, two (2) hand auger borings to a depth of 5 to 7 feet along the alignment of the Proposal for Geotechnical Engineering Services Torcaso Park Improvements 104 North Moss Road Winter Springs, Florida 34787 Tierra Proposal No. 55 -16 -025 Page 3 of 4 existing ditch to be infilled, and four (4) hand auger borings to a depth of approximately 5 to 7 feet completed within the proposed reconfigured /relocated parking and drive areas. In the SPT borings, samples will be collected and SPT resistance values will be recorded virtually continuously in the initial 10 feet and on intervals of 5 feet thereafter. 4. Perform a half -day of manual probes within the wetland areas planned to be mitigated and /or the ditch alignment to identify the depth /thickness of near surface organic soils. 5. Visually classify the samples in the laboratory using the Unified Soil Classification System (USCS). Perform limited laboratory classification tests to confirm the visual classifications. Identify soil conditions at each boring location. 6. Prepare an engineering report that summarizes the course of study pursued, the field data generated, subsurface conditions encountered and our engineering recommendations in each of the pertinent topic areas. Service Fee It is proposed that the fee for the performance of the above - outlined services be determined on a unit price basis, in accordance with our attached Unit Fee Schedule, and that the work be performed pursuant to our General Conditions. A copy of our Unit Fee Schedule and General Conditions are enclosed herewith and incorporated by reference into this proposal. On the basis of the estimated quantities and the Schedule of Services and Fees, it is estimated the fees will be $3,629.00. SCOPE OF WORK: Work means the specific geotechnical, analytical, testing or other service to be performed by Tierra as set forth in Tierra's proposal, Client's acceptance of the scope of work and these General Conditions. Additional work ordered by Client shall also be subject to these General Conditions. "Client" refers to the person or business entity ordering the work to be done by Tierra. Client shall communicate these General Conditions to each and every third party to whom Client transmits any part of Tierra's work. Tierra shall have no duty or obligation to any third party greater than that set forth in Tierra's proposal, Client's acceptance of Tierra's proposal and these General Conditions. The ordering of work from Tierra, or the reliance on any of Tierra's work, shall represent acceptance of the terms of Tierra's proposal and these General Conditions, regardless of the terms of any subsequently issued document. 2. RIGHT -OF -ENTRY - The client will provide right -of -entry for Tierra and all necessary equipment in order to complete the work. While Tierra will take all reasonable precautions to minimize any damage to the property, it is understood by Client that in the normal course of work some damage may occur; the correction of which is not part of this agreement. 3. DAMAGE TO EXISTING MAN -MADE OBJECTS - The Client, will provide the location of all underground utilities or obstructions to Tierra who, in the prosecution of their work, will take all reasonable precautions to avoid damage or injury to any such subterranean structure or utility. The Owner agrees to hold Tierra harmless for any damages to subterranean structures which are not called to Tierra' attention and correctly shown on the plans furnished and will reimburse Tierra for any expenses in connection with any claims or suits including reasonable attorney fees at the trial and appellate levels. 4. IN -PLACE MATERIALS TESTING - Tierra will not be responsible for repair or damage to portions of structures designated for in -place materials testing. Repairs can be made for aesthetic reasons if requested in advance of the work to be performed. The cost for labor and materials would be charged. 5. SAMPLE RETENTION - Tierra will retain all soil and rock samples obtained for geotechnical explorations for 30 days. Samples subjected to Construction Materials and Laboratory testing are disposed of subsequent to testing. Further storage or transfer of samples can be made at Client's expense upon written authorization. 6. DEFINITION OF RESPONSIBILITY (OBSERVATION SERVICES) - The presence of our field representative will be for the purpose of providing observation and field testing. Our work does not include supervision or direction of the actual work of the contractor, his employees or agents. The contractor for this project should be so advised. 6.1 The Contractor should also be informed that neither the presence of our field representative or the observation and testing by our firm shall excuse him in any way for defects discovered in his work. It is understood that Tierra will not be responsible for the Contractor's job or site safety on his project. That will be the sole responsibility of the contractor. 7. STANDARD OF CARE - Service performed by Tierra under this Agreement will be conducted in a manner consistent with that level of care and skill ordinarily exercised by members of the profession currently practicing under similar conditions. No other warranty, expressed or implied, is made. 7.1 Client recognizes that subsurface conditions may vary from those encountered at the location where borings, surveys or explorations are made by Tierra and that the data, interpretations and recommendations of Tierra are based solely on the information available to it. Tierra shall not be responsible for the interpretation by others of information developed. 8. ORAL AGREEMENTS - No oral agreement, guarantee, promise, representation or warranty shall be binding. 9. OWNERSHIP OF DOCUMENTS - All reports, boring logs, field data and notes, laboratory test data, calculations, estimates and other documents prepared by Tierra, as instruments of service, shall remain the property of Tierra until final payment is received and a letter of copyright transfer been executed. 10. BASIS OF PAYMENT - Payment is due within 30 days of date of invoice. Payments not made when due shall bear interest at eighteen (18) percent annum or at the maximum rate allowed by law from the date of the invoice until same is paid. 10.1 If the Client fails to make any payment due to Tierra for service and/or expenses within 60 days of date of invoice, Tierra may, after giving seven days' written notice to Client, suspend services until all outstanding amounts have been paid to Tierra in full. Further, Tierra may, in addition to withholding services, or singularly, withhold reports, plans and other documents not paid in full by the Client. In the event that final payment for completed work is not made, Tierra shall request that all copyrighted documents which were submitted to client be returned and all information used in project plans be removed from project documents. 10.2 In the event it is necessary to take legal action to effect collection, whether or not litigation is commenced, the Client agrees to reimburse Tierra for expenses in connection with any claims or suits, including reasonable attorney's fees, including but not limited to the trial and appellate levels. Page 1 of 2 10.3 This contract shall be governed by the laws of the State of Florida. 11.0 CONSTRUCTION REVIEW -Tierra cannot accept responsibility for any design work unless the work includes services for construction review to determine whether or not the work performed is in substantial compliance with Tierra's conclusions and recommendations. 12.0 INDEMNIFICATION - Tierra agrees to hold harmless and indemnify Client from and against liability arising out of Tierra's negligent performance of the work. Client agrees to indemnify and hold Tierra harmless from all liability including all costs, attorney's fees and expenses of defense for any claims by any other person or corporation which may arise out of the performance or breach of this contract for which Tierra was not solely negligent. 13.0 LIMITATION OF LIABILITY - The Client/Owner agrees to limit Tierra' liability for negligent professional acts, errors or omissions, such that the total aggregate liability of Tierra shall not exceed $50,000 or the total fee for the services rendered on this project; whichever is greater. The Owner further agrees to require the contractor and his subcontractors a similar limitation of liability suffered by the contractor or the subcontractors arising from Tierra' negligent professional acts, errors or omissions. 13.1 If Client prefers to have higher limits on professional liability, Tierra agrees to increase the limits up to a maximum of $1,000,000 upon Client's written request at the time of accepting our proposal provided that Client agrees to pay an additional consideration of 5 percent of our total fee. The additional charge for the higher liability limits is because of the greater risk assumed and is not strictly a charge for additional professional liability insurance. 14.0 INSURANCE - Tierra represents and warrants that it and its agents, staff and consultants employed by it are protected by Worker's Compensation insurance and Employer's Liability Insurance in conformance with applicable state laws. Tierra has such coverage under public liability and property damage insurance policies that Tierra deems to be adequate. A Certificate of Insurance can be supplied evidencing such coverage upon request. 14.1 Within the limits and conditions of such insurance, Tierra agrees to indemnify and save client harmless from and against any loss, damage or liability arising from any negligent acts by Tierra, its agents, staff and consultants employed by it. Tierra shall not be responsible for any loss, damage or liability beyond the amounts, limits and considerations of such insurance. Tierra shall not be responsible for any loss, damage or liability arising from any acts by clients, its agents, staff and other consultants employed by it. 14.2 Cost of the above coverage is included in our quoted fees. If additional coverage or increased limits of liability are required, Tierra will endeavor to obtain the requested insurance and charge separately for costs associated with additional coverage or increased limits. 15.0 TERMINATION - This agreement may be terminated by either party upon seven days written notice in the event of substantial failure by the other party to perform in accordance with the terms thereof. Such termination shall not be effective if the substantial failure has been remedied before expiration of the period specified in the written notice. In the event of termination, Tierra shall be paid for services performed to the termination notice date plus reasonable termination expenses. 15.1 In the event of termination or suspension for more than three months, prior to completion of all reports contemplated by this Agreement, Tierra may complete a report on the services performed to the date of notice of termination or suspension. The expenses of termination or suspension shall include all direct costs for Tierra in completing such analyses, records and reports. 16.0 CLIENT'S OBLIGATION TO NOTIFY TIERRA - Client represents and warrants that it has advised Tierra of any known or suspected hazardous materials or conditions, utility lines and pollutants at any site at which Tierra is to do work hereunder, and unless Tierra has assumed in writing the responsibility of locating subsurface objects, structures, lines or conduits, Client agrees to defend, indemnify and save Tierra harmless from all claims, suits, losses, costs and expenses, including reasonable attorney's fees as a result of personal injury, death or property damage occurring with respect to Tierra's performance of its work and resulting to or caused by contact with subsurface or latent objects, structures, lines or conduits where the actual or potential presence and location thereof were not revealed to Tierra by Client. 17.0 HAZARDOUS MATERIALS - This agreement shall not be interpreted as requiring Tierra to assume the status of an owner, operator, generator, storer, transporter, treater or disposal facility as those terms appear within RCRA or within any Federal or State statute or regulation governing the generation, transportation, treatment, storage and disposal of pollutants, Page 2 of 2
