Frank and the firm have agreed to conclude their relationship effective 5:00 p.m., May 18, 1990. Mr. Kruppenbacher will be associating with a new law firm. Until otherwise notified through Mr. Kruppenbacher, any written or telephonic communication directed to him should be sent to the following address: Frank C. Kruppenbacher, Esquire 135 West Central Boulevard, Suite 1100 Orlando, FL 32801 Telephone: 648 -1544. Mr. Kruppenbacher has informed the firm that on or about May 17, 1990, he received written authorization that all Winter Springs matters be released from further representation by this firm effective May 18, 1990 at 5:00 p.m. During the ensuing several days, this firm, in conjunction with Frank, has taken an inventory of pending matters whether opened or closed. All open and closed files are being transferred to Mr. Kruppenbacher's new location no later than Tuesday or Wednesday, May 29 -30, 1990. In matters that were being worked by attorneys other than Mr. Kruppenbacher directly or under his assistance, PARKER • JOHNSON • OWEN • McGUIRE MICHAUD, LANG • KRUPPENQACHER, P.A. Richard Rozansky May 25, 1990 Page 2 memorandums have been completed on all such files. These status reports have been provided to Mr. Kruppenbacher. Additionally, this firm recognizes your desire to transfer the matters to Mr. Kruppenbacher effective May 18, 1990 at 5:00 p.m. All bills for fees and expenses incurred through the completion of transfer of the files and withdrawal of representation by this firm will be forwarded to you under separate cover. Both Mr. Kruppenbacher and this firm have agreed that payment of all such bills should be remitted to Parker, Johnson. In addition, prior to the bills being sent, Mr. Kruppenbacher and representatives of Parker, Johnson will review all bills for accuracy, necessity, and reasonableness. This will be done prior to any bill being sent to you for payment in order for you to be assured that the fees and costs for services rendered are as accurate and reasonable as possible. In addition, our Bookkeeping Department is currently reviewing all past billing to determine if there are any "outstanding accounts receivable" which may have occurred either through lack of payment or partial payment. If such is the case, representatives of Parker, Johnson in conjunction with Mr. Kruppenbacher will meet and discuss these outstanding balances to insure accuracy from the firm's standpoint. Also, during the transition, it is possible that cost items which have been incurred but not yet received by Parker, Johnson may not have been included in the final bill. You will be billed separately if that situation arises either by Parker, Johnson or Mr. Kruppenbacher's new firm. We are hopeful that all bills will be completed no later than May 31, 1990. If questions arise over the bills, you need to jointly communicate with this firm as well as Mr. Kruppenbacher. No bill may be changed without approval by this firm. During our joint meeting with Frank, we have gone over every active and closed file for the City. Frank has assured us that all matters have been accounted for and he will receive these matters as discussed above. Since we did not have the opportunity to discuss this transaction with you prior to receipt of your authority for transfer of files, we are, therefore, asking you to acknowledge receipt of this letter and return a signed a copy to the firm as well as Mr. Kruppenbacher. As we discussed, we have been honored to serve the City of Winter Springs for seven or more years withou any fee increase. As will all businesses however, costs have finally caught up with us and we now must increase our rates for services. Per our discussion, the rate increase will be effective October 1, 1988. The rate increase will be as follows: 1. $90.00 per hour for all legal services rendered including litigation, plust costs and expenses. As always, no costs or expenses will be incurred without your prior approval. Examples or costs or expenses are court reporters, filing fees, copying charges, telephone charges, etc. 2. A $350.00 retainer be provided for attending all regularly scheduled meetings and workshops of the City Council. 2. The Council will be billed $50.00 an hour for all time spent in researching questions posed to the City Attorney and for all time spent in routine activities such as reviewing deed restrictions and land use proposals, attending special sessions, attending conferences on behalf of the Council and at the direction of the Council and disposing of routine City business including negotiations on behalf of the City. 3. The Council will be billed $75.00 an hour for all litigation, legislative liason work, Administrative appearances, and extraordinary representation of the Council. All bills are to be itemized and are to be submitted monthly to the City Manager for processing.
