SERVICES BETWEEN THE CITY OF ALTAMONTE SPRINGS AND
THE CITY OF WINTER SPRINGS
This Agreement is made and entered into this 22nd day of May, 2013, between the City
of Altamonte Springs, Florida ("Altamonte Springs") and the City of Winter Springs, Florida
("Winter Springs"), for the purpose of providing interim Building Code Administrator Services
to the City of Winter Springs.
1. Employee Status. Anthony Apfelbeck, in performance of his services and functions
pursuant to this Agreement as Interim Building Code Administrator for the City of Winter
Springs under Chapter 486, Part XII, Florida Statutes, shall be considered a City of Winter
Springs employee, except that he shall have no claim to pension, civil service or benefits of any
nature normally granted to City employees. Anthony Apfelbeck will receive no compensation
from Winter Springs for his services, however, Anthony Apfelbeck will receive reimbursement
for out of pocket expenses.
2. Indemnification and Hold Harmless. To the fullest extent permitted by law, Winter
Springs shall indemnify and save harmless Altamonte Springs, its officers, agents and
employees, from and against all claims, damages, losses and expenses, including reasonable
attorney's fees and costs and reasonable attorney's fees and costs on appeal, arising out of or
resulting from the performance of the services under this Agreement, including any complaints
filed with the Department of Business and Professional Regulation. Neither party, its officers,
agents or employees shall be deemed to assume any liability for the gross negligence of the other
party.
3. Insurance. Winter Springs shall maintain insurance for Interim Building Code
Administrator, Anthony Apfelbeck, performing services and functions under this Agreement,
and for acts and omissions thereof, under its insurance program and in accordance with the
policies and practices of Winter Springs.
4. Term. This Agreement shall continue for a term of 90 days with an option for 30 day
extensions, unless terminated sooner by one of the parties pursuant to paragraph 5 below.
5. Termination. Either party may terminate this Agreement at will and in its sole
discretion, without liability to the other, upon written notice to the other party received not later
than 30 days prior to such termination. If this Agreement is terminated for any reason,
Altamonte, when requested by Winter Springs, shall complete inspection services on any
existing or pending permits issued during the term of this Agreement for work within Winter
Springs.
6. Governance Law. This Agreement shall be governed by and construed in accordance
with the laws of the State of Florida.
7. Entire Agreement. This Agreement constitutes the entire agreement among the parties
pertaining to the subject matter hereof, and there are no warranties, representations or other
agreements between the parties in connection with the subject matter hereof, except as
specifically set forth herein.
