SEVENTH ADDENDUM
THIS SEVENTH ADDENDUM, is made and entered by and between the CITY OF WINTER
SPRINGS, FLORIDA, a Florida municipal corporation, whose address is 1126 East State Road 434,
Winter Springs, Florida (hereinafter the "City "), and MV CONTRACT TRANSPORTATION, INC., a
Delaware corporation registered and doing business in the State of Florida, whose principal address is
4620 Westamerica Drive, Fairfield, California, 94534 (hereinafter the "Contractor ").
RECITALS:
WHEREAS, the parties previously entered into a Transportation Disadvantaged Services
Agreement on March 25, 2003; and
WHEREAS, the Agreement has been periodically modified to extend the term and to adjust rates
by that First Addendum, Second Addendum, Third Addendum, Fourth Addendum, Fifth Addendum, and
Sixth Addendum (collectively "Addendums ") entered into between the parties; and
WHEREAS, the Second Addendum authorized the parties to extend the term of the Agreement
for five (5) additional one -year terms; and
WHEREAS, the parties desire to exercise their fifth (5th) option to renew and extend the term of
the Agreement, as amended by the Addendums, for an additional one (1) year term as set forth herein; and
NOW, THEREFORE, in consideration of the mutual promises contained herein, the sufficiency
of which is hereby acknowledged, it is agreed by the parties as follows:
1.0 Recitals. The foregoing recitals are true and correct and are hereby incorporated herein by
reference as a material part of this Seventh Addendum
2.0 Term. The term of this Agreement, as amended by the Addendums, is hereby extended until
midnight on September 30, 2012.
3.0 Compensation. For the performance and full completion of the Services specified in the
Agreement, City agrees to pay an hourly rate not to exceed $85.27 per hour with the total amount
of compensation to the Contractor not to exceed $30,000.00 during the term. The actual hourly
rate charged will be determined monthly based upon the following transportation schedule:

2 Days $85.27/hour
3 Days $70.86/hour
4 Days $62.73/hour
5 Days $58.82/hour
4.0 All Other Terms and Conditions. All other teens and conditions of the Agreement, as amended
by the Addendums, shall remain in full effect and shall be enforceable as provided therein.
5.0 Effective Date. The effective date of this Seventh Addendum shall be the last date signed below.
IN WITNESS WHEREOF, and intending to be legally bound hereby, the parties cause this
Seventh Addendum to be executed and attested to by their respective authorized officials.
