SYNOPSIS: The City Commission has expressed interest in creating programs that incentivize businesses that create qualifying jobs in the City. Developing a business incentive program is also identified in the City’s 2010-2012 Strategic Plan (Goal 2, Strategy 12). The Jobs Growth Incentive (JGI) Program is an economic development tool to assist the City with business recruitment and retention effortsby incentivizing targeted industry businesses.Program awards are at the discretion of the Commission and are administered on a case-by-case basis. CONSIDERATIONS: 1.The JGI is a cash enticementfor relocating and expanding targeted industries in the City. 2.Targeted industries must satisfy specific criteria, including minimum job creation amounts, salary levels and a job retention period, in order to apply for consideration of an award. 3.The incentive is a “but for” incentive that must be applied for before the applicant has finalized the relocation decision process or initiated the construction or expansion of their facility. Therefore, the profferedincentive is intended to act asan inducementfor relocationorexpansion and not an “after-the-fact” payment. “But for” indicates that the JGI Incentiveis a critical component in the company’s decision making process to relocate or expand in Winter Springs. October 10,2011 Public Hearing Item503 Page2 4.The Winter Springs City Commission, after due diligence and evaluation of the potential economic impact of the JGI award may,at its discretion and authority,approve and authorize the City to enter into a Performance Agreement with the applicant to facilitate the award of JGI Funds. No JGI Funds may be disbursed prior to the satisfactory execution of a Performance Agreement between the applicant and the City. 5.An integral component of the Performance Agreement is a Letter of Creditor other Surety Instrument, equal to the amountof the award,that is satisfactory to the City. This Letter of Creditor other Surety Instrument must be activated and maintained by the applicant during the term of the Performance Agreement. 6.The applicant will provide annual Performance Reports to the City of Winter Springs documenting and attesting to the satisfaction of the terms and conditions of the executed Performance Agreement. 7.The City may ‘claw-back’ the award through a call-in of the Letter of Creditor Surety Instrument if the applicant does not satisfy the terms and conditions of the executed Performance Agreement. COMPANY ELIGIBILITY: 1.Each application for consideration will be evaluated on a case-by-case basis. 2.Applicants must be one of the Target Industry groups identified and seeking to locate or expand their facility within the City of Winter Springs. 3.Non-target industries may be eligible for consideration if the proposed expansion or relocation is proposed to occur: (1) within the City of Winter Springs; and (2) within or adjacent to targeted areas (i.e., Brownfield or SEED areas, Community Redevelopment Areas, SeminoleWAYor other areas identified by the Winter Springs City Commission) pursuant to an adopted Resolution. 4.Minimum Job Creation Criteria Relocating Companies -25 Jobs Minimum Expanding Companies -10% increase over present employment Newor Start-up Companies -3 New Jobs 5.Minimum Salary Criteria a.Relocating Companies: 115% of SeminoleCounty Average Annual Wage (SC Avg. Wage= $37,925) (115% of Avg. Wage=$43,614as of 5/9/11) b.New or Expanding Companies: 80% of SeminoleCounty Average Wage (SC Avg. Wage= $37,925) (80% of Avg. Wage=$30,340as of 5/9/2011) c.Relocating or Expanding Companies proposing to locate in a ‘targeted area:’ 80% of SeminoleCounty Average Wage (SC Avg. Wage= $37,925) (80% of Avg. October 10,2011 Public Hearing Item503 Page3 6.Consideration will be given to applications that propose the construction of new facilities or additions to existing facilities that provide an addition to the non-residential tax base. 7.In addition to the minimum eligibility criteria listed above, the City will also evaluate applications for consideration based on these additional factors: The purchase and use of local (Brevard, Lake, Orange, Osceola, and Seminole Counties) materials goods and services to be utilized in the construction or expansion of facilities; The applicant’s (Employer’s) willingness to hire and employ local City of Winter Springs residents; The applicant’s (Employer’s) offering or providing healthcare, daycare and other benefits to employees; The applicant’s (Employer’s) locating of the facility or expansion of existing facility within a targeted area (as identified by Federal, State, County or Local Governments and by Resolution); and The strategic importance of the proposed facility or expansion of an existing facility relative to the Federal, State, Regional, County or Municipal economic development efforts and objectives. 8.The City will consider long-term lease payments, for occupancy of a facility, as a measure of capital investment. Long-term lease (5+ years) payments represent the applicant’s (Employer’s) commitment to remain at the site and facility which would not have been created had the company not come to the area. APPLICATION: 1.Applicants for consideration for participation in the Winter Springs JGI program will complete an application form requiring the following development program information for submittal: Business Name and Federal ID Number (FEIN); Business description and NAICS classification; Primary Contact Information / Address; Proposed Physical Development Program / Expansion / Relocation Estimated Capital Investment Value of Proposed Expansion or Relocation (includes building value, long term lease and equipment); Timing, type and distribution of newjobs to be created, including position classification, annual wage and other benefits; Type and distribution of existing jobs to be retained, classification, annual wage and other benefits; Statement that “but for” the consideration of potential availability of incentives to offset development costs of the proposed expansion or relocation the Winter Springs site or facility would not be viable or under consideration; Requested JGI Grant Amount; Anticipate Spin-Off impacts (Employee housing purchases, purchases associated with operations, etc.); and Anticipated use of local suppliers or contractors. October 10,2011 Public Hearing Item503 Page4 2.Applications and discussions between the City and applicants may be maintained confidential in accordance with the provisions of Section 288.075 of the Florida Statutes. EVALUATION: 1.Completed Applications for consideration would be submitted to the City of Winter Springs City Manager, or the Manager’s designee, for a review of Application completeness and sufficiency; 2.A Staff level review would be completed bythe City Manager, or the Manager’s designee, and the City Attorney. 3.Upon a preliminary determination by the City Manager that the Application satisfies the requirements of this Ordinance, the Application will be forwarded to the Winter Springs City Commission for preliminary consideration. The City Manager will forward the Application along with a recommendation as to whether or not the Application should be approved or denied, the amount of the award and,if approved, whetherany conditions are to be placed upon the award. APPROVAL: 1.The City’Manager, or the Manager’s designee, shall prepare an Agenda item for consideration by the Winter SpringsCity Commissionat a regularly scheduled City Commissionmeeting. 2.Said Agenda Item shall include: A complete and satisfactory City of Winter SpringsJGI Application; The findings and recommendations of the City Manager’s and City Attorney’s review; A Jobs Growth Incentive Performance Agreement that details the proposed performance criteria of the applicant and City; The City Manager’s Summary Report and recommendations; and The anticipated ad-valorem taxes to be generated by the Project and the anticipated time period for said ad-valorem taxes to equal and exceed the award amount (Return on Investment period). 3.Approval of City of Winter SpringsJGI Awards shall require a majority vote of the City Commission. 4.No funds for an approved JGI Application shall be disbursed until a complete and executed Jobs Growth Incentive Performance Agreement, including a valid and satisfactory Surety Instrument, has been filed with the City Manager. October 10,2011 Public Hearing Item503 Page5 DISBURSEMENT AND USE OFCITY OF WINTER SPRINGS JGI FUNDS: 1.JGI Applicants that are approved by the Winter Springs City Commission to receive JGI fundsshall be required to enter into a Jobs Growth Incentive Performance Agreement, including a valid and satisfactory Surety Instrument. 2.This Performance Agreement will detail the specific job creation criteria, capital investment criteria, wage and salary criteria, timing, reporting requirements and other terms and conditions to satisfy, agreed upon conditions and performance objectives. 3.Said Performance Agreement shall have a mandatory provision for repayment of the JGI grant award to the City of Winter Springs when an approved JGI grant applicant fails to perform any condition of the Performance Agreement. 4.The City may ‘claw-back’ the award through a call-in of the Performance Bond or Surety Instrument if the applicant does not satisfy the terms and conditions of the executed Performance Agreement. 5.No City of Winter Springs JGIfund may be disbursed until the approved applicant has filed with the City Clerk a fully executed Jobs Growth Incentive Performance Agreement and a valid and satisfactory Surety Instrument. 6.Disbursed City of Winter Springs Jobs Growth Incentive funds may be used for: Reducing the cost of impact fees associated with the project; Expansion and construction costs; and Costs associated with corporate relocation. FISCAL IMPACT: There is no immediate fiscal impact associated with this agenda item. However, the City has allocated certain general fund revenues as a mechanism to fund the JGI Program. As stated above, the Commission will review and decide on funding on a case-by-case basis. Part of the Commission’s consideration of each application will be the Return on Investment Period. The Commissionwill consider the anticipated ad-valorem taxes to be generated by the Project and the anticipated time period for said ad-valorem taxes to equal and exceed the award amountas well as the overall economic impact of the project upon the local economy. ESTABLISHING THE CITY OF WINTER SPRINGS JOBS GROWTH INCENTIVE GRANT PROGRAM, PROVIDING LEGISLATIVE FINDINGS, PROVIDING DEFINITIONS; PROVIDING A BUDGET; ELIGIBLE TARGET INDUSTRIES; MINIMUM WHEREAS, the City Commission has shown a strategic priority to pursue economic development and the optimization and di�rersification of the tax base; and WHEREAS, the City Commission desires to recruit and induce targeted industries to relocate their facilities to Winter Springs or expand existing facilities and to create job opportunities for Winter Springs residents; and WHEREAS, the City Commission desires to create grant programs for taxgeted development meeting criteria established by the City; and WHEREAS, the establishment of a Jobs Growth Incentive Grant program is consistent with the City's priority to pursue economic development and diversification of the tax base; WHEREAS, the City Commission further finds that this Ordinance supports the goals, policies and objectives of the City's Comprehensive Plan by attempting to optimally increase and diversify the City's tax base by seeking to attract targeted industries and businesses to the City especially within areas targeted for business economic development such as the Town Center and the Greenway Interchange District; and WHEREAS, the City Commission finds that this Ordinance is in the best interests of the public health, safety and welfare of the citizens of Winter Springs. NOW, THEREFORE, BE IT ORDAINED BY the Ciry Coininission of the City of Winter Springs as follows SECTION 1. LEGISLATIVE FINDINGS AND INTENT. The provisions set forth in the recitals to this Ordinance (whereas clauses) are hereby adopted by the City Commission of the Ciry of Winter Springs as legislative findings and intent pertaining to this City of Winter Springs Ordinance No. 2011-14 Page 1 of 7 Ordinance which are hereby deemed supplemental to those findings which will be incorporated into the City Code as set forth below. SECTION 2. NEW ARTICLE VIII IN CHAPTER 2 OF THE CITY CODE. Chapter 2, Administration, of the City Code is hereby amended to create a new Article VIII as follows (underlined type indicates additions to the City Code): Article VIII. Tobs Growth Incentive Grant Program Sec. 2-300. (j.� Companv records, reports and compliance• (1) Each reci�ient of a grant award shall in addition to other rec�uirements in the performance agreement rec�uired bv this Article document the use of grant award received and certifv that the funds have been ex�ended in accordance with said a�reement. Further the reci�ient shall create and maintain recoYds of new �obs created and supplv all records Yelatin� to the �rant to the Ci as rec�uested The reci�ient shall also be required to �rovide an annual re�ort in a format acce�table to the Cit� These annual retiorts will be due each �ear on the anniversarv of the execution of the grant �erformance agreement. (2) In the event a reci�ient of a�rant award fails to com�ly with the terms and condittons of the �rant performance agreement, the Ci ma� terminate the grant a�reement and im�ose sanctions includin� but not limited to �ursuit of a refund of all �rant monies, reimbursement of all costs incurred in the �rocessing and administration of the proiect and debarment from �artici�ation in an� Citv assistance �rograms in the future, mcluding future grant consideration (k) Adoption of Rules by Citv Manager The City Manager shall have the �ower and authoritv to promulgate administrative rules and formulate Citv administrative �olic in order to unplement the �rovisions of this Article In addition the Ci Manager shall have the tiower to create forms to be used by the Cit� in im�lementin this Article includin but not luYUted to. applications agreements security instruments certifications and annual reports. Further. the City Manager and Cit� Attorne� shall have the authori , to negotiate and draft all legal instruments rec�uired under this Article includin but not limited to , an� Lerformance agreement or securit� instrument Such instruments shall be submitted to the Citv Comrrussion for final a��roval if rec�uired by this Article SECTION 3. CODIFICATION. This Ordinance shall be incorporated into the Winter Springs Cit�T Code and any section or paragraph, number or letter, and any heading may be changed or modified as necessary to effectuate the foregoing. Grammatical, typographical, and like errors may be corrected and additions, alterations, and omissions, not affecting the construction or meaning of this Ordinance and the City Code may be freely made. All prior inconsistent ordinances and resolutions adopted by the City Commission, or parts of prior ordinances and resolutions in conflict herewith, are hereby repealed to the extent of the conflict. SECTION 5. SEVERABILI'TY. If any section, subsection, sentence, clause, phrase ox portion of this Ordinance is for any reason held invalid or unconstitutional by any court of competent jurisdiction, such portion shall be deemed a separate, distinct, and independent provision and such holding shall not effect the validity of the remaining portion hereof. SECTION 6. EFFECTIVE DATE. This Ordinance shall become effective iiiunediately upon adoption by the City Commission of the City of Winter Springs, Florida, and pursuant to the City Charter.
