HomeMy WebLinkAbout2010 12 13 Regular 601 US 17-92 Community Redevelopment Agency For Shepard Road Streetscape Project COMMISSION AGENDA CONSENT INFORMATIONAL ITEM 601 HEARING REGULAR X December 13, 2010 M.. /Dept. iAII Meeting Authorization/ REQUEST: The Community Development Department, Urban Beautification Division, is requesting that the City Commission review and approve an interlocal agreement with the U.S. 17- 92 Community Redevelopment Agency (CRA) for the Shepard Road Streetscape Project, funded from the CRA Redevelopment Trust Fund (RTF), in the amount of $546,623.58, and authorize the expenditure of $44,737 to Bellomo- Herbert & Company, paid from proceeds of the RTF, for continued professional services for the project. SYNOPSIS: Staff is bringing this board item to the City Commission for approval of an `Interlocal Agreement' between the CRA and the City of Winter Springs for the Shepard Road Streetscape Project, and for authorization to continue with Bellomo- Herbert & Company for Scope of Services Tasks (1 -6). The attached interlocal agreement is the same agreement used for all other cities who receive funding from the CRA for approved projects within the 17 -92 Corridor as part of the program. CONSIDERATION: On March 8, 2010, Agenda Item 600 and Resolution 2010 -07 were approved by the City Commission to allow for staff to develop and submit conceptual plans for the Shepard Road Streetscape Project to the CRA for funding approval. Landscape Architectural Services for the conceptual plans were to be provided by continuing services vendor Bellomo- Herbert & Company (RFQ# 011 /09 /KL). At a meeting of the U.S. 17 -92 Redevelopment Planning Agency (RPA) on September 16, 2010, the project and related budget request of $546,624 were unanimously recommended for approval to the CRA Board by the RPA Board. On November 9, 2010, approval was given by the CRA Board to execute the Shepard Road Streetscape Project Interlocal Agreement with the City of Winter Springs in the amount of $530,623.58 for construction of the project, and $16,000 was approved over a period of two years for maintenance costs. Once the attached ` Interlocal Agreement' has been approved by the Winter Springs City Commission and executed by all applicable parties, and the initial funding has been received from the CRA RTF, Bellomo- Herbert & Company will be engaged to complete the construction plans so the project can be released for public bid. The final plans will go through the normal staff review process prior to construction. It is estimated that the project could be completed by September 2011, depending upon the permitting process and contractor scheduling. FISCAL IMPACT: The project will be funded from the CRA RTF in the amount of $546,623.58, which includes the cost of two (2) years maintenance of landscaping and street lighting, paid to the City as follows: Project Start $176,874.52 paid to the City from RTF 50% Completion $176,874.53 paid to the City from RTF Completion $176,874.53 paid to the City from RTF Year 1— Maintenance $8,000 paid to the City from RTF Year 2 — Maintenance $8,000 paid to the City from RTF TOTAL $546,623.58 Once the project has been competitively bid in the marketplace, staff will bring the recommended lowest qualified bidder to the Commission for approval to proceed with construction of the project. COMMUNICATION EFFORTS: This Agenda Item has been distributed to the Mayor and City Commission, City Manager, City Attorney, and Department Directors; placed in press packets; placed in the lobby binder; and is available on the City's Website, LaserFiche, and the City's Server. Further, information related to this Agenda Item has been sent to media/press representatives who have requested Agendas/Agenda Item information, all Homeowner's Associations on file with the City, all individuals who have requested Agendas/Agenda Item information, Department Directors; and also posted outside City Hall; posted inside City Hall with additional copies available for the general public; and posted at five (5) different locations around the City. 1. Staff has sought feedback from the following landowners, a business, a school and homeowner's groups located in and around the project area: a. Dittmer Aluminum b. Highlands Elementary School c. The Highlands H.O.A. d. Wildwood H.O.A. 2. The Beautification of Winter Springs Advisory Board has been provided copies of the preliminary plans and will be working with staff on the final plant selections and implementation of the project. RECOMMENDATION: City staff recommends the City Commission approve an Interlocal Agreement' (Attachment 'A) with the U.S. 17 -92 Community Redevelopment Agency (CRA) for the Shepard Road Streetscape Project, funded from the CRA Redevelopment Trust Fund (RTF) in the amount of $546,623.58, and authorize the expenditure of $44,737 to continuing services vendor Bellomo- Herbert & Company (RFQ# 011/09/KL), for completion of professional design and consulting services required for construction of the project, paid from proceeds provided to the City from the CRA Redevelopment Trust Fund (RTF). ATTACHMENTS: A) Shepard Road Project — Interlocal Agreement B) Scope of Services For Task Assignment No. 3 Bellomo- Herbert & Company C) Shepard Road Project — Master Plan (p. 1 -8) Attachment 'A' — Shepard Road Project Interlocal Agreement — Commission Item R -601 12/13/10 SHEPARD ROAD STREETSCAPE PROJECT CITY OF WINTER SPRINGS /IIS 17 -92 CRA THIS AGREEMENT is made and executed this day of 20 , by and between the US 17 -92 COMMUNITY REDEVELOPMENT AGENCY, whose address is 1101 East First Street, Sanford, Florida, 32771, hereinafter referred to as the "CRA ", and CITY OF WINTER SPRINGS, whose mailing address is 1126 East State Road 434, Winter Springs, Florida 32708, hereinafter referred to as the "CITY" for the purpose of facilitating CITY's and CRA's Shepard Road Streetscape Project. W I T N E S S E T H: WHEREAS, CRA and CITY are mutually desirous of entering into a cooperative venture to complete a streetscape beautification project along Shepard Road in Winter Springs; and WHEREAS, CRA and CITY have each agreed to mutual obligations to make the Shepard Road Streetscape Project ( "Project ") a reality and each agrees that the covenants of this Agreement represent the most practical, economic, and beneficial means to accomplish the parties objectives; and WHEREAS, both parties hereby represent, each to the other, that they are legally empowered to enter into this Agreement and have done all steps necessary and incidental to the execution of this Agreement; and WHEREAS, this Agreement is authorized under the provisions of Chapter 163, Florida Statutes, which authorizes the exercise by Agreement of two (2) or more public agencies of any power common to them, Shepard Road Streetscape Project Page 1 of 10 NOW THEREFORE, in consideration of the mutual covenants, terms, and conditions contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereby agree as follows: SECTION 1. RECITALS. The recitals set forth above are true and correct and form a material part of this Agreement upon which the parties have relied. SECTION 2. PURPOSE. The purpose of this Agreement is to set forth the terms and conditions associated with parties' joint responsibilities for completion of the Shepard Road Streetscape Project. SECTION 3. TERM. The initial term of this Agreement begins upon execution of this Agreement by the parties and shall remain in effect for a period of six (6) years or until terminated by either party after first giving thirty (30) days written notice. SECTION 4. CITY'S RESPONSIBILITIES. (a) CITY will be responsible for coordinating and hiring all contractors involved in the Project and securing the necessary permits from inception to completion of the Project. (b) Completion of the Shepard Road Streetscape Project as outlined in the Scope of Services, attached hereto as Exhibit "A ". (c) Ensuring that the plantings shall be drought tolerant /low maintenance plantings and that the soil has the organic composition to sustain the plant life being proposed as determined by the CRA. (d) Ensuring that the lighting used in the Project, if any, meets all FDOT requirements and is energy efficient. Shepard Road Streetscape Project Page 2 of 10 (e) Payment of any and all cost overrun beyond the FIVE HUNDRED THIRTY THOUSAND SIX HUNDRED TWENTY -THREE AND 58/100 DOLLARS ($530,623.58) to be paid by the City of Winter Springs. SECTION 5. CRA'S RESPONSIBILITIES. (a) CRA will reimburse CITY for the work as outlined in Exhibit "A ". The reimbursement will be as follows: one -third (1/3) up front, one -third (1/3) at mid- point, and one -third (1/3) at the conclusion of the Project. Project will not exceed the figure of FIVE HUNDRED THIRTY THOUSAND SIX HUNDRED TWENTY -THREE AND 58/100 DOLLARS ($530,623.58). (b) The final one -third (1/3) of the reimbursement will be released when the Project is deemed completed by the CRA. CITY is responsible to submit all receipts or lien releases for all work completed when seeking final reimbursement. (c) The CRA will reimburse CITY for maintenance and upkeep for the landscaping referenced in Exhibit "A" for a period of two (2) years from the completion date not to exceed EIGHT THOUSAND AND NO /100 DOLLARS ($8,000.00) annually. CITY shall request the maintenance funds in writing at the start of each fiscal year. SECTION 6. MAINTENANCE OF PROJECT. The parties agree that the Project improvements and location shall be maintained for a minimum period of five (5) years from the date of completion with maintenance and upkeep to be the responsibility of CITY. SECTION 7. NOTICES. (a) Whenever either party desires to give notice unto the other, it must be given by written notice, sent by certified United States mail, return receipt requested, addressed to the party for whom it is Shepard Road Streetscape Project Page 3 of 10 intended at the place last specified. The place for giving of notice shall remain such until it shall have been changed by written notice in compliance with the provisions of this Section. For the present, the parties designate the following as the respective places for giving of notice, to wit: For CRA: CRA Manager Seminole County 1101 East First Street Sanford, Florida 32771 For CITY: City Manager City of Winter Springs 1126 East State Road 434 Winter Springs, Florida 32708 (b) The parties may effect changes or substitution to the names and addresses of the contact persons by written notice to the other party which notice can also be sent via facsimile transmission, provided that a record of such communications shall be maintained by both parties. SECTION 8. TERMINATION. Anything else in this Agreement to the contrary notwithstanding, this Agreement may be terminated by either party upon giving thirty (30) days written notice to the other party. SECTION 9. INSURANCE REQUIREMENTS. Each party shall maintain adequate insurance coverage to protect its own interests and obligations under this Agreement. SECTION 10. INDEMNIFICATION. (a) Each party to this Agreement is responsible for all personal injury and property damage attributable to the negligent acts or Shepard Road Streetscape Project Page 4 of 10 omissions arising out of this Agreement of that party and the officers, employees, and agents thereof. (b) The parties further agree that nothing contained herein shall be construed or interpreted as denying to any party any remedy or defense available to such parties under the laws of the State of Florida, nor as a waiver of sovereign immunity of CRA and CITY beyond the waiver provided for in Section 768.28, Florida Statutes. (c) The waiver of a provision herein by either party shall not constitute the further waiver of said provision or the waiver of any other provision. SECTION 11. INDEPENDENT CONTRACTORS. It is agreed that nothing herein contained is intended or should be construed as in any manner creating or establishing a relationship of copartners between the parties, or as constituting CITY, including its officers, employees, and agents, the agent, representative, or employee of CRA for any purpose, or in any manner, whatsoever. The parties are to be and shall remain independent contractors with respect to all services performed under this Agreement. SECTION 12. DISCLAIMER OF THIRD PARTY BENEFICIARIES. This Agreement is solely for the benefit of the formal parties hereto and no right or cause of action shall accrue under or by reason hereof to or for the benefit of any third party not a formal party hereto. SECTION 13. EQUAL OPPORTUNITY EMPLOYMENT. The parties agree that they will not discriminate against any employee or applicant for employment for work under this Agreement because of race, color, religion, sex, age, national origin, or disability and will take steps Shepard Road Streetscape Project Page 5 of 10 to ensure that applicants are employed, and employees are treated during employment, without regard to race, color, religion, sex, age, national origin or disability. This provision shall include, but not be limited to, the following: employment, upgrading, demotion or transfer; recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship. SECTION 14. GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida and the parties consent to venue in the Circuit Court in and for Seminole County, Florida as to state actions and the United States District Court for the Middle District of Florida as to federal actions. SECTION 15. INTERPRETATIONS. In the event any provision of this Agreement conflicts with, or appears to conflict with, the other terms of this Agreement including exhibits or attachments hereto, if any, this Agreement shall be interpreted as a whole to resolve any inconsistency. The parties agree to engage in positive and constructive communication to ensure that the positive collaboration of the parties occurs. SECTION 16. FORCE MAJ'EURE. In the event any party hereunder fails to satisfy in a timely manner any requirements imposed by this Agreement due to a hurricane, flood, tornado, or other act of God or force majeure, then said party shall not be in default hereunder provided, however, that performance shall recommence upon such event ceasing its effect. SECTION 17. MODIFICATIONS, AMENDMENTS OR ALTERATIONS. No modification, amendment, or alteration in the terms or conditions Shepard Road Streetscape Project Page 6 of 10 contained herein shall be effective unless contained in a written document executed with the same formality and of equal dignity herewith. SECTION 18. SEVERABILITY. If any part of this Agreement is found invalid or unenforceable by any court, such invalidity or unenforceability shall not affect the other parts of this Agreement if the rights and obligations of the parties contained herein are not materially prejudiced and if the intentions of the parties can continue to be affected. To that end, this Agreement is declared severable. SECTION 19. BINDING EFFECT. This Agreement shall be binding upon and inure to the benefit of the parties hereto and the successors in interest, transferees, and designees of the parties. SECTION 20. PUBLIC RECORDS. Each party shall allow public access to all documents, papers, letters, or other materials which have been made or received in conjunction with this Agreement in accordance with Chapter 119, Florida Statutes. SECTION 21. RECORDS AND AUDITS. The parties agree to maintain all books, documents, papers, accounting records, and other evidences pertaining to work performed under this Agreement in such a manner as will readily conform to the terms of this Agreement and to make such materials available at all reasonable times during the Agreement period and for five (5) years from the date of final payment under the contract for audit or inspection. Section 22. CONFLICTS OF INTEREST. (a) The parties agree that they will not engage in any action that would create a conflict of interest in the performance of their obligations pursuant to this Agreement or which would violate or cause Shepard Road Streetscape Project Page 7 of 10 others to violate the provisions of Part III, Chapter 112, Florida Statutes, relating to ethics in government. (b) The parties hereby certify that no officer, agent or employee has any material interest (as defined in Section 112.312(15), Florida Statutes, as over 5 percent), either directly or indirectly, in the business of the party to be conducted hereunder; that no such person shall have any such interest at any time during the term of this Agreement; and that no person shall use any monies derived under this Agreement for lobbying the legislature in contravention of Section 216.347, Florida Statutes. The occurrence of an event of ethics violation as envisioned herein shall be grounds for unilateral termination of this Agreement by the non - offending party. SECTION 23. COMPLIANCE WITH LAWS AND REGULATIONS. In performing under this Agreement, the parties shall abide by all statutes, ordinances, rules, and regulations pertaining to or regulating the acts contemplated to be performed herein, including those now in effect and hereafter adopted. Any material violation of said statutes, ordinances, rules, or regulations shall constitute a material breach of this Agreement and entitle the non - violating party to terminate this Agreement immediately upon delivery of written notice of termination to the violating party. SECTION 24. DISPUTE RESOLUTION. Disputes shall be resolved in accordance with any dispute resolution agreements pertaining to the parties and the provisions of Chapter 164, Florida Statutes. SECTION 25. CONSTRUCTION OF AGREEMENT. This Agreement shall not be construed more strictly against one party than against the other Shepard Road Streetscape Project Page 8 of 10 merely by virtue of the fact that it may have been prepared by counsel for one of the parties, it being recognized that each of the parties have contributed substantially and materially to the preparation hereof. SECTION 26. HEADINGS. All sections and descriptive headings in this Agreement are inserted for convenience only and shall not affect the construction or interpretation hereof. SECTION 27. ENTIRE AGREEMENT. This Agreement states the entire understanding between the parties and supersedes any written or oral representations, statements, negotiations, or agreements to the contrary. This Agreement shall bind the parties, their assigns, and successors in interest. SECTION 28. EXHIBITS. Exhibits to this Agreement, if any, shall be deemed to be incorporated into this Agreement as if fully set forth verbatim into the body of this Agreement. SECTION 29. COUNTERPARTS. This Agreement may be executed in any number of counterparts each of which, when executed and delivered, shall be an original, but all counterparts shall together constitute one and the same instrument. PURPOSE This is an attachment to the Continuing Contract for Landscape Architectural Services dated October 21, 2009, between the City of Winter Springs, Florida (CITY) and the firm of Bellomo- Herbert & Company, Inc. (CONSULTANT) and made a part thereof. The purpose of this Task Assignment is to specify the required services of the Landscape Architect for the preparation of the Shepard Road Streetscape Contract Documents. The project is located in Winter Springs, Florida. II. GENERAL SCOPE OF THE WORK The project consists of providing final construction drawings and specifications for the Shepard Road Streetscape from east of US 17/92 to Wildwood Drive in Winter Springs, Florida. The basis of the contract documents will be the previously approved Shepard Road Concept Plans, prepared and completed under a separate agreement. II. GENERAL SCOPE OF THE WORK The part of the Project for which the CONSULTANT is to perform services is generally described as follows: A. TASK 1 — GEOTECHNICAL INVESTIGATIONS A geotechnical engineering report will be provided. The report will provide auger borings, 2 pavement cores and 2 LBR tests and muck probes for the baffle box in the wetland area. The report will provide seasonal high water for each auger boring. B. TASK 2 - DESIGN DEVELOPMENT DOCUMENTS 1. Design Development Drawings The CONSULTANT shall prepare complete Design Development drawings for the amenities identified in the Concept Plan and including all necessary associated utilities, site work and pedestrian circulation. These items are further described as follows: • Demolition Plan • Site/Engineering Plan, re- surfacing and re- striping of roadway, new curbs and gutters on north and south side of the street • Site Drainage including closed drainage system of concrete piping and drainage structures. • Electrical plans indicating wiring, circuiting, service panels, pull boxes and any other items necessary for a complete electrical system to power Progress Energy lights poles, and lighting at the Gateway feature. • Access to Ditmer parking on south side of Shepard Road. • Hardscape: sidewalk layout plans; decorative crosswalks Paae No. 1 Task Assignment #3 — Shepard Road Contract Documents November 24. 2011 • Gateway feature • Structural drawings indicating foundation design of the Gateway feature. • Landscape plan indicating existing plants/trees to remain and proposed plantings. All landscaping will be designed utilizing the latest techniques of xeriscape design. • Irrigation: Preliminary temporary irrigation drawings including drip irrigation locations, sleeving, main line piping and water source. All of the drawings above shall adhere to the Americans with Disabilities Act (ADA). 2. Cost Estimate Based upon the Design Development Documents described above, the CONSULTANT shall prepare and submit an estimate of probable construction costs for all improvements. 3. Meetings The CONSULTANT shall meet with the CITY staff up to two times during the completion of the Design Development Plans. C. TASK 3 — CONSTRUCTION DOCUMENTS 1. Based upon the approved design Development Documents, the CONSULTANT shall prepare complete Construction Drawings (100% drawings) and specifications for the work as described in B.1 (above). The CONSULTANT'S services do not include mitigation plans or the cost of any permit application fees or jurisdictional inspections. The CONSULTANT will coordinate with all affected utility providers within the project limits by fumishing plans at the 90 %, 100% and final review stages to the utilities for their review, confirmation of utility location and mark -up of proposed relocations. The development of the roadway plans shall incorporate and consider the input provided by each affected utilities. The CONSULTANT is not responsible for utility relocation design. 2. Cost Estimate Based upon the final Construction Documents, the CONSULTANT shall prepare and submit an estimate of probable cost for all improvements. The estimate will be itemized by feature to facilitate analysis. 3. Meetings and Presentations The CONSULTANT shall meet with CITY staff up to two times during this phase of the work. Specifications shall be provided for all items designed under this agreement. Specifications shall be prepared in CSI format. The CONSULTANT will provide quantity takeoffs for the project and will prepare bid tabulation schedules for unit price bidding by general contractors. Page No. 2 Task Assignment #3 — Shepard Road Contract Documents November 24. 2011 It is anticipated that the total construction value of the items described above is approximately five hundred thousand dollars ($500,000.00). All of the drawings above shall adhere to the Americans with Disabilities Act (ADA). D. TASK 4 — PERMITTING This task anticipates that this project will be exempt from a St. Johns River Water Management District (SJRWMD) permit however a possibility exists that a permit may be required. The CONSULTANT'S engineering consultant will perform a drainage analysis in an effort to obtain a letter of exemption for the project. TASK 5 - ENVIRONMENTAL RESEARCH It was discovered that a Federal Superfund Clean -up site is located adjacent to the project area. As a result, the Environmental Protection Agency Report prepared for that site shall be provided to the CLIENT so that the CLIENT may determine if the need for any further evaluations are required prior to the commencement of the project. The xcurrence of an event of ethics violation as envisioned herein shall be grounds for unilateral termination of this Agre�nent by the non-offending party.
