JOINT MEETING
TUESDAY, NOVEMBER 1, 2005
The Joint Meeting of Tuesday, November 1, 2005 of the City of Winter Springs
Commission and the City of Oviedo City Council was called to order by Mayor John F.
Bush, from the City of Winter Springs, at 6:40 p.m. at the Tuscawilla Country Club
(1500 Winter Springs Boulevard, Winter Springs, Florida 32708).
The following were present at this Meeting:

Mayor Bush welcomed all present at this Joint Meeting.
Invocation:
After a brief Invocation, a Recess was called at approximately 6:45 p.m.
The Joint Meeting was called back to order at approximately 7:41 p.m.

Opening Remarks/Introductions (Mayor Bush):
Mayor Bush began with his opening remarks and then introduced the City Commission
and Staff from the City of Winter Springs.
Opening Remarks/ Introductions (Mayor Walters):
Mayor Thomas G. Walters, City of Oviedo presented his opening remarks and introduced
the City Council and City Manager from the City of Oviedo.
Discussion Items:
City Manager Gerald Seeber, City of Oviedo first spoke to the group; followed by City
Manager Ronald W. McLemore, City of Winter Springs.
Discussion.
Deputy Mayor Michael S. Blake, City of Winter Springs stated, "One thing that I would
like to see on the list is the support of the medical facility someplace in our twin city area
here. That is something that has gone on - for a period of time and to the extent that
either of us or both of us can take some action to facilitate the development of a medical
facility - no matter where it would be, in Oviedo or Winter Springs, even the County
between us."
Chairman Dominic Persampiere, City of Oviedo said, "I would agree with that,
Commissioner Blake." Chairman Persampiere added, "It would be mutually beneficial to
both of our communities located anywhere in this area." Mayor Bush said, "I think what
our Commission should consider is getting behind them and doing whatever we can do to
help them accomplish what they set out to do." Mayor Bush continued, "If there is
anything that we can do to help, you need to let us know what it is."
Mr. Seeber commented, "Central Florida Regional Hospital in Sanford has filed an
Appeal on Chapter 124 - and that Hearing is slated for January. While the Attorneys for
both sides would like very much to have witnesses at this Hearing, in support of their
respective positions; so, it is quite possible to be approached and asked to appear on
behalf of one or the other." Mr. Seeber added, "Winter Springs could enter that - if they
want to, to offer opinions. The issue really becomes one of whether you want to pick
sides - whoever gets the nod in the Administrative Hearing process will build a facility in
whichever city they - are located in." Discussion.

Vice Chairman James Greer, City of Oviedo stated, "I am starting to feel, based on what
the Chairman has said and other things, that we may want to take a gamble and get out
front and get behind - Sanford - they are truly committed to building a hospita1." Vice
Chairman Greer added, "But it does seem to be that there is one organization that truly
should demonstrate to us that they are going to build a Hospital in Oviedo and we ought
to get behind them and see what will happen; if we can contribute to getting that Appeal
upheld."
With further discussion, Mayor Bush suggested, "Once Oviedo Council decided to pick a
stance on this, they could ask the Winter Springs Commission to support you and I think
we would certainly." Manager McLemore asked, "Do we want to put this on the list?"
No objections were voiced. Mayor Bush then said, "We would wait for the Oviedo
Council to make a decision and once they do, we support them." Manager McLemore
noted, "Both sides need to work together on joint strategy - work to develop a joint
strategy on a location in this area."
Deputy Mayor Blake said, "I think that what is important tonight is that we do not try to
solve each of these issues, but let us decide what work we are going to do; and in terms of
- for instance this particular issue, what ought to be decided is that we are going to work
together for whatever that appropriate outcome should be - we do not know what that is
yet." Discussion.
Commissioner Donald A. Gilmore, City of Winter Springs stated, "The last time we
talked there was quite a bit of discussion about the Lynx service." Deputy Mayor Blake
said, "Are we talking about Para-Transit or are we talking about scheduled service?"
Commissioner Gilmore said, "I think that it was scheduled service last time."
Discussion.
The list of issues to discuss was reviewed next.
Manager McLemore stated, "We think that the County Charter Process is the number one
(1) issue, not the JPA (Joint Planning Agreement). And what comes out of this - that
Referendum on the Charter - can affect us dramatically." With further comments,
Manager McLemore remarked, "So what we would propose to do, right up front, is try to
join us together and as part of that, join other cities together and some Referendum
proposals for the Charter to be processed."
With further discussion, Vice Chairman Greer stated, "Based upon the experience that I
have had that means that most of the Charter language and the issues are going to be
pretty well defined and set by late Spring. So, if we want to have a hand in that process,
and all your input in that process; if we want to do it together, this is an issue that we
should deal with this Winter. This isn't something that we should wait on, if we feel it is
important enough to address."

Mr. Seeber said, "Is it fair to say that we want to talk about this more?" Chairman
Persampiere stated, "I would like to see some more background information from Winter
Springs. "
Vice Chairman Greer noted, "We just want to talk it through - if the Referendum is the
only evidence that the County is on this path that you are attempting to state - then let's
state that - but, it's the only evidence we have, but we believe they are going to continue
with other things."
Mayor Walters stated, "You are right Councilman Greer; that is the only tangible thing
that we can put our hands on, but hearing from our friends in Winter Springs, and I agree
with them, is what they are asking for here I believe is a proactive position, so that even
one more little thing like what happened last year, can't happen again. Let us be
proactive - and while the Charter is up for revision is the appropriate time to make that
proactive change so that we close any little loopholes that might be currently in our
Charter. And that isn't confrontational; it doesn't need to be confrontational - all we
want to do is be proactive and make sure that we tweak the County Charter as it is being
reviewed."
Councilwoman Regina Bereswill, City of Oviedo stated, "If you are asking me, do I
agree that we should adopt mutually acceptable Charter recommendations - Municipal
Home Rule because we have decided that there is indication out there that that's what
might be happening, I agree to that. That is the process - at some point in Meetine: 2, we
can have this discussion, we can bring forth all that is a factor that are uniting us; all the
factors that are dividing us, and that time we should decide do we keep it on the list or do
we move forward."
Discussion.
Vice Chairman Greer stated, "The Oviedo Council ought to have - possibly Mr.
Chairman, some discussion of was it our intention to have a long, extensive process on
these issues, which is what I am hearing was going to happen, or did we have another
view of what we were going to do with Winter Springs?" Furthermore, Vice Chairman
Greer suggested, "I think our Council might want to at least either convey tonight or
convey to the City Manager and say, 'Yes', but it sounds like you all have a big plan for
us, and if we think that is what we want to do."

Additionally, Councilwoman Bereswill noted, "I agree that I would like to pick some
topics or issues and get at them and come from a united front - a healthcare facility is
one, and I do think like Commissioner Blake said, we need to discuss that big pink
elephant that's sitting between our two (2) cities." Furthermore, Councilwoman
Bereswill remarked, "But in looking at this Meeting Agenda, this could all be discussed
at the second Meeting. So when, Mr. McLemore, were you anticipating that second
Meeting to take place?"
Manager McLemore responded by saying, "I was thinking around the first of December,
if we could have this - Meeting, and the Staffs would have time to put together, or work
out these position papers."
Vice Chairman Greer stated, "I just think we all ought to have a discussion - are both
Councils on the same page, or does Oviedo think we're going to have maybe a double
Meeting, another dinner, come up with some policy issues." Furthermore, Vice
Chairman Greer stated, "It sounds like you have a long process involved, and a lot of
things you want Oviedo to do and I think we need to buy into or say that's not what we're
thinking. "
Discussion ensued on Joint Planning Agreements, to which Mr. Seeber stated, "I think
the JP A (Joint Planning Agreement) - and the Home Rule issue is one that is going to
take a more scientific approach so that you can get to a point where you can decide where
you agree, and where you disagree. I think the other issues aren't as meaty, not as
weighty, and I think they can be dealt with pretty easily, Councilmen, with some
recommendations from the City Manager's to their respective governing bodies on what
should be done."
Discussion ensued on what issues should be covered and in which order. Councilwoman
Bereswill commented, "I personally happen to agree with my City Manager. I think that
we should be tackling - fellow Council Members of Oviedo, I think we should tackle the
easy ones. It is coming up on the holiday season - from the sound of it, it shouldn't take
that long a time. It can be done relatively easy and then come the new year, we can - or
as soon as we decided that we would go though, I believe that they should be tackled. I
believe that the process should be followed, maybe some tweaking from input from our
City Manager as to whether he feels the process is right. And I want to know, in my
mind, Mr. Greer, I hear you, is it going to take - three (3) weeks for them to get Position
Papers and then another - six (6) Meetings? I don't know what the time frame is in
looking at Meetin2(s) 1, rMeetin21 2, and rMeetin21 3. But, certainly it is my intent to
accept the desired results paper to get rid of as many as you can through less meetings
and to tackle the three (3) party Agreement."

Mayor Bush stated, "I think that our Commission is - this Commission is ready to sit
down and - work this out." Commissioner Robert S. Miller, City of Winter Springs
noted, "He speaks for me." Commissioner Joanne M. Krebs, City of Winter Springs
commented, "You are not wrong Mayor."
In discussion about contact with Seminole County, Councilman Steve Henken, City of
Oviedo stated, "I would just recommend that you guys get closer to them and just listen
to them a little more like we do."
Chairman Persampiere then said, "The last question I heard on the table in regards to the
issue of how we are going to move through this process came from the Council and -
Council in its suggestion was ladies and gentleman, that we tackle the softball issues first,
then at the beginning of the year we start to tackle the hardball issues. Is there agreement
amongst the Commissions possibly on that?" Manager McLemore added, "That we all
agree that you would stay your next JPA (Joint Planning Agreement) with the County
until we had an opportunity to come together and discuss those issues with you."
Discussion.

Vice Chairman Greer said, "You say that we have a time issue because of the Charter?
And then you also said that you would like Oviedo to suspend..." Manager McLemore
said, "... You are in the process of doing a revised Agreement with the County..."
Manager McLemore remarked, "If we say we are not to do anything until January or
whatever, and you are moving ahead directly now on your agreement, and that goes to
the County and then we have this same adversarial process going on all over again."
Deputy Mayor Blake said, "If we are going to talk, really about this - how can you do
that, how can we do that if you are in negotiations without us, with the County, setting up
a JP A (Joint Planning Agreement) Agreement that affects us - but doesn't involve us."
Further discussion.
Manager McLemore said, "What Gerry [Seeber] and I had discussions on where the
issues that would be on the list. We did not have detailed discussions about how to deal
with those issues. This thought only came up in my mind a moment ago when you were
talking about 'Let's take the easy ones first and not deal with the hard ones until later' .
Well, the JPA (Joint Planning Agreement) is a hard one, and if you are already done, and
signed it and sealed it, then we've lost an opportunity I think to try to come together on
it. "

Vice Chairman Greer stated, "If Oviedo did not do that; we chose to still have a clear
mind on these objectives, but we've decided not to suspend our - negotiations, and
execute a JP A (Joint Planning Agreement). Does Winter Springs see any need for us to
continue on this road?" Commissioner Krebs asked, "Why don't you invite us to the
Table?" Vice Chairman Greer responded, "That is something that I will let my Council
jump in on for that."
Discussion ensued on Joint Planning Agreements and the true objectives, to which
Deputy Mayor Blake stated, "If we can't talk about the JPA (Joint Planning Agreement),
is everything else off the table?" Deputy Mayor Blake stated, "No!"
Deputy Mayor Blake stated, "Until we can get past yesterday - to start talking about
positive changes that we can make in the future, but that is not going to be easy, because
none of us are going to like everything; but until we start calling these areas of
agreement, where we can go forward, and the same thing goes for the County, then we
are still going to be back at the table next year, and the year after that."
Vice Chairman Greer stated, "I have not heard anyone in three (3) hours disagree with
that, but there is - what I consider one of the most major issues on the table, that is to ask
Oviedo to not continue with the County JP A (Joint Planning Agreement) until we all sit
down and talk about where we are going in the future and then we have got a time line
here; and that is an issue that I would like to hear recommendations from Staff. I would
like Council to have the ability to talk about that issue so that we can formulate it back to
you." Additionally, Vice Chairman Greer noted, "I would like to hear the pros and cons
of us not going through with the JPA (Joint Planning Agreement)."
Manager McLemore said, "If we went through this process, the next Meeting there would
be a fact page - on the issue of JPA's (Joint Planning Agreement's). Vice Chairman
Greer stated, "Okay..." Manager McLemore added, "... That we would work out - and in
that Report it would say, 'Here is what we agreed to or we see as opportunities on JP A's,
here are things that are dividing us on a JP A (Joint Planning Agreement)'." You take that
Report and then you make that decision whether to go forward or not go forward."
Chairman Persampiere asked Mr. Seeber, "How long would it take you if we were to
follow draft Meetio2 1, and we wanted to get into Meetio2 2. How long is it going to
take you and our Staff to formulate the next necessary documentation for the eight (8) or
ten (10) items that are here on this page - so that we can have the information to make
more informed decisions, if we want to move on to Meetio2 27" Mr. Seeber responded,
"I would say the early part of [20]'06 - January."

Mayor Bush asked, "We can have our Position Papers ready by early [20]'06?" Manager
McLemore stated, "Yes. And there won't be any surprises because the two (2) Staffs
would work together on these things, so whatever comes to you would be worked out
between us."
Mayor Walters stated, "You eluded to it before - that other Municipalities have taken the
initiative to get wording in - the text of Horne Rule - could you bring us some other
values from other Municipalities?" Manager McLemore stated, "I don't know that for a
fact, but what I said was that we have been asked to present - some suggested language
for the process, and that is what we are preparing to do, is bring it to the Commission."
Then, Mayor Walters asked, "What has been successful and what has been unsuccessful
in other counties to strengthen the Horne Rule concept?" Furthermore, Mayor Walters
suggested, "If somebody else has already invited the wheel, let's bring that wheel to
Seminole County - via this forum."
Chairman Persarnpiere mentioned asking earlier about Staffs getting us all more
information; then stated, "We will accept your desire to go - and move on to Meetioe 2
and we will really start to see the positions, hash out the differences, and then see if we
want to go any further at that point in time - or what items do we want to drop."
Manager McLemore said, "We will develop the Position Papers, and then we will be
talking about a Meeting the first of January. We just will all meet to discuss it at that
point and time." Deputy Mayor Blake added, "Can we please have the requirement that
all Elected Officials get a copy ofthe Position Papers, no less than one (1) week prior to
the next Meeting?" Manager McLemore said, "I would hope so." Chairman Persampiere
suggested, "I would like to ask - as soon as they are done - a week might not be enough
time, so as much lead time as Staffs can give us." Manager McLemore remarked,
"Okay."
Regarding when the next Meeting would be held, Mayor Bush suggested, "It is
something each Commission needs to go back and take a look at - let the Manager's
work it out." Mr. Seeber asked, "Did this evening's format work for everybody?" No
objections were noted.
Deputy Mayor Blake added, "Our City Clerk's Office will certainly get out copies of the
Minutes - to all the interested parties."
