CALL TO ORDER The Workshop of the City Commission was called to order by Mayor Paul P. Partyka in the Commission Chambers of the Municipal Building (City Hall, 1126 East State Road 434, Winter Springs, Florida 32708). ROLL CALL: Mayor Paul P. Partyka, present Deputy Mayor Cindy Gennell, absent Commissioner Robert S. Miller, present Commissioner Michael S. Blake, present Commissioner Edward Martinez, Jr., present Commissioner David W. McLeod, present City Manager Ronald W. McLemore, present Law Firm of Frank Kruppenbacher, P.A., Attorney Robert Guthrie, present Interim City Clerk Andrea Lorenzo-Luaces, present Mr. Ronald W. McLemore, City Manager informed the Commission that the purpose of this Workshop was to bring the Commission up to date on the progress of the Town Center, relative to the agreement the City has with Mr. Joshi; and to receive direction from the Commission regarding the need for an agreement relative to Schrimsher Properties. II. PROGRESS UPDATE ON THE TOWN CENTER BY MR. JOSm Mr. Rohit Joshi, of Joshi & Associates, Inc., began by thanking the Community Development Director, Mr. Charles C. Carrington, AICP, Community Development Director; Manager McLemore; and the property owners, for their assistance. Mr. Joshi spoke to the Commission about visiting projects that are similar to the Town Center; the marketing of the parks within the Town Center, what kind of atmosphere is needed; and the "Florida market". He stated that the past two (2) to three (3) weeks have progressed very well and that he had "Never seen a development take such a shape so quickly". The Commission was informed by Mr. Joshi that there had been strong interest from "major" retailers; developers; apartment builders; and property managers. He went on to discuss the Letters of Intent for the Blumberg, Kingsbury, and Parker properties he had CITY OF WINTER SPRINGS MINUTES CITY COMMISSION WORKSHOP - APRIL 19, 1999 Page 2 of 3 received; and preserving the original plan for the Town Center, as designed by Dover Kohl and Partners. Mr. Joshi reviewed a schedule of events with the Commission and discussed marketing; closings on the properties; and when he felt that construction would start. There was a request by Mr. Joshi to extend the Exclusive Negotiating Contract. Mr. Joshi explained that extensions of the contract were included when the Exclusive Negotiating Contract was approved and that he was asking for an extension until October 1, 1999. III. COMMENTS ON CITY MANAGER'S LETTER ON THE PROPOSED SCHRIMSHER DEVELOPMENT AGREEMENT Manager McLemore said that he had hoped to have an agreement with the Schrimsher organization resolved, but that it had not yet been done. He said that the Schrimsher organization is asking for the City to either enter into an agreement substantially like the agreement that had already been presented to the City; or for the City to agree to delay the second reading and adoption of the Town Center District Design Code until the Schrimsher organization and Mr. Joshi close on the property. Manager McLemore said that the City has three options. The first would be to continuing moving forward and adopt the Ordinance on April 26, 1999; and then the Schrimsher organization would proceed with litigation, and in the mean time, close on the property. The second option was to adopt the agreement presented by the Schrimsher organization, or one substantially similar, and continue with the adoption of the Ordinance on April 26, 1999; and the third option was to delay the adoption of the Ordinance until the closing of the property, presumed to be sometime in September of this year (1999). Mr. Michael Grindstaff, Shutts and Bowen LLP., Attorney for Schrimsher Properties: spoke in favor of the third option that Manager McLemore mentioned. There was discussion regarding delaying the adoption of the Ordinance; a Preliminary Development Agreement with the Department of Community Affairs; and changes to the Comprehensive Plan. Tape 2/Side B Several Commissioners spoke in favor of delaying the second reading and adoption of the Ordinance; however that was contingent upon an agreement between the Schrimsher organization and the City. There was much concern and discussion regarding delaying the second reading and adoption of the Ordinance and what effect that may have on the development of the Town Center; development occurring that is not consistent with Town Center regulations; CITY OF WINTER SPRINGS MINUTES CITY COMMISSION WORKSHOP - APRIL 19, 1999 Page 3 of3 the length of time the property owners has to dispute the approval of an Ordinance; and Mr. Joshi's opinions on a delay. Mr. Michael Schrimsher, Schrimsher Properties. 600 East Colonial Drive, Suite 100, Orlando, Florida: spoke about his concerns with adopting the Ordinance on April 26, 1999; and about having a Workshop focusing on an agreement between Schrimsher Properties and the City. There was much discussion regarding Workshops that have taken place and if any more would take place in the future. Prior to the adjournment of the Workshop, the Commission discussed a request from the Home Builders Association to have the same agreement as the year before regarding signs for the "Parade of Homes".
