SEMINOLE COUNTY AND CITY OF WINTER SPRINGS
.INTERLOCAL AGREEMENT FOR UTILITY ENGINEERING DESIGN
THIS AGREEMENT is made and entered into this I c;~ day of ~
1996, by and between SEMINOLE COUNTY, a political subdivision of the State of
Florida, whose address is Seminole County Services Building, 1101 EastFirst Street,
Sanford, Florida, 32771, hereinafter ref~rred to as COUNTY; and CITY OFWINTER
SPRINGS, a Florida municipal corporation, whose address is 1126 East State Road 434,
Winter Springs, FL 32708 , hereinafter referred to as CITY.
WIT N E SSE T H:
WHEREAS, the parties hereto have the common power to perform utility
engineering services within their geographical jurisdictions; and
WHEREAS, CITY desires to contract with COUNTY for payment of utility
engineering services performed under COUNTY'S contract with Bowyer-Singleton &
Associates, Inc. hereinafter referred to as "ENGINEER", dated Februaury 14, 1992; and
WHEREAS, COUNTY is agreeable to providing these services under the terms
and conditions of the referenced Agreement; and
WHEREAS, COUNTY, at the request of CITY, will amend Work Order Number
2 to the above referenced Agreement specifically to authorize the work requested by
CITY and detailed as Exhibit A; and
WHEREAS, this Agreement is authorized pursuant to the provision of Section
163.01, Florida Statutes, which authorizes the exercise by Agreement of two (2) or more
public agencies of any power common to them.
NOW, THEREFORE, in consideration of the mutual
covenants set forth herein, the parties agree as follows:

SECTION 1. SERVICES. COUNTY, at the request of CITY will authorize its
Engineer, pursuant to Work Order Number 2 to the above referenced Agreement to
perform services in CITY. The scope of services for Work Order Number 2 is attached
hereto as Exhibit A and incorporated by reference.
SECTION 2. COST PAYMENT. CITY agrees to pay COUNTY all costs for
performance of the services set forth in Exhibit A to the above referenced Work Order
Number 2. Work Order Number 2 establishes that the Engineer shall be paid a fixed fee
of THIRTY ONE THOUSAND TWO HUNDRED EIGHTY AND NOnOO DOLLARS
($31,280.00). CITY agrees to pay COUNTY the above sum within thirty (30) days of
invoicing and further agrees to pay the overruns or other causes.
SECTION 3. INDEMNIFICATION. Neither party to this Agreement, its
officers, employees and agents shall be deemed to assume any liability for the acts,
omissions and negligence of the other party, its officers, employees and agents.
SECTION 4. NOTICES. Whenever either party desires to give notice unto the
other, notice may be sent to:

EXHlBIT "A"
Scope Of Services
1. Design and permittmg of a 12" water main extension from the southeast comer of
S.R 434 and Tuskawilla Road to Indian Trails Midd.l~ School with one road crossing.
2. Design and permitting of a 12" water main extension from Trotwood Boulevard to
Arbor Glen including replacement of the existing water maID crossing to Grand
. Reserve.
3. Design and permitting of the replacement of the 12" water main which crosses
Tuskawilla Road at Winter Springs Boulevard.
4. Design of a 6" reclaimed water main extension from Winter Springs Boulevard to the
FPC easement including replacement of the Tuskawilla Road crossing. This extension
spans Phases ill and IV and will have to be incorporated into both.
5. Design of casing installations at Winter Springs Boulevard and the FPL easement.
6. Design of conflict resolution between existing utilities in the RJW and proposed
improvements. . City to expose for field verification.
7. Design for the replacement offorce main which crosses Tuskawilla Road at Arbor
Glen. .
8. Modifications to the irrigation system design to add irrigation to the sodded areas.
9. Modifications to the landscape plan to upgrade the median and entranceways sod
from bahia to St. Augustine..

SECTION 5. CHANGES IN SCOPE OF SERVICES. COUNTY or CITY may
request changes that would increase, decrease or otherwise modify the Scope of Services.
Such changes and method of compensation must be authorized by COUNTY in writing
and duly signed by the parties.
IN WITNESS WHEREOF, the parties to this Agreement have caused their names
to be affixed hereto by the proper officers ther~of.
