ROAD MAINTENANCE INTER-LOCAL AGREEMENT
THIS AGREEMENT entered into this 30th day of September,
1980, by and between SEMINOLE COUNTY, a political subdivision of
the State of Florida (herinafter referred to as "County"), and the
CITY OF WINTER SPRINGS, a Florida municipal corporation (hereinafter
referred to as "City").
WIT N E SSE T H :
WHEREAS, Florida law provides for inter-local agreements
between cities and counties for the performance of their respective
administrative and service functions; and
WHEREAS, the City and the County desire, pursuant to Chapter
163 of the Florida Statutes, to enter into an inter-local agreement
whereby the County will, on a cost basis, maintain those roads pre-
viously maintained within the City, said maintenance to run through
September 30, 1981.
NOW, THEREFORE, in consideration of the mutual covenants
herein contained, it is agreed as follows:
1. The County will maintain within the City those dirt
roads shown on the attached map, hereto marked as Exhibit "A" and

The routine maintenance to be provided by
the County on said roads will consist of scraping and grading in
one five-day cycle each month, the precise date of such cycle to be
determined by the County.
2. The City will pay to the County on the first of each
month for those services described in Paragraph 1 above, the amount
of $628.00, said amount representing the actual cost of said services
to the County. Further, where maintenance shall require the use of
fill and/or clay, the City will pay to the County, One dollar and
eighty cents ($1.80) per cubic yard of fill and/or clay to defray
hauling expense plus material cost of clay.
3. In the event the City decides not to have road mainte-
nance service during any month, the City shall have the right to
notify the County prior to the first of that month of their desire
not to have road maintenance service for that month.

4. It is agreed that the City may, when necessary, request
emergency maintenance of the Board of County Commissioners of Seminole
County. Upon receipt of such request, the Board of County Commissioners
may, at its option, provide the requested emergency maintenance in a
manner comparable to the emergency maintenance of all other county
roads. The City will pay to the County for such emergency maintenance
for an amount equal to the actual cost of materials, supplies, labor,
and equipment rental furnished by the County plus 7.5% overhead charge.
5. This agreement shall take effect on October 1,1980, and
shall terminate on September 30,1981.
6. The City may cancel this agreement at any time by giving
the County thirty (30) days written notice thereof.
7. If for any reason any provision hereof shall be inoper-
ative, validity and effect of all other provisions shall not be affect-
ed thereby.
8. No modifications or waiver of any provision of this
agreement shall be valid unless in writing signed by both of the
parties.
