FIRST AMENDMENT TO INTERLOCAL AGREEMENT
PROVIDING JOINT FUNDING FOR THE
WATERSHEDATLASBEnNEEN
MUNICIPALITIES AND SEMINOLE COUNTY
THIS FIRST AMENDMENT TO INTERLOCAL AGREEMENT is made and
entered into thisdK~ day of ~, 2006, between and among the CITY OF
AL T AMONTE SPRINGS, a Florida municipal corporation, whose address is 225
Newburyport Avenue, Altamonte Springs, Florida 32701, the CITY OF CASSELBERRY,
a Florida municipal corporation, whose address is 95 Triplet Lake Drive, Casselberry,
Florida 32707, the CITY OF LAKE MARY, a Florida municipal corporation, whose
address is P.O. Box 958445, Lake Mary, Florida 32795-0700, the CITY OF
LONGWOOD, a Florida municipal corporation, whose address is 175 W. Warren
Avenue, Longwood, Florida 32750, the CITY OF OVIEDO, a Florida municipal
corporation, whose address is 400 Alexandria Boulevard, Oviedo, Florida 32765-0159,
the CITY OF SANFORD, a Florida municipal corporation, whose address is P.O. Box
1788. Sanford, Florida 32772-1788, the CITY OF WINTER SPRINGS, a Florida
municipal corporation, whose address is 1126 East State Road 434, Winter Springs,
Florida 32708, and SEMINOLE COUNTY, a political subdivision of the State of Florida,
whose address is 1101 East First Street, Sanford, Florida 32771.
WIT N E SSE T H:
WHEREAS, the parties entered into an Interlocal Agreement dated November
29, 2001 which provided for the development and maintenance of the Seminole County
Watershed Atlas (hereafter the "Original Agreemenf'); and
WHEREAS, the term of the Original Agreement was for five (5) years with two (2)
one-year optional renewals; and

WHEREAS, the parties wish to extend the term of the Original Agreement
indefinitely, subject to a right of termination.
NOW, THEREFORE, in consideration of the mutual covenants, agreements and
promises contained herein and other good and valuable consideration, the receipt,
adequacy, and sufficiency of which are hereby acknowledged, the parties agree as
follows:
Section 1. Addition of the City of Longwood. This amendment
acknowledges that the City of Longwood shall be and is hereby a signatory member of
the Original Agreement, entitled to all the privileges and responsibilities thereof. The
contact person for the City of Longwood shall be the City Engineer, 175 West Warren
Avenue, Longwood, FL 32750, phone 407-263-2383.
Section 2. Amendment to Section 10 of the Original Agreement.
Section 10 of the Original Agreement is hereby amended to read as follows:
Section 10. Effective Daterrermrrermination. fill. This Agreement shall
become effective upon full execution by the parties hereto. Unless otherwise
terminated by agreement of the parties, this /\groement shall remain in effect for five (5)
years with two (2) one year optional ronO'.'vals.
(b) The term of this Aqreement shall be indefinite, subiect to the riqht of the
parties to terminate as stated in subsection (c) followinq.
(c) Any party may terminate its participation in this Aqreement upon written
notice provided no later than June 1 st of any year. the termination to be effective as of
the followinq October 1 st. If the County is the party terminatinq its participation then this
Aqreement shall be of no further force or effect as of October 1 st followinq the notice of
termination. If any City terminates its participation then this Aqreement shall remain in
full force and effect as to the remaininq parties.

Section 3. Replacement of Exhibit "B". The attached Exhibit "8" is
hereby substituted for the Exhibit "8" attached to the Original Agreement.
Section 4. Except as herein modified, all the terms and conditions of the
Original Agreement remain in full force and effect.
IN WITNESS WHEREOF, the parties have caused this Agreemenf to be
executed by appropriate action of the governing body and by the appropriate officials
thereof.
