Dear Dan:
This letter is to finalize the terms and conditions of employment related to your
appointment to the position of Chief of Police of Winter Springs, Florida.
1. Employee agrees the effective date of appointment will begin February 3,
1997. Employee shall serve at the pleasure of the City Manager and there
shall be no right to continued employment or wages in the event the City
Manager terminates the relationship.
2. City agrees to reimburse Employee up to but not to exceed $2,500 moving
expenses upon proof of expenses.
3. Employee agrees to reimburse City the full amount of moving expenses
provided to Employee if Employee elects to voluntarily resign his position
prior to three years of service with the City.
4. City agrees to provide Employee the initial salary of $58,000. Employee
will be eligible to receive annual salary increases.
5. City agrees to allow Employee to opt out of the City's Money Purchase
Pension Plan and to provide Employee with the same contribution provided
to other employees beginning the appointment date provided in paragraph "1"
above, which Employee shall invest in his own Pension Plan.
6. Employee agrees to indemnify and hold harmless the City of Winter Springs,
Florida, its members professionally and individually, its employees, agents,
attorneys, assigns and its Pension Board of Trustees, from any and all liability
arising from or that could arise from Employee's participation in the Pension
Plan of Employee's choosing.

7. City agrees to provide Employee the same health and other insurance benefits
provided to other employees.
8. City agrees to provide Employee with a vehicle for which Employee shall
have unlimited use within the City, and business use out of the City. At all
times while Employee is using the automobile, he will maintain
communication with the City's Police Department and be available to report
as requested.

through 8 above.
