Dear Mr. McLemore:
Land Design Innovations is pleased to present you with our proposal to provide professional
planning services for the City of Winter Springs. The following Scope of Services provides a
detailed explanation of the precise services to be provided.
Scope of Services:
The following Scope of Services is for professional land use planning as provided by Land
Design Innovations (illl) for the City of Winter Springs (the Client). The project includes
preparation of two (2) Elements of the Comprehensive Plan and population projections.
A. Scope of Services
LDI will undertake the following steps to assist the City with the preparation of the EAR Based
Amendments to the Comprehensive Plan.
~ Prepare population projections based upon the latest figures available from the U.S.
Census Bureau.
~ Update the Conservation Element consistent with the new requirements contained in 9J-
5, F.A.c. and Chapter 163 Florida Statutes.
~ Update the Capital Improvements Element consistent with the new requirements

Services not Included
This proposal does not include any services other than those identified in the Scope of Services,
herein. Any additional services not included in this scope will need to be approved in writing by
the Client.
Fee Summary
The professional services identified in the Scope of Services for this project will be billed on an
hourly basis. LDI's current hourly rates are included in Attachment A. The total cost of this
project will not exceed $7,000 without written approval from the client.
Reimbursable Fees
Identifiable direct expenses for the project, such as copies, reprographics, facsimiles, and
mileage, will be billed directly to the Client at cost with no additional markup or administration
fees.
General Conditions
LDI will endeavor to design in compliance with the laws, codes and ordinances in effect at the
time of the signing of the contract.
The Client shall at all times indemnify and hold harmless LDI and its officers, agents and
employees on account of any claims, damages, losses, litigation, expenses, counsel fees, and
compensation, except when caused by negligent acts or omissions by illI.
Either party may terminate this contract without cause upon providing written notice to the
other party. In the event of termination, LDI will be reimbursed for all fees and reimbursables
incurred up to the date of termination.
