FOR CAD CLIENT SERVER MIGRATION PROJECT I AMENDMENT NO.1 I THIS AMENDMENT AGREEMENT NO.1, dated this 13th day of March 2003 I by and between the CITY OF WINTER SPRINGS, FLORIDA, and OPEN SOFTWARE SOLUTIONS, INC., amends the Contract and Agreement, Application Software Support. Agreement between the City of Winter Springs (thereafter Customer) and Open Software I Solutions, Inc. (hereafter OSS!), dated October 13, 1997. WITNESSETH: I For the consideration hereinafter set forth, OSSI hereby agrees to provide and the I Customer agrees to license OSSI's Client Server Computer Aided Dispatch System that is compatible with OSSI's Computer Aided Dispatch System that is subject of the Agreement dated October 13, 1997, as follows: I A. SCOPE OF WORK, OSSI hereby agrees to provide the Hardware described in the attached "Exhibit A -- Hardware and System Software," This Exhibit is I in addition to the Exhibit A in the Contract and Agreement dated October 13, 1997. OSSI hereby agrees to provide the application software described in the attached "Exhibit B -- Application Software." This Exhibit is in addition to the Exhibit B in the Contract I and Agreement dated October 13, 1997. B. IMPLEMENTATION SERVICES. OSSI hereby agrees to provide the - implementation services described in the attached "Exhibit D -- Implementation Services." This Exhibit is in addition to the Exhibit D in the Contract and Agreement ", dated October 13, 1997. - C. APPLICATION SOFTWARE MAINTENANCE. OSSI hereby agrees to .' provide support, per Exhibit C of the original Contract and Agreement dated October 13, ~ 1997 for the products described in the attached "Exhibit C -- Application Software Maintenance." The Exhibit C, Attachment 2 included in this agreement replaces the Exhibit C, Attachment 2 in the Contract and Agreement dated October 13, 1997 and all I other previously dated Agreements, ,~ D. FEES AND PAYMENT TERMS. Upon submission of itemized invoices, I the Customer will pay to OSSI the amounts as defined in Exhibit A, Exhibit B, and Exhibit D per the following payment terms: I Progress payments will be made by the Customer based upon work actually provided. Costs items for progress payments are based upon the following schedule, mutually =- agreed upon between the Customer and OSS!. Application Software: The Customer shall pay the Application Software I License Fees to OSSI as follows: I One hundred percent (100%) of the total application software initial license fees are due and payable when the application software is installed on Customer's computer hardware, . - Application software will be considered installed when OSSI demonstrates that the application software module is operational on - the computer system. 2. Hardware Components: One hundred percent (100%) of the total hardware I components are due and payable when the hardware is delivered to the Customer. Jkl' 3. Software Implementation Services: One hundred percent (100%) of the I; Implementation Services are due and payable when the services are provided. I, 4. Proiect Management Services: One hundred percent (100%) of the Project Management Services are due and payable with the execution of the contract. I'; 5. Software Maintenance: The initial payment of the additional total application software maintenance 'fees listed in Exhibit B is due and payable starting ~il . October 1,2003. I;' Travel expenses are defined as airfare and rental car or mileage at 39 cents " per mile, if personal vehicle is used. Per diem expenses are defined as $250 per day per person that include meals, hotel expenses, and related travel time. I' E. MAINTENANCE COVERAGE HOURS. Coverage Hours are defined as Monday through Friday 8:30 A.M. to 5:00 P.M, Eastern Standard Time, excluding I OSSI's holidays for any questions regarding application software included in this I AGREEMENT WITH OPEN SOFTWARE SOLUTIONS, INC. For a Major Application Problem on OSSl's Base Computer Aided Dispatch System (Base CAD) or OSSI's Base Message Switch only, OSSI coverage hours will be 24-hours per day, 7-days per week, excluding OSSI's holidays. F. STANDARD SOFTWARE. The Customer is licensing OSSI's latest version of their standard product without any modifications or enhancements for the Customer. . G. OTHER TERMS AND CONDITIONS. All other terms and conditions of f the Agreement dated October 13, 1997, remain in full force and effect. IN WITNESS WHEREOF, the Customer and OSSI have caused their duly authorized officials to execute this Amendment on the respective dates hereinafter indicated. ' ' , , - - , I I I Prepared by Open Software Solutions, Inc Page 1 ;1 CITY OF WINTER SPRINGS I "EXHIBIT A" "HARDWARE AND SYSTEM SOFTWARE" I Amendment # 1 I I Hardware and System Software Project Conditions I Note 1: The Customer is required to provide remote access to their server(s) via I pcAnywhere for OS81's remote diagnosis and support. 0881 recommends that the Customer provide this access via the Internet using TCP/lP connectivity. OSSI can provide a white paper that defines . the required configuration and procedures for Internet implementation, I If Internet access is not available, the customer can install an external modem on each server to provide this connectivity. However, if the Customer is acquiring OSSI's Message Switch application, an external modem Will be mandatory for that server only due to federal laws and I regulations, Note 2: The Customer shall implement an Uninterruptible Power Supply system I (UPS) for all servers and all CAD workstations, This can be at the machine level or at the site level. OS81 recommends the use of an enterprise level Master UPS and external generator for full power backup. I Note 3: OSSI has proposed ARCserve V,9 and its clients as an enterprise backup solution, This software has been combined with an external I Tape Backup Unit (TBU) and controller card that will be installed on the designated backup server (usually the RMS server). Note 4: If applicable, in order to implement an Enterprise Level Backup System, I all current ARCserve backup software will need to be upgraded. The necessary components have been proposed based on OSSI's understanding of the current configuration. I Note 5: The Customer will be providing all hardware and software. The Customer will be responsible for all hardware and 3rd party software configuration with the exception of MS SQL 2000, I Note 6: This agreement supersedes all previous issued SQL Migration Quotes. SPECIAL NOTES FOR CUSTOMER I Based on our review of the hardware specifications submitted in 2001, 0881 determined the following: I The original submitted hardware inventory provided by the Customer revealed that the server only has 256MB of memory. OSSI recommend a minimum of 512 anda preference of 1 GB, I This agreement'does not in.c1ude any material or service charges for the memory upgrade, The Customer's IS staff will be responsible for installing the above recommendation, I " , I. , I I Prepared by Open Software Solutions, Inc Page 2 11 CITY OF WINTER SPRINGS I "EXHIBIT A" "HARDWARE AND SYSTEM SOFTWARE" I Amendment # 1 I Note 7: It is OSSl's understanding that the customers has replaced all hardware since Note 6, Gregg Tischler advised OSSI on 3/20/02 that Winter Springs was purchasing the following equipment: - Dell Poweredge 2550 I - Dual Pentium III -1.4 Ghz - 2 GB Memory . "EXHIBIT A" "HARDWARE AND SYSTEM SOFTWARE" . Amendment # 1 . I General Project Conditions. Applies to Entire Project I Item 1: This Agreement is based on the assumption that a Windows NT or 2000 . Domain is already in place and functional. If this is not the case, the Customer is required to provide all necessary equipment arid services for such implementation, . . Item 2: The Customer must provide a certified TCPIIP network with all communications equipment and any other required components, The cabling of this network, installation of punch down panels, hubs, routers, etc, will be the responsibility of the Customer, Additionally, the . Customer is responsible for acquiring software that is needed for monitoring and maintaining the network. . Item 3: OSSI always recommends the highest performance connection for all LAN and WAN connections, Listed below are OSSI's recommendations in order of highest throughput: I a, 1 Gb Fiber connections b, 100 MB Fiber connections c. 10MB Fiber connections I d, Line of Site Technology e. Full T1 f, Partial T1, ISDN, Frame Relay, etc. g, Internet Access when the application allows I h, Dial Up Access Using Citrix MetaFrame Item 4: CAD Interfaces with the E911 telephone switch via an RS-232 Serial I Cable, The Customer must provide this cable (with accurate pin-outs) to connect their E911 All Controller's CAD Port to the CAD Server's serial port, The Customer must also provide OSSI with accurate All I Item 5: In the event that a single CAD Server is servicing multiple communication centers (one CAD Server and multiple E911 All sources) or where the ANI/All controller is located outside the physical I length capacity of an RS232 connection, a standalone PC and special services will be required for ANI/All functionality. Item 6: For Customers that are acquiring OSSl's Message Switch, the I Customer is responsible for all of the associated costs from the State to connect to and communicate with State/NCIC network, This may include the following additional costs: - i. Dedicated Line ii. DSU to State Iii. Associated Installation Charges I iv. Monthly Charges v, Surcharges by State vi. etc, I I Prepared by Open Software Solutions, Inc Page 4 I CITY OF WINTER SPRINGS I "EXHIBIT A" "HARDWARE AND SYSTEM SOFTWARE" I Amendment # 1 I Item 7: The Customer should expect to be down 24 hours for the SQL data migration. Item 8: All OSSI software is "standard product" without modifications, Item 9: With a project of this magnitude, OSSI recommends the client plan for a contingency fund of 10% of the total value of the contract. . Item 10: All implementation services are billed on a daily basis. If OSSI provides , less than a day service it will be billed at the full daily rate. Item 11: This agreement is based on the current licensing policies of each third party software manufacturer as well as all hardware manufacturers. In the event that a manufacturer changes any of these respective policies or prices, OSSI reserves the right to adjust this proposal to reflect those changes, Item 12: OSSI is not responsible for the warranty or maintenance of the proposed hardware, Hardware maintenance is the responsibility of the Customer and ONLY the manufacturer's warranty is included, Item 13: The Customer will be billed all travel and living expenses and per diem expenses per the terms of the Agreement. Item 14: To assure that MS-SQL is installed correctly and to assl standards, as part of Step 3 OSSI will be responsible for the installation and configuration of the Client's MS-SQL software, Item 15: The Customer will provide ALL system software and necessary hardware prior to OSSI providing migration services, Item 16: For Message Switch sites, it is OSSl's understanding that the Message Switch will not be moved as a result of the migration, The switch will continue to run from it's current location. OSSI has proposed a three (3) step plan to migrate the Customer from OSSl's File Server Version of CAD to OSSI's Client Server SQL CAD System. This approach will minimize the downtime of the existing communications center. Listed below is a t description of each step: II Step 1 ass 1 will obtain Customer's CAD data and test the conversion at our corporate office $2,000 with OSSl's Product Management Staff, OSSI will compare CAD business functions I from the File Server System to the Client Server System and make necessary adjustments to the conversion routines to accommodate the clients data, The Customer will be responsible for providing ass I their entire CAD data set on a CD-ROM or other I approved media minimally thirty days in advance of the scheduled conversion effort, I Step 2 Prior to Step 3, All Hardware and Technical Services Should Be Completed and the SQL CAD Server and Network Should Be Certified Operational.
