Maintenance Agreement
THE CITY OF WINTER SPRINGS "SENIOR
as the "Customer" and "P H E TELECOM"
"Contraotor." intending to be legally

bound, hereby agree as follows:
Contractor agrees to provide all of the maintenance and upkeep,
pursuant to the terms of this agreement, with the exception of
intentional damage or acts of nature ( floods, fire, etc.) on the
following items of personal property owned by customer:
1 EZ 24 SYSTEM 4 Phones.
Contractor will repair problems listed above as intentional damage or
acts of nature bn a time and material basis.
.Customer agrees to have contractor do all other related works on
their system (moving stations, adding new station or replacement of any
telephone related equipment.) On a time and material basis.
In return for. service~ described above customer agrees to pay .
. contractor the sum of 8625.00, on a annual basis; this amount to be paid
to the contractor by the 10th day of the month in which the old contract
expires for so long as this contract remains in force and effect.
Contractor agrees to provide services as described above upo~
notification from customer on the necessity of the services, within a
reasonable time frame. (Not to,~xceed 2 days for general service,_ 3
hours- in the event of an emergenc~.) After notification except in the
event of emergency as described above~
In .the event of an emergency exis~ wherein customer is unable to use
any-item of personal property here above described for which contractor
has agreed to provide maintenance, customer agrees to notify contractor,
and contractor shall use best effort to go replace, or repair (as
needed) the item. Contractor may1.ise- an identical piece of property,
whether or not used, to replace that item during the time period when
contractor is repairing the original piece of personal property.
Customer agrees to promptly pay contractor upon invoice for any and
all parts required by contractor to be purchased to repair or maintain
the equipment as described above that are not covered.

This agreement shall begin on October 1, 2000 and continue for .a term
ending September 30, 2001. This agreement may be renewed by written
request from the customer prior to September 30, 2001. This agreement
will be terminated with or without cause pursuant to the provision of
this paragraph.
Any dispute that arises herein shall be resolved by arbitration
pursuant to the roles of the American Arbitration Association or the
rules of the State of Florida.
This Agreement shall be interpreted pursuant to the laws of the State
of Florida.
